Individual directors generally do not make board decisions on their own. The exact legal duties and decision-making rules depend on the organization’s jurisdiction, legal form, governing documents, and delegated authority.
What does a nonprofit board do?
A board’s central job is to govern in line with the organization’s mission and governing documents. It makes collective decisions about the organization’s direction and monitors whether the organization is being run responsibly.
- Set mission-aligned direction: approve strategy and major policies, then assess whether plans remain consistent with the organization’s purpose.
- Steward resources: oversee the budget, financial reporting, controls, and responsible use of funds and other assets; help ensure the organization has adequate resources.
- Oversee risk and organizational health: ask about significant risks and whether the organization is equipped to address them.
- Oversee the chief executive: where the organization has an executive director or CEO, select, evaluate, and oversee that person, including decisions about compensation.
- Make decisions collectively: prepare for meetings, participate in discussion, and act through the board’s formal decision-making process.

What are the duties of care, loyalty, and obedience?
A common US nonprofit teaching framework groups directors’ responsibilities into three duties. The National Council of Nonprofits describes these as legal duties, but their precise formulation depends on applicable law and the organization’s form; this overview is not individualized legal advice.

Where does governance stop and management begin?
When paid staff are in place, the board generally governs and oversees rather than directing everyday work. The National Council of Nonprofits summarizes the board’s role as providing “foresight, oversight, and insight.” In practice, a board may approve strategy, policy, and the budget, then monitor results; staff carry out delegated programs and daily operations.

Board members should use the organization’s decision structure rather than individually directing staff. The boundary depends on what the board has delegated and how the organization is staffed. In a small or all-volunteer nonprofit, directors may also perform operational work, so the distinction must be made in light of actual roles and governing documents.

“Board basics” is not a universal legal rulebook. A US nonprofit corporation, a UK charity, a public institution, and a for-profit company may have different legal duties, regulators, terminology, and sources of authority. Even among US nonprofits, details can vary by state and entity type.

For a particular board decision, identify the applicable statute and regulator, the organization’s articles or constitution and bylaws, and any board policies or delegations. How can a new board member prepare?
- Read the governing documents. Start with the bylaws and other documents that describe the organization’s purpose, board authority, and formal decision-making process.
- Learn the organization’s current position. Review its strategy, budget, financial reports, major policies, and information about significant risks before meetings.
- Clarify your role. Ask how the board divides work with staff, what has been delegated, and how conflicts of interest are disclosed and handled.
- Prepare and participate. Read meeting materials, raise questions, disclose relevant conflicts, and contribute to decisions made by the board as a whole.
- Use structured orientation if helpful. NonprofitReady offers a free online Nonprofit Board Basics guide; the Maine Association of Nonprofits lists an electronic Board Basics Handbook; and the Center for Nonprofit Advancement describes its Board Basics A to Z course for prospective, new, and current directors.
