What to Include in a Home Renovation Contract Before Work Begins

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

A renovation contract should state exactly who is responsible, what will be built, how much it will cost, when work should happen, how changes are approved, and what documents you receive at completion. Put every promise in a signed writing before demolition or ordering materials. This is general U.S. consumer guidance, not a substitute for checking the rules where the property is located: requirements for licenses, deposits, cancellation notices, permits, lien notices and contract language vary by state, county and city.

Start with the parties and accountability

Identify the contracting business by its legal name, trade name, street address, telephone number and the name of a project contact who can make decisions. Add the contractor’s applicable state or local license or registration number. If a company signs through an individual, identify that person’s title and authority.

Before signing, verify the license or registration and insurance with the responsible state or county authority. Ask for current evidence of general liability and workers’ compensation coverage when applicable, and keep copies with the contract. A business card, website or verbal assurance is not a substitute for a verifiable credential.

The agreement should say whether subcontractors will be used. If they are, require the prime contractor to remain responsible for coordinating their work and delivering the contracted result. List any trades expected on the project, such as plumbing, electrical, roofing or HVAC, so it is clear who is accountable for each part.

Describe the work so another contractor could price it

The scope is the contract’s most important technical section. Write each task in enough detail that an independent contractor could understand what is included, what is excluded and how the finished work will be judged. Attach drawings, plans, engineering documents and specifications instead of relying on a conversation or a sales presentation.

Work and exclusions

  • List demolition, structural work, framing, finishes, installation, testing and cleanup separately.
  • State who protects floors, furniture and occupied areas, and who removes debris and pays disposal charges.
  • Identify work that is expressly excluded, such as painting adjacent rooms, landscaping, moving appliances or repairing unrelated defects.
  • Explain how concealed or pre-existing conditions will be handled if opening a wall or floor reveals damage, unsafe wiring, asbestos, mold or inadequate support.

Materials and allowances

Specify products by manufacturer and model where practical, together with grade, dimensions, color, finish, quantity and installation method. For items the owner has not selected, state an allowance: the amount included, what it covers and how a higher- or lower-cost selection changes the price. Explain delivery, storage and special-order charges.

Include a substitution rule. It should say whether the contractor may substitute a product, what counts as an equivalent, who must approve the substitution and how any price difference is credited or charged. Include required standards or ratings for items such as windows, insulation, appliances, roofing and plumbing fixtures.

Set dates, milestones and communication rules

State an estimated start date and estimated completion date, rather than leaving timing to an oral promise. Add key milestones such as permitting, demolition, rough inspections, cabinet delivery, substantial completion and final inspection. If exact dates cannot be known, identify the assumptions behind the estimate.

Define expected work hours, access arrangements, homeowner responsibilities and rules for occupied homes. List reasonable contingencies that can affect the schedule, including weather, permit delays, inspection availability, owner selections, material backorders and concealed conditions. The contract should require prompt written notice when a delay occurs, explain its cause and give the revised projection.

Make the price and payment schedule measurable

State whether the contract is a fixed price, an estimate or time-and-materials arrangement. Give the total contract price and identify taxes, delivery, disposal, equipment rental, permits, testing, special-order fees and other charges that are included or excluded.

  • One-Handed Loading - Keep one hand free with a 1/4 in. hex chuck that accepts 1 in. bit tips

Fixed-price work

For a fixed price, attach the scope and allowance schedule that supports the amount. Say how allowances are reconciled when the actual product cost differs, and whether the contractor’s labor or markup changes with that reconciliation.

Time-and-materials work

For time-and-materials work, state each labor rate, whether rates differ by trade, how material cost is documented, the markup or management fee, equipment charges, travel charges and the initial estimate. Set a written approval threshold: work that would push the running total above that amount requires the owner’s signed authorization.

Progress payments and final payment

Use installments tied to identifiable completed work, delivered materials or agreed milestones. Each invoice should describe the work covered and identify approved changes. Avoid paying the entire amount before satisfactory completion, and check whether local law limits deposits or requires particular payment language.

Define substantial completion and the conditions for the final payment. A practical provision holds the final amount until the agreed work is complete, punch-list items are addressed, required inspections have passed and the owner has received closeout documents and payment evidence. The contract should state what happens if an undisputed item remains incomplete, without allowing an owner to withhold unrelated amounts improperly.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Assign permits, inspections and code compliance

Write down who determines which permits are required, prepares and submits applications, pays fees, schedules inspections and supplies documents to the owner. State who must correct failed inspections and who obtains the final approval, certificate of occupancy or other completion certificate when one is required.

Confirm permit requirements with the local building department before work starts. A contractor’s statement that a permit is unnecessary does not replace the department’s determination. The agreement should also require work to comply with applicable building, electrical, plumbing, mechanical, energy and safety codes, while recognizing that the authority having jurisdiction controls approvals.

Control every change with a signed change order

No extra, omitted or substituted work should begin on an oral instruction. Require a written change order signed by the owner and contractor before the changed work starts, except for an emergency needed to protect people or property.

Each change order should identify:

  • the original scope being changed and the reason;
  • new or revised materials and quantities;
  • the added cost or credit, including any markup, tax or allowance adjustment;
  • the revised contract total and effect on the payment schedule;
  • the number of calendar or working days added or removed; and
  • any effect on warranties, permits or inspections.

Number and date each change order, attach it to the contract and keep a running total. A text message can document a conversation, but use the contract’s formal written approval process so the price and schedule cannot be misunderstood.

Address insurance, subcontractors and lien protection

State the insurance the contractor must maintain and how certificates are supplied. If subcontractors or suppliers are involved, ask what proof of payment will accompany progress invoices and what lien releases or waivers will be provided before final payment.

Unpaid subcontractors or suppliers may have lien rights in some jurisdictions even when the homeowner paid the prime contractor. Notice forms, waiver language and delivery deadlines differ substantially by location. Ask the local construction or recording authority what documents are customary, and do not sign a waiver that is inaccurate or broader than the payment it covers.

The contract can require a list of major subcontractors and suppliers, prompt notice of payment disputes and delivery of receipts or conditional and unconditional waivers as legally appropriate. Those provisions do not eliminate local statutory notice requirements, so follow the jurisdiction’s process.

Put warranties and closeout deliverables in writing

Describe any labor or workmanship warranty: its duration, what defects are covered, exclusions, required maintenance, response time and the method for requesting service. Obtain and keep manufacturer warranties for specified products, and state whether the contractor will assist with registration or claims.

  • operating manuals, maintenance instructions, model and serial numbers;

Include cancellation, disputes and recordkeeping terms

Include any cancellation notice required by state or federal law and explain how notice must be delivered, such as by a stated address, email method or form. Federal rules describe a three-business-day cancellation right for certain sales made at a consumer’s home or another location away from the seller’s permanent place of business; applicability and exceptions must be checked for the transaction and state.

Choose a process for disputes: project-level notice, a meeting, mediation, arbitration or court, as permitted by applicable law. Identify governing law and the venue only after confirming that the clause is enforceable where the property is located. Explain how emergency work, stop-work notices and termination for uncured breach are handled, including payment for conforming work already performed.

Keep one complete, signed copy. Preserve the estimate, scope, drawings, specifications, change orders, invoices, cancelled checks or receipts, permit records, inspection results, warranty papers, notices, photographs and project communications. Never sign a form with blank spaces, missing attachments or promises that appear only in a salesperson’s notes.

Compare competing proposals on identical terms

Give every bidder the same written scope, plans and allowance list. Then compare the proposals line by line rather than choosing the lowest headline number.

Comparison point What to check
Included work Are demolition, preparation, installation, testing, cleanup and disposal all listed?
Materials Do brands, models, grades, quantities and allowances match your specification?
Exclusions Which tasks, fees or owner-supplied items are left out?
Schedule Are start, completion, milestones and delay assumptions comparable?
Price and payments Is the total stated, and are deposits and milestone amounts tied to completed work?
Permits and inspections Does the same party obtain permits, schedule inspections and correct failures?
Changes Is written approval required, with a clear markup and schedule adjustment?
Warranty and closeout Are duration, exclusions, punch-list work, manuals and final documents specified?
Payment evidence Will receipts or lien releases be supplied for subcontractors and suppliers?

Ask each contractor to explain a large difference. A lower bid may use smaller allowances, omit preparation or leave permit, disposal or utility work unresolved.

Jurisdiction-specific rules can change the checklist

No national checklist captures every requirement. The Federal Trade Commission advises that home-improvement contract rules vary by state and recommends written identity, estimated dates, promises, applicable cancellation information and no blank spaces. State guidance adds different details:

Jurisdiction or authority Illustrative guidance
Ohio Written descriptions of work and materials, dates, change approval, guarantees, payment terms and permit or inspection responsibility.
Arizona Detailed scope, estimated dates, price, staged payments, permit checks, written warranty, records and evidence that suppliers and subcontractors were paid before final payment.
Pennsylvania Covered contracts have statutory writing and signature requirements; time-and-materials work has state-specific estimate and change-approval rules.
California Contract, payment-schedule, written-change and warranty requirements include state-specific thresholds and restrictions.
Maine Covered contracts have specified terms, model contract and change-order materials, and state-specific deposit and written-change rules.
New York Written contract information is required, and final payment should wait until work and required inspections or certificates are complete.
Texas Written promises, work, timing and special-order costs are important; unpaid subcontractors or suppliers can create lien risk.

Before signing, contact the state contractor regulator, attorney general and local building department for the property’s location. For a high-value, structural, financed or unusually complex project, have a construction attorney review the proposed agreement and any financing or lien documents.
