Act quickly, but do not assume that a missed payment or abandoned site gives you an automatic right to terminate, take materials, or appoint someone else. First establish whether the business is only in financial distress or is subject to a formal insolvency procedure, identify the administrator, liquidator or official receiver, and preserve every contract and project record. Then obtain advice on the law and contract terms that apply where the project is located.
Start with the first 24 hours
Insolvency decisions become harder once records are lost, materials are moved or another contractor changes the work. Use this sequence before making a major contractual decision.

- Confirm the status. Ask the contractor or supplier, check the relevant public insolvency register, and contact the appointed insolvency practitioner if one has been named. Distinguish financial distress, a notice or filing, administration, liquidation, receivership and any equivalent procedure in your jurisdiction. The date and type of formal appointment can change who may deal with the contract and assets.
- Identify the office-holder. Record the practitioner’s name, firm, contact details, case reference and instructions for claims, site access and communications. Send important notices to the address specified in the contract and to the practitioner where appropriate, keeping proof of delivery.
- Preserve the project file. Secure the signed contract, specifications, drawings, programmes, variations, payment applications, invoices, receipts, delivery notes, notices, emails, meeting minutes, photographs, inspection records, permits, warranties, insurance documents and evidence of completed work. Keep an indexed copy in a location the insolvent business cannot alter.
- Make the site safe. Photograph the condition of the works, temporary works, services, plant and stored materials. Isolate dangerous areas and arrange urgent protection against weather, theft or water damage. Record who enters the site and what is moved.
- Pause irreversible actions. Before withholding money, terminating, changing locks, removing goods, taking control of equipment or hiring a replacement, check notice clauses, payment provisions, ownership terms, licences and insurance requirements. Obtain local legal advice if the value or safety consequences are significant.
Do not treat an insolvency filing as proof that every contractual right has ended. A distress event, a filing and a formal appointment may have different consequences. In the UK public-sector PFI context, government guidance warns that statutory insolvency duties can override ordinary contractual relations. The same result cannot be assumed for a private project or another country.
Distress, insolvency and administration are not the same event
Signs of financial distress
Late wages, unpaid suppliers, requests for accelerated payment, repeated programme slippage, disappearing management, bounced payments or a sudden reduction in labour can indicate distress. They are warning signs, not proof of a formal insolvency procedure. Use the contract’s reporting and information rights to obtain an up-to-date programme, payment position, insurance evidence and subcontractor information where those rights exist.

Formal proceedings
Once an administrator, liquidator, official receiver or equivalent practitioner is appointed, communicate through that office-holder and follow its site and claims process. The practitioner may decide whether contracts, materials and equipment are retained, sold, completed or disclaimed, subject to the law of the jurisdiction. Do not rely on a termination clause without checking whether it is effective, suspended or restricted by applicable insolvency law.
If you are a homeowner or project client
Check what your payments actually cover
Map each deposit and progress payment to the work, materials and stage identified in the contract. Compare the payment schedule with applications, receipts and work visible on site. Identify sums paid for goods that have not arrived, work that is incomplete and retention or advance amounts that may be treated differently under the contract.
Insurance and compensation schemes are local. New South Wales government guidance titled Protecting yourself in case of builder insolvency says not to make payments until required home building compensation cover is in place. It also warns that an additional or early payment outside the authorised schedule may affect recovery under that cover. Those directions apply to the NSW scheme; a homeowner elsewhere should check the local regulator, policy wording and notification deadline before paying or claiming.

Document and secure a stopped site
- Photograph every room, elevation, service, defect, stored item and unfinished element, with dates and locations.
- Record meter readings, alarm arrangements, temporary weatherproofing and any immediate safety work.
- List plant, tools, materials, keys, access cards, drawings and digital files present on the site.
- Ask the practitioner who controls access and whether the contractor’s insurance remains active.
Do not authorise demolition, covering-up or remedial work that could destroy evidence before an inspection, unless it is necessary to prevent injury or serious damage. Keep invoices and photographs for emergency work.
Plan a replacement without creating a new dispute
Obtain replacement quotations only after checking the original contract, ownership of materials, warranties, permits, design responsibility and insurance claim requirements. A new contractor may need to test or certify existing work; agree in writing what is being accepted, opened up, removed or warranted. Preserve the original programme and cost evidence so that any claim for additional completion cost can be calculated, rather than relying on an estimate made after the fact.

If you are a contractor or subcontractor owed money
Register a documented claim
Contact the appointed insolvency practitioner or official receiver and follow the stated process for registering or proving the debt. Ask for the claim form, deadline, required evidence and method for receiving updates. Keep a calculation that separates completed work, approved variations, unpaid applications, retention, interest (if contractually and legally available), materials and any disputed amount.
Attach the documents that allow the practitioner to test the claim:
- the signed contract, purchase order and incorporated terms;
- payment applications, invoices, certificates and agreed variations;
- timesheets, delivery records, photographs, inspection results and programme records;
- emails or notices acknowledging work, defects, set-off or payment dates; and
- your bank or ledger evidence showing what was and was not paid.
Continue to answer reasonable requests for clarification, but do not assume that a submitted claim will be paid in full or quickly. In UK PFI guidance, secured creditors are generally paid before other creditor classes after insolvency expenses, while unsecured creditors generally wait until secured and preferential creditors have been paid. Subcontractors and service providers are typical unsecured creditors in that specific context. Priority rules differ by jurisdiction, procedure and security, so the PFI description is not a universal ranking.
Protect evidence for adjudication or other remedies
If the contract or local law provides adjudication, payment-notice, lien, bond or statutory-demand remedies, obtain advice immediately about limitation periods and any insolvency stay. Keep a separate file for evidence of work and another for the insolvency claim; filing as a creditor does not automatically preserve every other remedy.
If you supplied materials or equipment
Check retention-of-title wording
Review the purchase order, terms and invoices for a retention-of-title or reservation-of-title clause. The UK Insolvency Service describes this as a contractual mechanism under which ownership may remain with the supplier until payment, depending on the agreement. A clause may fail if it was not properly incorporated, if the goods cannot be identified, or if its wording goes beyond what the applicable law permits.

Build an identification schedule

Link those details to signed delivery notes and the unpaid account. Tell the practitioner promptly that you assert a title claim and provide the contract and schedule.

The UK official-receiver guidance says a claim to unused goods may be valid where the clause was incorporated, but the receiver must verify the clause and the supplier must substantiate the claim. Goods may be difficult or impossible to recover after they have been sold, processed, mixed with other stock or incorporated into a building. The outcome depends on the facts and applicable law.
Do not self-help
Do not enter a site, remove goods, interrupt another contractor or change locks without confirming your legal right and access arrangements. Moving or dismantling materials can create safety, trespass, ownership and insurance problems. Ask the practitioner to confirm whether the goods are segregated and what supervised inspection or collection process is available.
Choose between continuation, termination, step-in and replacement
There is no source-backed universal best option. Compare the alternatives against the same six questions before committing:
| Decision question | What to verify |
|---|---|
| Contract power | Does the contract permit continuation, step-in, suspension or termination, and what notices, cure periods and deadlines apply? |
| Safety and continuity | What must happen immediately to protect people, weatherproof the structure, maintain services and prevent deterioration? |
| Control and ownership | Who owns or controls materials, plant, equipment, drawings, models, work in progress, keys and digital records? |
| Cost and time | What is the realistic cost and programme for finishing, including surveys, rework, storage, security and professional fees? |
| Insurance and warranties | Will the proposed action affect contractor’s insurance, latent-defect cover, product warranties, permits or a compensation claim? |
| Recovery prospects | Which losses can be evidenced and are likely to be recoverable from the estate, a bond, insurance or another responsible party? |
Negotiated continuation
A continuation may be possible where the practitioner or a new entity can fund labour and suppliers, preserve critical warranties and provide a credible programme. Document who will be paid, who will own new work and materials, what liabilities are accepted and what happens if the arrangement fails.

Termination and replacement
Termination can clear the way for a new contractor, but an invalid notice may expose the client to a counterclaim or leave access and ownership unresolved. Obtain advice before issuing it, then inventory the site and agree a handover record with the practitioner and replacement contractor.
Step-in or direct payment
A client may consider paying key subcontractors or taking temporary control, but authority, security, set-off, tax, insurance and insolvency restrictions must be checked first. A payment that secures continuity may not preserve a claim against the insolvent estate unless the documents say how it is treated.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone.Public-sector PFI projects: the UK planning approach
UK government material on contractor distress is expressly focused on private finance initiative projects, not a general rule for private domestic building contracts. It recommends early information gathering and a commercial, operational and financial assessment. A project team should prepare a clear legal, commercial, financial and operational strategy, including a Plan A for resolving the issue and a Plan B if resolution fails.
For a PFI authority, practical questions include what information the contract permits the authority to request, how the financial strength of key subcontractors is monitored, which services are business-critical and how continuity will be funded. Record the assumptions behind each plan and set trigger dates for escalation. The guidance states: “Insolvency and contract termination are complex areas and you should take appropriate professional advice where necessary.”

- Confusing non-payment with insolvency: a payment dispute may require contractual notices or adjudication rather than an insolvency claim.
- Taking goods without checking title: unpaid invoices do not automatically prove ownership or a right of entry.
- Paying outside an approved schedule: in schemes such as the NSW home building compensation system, an extra or early payment can affect recovery.
- Destroying evidence through urgent rework: record the condition and obtain an independent inspection where safe and practicable.
- Assuming a creditor claim guarantees payment: estates may have insufficient assets, and priority differs by procedure and country.
- Ignoring insurance and permits: a replacement contractor’s work may not cure a gap created by an invalid policy, expired cover or missing approval.
When to obtain specialist advice
Get jurisdiction-specific construction and insolvency advice before issuing a termination notice, withholding a substantial payment, removing materials, relying on a bond or guarantee, changing the design team, or appointing a replacement contractor. Ask the adviser to address the contract’s insolvency clauses, notice deadlines, ownership of work and goods, payment or adjudication rights, insurance notifications, permits, limitation periods and the likely recovery route.
For a homeowner, the local building regulator and insurer can confirm compensation-cover requirements. For a supplier or subcontractor, the insolvency practitioner can explain the estate’s claim process, but that explanation is not a substitute for independent advice about title, security or statutory remedies.
