QXO completed its acquisition of TopBuild on July 1, 2026, turning the approximately $17 billion agreement announced in April into a combined building-products distribution and installation business. TopBuild adds insulation distribution and installation to QXO’s existing positions in roofing, waterproofing, lumber and related building materials. QXO says the combination is intended to broaden offerings, improve procurement and logistics, and support larger, more complex construction projects. Those are management’s strategic objectives; the transaction’s projected benefits are not yet proof of achieved results.

What happened in the QXO–TopBuild transaction?

QXO announced the agreement in April 2026 and reported that it closed on July 1, 2026. The completed acquisition combines QXO’s building-products distribution operations with TopBuild’s insulation distribution and installation capabilities.

QXO described the deal as a way to add installation services to a distribution platform that already serves roofing, waterproofing, lumber and other building-material categories. The company also said the combined business would have leading positions in insulation, roofing, waterproofing, and lumber and building materials. Those rankings are QXO’s characterization, not an independently verified market ranking.

Brad Jacobs, QXO chairman and CEO, said in the close announcement: “By acquiring TopBuild, we’re broadening our product offering, adding installation capabilities, and expanding our exposure to fast-growing end markets like data centers.”

What capabilities do QXO and TopBuild bring together?

The strategic logic is easiest to see by comparing the companies’ pre-deal positions.

Area QXO before closing TopBuild before closing Combined rationale stated by QXO
Core distribution Roofing, waterproofing, lumber and related building materials Specialty distribution focused on insulation A broader product range for contractors and large projects
Installation Distribution-led platform Insulation installation capabilities Ability to pair materials with installation services
Procurement and private label Existing scale and supplier relationships Insulation purchasing and specialty-distribution expertise Potentially greater purchasing leverage and private-label expansion
Customer and project reach Building-products distribution network Insulation customers and installation operations Cross-selling and service for larger, more complex construction work

For contractors and distributors, “reshaping” does not mean that every branch, product line or customer contract changes immediately. It means QXO now owns a platform that can offer more categories and, in some markets, an installation component. The practical effect will depend on local branch coverage, operating integration and how customers choose to buy.

What were the announced financial terms?

TopBuild shareholders were offered $505 per share, with the ability to elect cash or QXO common stock, subject to proration. QXO said the aggregate consideration was expected to be approximately 45% cash and 55% QXO stock.

Measure Figure Qualification
TopBuild 2025 net sales Approximately $6.2 billion QXO figure adjusted to reflect the full-year contribution of acquisitions TopBuild completed during 2025
TopBuild 2025 adjusted EBITDA Approximately $1.14 billion QXO figure using the same acquisition-adjusted basis
Combined revenue More than $18 billion Projected figure in QXO’s acquisition announcement
Combined adjusted EBITDA More than $2 billion Projected figure in QXO’s acquisition announcement
Annual synergies by 2030 At least $300 million QXO’s company target, not a realized result

The share-election structure means the final cash-and-stock mix for individual holders could differ from the aggregate percentages because elections were subject to proration. The figures above should therefore be read as announced transaction terms and management projections, not as a post-close financial statement.

How does QXO expect the acquisition to create value?

QXO’s announcement and SEC-filed investor Q&A identify several possible sources of value:

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
  • Cross-selling and upselling: offering insulation, roofing, waterproofing and lumber-related products through a broader customer network.
  • Scaled procurement: using greater purchasing volume to seek improved supplier economics and expand private-label products.
  • Network optimization: reviewing branch locations and coverage to bring inventory and services closer to customers.
  • Logistics efficiency: coordinating transportation, delivery routes and distribution infrastructure.
  • Inventory management: applying a larger operating platform and technology systems to improve stock visibility and replenishment.
  • Pricing and customer proximity: using data, local presence and a wider assortment to improve commercial decisions.

QXO’s SEC-filed explanation characterized the opportunity as more strategic and commercial than a simple cost-cutting program. That distinction matters: the expected value depends on selling more products and services, improving purchasing and operating the network, and integrating technology—not only reducing headcount or facilities.

Is the $300 million synergy figure already achieved?

No. QXO’s initial announcement presented approximately $300 million in integration synergies by 2030 as an expectation, while the July close announcement described a target of at least $300 million in annual synergies by that year. It is a management target, not reported savings.

Readers evaluating progress should separate recurring annual run-rate benefits from one-time integration costs. They should also distinguish procurement savings, revenue-related cross-selling and network changes, because each can arrive on a different timetable and carry different execution risks.

What should construction distributors and contractors watch after closing?

The most consequential changes are likely to appear through operating decisions rather than the legal closing itself. Useful indicators include:

  • Whether branches begin carrying a meaningfully wider insulation and building-material assortment.
  • Whether customers can order materials and installation through coordinated channels.
  • Changes to delivery territories, branch locations, lead times or inventory policies.
  • Evidence that QXO is expanding private-label products or consolidating supplier purchasing.
  • Financial reporting that identifies realized synergies separately from integration expenses.

Contractors should confirm local account contacts, delivery terms, credit arrangements and installation scheduling with their existing representatives rather than assume that every market has adopted the same operating model. A national ownership change can coexist with local brands, branch practices and service levels during integration.

What risks could limit the deal’s benefits?

QXO’s transaction disclosures warned that expected benefits may not be realized. The cited risks include integration difficulties, transaction and financing costs, regulatory action, litigation and unfavorable market conditions. These risks are especially relevant when a company combines distribution assets with field installation operations, because systems, labor models, safety practices and customer workflows must work together.

There is no independent study in the available disclosures validating QXO’s category rankings or its synergy expectations. Until QXO reports post-close performance, the fairest description is that the acquisition creates a larger platform with a stated plan—not that it has already delivered the promised financial or market outcomes.

What does the completed acquisition mean for the industry?

The deal is a major consolidation of two adjacent parts of the construction supply chain: material distribution and insulation installation. QXO now has the option to sell a broader package to contractors and project owners, while TopBuild’s operations gain access to QXO’s claimed scale in procurement, technology and distribution.

Whether that changes competitive dynamics will depend on execution. The key test is not the transaction’s size but whether customers receive dependable availability, competitive delivered pricing, useful installation capacity and consistent service as the combined network is integrated.

Frequently Asked Questions

How should a contractor respond if a local TopBuild or QXO branch changes its process?

Ask the branch to confirm ordering contacts, credit terms, delivery coverage and installation scheduling in writing. Keep existing purchase orders and service commitments documented until the responsible operating unit confirms any change.

How are acquisition synergies different from revenue growth?

Synergies are benefits management attributes to the combination, such as purchasing or network efficiencies, while revenue growth can come from market demand or new business unrelated to integration. A company may report both, so readers should check how QXO defines and reconciles them in future filings.

Why does combining distribution with installation matter to building-materials buyers?

A buyer may be able to coordinate material supply and an installation service through fewer commercial relationships. That can simplify project planning, but it does not guarantee lower prices, faster schedules or availability in every local market.

What evidence would show that the acquisition is working?

Look for reported sales and margins alongside disclosed recurring synergies, integration costs, service levels and branch or network changes. Consistent improvement across several reporting periods is more meaningful than a single post-close quarter.
