NCC has agreed to sell its Industry business area in one transaction to two buyers: Heidelberg Materials will take the Sweden and Norway operations, while CRH will take the Denmark and Finland operations. The deal is announced but not complete. It still requires relevant authority approvals and customary closing conditions, with NCC expecting completion in the second half of 2027.

Who is buying NCC Industry, and which countries are included?

The country split is fixed in the announcements:

Buyer Countries Operations described by the parties Stated strategic fit
Heidelberg Materials Sweden and Norway NCC Industry operations in both markets, covering the business area’s stone-materials and asphalt activities. Heidelberg Materials says the purchase expands its footprint in Sweden and Norway. See NCC’s country announcement at NCC Norge and Heidelberg Materials’ media release listing.
CRH Denmark and Finland In Denmark: asphalt plants plus land- and marine-based aggregate sites and reserves. In Finland: hard-rock quarries, backfilling and recycling activities. CRH says the assets complement its Finnish presence, expand its Nordic position and support an aggregates-led connected portfolio. Details are in CRH’s announcement.

NCC describes this as one divestment transaction from its perspective, even though ownership is divided between two industrial buyers. NCC’s announcement is available at NCC AB.

What is being sold?

NCC Industry is the group’s fixed-site materials business, principally involving stone materials (aggregates) and asphalt. The buyer disclosures provide additional detail for the CRH portion. Denmark includes asphalt plants and aggregate locations and reserves supplied from both land and marine sources. Finland includes hard-rock quarries, backfilling and recycling.

The reviewed announcements do not allocate individual sites, employees, contracts or a purchase price between CRH and Heidelberg Materials. Those details should not be inferred from the country split.

Value and NCC Industry’s reported results

NCC announced a combined enterprise value of SEK 8.2 billion for the transaction. It expects approximately SEK 7 billion of positive cash flow at closing. The cash-flow figure is not the enterprise value and should not be read as a buyer-specific payment. NCC says the full accounting effects will be communicated when the transaction closes.

For context, NCC Industry reported SEK 12.6 billion in revenue and SEK 879 million in operating profit for 2025. These are historical business-area results reported by NCC, not forecasts or guidance from either buyer.

Why NCC is selling Industry

NCC says it began a strategic review of Industry in 2025 and decided in early 2026 to separate the business area from the rest of the group. Management’s explanation is that Industry relies on standardized, fixed-site production, whereas NCC’s remaining activities are primarily project-based construction and civil engineering contracting.

NCC says selling to two industrial owners offers the strongest long-term value for the separated operations. It also says the transaction will leave NCC more focused on building and civil engineering, less capital intensive and with greater financial flexibility. Those are NCC’s stated objectives; the announcements do not establish future performance, employment effects or customer outcomes.

In a statement released in Swedish, NCC President and CEO Tomas Carlsson called the transaction an important milestone and said the sale would free significant capital and strengthen financial flexibility. Any English rendering of that statement is a translation rather than a verbatim English quote.

How the buyers describe the strategic rationale

Heidelberg Materials: Sweden and Norway

Heidelberg Materials characterizes the acquisition as an expansion of its footprint in Sweden and Norway. The company’s announcement is listed on its press-release page. No buyer-level price or quantified synergy target was disclosed in the reviewed material.

CRH: Denmark and Finland

CRH says the Denmark and Finland operations fit an aggregates-led, connected portfolio and extend its customer reach in those markets. Peter Buckley, President of CRH International, said the acquisition is aligned with the company’s strategy and with infrastructure-related growth trends. This describes CRH’s rationale, not an independently verified outcome.

When will the transaction close?

  1. 2025: NCC began its strategic review of Industry.
  2. Early 2026: NCC decided to separate Industry from the rest of the group.
  3. 7 October 2026: NCC and CRH announced the divestment and buyer split.
  4. From the third quarter of 2026: NCC says Industry will be reported as a discontinued operation under IFRS 5.
  5. Expected second half of 2027: NCC’s anticipated completion window, subject to approvals and customary conditions. CRH and Heidelberg Materials describe completion more generally as expected during 2027.

Until completion, NCC says Industry remains part of the NCC Group. CRH says the businesses it intends to acquire will continue operating independently until closing. There is no fixed completion date in the reviewed announcements, and no independent regulator decision or approval filing has been identified.

What remains unknown

  • Whether all required authorities will approve the transaction and on what timetable.
  • How the SEK 8.2 billion enterprise value is divided between CRH and Heidelberg Materials; NCC has not disclosed that allocation.
  • The final accounting effects at closing.
  • Post-close changes to jobs, sites, customer contracts, production capacity or operating performance.

NCC’s investor-relations page collects transaction updates at Divestment NCC Industry. Until the conditions are satisfied and closing occurs, this remains an agreed divestment rather than a completed acquisition.
