What to Check When a Facilities Management Provider Changes Ownership

For a UK customer, start with the signed facilities-management contract, not the acquisition announcement. Confirm what has changed legally, whether notice or consent is required, and whether the new ownership affects people, subcontractors, finances, data, or the provider’s ability to meet service levels. A share sale does not automatically transfer the contract, trigger TUPE, or give you a termination right; the agreement, transaction structure and facts decide those questions.

Start with the transaction, not the trading name

Ask the supplier to describe the transaction in precise terms and identify the effective date. Establish whether it is:

  • A change in shareholders or ultimate parent while the same contracting company remains in place.
  • A sale or transfer of the operating business, assets, contracts or service division.
  • A merger, novation or replacement of the legal entity named in your agreement.
  • A change to the operating brand, directors, financing, key subcontractors or delivery model without a change to the contracting entity.

Request the proposed ownership and governance structure, the legal entity that will remain accountable, and the name of the transition lead. A familiar brand does not prove that the contracting company, insurance arrangements or decision-makers are unchanged. Confirm which entity will invoice you, employ the site team and carry contractual liability after completion.

Read every contract document and map the rights

Review the executed service agreement together with schedules, variations, call-off documents, side letters, framework terms and relevant subcontracts. Record the exact wording and the notice method for each issue below.

Contract area Questions to answer Practical consequence
Change of control How does the contract define control, and does the announced event meet that definition? Determines whether a notice, consent request or other process is activated.
Notice and information How much advance notice is required, what information must be supplied, and who must receive it? Missing a contractual notice step can weaken your ability to object or require remediation.
Consent, objection and termination Is prior written consent required? Can you object, terminate, or impose conditions, and within what period? Rights are exercised exactly as the agreement says; an informal email may not be enough.
Assignment, novation and delegation Can the supplier transfer the agreement, delegate performance or replace the legal entity? A share sale and a contract transfer are different events with different consequences.
Subcontracting and key personnel Are named managers or subcontractors protected, and is approval needed for replacements? Changes may require approval or a continuity plan.
Performance and assurance What KPIs, service credits, audit rights, financial covenants, insurance levels and certification duties apply? These are objective tests of whether the post-transaction supplier remains compliant.
Continuity and exit What do the business-continuity, disaster-recovery, step-in, transition-assistance, data-return and exit clauses require? They provide the practical route if delivery deteriorates or the agreement ends.

A sample public-sector facilities-management agreement requires the customer’s prior written consent for a supplier change of control. That clause illustrates the wording to look for; it is not a universal rule and does not determine rights under your contract.

Can the provider change ownership without your consent?

Sometimes, but only the agreement and transaction facts answer that question. A contract may permit a share sale with notice, require prior consent, give a right to object, or treat a change in ultimate ownership as a termination event. Other agreements regulate only assignment or novation, leaving a share transfer outside those provisions.

Check whether consent can be withheld only on reasonable grounds, whether a deemed-consent period applies, and whether a refusal must identify a contractual failure. Check also for waiver language: acknowledging the announcement or continuing to issue instructions may have legal consequences if done without reserving rights. Have a solicitor review the clause before signing a consent, waiver, amendment or novation.

Test whether the new ownership can deliver the service

Use due diligence proportionate to the criticality of your sites. Acas describes due diligence as a formal appraisal used to assess risk and feasibility and to identify employment costs and other liabilities. Ask for evidence rather than relying on assurances.

People and management

  • Name the account director, contract manager, site supervisors and escalation contacts after completion.
  • Confirm whether experienced managers, engineers, help-desk staff and compliance specialists will remain.
  • Ask whether integration plans, centralisation or restructuring could change staffing levels, response times or local decision-making.
  • Set out emergency cover for sickness, vacancies, industrial action or a sudden loss of a subcontractor.

Financial and operational resilience

  • Confirm that the contracting entity remains adequately funded to pay staff, subcontractors, utilities and urgent repair suppliers.
  • Recheck required insurance, financial ratios, licences, safety accreditations and statutory inspection capabilities.
  • Identify any financing, insolvency, cost-cutting or integration plan that could affect planned maintenance or statutory tasks.
  • Ask how open work orders, defects, planned-maintenance backlogs and service credits will be tracked through completion.

Subcontractors and supply chain

  • List critical subcontractors and confirm whether their contracts, rates, insurance and performance obligations continue.
  • Identify single points of failure, including specialist lifts, fire systems, water hygiene, security or energy services.
  • Require advance notice of replacements where the contract gives you approval or information rights.

Does TUPE apply to a facilities-management ownership change?

Do not assume that every acquisition of an FM company is a TUPE transfer. Acas distinguishes a business transfer from a qualifying service-provider change. A share transfer alone is not likely to be a TUPE business transfer in Acas’s summary, but a different transaction or service arrangement may produce a different result.

For a service-provider change, relevant factors include an organised grouping of employees, the same client and substantially the same activities continuing. The legal analysis depends on the facts, the services in scope and the timing. A headline saying that a provider has been “bought” is not enough to decide applicability.

Where TUPE applies, Acas states: “All employees assigned to the business, or part of the business, that’s transferring will automatically transfer with it.” That rule applies only where the statutory conditions are met. It can affect employment terms, liabilities, consultation duties and the information that must be exchanged.

Plan information and consultation

Identify potentially affected employees, their representatives and the employers responsible for each consultation step. Prepare information about the transfer, its expected legal, economic and social implications, and any measures proposed. Consultation duties can arise before completion, so coordinate the timetable with the supplier and transaction team.

Keep employee information limited to what is necessary, share it through controlled channels and document who received it. Acas states that employers must follow UK data-protection law when using, storing and deleting personal information. If the parties disagree about TUPE, obtain specialist employment advice rather than presenting a provisional view to staff as a decision.

Check data, systems and site access

FM delivery may involve visitor records, access credentials, incident reports, maintenance histories, employee details, building-management systems, CCTV-related information and security procedures. Build a data-and-systems schedule that covers:

  • Who can access each system, from which locations and with what level of privilege.
  • Whether identity-and-access management, service desks, mobile devices or subcontractor access will change.
  • How security incidents, data breaches and lost credentials are reported and investigated.
  • Retention, export, return and deletion of records during transition and at contract end.
  • Any new subprocessors, hosting locations or integrations introduced by the new owner.

The Australian Cyber Security Centre’s procurement guidance offers useful prompts on data ownership, portability, provider-change notification, logging and migration. It is Australian guidance, not UK law, so use it as a checklist for contract drafting and assurance questions rather than as an automatic requirement.

Demand a written continuity and transition plan

Ask for one document with named owners, dates, dependencies and escalation routes. It should cover:

  1. The transaction timetable, customer notifications and the point at which responsibilities change.
  2. Named commercial, operational, technical and emergency contacts, with deputies.
  3. Staffing levels, rota coverage, site access, permits and security clearances.
  4. Open work orders, statutory inspections, planned maintenance, defects and outstanding service credits.
  5. Critical subcontractor availability, purchase-order continuity and payment arrangements.
  6. Access to help-desk, monitoring, building-management and document systems.
  7. Service-level reporting, incident escalation and the remedy for missed KPIs during integration.
  8. Fallback arrangements if a system, specialist contractor or key employee is unavailable.
  9. Data export, handover and exit assistance if the relationship ends.

The Cabinet Office’s The Contract Management Playbook – March 2026 states: “The business continuity and disaster recovery plan (detailed in the risk chapter) should be considered before termination.” The same principle is useful before consenting to an ownership change: understand how essential services will continue if the transaction or integration fails.

Government guidance on PFI projects also highlights disruption and service-continuity risks around termination. Those PFI-specific observations should not be treated as exact rights or procedures under every private or public FM contract.

When to escalate for specialist advice

Obtain tailored legal, employment, procurement or data-protection advice promptly if:

  • The contract appears to require consent, notice, novation or a financial requalification.
  • The supplier proposes a different contracting entity or asks you to sign a waiver.
  • The transaction combines a share sale with an asset, business or service transfer.
  • Employees, representatives or the parties dispute whether TUPE applies.
  • The new owner proposes changes to staffing, subcontractors, systems, service scope or KPIs.
  • There are signs of financial distress, insurance gaps, unresolved compliance failures or reduced emergency cover.
  • You are considering termination, step-in, withholding consent or a competitive replacement.

Do not make a termination decision solely because ownership has changed. Check the contractual trigger, any cure or notice process, continuity consequences and the evidence supporting a failure.

Keep an auditable decision record

Store the supplier announcement, transaction map, clause-by-clause contract review, questions and answers, risk register, TUPE analysis, data assessment, continuity plan and agreed actions together. Record assumptions, owners and due dates. Reserve contractual rights in correspondence where appropriate, and obtain written confirmation of any agreed change.

The outcome should be a documented decision: consent, consent with conditions, objection, monitored continuation, or a properly managed exit. The correct choice depends on the signed agreement, the transaction structure, the importance of the services and the evidence that the new owner can deliver them.
