Before investing, treat the power purchase agreement (PPA) as the project’s revenue-and-risk allocation document, not simply a tariff sheet. Verify who is bound, how every megawatt-hour is priced and settled, who absorbs production and curtailment shortfalls, whether the offtaker can pay, how construction and operating failures are remedied, and what happens if law, markets or the relationship change. Then reconcile those terms with the EPC, O&M, interconnection, land, insurance, concession and financing documents. A PPA can look attractive while leaving the project exposed to risks that its model, contractors or lenders cannot absorb.
Start by identifying the transaction you are actually underwriting
There is no universal solar PPA. First classify the transaction by project type, delivery method, buyer and governing market. A utility-scale project may sell physical electricity at a grid node; an onsite arrangement may sell a host’s measured output; a synthetic or financial PPA may leave the project selling into the spot market while the parties settle a separate hedge. These structures create different volume, basis, balancing, credit and operational exposures.

Map every party and liability
Name the seller, project company, buyer or offtaker, guarantors, sponsors, lenders and any special-purpose entities. Confirm that each entity has authority to sign, owns or controls the relevant assets and has sufficient recourse. Check whether the project company is ring-fenced and whether the PPA revenue actually reaches the entity in which you will invest. Identify who bears taxes, network charges, balancing costs, renewable-attribute obligations and regulatory liabilities.
Do these 3 things before closing this tab:
1Fix the driver behind crashes, sound loss and screen glitches2Repair Windows errors before they cause bigger problems3Scan for outdated or missing drivers - takes under a minuteEstablish whether the contract covers only energy sales or also capacity, availability, construction, operation, commissioning or handover. In concession or build-operate-transfer structures, design, construction, operation and maintenance duties may sit in a project agreement that must work with the PPA. A mismatch can leave the project obligated to the buyer without an enforceable pass-through to the contractor responsible for the underlying work.

Build a document-interface map
Read the executed PPA, amendments, schedules and settlement protocols alongside the EPC, O&M, land, interconnection, implementation or concession, insurance and financing documents. Compare commercial-operation dates, testing rules, force-majeure definitions, performance guarantees, insurance requirements, termination rights and lender step-in or cure periods. Verify that the project company and, where required, lenders can enforce contractor warranties and other rights. The World Bank PPP Resource Center identifies these interfaces as central to project-finance bankability.
Audit price, settlement and tenor
Decompose the payment formula
Rewrite the tariff in a model-ready form. Separate any capacity or availability payment from the delivered-energy charge, then identify escalation, indexation, currency, inflation, taxes and adjustment events. A capacity component may recover fixed costs while an energy component follows production or variable costs, but the exact allocation depends on the market and technology.
| Contract element | Questions to answer | Investment implication |
|---|---|---|
| Price basis | Is the rate fixed, floating, indexed, escalated or linked to a market reference? | Determines exposure to inflation, interest rates and power-price movements. |
| Capacity or availability charge | What capacity is promised, how is availability tested, and what abatements apply? | Shows how fixed-cost recovery changes when the plant underperforms. |
| Energy charge | Is payment based on metered delivery, forecast output, deemed energy or another formula? | Defines revenue sensitivity to irradiance, outages and curtailment. |
| Currency and taxes | Which currency is used, who bears withholding or indirect taxes, and when can the rate be adjusted? | Exposes foreign-exchange and tax leakage not visible in the headline tariff. |
| Settlement mechanics | Which meter, data hierarchy, settlement interval and verification process control invoices? | Determines whether modeled revenue can be reproduced from contract data. |
Test invoicing and dispute controls
Follow one billing period from meter reading to cash receipt. Identify the controlling meter, data correction rules, invoice timing, payment deadline, late-payment interest, setoff rights, dispute notice period and undisputed-payment obligation. Check whether a dispute can suspend all payments or only the contested amount, and whether the seller can draw security while a dispute is pending. Require a clear process for estimated readings when communications or meters fail.
Match tenor to debt and asset life
Compare the PPA term, scheduled commercial-operation date, debt tenor, expected operating life, decommissioning obligations and any extension or renewal rights. The World Bank notes that lenders and private project proponents generally seek long-term contracts to support recovery of investment; that is guidance, not a universal minimum term. A short contract may leave merchant-price exposure before debt is repaid, while an inflexible long contract can become uneconomic if technology, regulation or the buyer’s load changes.
For a U.S. onsite solar services PPA, the Environmental Protection Agency describes a third-party provider that owns, operates and maintains the PV system while the customer buys its output at an agreed rate for a predetermined period. EPA says most onsite SPPAs can run from six to 25 years and that rates often include annual escalators of 1% to 5%. Those figures describe the onsite U.S. model and should not be treated as a market-wide rule for utility-scale PPAs.

Test generation, delivery and curtailment risk
Identify the contracted product
Determine whether the seller promises pay-as-produced energy, a shaped profile, baseload power, capacity, a fixed volume or a combination. Then assign each deviation risk: low irradiance, degradation, forecast error, imbalance charges, balancing procurement, capture-price or profile risk, basis and congestion, and delivery at the contracted node. The European Commission’s 22 April 2026 recommendation explains that PPA design allocates price, volume, profile, balancing and credit risks; under pay-as-produced structures, the offtaker generally carries more volume and production-profile exposure.
Read every curtailment sentence
List each event that permits curtailment: transmission constraint, system-operator instruction, grid outage, buyer request, force majeure, negative pricing or another contractual trigger. For each event, record who may issue the instruction, how it is evidenced, how energy is measured, whether deemed energy or compensation is payable, and any caps, thresholds or annual limits. Confirm whether the seller must continue operating, redirect output or absorb balancing costs. Never assume that curtailed energy is compensated; many contracts distinguish economic curtailment from grid-mandated curtailment.

A PPA settled at a congested node can produce a different realized price from a model based on a regional hub. In a synthetic PPA, separately model spot-market revenue and hedge settlement rather than treating the contract price as the project’s physical sale price.
Check delivery-zone rules
For transactions governed by European Union electricity-market rules, Regulation (EU) 2019/943 requires a PPA to specify the bidding zone of delivery and who secures cross-zonal transmission rights if that zone changes. Confirm the applicable national implementation and the current consolidated regulation for the project’s jurisdiction.
Underwrite offtaker credit and payment security
Review the buyer’s audited financial statements, debt, liquidity, business concentration, regulatory status and exposure to the same market as the project. Analyze the credit of every guarantor rather than assuming a parent guarantee is equivalent to cash security. Identify downgrade triggers, minimum ratings, guaranty caps, insolvency remedies and the time required to replace a failed buyer.

Inventory letters of credit, guarantees, payment-security funds, collateral and reserve accounts. For each instrument, record amount, currency, expiry, issuing bank, draw conditions, replenishment duty, eligible-issuer requirements and the period covered. Compare security with expected unpaid invoices, replacement-power costs and termination exposure under a buyer default. A large nominal guarantee may still be inadequate if it cannot be drawn promptly or must be replenished only after a lengthy cure period.
Check invoice due dates, late-payment interest, suspension rights, setoff restrictions and dispute procedures. The 2026 European Commission recommendation treats credit allocation as a core PPA risk dimension, but neither it nor general guidance establishes that any particular buyer or security package is sufficient; adequacy is transaction-specific.
Trace construction, testing and operating obligations
Commercial operation and delay
Compare the scheduled commercial-operation date with the EPC schedule, interconnection milestones, equipment delivery dates and debt draw conditions. Define each milestone, the evidence required, permitted delay relief and the consequences of missing it. Review liquidated damages, caps, exclusive-remedy language and whether delay damages actually cover debt carry, lost revenue and replacement costs.
Acceptance and performance tests
Check who designs the tests, which standards apply, whether an independent engineer certifies results and what happens after a failed test. Examine capacity, availability, energy-yield and degradation guarantees, test windows, irradiance conditions, measurement tolerances and retest rights. Identify tariff abatements or other remedies for sustained underperformance, and confirm whether those remedies are capped below the project’s likely loss. The World Bank describes delay damages and operational tariff abatements as common PPA mechanisms while noting that disruption outside the seller’s control can be contested.
Pass obligations through EPC and O&M contracts
For every PPA promise, locate the matching contractor obligation. Check module and inverter warranties, degradation assumptions, availability guarantees, scheduled-outage rules, maintenance windows, spare-parts duties, emergency response, cybersecurity, record keeping and insurance. Confirm that the project can claim directly or through assignment when a contractor fails. Reject uncapped PPA liabilities that cannot be passed through, insured or priced into reserves.

Stress force majeure, change in law, default and exit
Align definitions and procedures
Compare force-majeure, change-in-law, seller-default, buyer-default, prolonged-outage and illegality definitions across every project document. Record notice deadlines, evidence requirements, mitigation duties, suspension rights, cure periods, term extensions and termination thresholds. Determine whether permits, government approvals, grid actions, equipment shortages, cyber incidents or financing failures qualify. A force-majeure clause that excuses the PPA but not the EPC or debt documents can still leave the project paying other obligations.
Price regulatory change explicitly
For change in law, identify the baseline date, qualifying measures, materiality threshold, exclusions, proof standard and remedy. Possible outcomes include tariff adjustment, reimbursement, renegotiation, term extension or termination. Public and private offtakers may have different capacity and appetite to absorb regulatory risk, so do not import a public-sector template into a private contract without testing its economics.
Model every termination payment
Map termination rights before and after commercial operation, for seller default, buyer default, prolonged force majeure, illegality and any convenience right. Recalculate payment under each scenario, including outstanding debt, equity recovery, breakage costs, caps, deductions, insurance proceeds, unpaid invoices and asset handover. Confirm payment timing, currency, security and whether a lender can cure a default or transfer the contract. The World Bank identifies the availability and calculation of early-termination payments as central to commercial viability and bankability.
Where EU rules apply, the PPA must state exit terms, including applicable exit fees and notice periods, as well as responsibility for cross-zonal transmission rights after a bidding-zone change. Verify the current legal text and national implementation for the transaction.
Establish ownership of renewable attributes
Specify whether the seller transfers electricity alone or also renewable-energy certificates, guarantees of origin or other environmental attributes. Address issuance, title, delivery, retirement, replacement, invalidation, double counting and who may make public renewable claims. A buyer does not automatically own the attributes merely because it buys the electricity.

EPA guidance for its Green Power Partnership illustrates why program rules matter: a participant must retain associated RECs for onsite solar generation to count that generation toward the program’s green-power-use requirements. EPA also explains that a host may sell onsite-system RECs and purchase eligible replacement RECs. Those are U.S. program-specific rules, not a universal allocation principle; the PPA and applicable registry rules control.
Apply jurisdiction-specific checks without overgeneralizing
European transactions
Confirm the bidding zone, cross-zonal transmission-rights allocation, exit fees, notice periods and any requirements introduced by the 2026 European Commission recommendation. Check national licensing, support-scheme, balancing and disclosure rules because an EU-level requirement may be implemented differently by country.
U.S. onsite transactions
Distinguish an onsite SPPA from a utility-scale or synthetic PPA. Confirm host-site rights, meter configuration, interconnection responsibility, property access, roof or land conditions, tax-credit assumptions and REC treatment. EPA’s six-to-25-year tenor range and 1%-to-5% escalator description are contextual benchmarks, not a recommendation or a current quote.

Decision gates and red flags
- The signing entity cannot demonstrate authority, ownership or a credible route for revenue to reach the investment vehicle.
- The model uses a flat tariff even though the PPA contains escalation, indexation, node pricing, balancing charges or tax adjustments.
- Generation is modeled as guaranteed while the contract is pay-as-produced, or curtailment compensation is assumed without an express entitlement.
- Security is described as a percentage of annual revenue but cannot be drawn promptly, expires before the exposure ends or lacks a replenishment obligation.
- Commercial-operation, testing or availability remedies are capped below plausible debt-service and replacement-cost exposure.
- Force-majeure and change-in-law clauses suspend the buyer’s payment while leaving debt, EPC or O&M obligations running.
- Termination formulas omit outstanding debt, breakage costs, equity recovery, deductions, insurance proceeds or asset handover.
- REC or guarantee-of-origin ownership is silent, allowing double counting or conflicting customer claims.
- EU contracts omit bidding-zone, cross-zonal-rights or exit-term provisions, or the project’s national implementation has not been checked.
Only proceed when the contract’s revenue mechanics, downside allocation and remedies are reflected consistently in the technical case, financial model and financing documents. Project-specific returns, default probabilities, curtailment rates, tax outcomes and enforceability cannot be inferred from a generic PPA framework; they require review of the actual project, market, counterparties and governing law.
