A “shell” space is not a standardized legal condition. Before signing, make the lease and its work letter identify exactly what the landlord will deliver, what the tenant must build, which building systems will be available, how completion will be tested, and what happens if delivery is late or defective. Labels such as cold shell, warm shell and vanilla shell have no reliable meaning without drawings, specifications and a negotiated scope.
Use the checklist below with the lease plan set, an architect or contractor and, for legal interpretation, counsel familiar with the property’s jurisdiction. The cited government and filed-lease examples show ways parties document these issues; they do not create universal rules for a private commercial lease.

1. Define “shell” in the lease, not in a brochure
Start by identifying the documents that control the delivery condition. Attach the approved shell-and-core drawings, specifications, outline schedule and work letter to the lease, or incorporate them by a precise date and title. State which document wins if the lease, plans and marketing material conflict.
Use a scope matrix
A matrix forces both parties to assign every physical element. The following categories are prompts, not a universal definition:

| Element to identify | Questions the lease should answer | Verification before acceptance |
|---|---|---|
| Structure, roof and exterior enclosure | Are the structural frame, roof, waterproofing, exterior walls, windows and storefront complete? Who repairs defects? | Review approved drawings, warranties and a site inspection. |
| Slab and floor condition | What levelness, loading, moisture, penetrations and patching standards apply? Are floor finishes excluded? | Measure or test the slab where the tenant’s use requires it. |
| Demising walls, doors and access | Which partitions, doors, hardware, locks, loading access and building-hours rights are provided? | Walk the boundaries and test keys, access cards and doors. |
| Restrooms and plumbing | Are restrooms finished, stubbed or merely shown on plans? Where are domestic-water, sanitary and vent connections? | Confirm locations, capacities and operating condition. |
| Fire and life safety | What sprinklers, alarms, fire-rated assemblies, emergency power and fire-service connections are installed? | Obtain inspection records and identify remaining tenant-system work. |
| HVAC and controls | What equipment, distribution, controls, outside air and capacity serve the premises? Who balances and commissions it? | Review test reports and operate controls with the building engineer. |
| Electrical service and meters | What voltage, amperage, panels, feeders, meters and emergency services reach the premises? Who pays for upgrades? | Verify panel schedules, meter locations and available capacity. |
| Utility stubs and connections | Where are gas, water, sewer, data or other connection points, and what extension work remains? | Compare field locations with the plans before tenant construction. |
Control changes to the shell
Require written notice of any proposed change to the approved shell-and-core plans. Give the tenant a defined review period and a right to comment or approve changes that materially affect cost, capacity, layout, schedule, code compliance or the tenant’s planned use. A filed work letter uses approved final plans, notice procedures and tenant participation for material changes; the same concept can be adapted to a private deal.
2. Specify systems, capacity and points of connection
“Utilities available” is too vague. State the service level, location and operating standard for each system. Identify whether the landlord supplies a functioning system, a stub, a capped line or only a pathway for future work.
Recommended Free Tools
Utilities and electrical service
- State electrical voltage, phase, amperage, short-circuit rating, panel locations and metering.
- Identify domestic-water pressure and flow, sanitary and storm connections, gas service, telecommunications pathways and any central-plant services.
- Specify who obtains utility-company approvals, installs transformers or meters, pays connection fees and bears the cost of capacity upgrades.
- Address testing, labeling, access to locked rooms and the process for documenting a deficiency.
HVAC, plumbing and controls
Describe the equipment serving the premises, design temperatures, outside-air provisions, zoning, controls, operating hours and connection points. If tenant improvements depend on a base-building system, require installation, testing, balancing and commissioning before the tenant is expected to proceed. State who owns equipment, who maintains it and who corrects a failure caused by incomplete landlord work.
Fire, life-safety and building controls
List sprinkler mains and branch capacity, alarm interfaces, smoke control, emergency power, fire pump service, access-control interfaces and building-management-system points. Require inspection or test reports where the jurisdiction or the work letter calls for them. Do not assume a shell approval authorizes the tenant’s final occupancy; tenant partitions, fixtures and equipment may trigger additional reviews.

3. Separate landlord work, tenant improvements and payment
Use a responsibility matrix or detailed work letter for every item. For each task, name the designer, permit applicant, contractor, payer, approving party, schedule owner and party responsible for correction. A filed lease exhibit, for example, assigns tenant-improvement design, permitting and construction to the tenant while providing a separate construction allowance. That allocation is negotiable, not a default rule.
Cover the construction allowance
- State the allowance amount, currency, expiration date and eligible cost categories.
- Define whether soft costs, design fees, permit fees, testing, furniture, technology and moving expenses qualify.
- Set the draw process, required invoices, lien waivers, retainage and payment timing.
- Explain what happens to unused allowance, overruns and costs caused by landlord-directed changes.
- Require approval procedures for substitutions and change orders, including a written price and schedule effect.
Assign permits, contractors and compliance
Identify who prepares drawings, obtains permits, coordinates inspections and hires licensed trades. Distinguish permits for landlord shell work from permits for tenant improvements. Require each party to deliver lien releases and closeout documents for its work. State who bears correction costs when work fails to match the approved documents, code requirements or the agreed performance criteria.

4. Make delivery and substantial completion testable
Set both a target delivery date and an outside date. Define what must be complete on each date and what minor work, if any, may remain. “Substantially complete” should be an objective test rather than the landlord’s unilateral opinion.
Useful completion criteria
- Work conforms to the approved shell plans and specifications, subject only to documented, approved changes.
- Required utilities, access routes and base-building systems are installed, connected and operating.
- Required inspections and tests have passed, with reports delivered to the tenant.
- The tenant can safely start its improvement work without unreasonable interference from remaining landlord work.
- Remaining items are minor, listed on a punch list and assigned a completion date.
For a clear functional standard, the U.S. General Services Administration’s September 2022 government-leasing clause states: “The space shall be considered substantially complete only if the space may be used for its intended purpose and completion of remaining work will not unreasonably interfere with the Government’s enjoyment of the space.” That sentence is an example from a government lease clause, not a rule that automatically governs a private lease.

Address occupancy approvals
Specify whether the landlord must deliver a temporary or final certificate of occupancy, a shell permit, or another local approval before possession. The correct requirement depends on the property’s jurisdiction and intended use. In some projects, the shell can be delivered before the tenant’s final occupancy approval; in others, the tenant cannot lawfully begin work or operations without an earlier approval. Name the responsible party, submittal dates and evidence of approval.
5. Tie dates to rent and delay consequences
The lease should state when possession, the term and rent commencement occur. Do not leave the result to a general delivery promise.
| Situation | Provision to negotiate |
|---|---|
| Landlord work is late | Automatic rent deferral, extension of the improvement period, allowance for documented costs, a termination right after an outside date, or another expressly stated remedy. |
| Tenant-caused delay | Define the notice, cure period and measurable delay attributable to the tenant before shifting a date or cost. |
| Force majeure or utility delay | Identify covered events, notice requirements, mitigation duties and whether the outside date can be extended. |
| Space is usable but punch-list work remains | State whether rent starts, what access is allowed, and what credit or security protects completion. |
Also define who certifies a delay, how notices are delivered and whether the tenant may continue its improvements while landlord work is corrected. Government leasing clauses sometimes provide rent adjustments for noncompliance, but that does not establish a private tenant’s remedy.
6. Preserve inspection, punch-list and defect rights
Take possession through a documented process rather than an informal handover.

- Schedule a joint walk-through. Inspect with the landlord, tenant representative, architect or contractor before the contractual delivery date and again when agreed completion is reached.
- Record each item. Identify the exact location, deficient condition, responsible party, required remedy and target date. Attach photographs and reference the governing drawing or specification.
- Set access rules. State when the landlord and its contractors may enter, how they protect tenant work and who pays for damage or cleanup.
- Track closeout. Require written confirmation, test reports, warranties, manuals, as-built drawings and final lien releases when applicable.
- Reserve rights. Say that starting tenant work or accepting keys does not waive listed incomplete work, latent defects, nonconforming work or agreed warranty claims, subject to the lease’s notice terms and applicable law.
One filed work letter provides for a walk-through and landlord-funded punch-list items; another preserves specified warranty, legal-compliance and construction-document claims after delivery, subject to its own notice provisions. Use those ideas as drafting prompts, not as automatic deadlines.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone.7. Confirm code responsibility and the intended use
Before signing, test the proposed use against the actual shell and the jurisdiction’s approvals. Ask the design team to confirm that floor loading, egress, accessibility, plumbing fixtures, ventilation, electrical capacity, fire protection and equipment clearances can support the business plan.
Do these 3 things before closing this tab:
1Fix the driver behind crashes, sound loss and screen glitches2Repair Windows errors before they cause bigger problems3Scan for outdated or missing drivers - takes under a minute- Identify the party responsible for building permits, trade permits, inspections and final occupancy approval.
- Confirm whether the lease permits the intended use and any ancillary uses, signage, deliveries, hours or specialized equipment.
- Check that the shell’s fire-rated assemblies, exits and life-safety systems can accommodate tenant partitions and occupant load.
- Require prompt notice if an authority rejects a design or demands upgrades, and allocate the resulting cost and schedule impact.
- Obtain written confirmation of any landlord representation about zoning, code compliance, capacity or prior approvals.
Because no location, use or drawings are supplied here, no particular certificate, code edition or inspection sequence can be prescribed. Verify those details locally.
8. Compare lease drafts by decision-critical points
When reviewing competing drafts or a landlord counterproposal, compare the same six axes instead of relying on labels such as “turnkey” or “warm shell.”
| Axis | Questions to ask |
|---|---|
| Work boundary | Can a contractor tell exactly where landlord work ends and tenant work begins? |
| Systems and capacity | Are service levels, connection points, testing and upgrade costs stated? |
| Completion and occupancy | Are substantial-completion tests, inspections and occupancy approvals objective and assigned? |
| Cost and allowance | Are eligible costs, overruns, change orders, liens and payment timing clear? |
| Schedule and delay | Are target and outside dates linked to rent, extensions, credits or termination rights? |
| Punch list and defects | Are inspection timing, correction deadlines, warranties and latent-defect rights preserved? |
9. A practical review sequence before signing
- Collect the complete document set. Obtain the lease, work letter, shell plans, specifications, schedules, allowance exhibit and any landlord representations.
- Walk the premises. Photograph existing conditions and mark every connection, boundary and item described as included.
- Build the responsibility matrix. Assign design, permits, construction, payment, testing, maintenance and correction for each scope item.
- Have the design team test the use. Compare the proposed layout and equipment with available capacity, egress, accessibility and life-safety requirements.
- Negotiate measurable delivery language. Add completion criteria, inspection evidence, occupancy approvals and a punch-list mechanism.
- Model the schedule and cash flow. Include permit lead times, allowance draws, tenant delays, landlord delays and the outside delivery date.
- Have counsel reconcile remedies. Ensure rent commencement, delay relief, default notices, warranties and reservation-of-rights language work together.
- Make the exhibits final. Sign or initial the controlling plans and record a process for approving later changes.
Red flags that need clarification
- The lease uses “shell” but attaches no plans, specifications or work letter.
- “Utilities available” appears without capacity, location, testing or upgrade responsibility.
- The landlord can declare substantial completion without objective criteria or tenant inspection.
- Rent starts on a calendar date unrelated to delivery, permits or usable access.
- An allowance is stated without eligible costs, draw rules, expiration or overrun treatment.
- Taking possession is deemed a waiver of incomplete work, warranties or latent defects.
- The intended use depends on approvals that no party is expressly required to obtain.
Before you sign
Treat shell delivery as a construction scope and risk-allocation exercise, not a marketing description. The signed lease should let a third party identify the physical condition, system capacity, responsible party, evidence of completion, payment obligation, deadline and remedy for every material item. Have the final documents reviewed against the actual premises and proposed use so that the space you are accepting is the space your business can legally and practically build out.
