What to Check Before Signing a Lease for a New Restaurant Location

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Do not sign an unconditional restaurant lease until you have confirmed that the address legally allows your exact concept, that the building can be occupied for that use, and that the cost and timing of the required work are understood. A previous restaurant tenant is not proof of approval. Obtain written answers from planning, building, health, fire and licensing authorities, make the lease conditional on unresolved approvals where possible, and have local commercial-leasing counsel and qualified design professionals review the premises and document.

Start with the exact business you will operate

Authorities approve a proposed use at a particular address, not a vague idea of “a restaurant.” Before evaluating a lease, write a short operating brief that states the format and intensity of the business:

As an Amazon Associate I earn from qualifying purchases.

  • Takeout, delivery, counter service, full-service dining, tasting menu or a combination.
  • Number of seats, anticipated occupant load and whether customers will queue inside.
  • Cooking methods, fuel types, grease-producing equipment and the exhaust hood or make-up air the kitchen may need.
  • Alcohol service, live music, dancing, late-night hours, outdoor dining, sidewalk service or other entertainment.
  • Expected deliveries, waste storage, grease interceptors, delivery-app pickup and loading needs.
  • Any construction, change of layout, façade work, signage or accessibility alterations.

Use that brief when speaking with the planning department. Seattle warns that some locations have land-use and zoning restrictions that do not allow restaurants, while Boston notes that restaurant types can receive different zoning treatment. Ask the relevant local planning authority whether your described operation is permitted in the property’s zoning district, permitted only conditionally, or requires discretionary approval. Start with the city or county where the premises is located; the examples below illustrate recurring issues rather than a nationwide rule.

Seattle’s Food Business Handbook location guidance and Boston’s restaurant location guidance both emphasize checking the proposed use before committing. Ask for the answer in writing, including any conditions on hours, seating, alcohol, entertainment, outdoor areas, parking or required approvals.

A prior restaurant is not automatic approval

Do not rely on the listing, landlord, broker or a previous tenant’s build-out as evidence that your operation is legal. Seattle states: “Be careful! If there’s a restaurant currently in the location you’re looking at, don’t assume it gives you automatic use approval – the use or zoning is subject to change.” A former coffee shop may not support a full-service kitchen; a former diner may not be approved for a bar, nightclub-style entertainment or a materially larger occupant load. Have the authority evaluate your concept, not the old tenant’s description.

Verify occupancy, permits and the building record

Zoning permission and permission to occupy a building are separate questions. Obtain the certificate of occupancy, or the local equivalent, and check the approved use, occupant load and any conditions attached to it. Arlington County explains that a certificate of occupancy is a distinct building approval, while Miami-Dade describes certificates associated with construction, alterations and certain changes in occupancy or business type.

Request the records directly from the building department or its public-records system, then compare them with the space as it exists today. Review:

  • The current certificate of occupancy and any prior certificates.
  • Approved floor plans, occupant-load calculations and egress information.
  • Permit history for alterations, kitchen equipment, plumbing, electrical work, signs and mechanical systems.
  • Open permits, unresolved violations, stop-work orders, fire-code notices or outstanding inspections.
  • Recorded conditions limiting use, hours, seating, parking, noise, cooking equipment or alcohol-related activity.

Ask the building official whether the proposed operation or renovation triggers a change-of-use review, a building permit, a new certificate of occupancy, or additional fire and life-safety approvals. Miami-Dade’s explanation of certificates for changes in occupancy or business type is a reminder that a small change in the business description can have permitting consequences. Confirm the answer for your address and project rather than assuming that a minor interior remodel is exempt.

Arlington’s certificate-of-occupancy information is available at arlingtonva.us, and Miami-Dade’s guidance is at miamidade.gov. These are jurisdiction-specific examples; your local terminology and process may differ.

Scope the build-out before you price the lease

A lease can be affordable while the premises is financially unusable. Have an architect, restaurant designer, mechanical engineer or other qualified local professional inspect the site before you commit to rent. The inspection should test the intended plan, not merely measure the room.

Kitchen ventilation, utilities and equipment

Determine whether the building can support the proposed exhaust hood, duct route, make-up air, fire suppression, grease duct clearances and roof or façade penetrations. Verify available electrical capacity, gas service, water pressure, hot-water production, drainage, grease-interceptor capacity, refrigeration loads and waste-storage space. Ask who owns and maintains shared mechanical equipment and whether the landlord or condominium rules restrict penetrations, roof access, odors, noise or operating hours.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Seattle’s location worksheet specifically prompts applicants to ask whether the space needs an expensive exhaust hood system and whether a permit could involve a several-month wait. Treat that as a planning question, not a promised timeline: the actual duration depends on the authority, project scope and completeness of the submission.

Layout, seating and customer facilities

Overlay a code-compliant plan on the existing premises. Check kitchen production flow, delivery and waste routes, dining-area dimensions, queueing, emergency exits, fire separations, ceiling heights, restroom counts and fixture locations. Confirm that the desired seating count fits the approved occupant load and that adding seats will not trigger parking, restroom, fire or accessibility changes.

Parking, access and site constraints

Review customer parking, accessible parking, pedestrian approaches, transit access, loading, delivery hours, trash collection and neighboring uses. Los Angeles identifies parking, change of use and possible entitlement work as restaurant-location issues in its restaurant starter kit. A site that works operationally at noon may fail when deliveries, waste pickup, queues and evening customers compete for the same space.

Put approvals in the right sequence

Ask every relevant department which approvals must come first. Seattle cautions that land-use approvals often precede construction permits. Your sequence may include planning or zoning confirmation, building and mechanical permits, health-plan review, fire approval, accessibility review, sign permits, alcohol or entertainment licensing, inspections and a final occupancy approval. Identify which applications the landlord must sign, which the tenant files, and which cannot be submitted until a lease or owner authorization exists.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Inspect accessibility and assign responsibility correctly

Walk the entire customer route: parking or the public sidewalk, entrance, threshold, door hardware, host stand, ordering point, dining areas, accessible seating, restrooms and routes to exits. Also inspect employee areas and any altered service counters or restrooms. Compare the existing conditions and proposed alterations with the accessibility requirements that apply to the premises and project.

Use qualified local professionals for the site-specific assessment. Federal requirements may interact with state or local building codes, and an alteration can trigger work beyond the immediately remodeled area. The U.S. Department of Justice’s Title III regulation and technical assistance manual explain that a lease may allocate particular compliance tasks between landlord and tenant. That allocation governs the parties’ contract, not the public’s rights: both parties can remain responsible for applicable compliance. Do not accept a clause saying the tenant alone bears all accessibility exposure without having counsel analyze its effect.

Make the lease reflect the real operation

Read the permitted-use clause against the operating brief you gave the authorities. “Restaurant” may be too narrow if you need a bar, takeout window, delivery kitchen, outdoor dining, live entertainment, retail food sales or late hours. Conversely, a broad clause does not override zoning, building, health, fire or licensing rules.

Lease point Questions to answer before signing
Permitted use and exclusives Does the clause cover cooking methods, alcohol, entertainment, delivery, outdoor areas, signage and your intended hours? Are there restrictions from a shopping center, condominium or lender?
Condition of premises Which existing systems, fixtures, permits and approvals are represented as complete, and what happens if records do not match the space?
Tenant improvements Who designs, permits and builds the work? Is there a landlord contribution, and when is it paid? Who owns installed equipment and finishes?
Repairs and maintenance Who maintains the roof, structure, plumbing, grease lines, HVAC, exhaust, fire suppression, utility connections and common areas? Who pays for code upgrades discovered during work?
Utilities and shared charges Are utilities separately metered? How are taxes, insurance, common-area maintenance, waste, security and other outgoings calculated and audited?
Rent structure Is rent gross, modified gross or triple-net? Which expenses can change, how often can rent increase, and are there caps or notice requirements?
Assignment and subletting Can you transfer the lease when selling the business, and what consent standard applies? Does a change of control count as an assignment?
Renewal and exit How are renewal options exercised and priced? What defaults allow termination, and can you exit if approvals are denied or materially delayed?
Operating obligations Are minimum opening dates, continuous-operation clauses, required hours, exclusivity rules or signage standards realistic for your approval and construction schedule?
End-of-term restoration Must you remove the hood, grease interceptor, partitions, signage or utility upgrades? Can the landlord require restoration even when it approved the work?

NSW Small Business Commissioner guidance identifies permitted use, improvements, repairs, outgoings, assignment, renewal and make-good obligations as matters to review in a retail lease. Its rules are Australian and not automatically applicable elsewhere, but the issues recur internationally. See the NSW retail tenancy guide for the terminology used there. Have local counsel translate the checklist into the law governing your lease.

Use contingencies for approvals, construction and opening

Do not let rent begin while you are still discovering whether the concept is legal or buildable. Ask counsel to draft conditions that match the actual risks. Depending on the jurisdiction and bargaining position, the lease may address:

  • Planning or zoning confirmation for the specified concept.
  • Building, health, fire, accessibility, sign, alcohol and entertainment approvals identified in the due-diligence schedule.
  • Landlord delivery of agreed work, permits, utility capacity, access rights and approvals.
  • A rent-commencement date tied to possession, completion of landlord work or the ability to lawfully begin the tenant’s work, rather than an arbitrary calendar date.
  • Extension of the build-out period when an authority delays review for reasons outside the tenant’s control.
  • Termination and refund rights if a required approval is denied, conditioned in a way that defeats the concept, or delayed beyond an agreed outside date.
  • Access for surveys, test fits, environmental or utility investigations before the lease becomes unconditional.

These are negotiation recommendations, not universal legal entitlements. Seattle, Boston and Los Angeles guidance shows why approvals should be identified early; none establishes a standard contingency clause or guaranteed permit timeline. Have local commercial-leasing counsel draft and review the actual language.

Compare competing sites on the same decision grid

When more than one address appears viable, score each site using evidence from the authorities, plans, inspections and draft lease. Weight the categories according to your concept, available capital and target opening date.

Decision axis Evidence to collect Decision question
Use approval Written zoning response, conditions and required entitlements Can this exact concept operate here without an unacceptable approval risk?
Occupancy and permits Certificate of occupancy, occupant load, permit history and violations What must be corrected or re-approved before opening?
Build-out Test-fit plans, equipment and utility review, permit sequence, contractor estimate and schedule Can the work fit the capital budget and opening date?
Customer access Parking, accessible route, transit, loading, queues and neighboring conflicts Will customers and deliveries reach the premises safely and conveniently?
Landlord contribution and risk Improvement allowance, landlord work, repair matrix and accessibility allocation Who pays when existing conditions fail inspection or code?
Total occupancy cost Base rent, taxes, maintenance, utilities, insurance, waste and other outgoings What is the realistic monthly and one-time cost, not just the advertised rent?
Flexibility and exit Renewal, assignment, subletting, defaults, termination and restoration terms Can the business adapt, sell or leave without an unmanageable liability?

Do not award a site simply because it has the lowest base rent. A site with verified approvals and existing compliant infrastructure may have a lower total cost and shorter path to opening than a cheaper shell requiring major mechanical, accessibility or entitlement work.

A practical due-diligence sequence

  1. Write the operating brief. State format, seats, cooking, alcohol, entertainment, hours, outdoor use and construction scope.
  2. Request the property file. Obtain the certificate of occupancy, approved plans, permit history, violations and any recorded conditions.
  3. Ask planning in writing. Submit the address and operating brief; list every approval, hearing, condition and uncertainty.
  4. Arrange a technical walk-through. Have qualified professionals test-fit the kitchen, exhaust, utilities, restrooms, egress, accessibility and waste flow.
  5. Build the approval schedule. Identify prerequisites, applicant responsibilities, likely review stages and an outside date; do not promise yourself a universal timeline.
  6. Price the complete project. Include design, permits, surveys, construction, equipment, utility upgrades, professional fees, contingency and rent during the build-out.
  7. Mark up the lease. Align permitted use, improvement work, cost allocation, access, rent commencement, renewal, assignment and restoration with the findings.
  8. Obtain written commitments. Get landlord representations and authority confirmations where available; record who signs each application and performs each repair.
  9. Make a go/no-go decision. Proceed only when legal use, occupancy path, technical feasibility, funding and timing fit the business plan.

Red flags that warrant a pause

  • The landlord says “the last restaurant operated here” but cannot produce occupancy or permit records.
  • The permitted-use clause omits alcohol, entertainment, takeout, delivery, outdoor dining or your actual cooking process.
  • An exhaust route, grease connection, electrical service or restroom layout is assumed rather than verified.
  • Planning approval is described as “just a formality,” while the authority has not reviewed your concept.
  • Rent starts on a fixed date before landlord work, permits or lawful construction access are available.
  • The lease shifts all code, accessibility and restoration costs to the tenant without defining existing conditions or landlord obligations.
  • Open violations, expired permits, disputed occupant loads or unapproved alterations appear in the property file.
  • The opening date depends on a permit duration no authority has committed to.

Stop and resolve the specific uncertainty. A written denial, a redesignable condition or a priced upgrade can support a decision; an undocumented promise cannot.

Who should review the deal

The right team depends on the site and concept, but commonly includes a local commercial-leasing lawyer, architect or restaurant designer, mechanical or building engineer, contractor, and specialists for accessibility, fire protection, health review or alcohol licensing when applicable. Seattle’s handbook suggests using restaurant architects or consultants to navigate land-use codes. Their role is to test the address and proposed operation, not to guarantee approval.

Give every reviewer the same operating brief, plans and draft lease. Ask them to identify assumptions, required approvals, responsible party, estimated cost range and consequence if the assumption is wrong. Keep written records of authority responses, landlord promises, drawings, estimates and revisions so the final lease exhibits match the project you are actually buying.

Your final signing gate

Sign only after you can answer “yes” to all of these questions for the specific address:

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
  • Has the relevant authority confirmed that the exact restaurant use is allowed, or have you budgeted and conditioned the required entitlement?
  • Do the occupancy certificate, approved plans and permit history support the proposed operation, with a documented path for any change?
  • Has a qualified professional confirmed that ventilation, utilities, layout, restrooms, egress, accessibility, parking and waste handling can work?
  • Do you know every approval required before construction and before opening, who applies, and what happens if one is denied or delayed?
  • Does the lease allocate improvement, repair, accessibility, utility, outgoings and restoration costs in language you understand?
  • Are rent commencement, landlord work, approval contingencies, renewal, assignment and exit rights consistent with the financial model?
  • Has local counsel reviewed the document and the jurisdiction-specific risks?

If any answer is no, the prudent next step is not to guess. Obtain the missing record, redesign the concept, renegotiate the risk or walk away before the lease turns an uncertain property into a fixed obligation.
