What to Check Before Leasing Retail Space Near a New Construction Project

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Before signing a retail lease beside a new construction project, verify two things independently: that your exact business is legally allowed to operate in the premises, and that the project will not make the location unusable during build-out. Obtain current approval and permit records, a phase-by-phase access plan, an all-in occupancy budget, and lease language covering delays, interference, notice, utilities and exit rights. Construction schedules are forecasts, not guarantees. The rules on disruption, compensation and termination depend on the property’s jurisdiction, so have a locally qualified commercial leasing lawyer review the final documents.

1. Confirm that your business can legally open at the address

Do not rely on a broker’s description such as “retail suitable” or “approved commercial.” Describe your intended operation precisely: products sold, hours, customer traffic, food preparation, alcohol service, outdoor displays, deliveries, storage, mechanical equipment and any regulated activity. A use that appears ordinary may require a special approval, change-of-use permit or operating licence.

Ask the planning and licensing authorities

Contact the local planning or council office for a written determination, where available, that the proposed use is permitted at the specific address. Ask which zoning approvals, building permits, fire approvals, health permits, accessibility work, signage permits and business licences are required. In a strata or managed building, confirm approvals from the building or strata manager as well. New Jersey’s official business guidance highlights lease length, tenant improvements and specialised construction or zoning permits as issues to consider (New Jersey Business Action Center, “Leasing Tips”). The New South Wales Small Business Commissioner similarly advises checking with local council, the strata manager and other authorities before signing (Retail Tenancy Guide).

Make approvals a lease condition

If permits or a change of use are still pending, negotiate a condition allowing you to cancel and recover deposits if approval is refused by a specified date. State who applies, who pays application fees, who supplies drawings and what happens if the authority imposes expensive conditions. Do not take possession, order equipment or start fit-out on the assumption that an application will succeed.

2. Verify the construction project, not just its announcement

A development announcement can precede financing, final approvals or a signed construction contract by months or years. Request the developer’s current planning approvals, building permits, financing or commencement status, contractor appointment, phasing plan, milestone dates and expected completion range. Ask for a named contact and a process for notifying tenants about changes.

Cross-check public records

Compare the developer’s information with planning, permit and inspection records held by the relevant authority. Look for conditions attached to approvals, appeals, expired permits, environmental requirements, road-closure applications and amendments to the site plan. California’s Department of General Services describes project due diligence as identifying title, environmental and site issues and assessing their effect on the proposed use (Project Due Diligence). Those concepts are useful outside California, but California procedures do not automatically govern another property.

Treat dates as ranges with dependencies

Separate “target opening,” “substantial completion,” “tenant handover,” utility connection and certificate-of-occupancy dates. Ask what must happen before each date: permits, financing, utility relocation, inspections, road works or neighbouring phases. A lease should not make rent start merely because a forecast date has arrived if the premises cannot legally open or customers cannot reasonably reach it.

Read project documents with the lease

Site plans, construction exhibits and landlord work letters may allocate obligations that are absent from the main lease. U.S. General Services Administration leasing templates illustrate why new-construction exhibits and lease terms need to be read together; active procurements require the current solicitation documents rather than an old template (GSA leasing templates). Use the same discipline for a private retail project: attach the plan, identify the version and make later changes subject to a notice and remedy process.

3. Map how each construction phase will affect daily trading

Visit the site at different times and walk every route a customer, employee, delivery driver and emergency responder would use. Photograph and date the conditions. Repeat the exercise for each stated construction phase rather than assessing only the finished project.

Customer access and visibility

  • Record entrances, sidewalks, crossings, parking spaces, public transport stops and accessible routes.
  • Identify hoardings, cranes, scaffolding, detours, temporary fencing and changes to sightlines from approaching streets.
  • Ask whether illuminated signs, window graphics, directional signs and temporary wayfinding will remain visible and who pays for relocation.
  • Check whether dust, mud, noise, vibration or night lighting could affect the customer experience or merchandise.

Deliveries, staff and emergencies

  • Confirm delivery hours, truck turning space, loading bays, waste collection and access for service contractors.
  • Obtain the emergency egress plan and identify any period when an exit, fire lane or accessible route is narrowed or relocated.
  • Ask who maintains temporary roads and clears debris, snow or mud, and how quickly hazards will be corrected.
  • Determine whether utility shutdowns, generator noise or temporary water, power, telecommunications or ventilation arrangements are expected.

Put communication duties in writing

Specify how much advance notice the landlord or developer must give for closures, overnight work, utility interruptions and changes to traffic routes. Name the communication channel and an emergency contact. The NSW retail tenancy guidance treats disruption as a tenancy issue and discusses reasonable steps to avoid it (NSW Retail Tenancy Guide), but the legal effect and available compensation vary by jurisdiction. Obtain local advice instead of assuming a similar remedy applies where you operate.

Cost category Questions to answer before signing
Base rent When does it begin, how often can it change, and are increases fixed, indexed or linked to turnover?
Outgoings and levies Which taxes, common-area charges, insurance, management fees, utilities and capital works can be passed through, and is there a budget or audit right?
Fit-out and permits What work is required for partitions, power, plumbing, ventilation, accessibility, fire systems, signage and equipment, and who obtains each permit?
Landlord contribution Is support provided as an allowance, free rent or landlord-performed work; what are claim deadlines, evidence requirements and cost overruns?
Maintenance and repairs Who maintains supplied equipment, plant, storefronts, roofs, services and temporary works, and who pays for replacement?
Delay and disruption What carrying costs arise if handover, opening or trading is delayed, including payroll, storage, financing, insurance and duplicated rent?

Get an independent fit-out estimate based on drawings and the building’s actual services. Ask for separate allowances for unknown conditions, professional fees, authority charges, testing, commissioning and reinstatement at lease end. The NSW guide addresses outgoings, repair responsibilities and professional advice; use it as a checklist, not as a statement of law outside New South Wales.

5. Negotiate lease clauses that allocate construction risk

Every material assumption should appear in the lease, an incorporated plan or a signed work letter. Verbal assurances about access or completion are difficult to enforce and may disappear when project personnel change.

Premises, use and handover

  • Attach a dimensioned plan identifying the premises, storage, loading rights, parking allocation, common areas and any temporary access route.
  • Define the permitted use broadly enough for planned products, services, online fulfilment, events and reasonable changes, subject to law.
  • Make handover conditional on the landlord’s work, required certificates, functioning utilities and a safe, lawful route to the premises.
  • State whether rent and other charges commence at handover, opening, a fixed date or the earliest of those events, and provide a long-stop date.

Construction conduct and notice

  • Require advance notice of work that affects access, visibility, noise, dust, vibration, lighting, deliveries or utilities.
  • Set measurable standards where possible, such as maintaining an accessible entrance, a delivery window and minimum utility service.
  • Require coordination meetings, a current contact list, dust and noise controls, protection of merchandise and prompt cleanup.
  • Reserve rights to install temporary signs, relocate an entrance or adjust trading hours when the agreed route changes.

Remedies for interference and delay

Ask local counsel to draft remedies that fit the jurisdiction: rent abatement, reimbursement of documented extra costs, landlord-funded mitigation, relocation, a right to delay opening, or termination after a defined period of material interference. Clarify whether remedies are exclusive, cumulative or limited by force-majeure wording. Do not assume a general “quiet enjoyment” clause will cover construction impacts.

Repairs, make-good and insurance

Allocate responsibility for damage caused by construction, temporary works and vibration. Confirm insurance requirements, waiver-of-subrogation language and the process for reporting losses. Define make-good precisely: which fixtures, cabling, partitions, signs and accessibility alterations must remain, be removed or be restored, and to what standard.

6. Preserve options if the project or trading conditions change

Review assignment, subletting, transfer, renewal, relocation and termination provisions before committing to a long term. A clause that permits an assignment only with unrestricted landlord discretion may not help if the project permanently reduces access. New Jersey business guidance identifies subletting, transfer or termination as options to consider if closing or moving becomes necessary (Leasing Tips).

Negotiate objective triggers rather than vague promises: failure to obtain a specified approval, inability to deliver lawful possession by a long-stop date, closure of an agreed entrance for more than a stated number of consecutive days, or a material reduction in parking or loading capacity. Check notice periods, cure rights, payment of unamortised incentives and the treatment of personal guarantees when an exit is exercised.

7. Compare alternative spaces with a documented scorecard

When two or more premises are available, score the same evidence for each. Do not rank a site on rent alone.

Decision area Evidence to record
Use and approvals Written planning response, licence list, permit status, building or strata consent and unresolved conditions.
Project certainty Approved plans, permit dates, financing or commencement evidence, contractor status, phasing and long-stop assumptions.
Trading continuity Phase-by-phase routes, parking, loading, visibility, signage, utilities, noise, dust, lighting and emergency access.
Total cost Base rent, outgoings, fit-out estimate, landlord contribution, permits, insurance, delay carrying costs and reinstatement.
Written protection Notice duties, access standards, rent commencement, abatement or compensation, relocation, termination and assignment rights.

Mark each item as documented, independently verified, promised but undocumented, or unknown. A lower-rent site with unresolved use approval or weak access protections may carry more financial risk than a higher-rent alternative.

8. Follow a practical pre-signing sequence

  1. Define the operation. Prepare a one-page description of products, hours, staffing, deliveries, equipment, signage and customer access needs.
  2. Check legal permission. Obtain written planning, licensing, accessibility and building or strata information for the exact address.
  3. Collect project records. Request current approvals, permits, plans, phasing, contacts and milestone ranges; verify them with public authority records.
  4. Inspect every phase. Walk routes, photograph conditions and obtain written answers on parking, loading, signs, utilities, noise, dust and emergency access.
  5. Price the whole commitment. Commission a fit-out estimate and model rent, outgoings, incentives, permits, insurance, opening delay and make-good costs.
  6. Redline the documents. Attach plans and work scopes; set handover and rent conditions, notice periods, operating standards, remedies and exit triggers.
  7. Obtain local legal review. Confirm enforceability, statutory disclosure duties, disruption rights, notice periods, remedies and personal-guarantee exposure before signing.
  8. Reconfirm immediately before execution. Check that no approval, permit, financing, access route or construction date has changed and initial the final plan version.

9. Know the limits of guidance from other jurisdictions

Retail leasing rules are local. New Jersey guidance, New South Wales retail-tenancy material, California government due-diligence procedures and U.S. federal leasing templates demonstrate useful questions but do not create rights at an unrelated address. Singapore’s Lease Agreements for Retail Premises Regulations 2023 page displays a version current as at 12 September 2026 (Singapore Statutes Online); that regulation is relevant only where Singapore law governs.

Before relying on a notice period, compensation rule, disclosure requirement or termination remedy, identify the governing law in the proposed lease and obtain advice from a qualified commercial real-estate lawyer in that jurisdiction. A local adviser can also test whether the project’s approvals, environmental conditions, title restrictions and accessibility obligations are compatible with your exact operation.

10. Warning signs that justify pausing the deal

  • The landlord will not provide a current plan, permit status or written construction contact.
  • Your proposed use is described vaguely, or the approval answer is “the tenant can apply later.”
  • Rent starts on a calendar date even if lawful opening, utilities or access are unavailable.
  • Construction rights allow unrestricted closures, night work, dust, noise or utility interruption without notice or remedy.
  • Outgoings, capital works, repair duties or make-good obligations are undefined.
  • The fit-out allowance is offered without a scope, payment procedure, deadline or treatment of overruns.
  • Assignment, subletting and termination rights are effectively unusable if trading conditions deteriorate.
  • Pressure to sign prevents independent legal, planning or cost review.

Pause until the missing evidence is supplied or the risk is priced and allocated in enforceable documents. The objective is not to eliminate every construction uncertainty; it is to know which uncertainties remain, who controls them, what they may cost and what you can do if the project prevents the business from operating as intended.
