What Tenants Should Check Before Signing a Lease in a Newly Built Warehouse

A newly built warehouse is not automatically approved for every business activity. Before signing, verify that the local authority has approved the specific space and intended use; obtain occupancy, fire/life-safety and accessibility records; test whether the building fits your operation; and make the lease assign delivery, maintenance, operating costs, insurance and remedies in precise language. Requirements vary by jurisdiction, building and use, so have local commercial-lease counsel and appropriately qualified building or fire professionals review unresolved issues.

Start with the operation you will actually run

Define the proposed operation before evaluating the lease. Write down what you will store, receive, process or dispatch; the quantity and arrangement of stock; racking or mezzanines; forklifts and other equipment; vehicle movements; staffing; operating hours; hazardous or combustible materials; and every alteration you expect to make. This description is the test against which approvals, fire protection, utilities and lease permissions must be checked.

A general “warehouse” label does not prove that every storage method, material, process or tenant improvement is permitted. The approved occupancy and use may be affected by the nature of the materials or by work performed on site. New York City’s Department of Buildings, for example, treats manufacturing and changes affecting use or occupancy as regulated project matters; its terminology is jurisdiction-specific, not a nationwide classification system. Review the proposed operation with the local planning or building authority and ask what approvals are required for this particular address and activity. New York City Department of Buildings guidance illustrates why the exact use matters.

Verify occupancy and permitted use

Obtain the final occupancy document

Request the final certificate of occupancy (CO), or the local equivalent, for the exact premises. Check the address, suite or building area, approved occupancy classification, stated use, floor or area covered, conditions and any expiration or amendment information. A certificate for the shell building may not cover a later tenant fit-out or a different operation.

Where the document is missing, conditional or inconsistent with the proposed use, ask the issuing authority what evidence is acceptable and have local counsel explain the effect on the lease. Government leasing procedures treat occupancy certification as a formal approval step. The U.S. Department of State’s facilities guidance describes inspection criteria used before a post receives a certificate of occupancy; it is evidence of the importance of the record, not a universal private-warehouse rule. The Department of State’s 15 FAM 850 criteria is dated October 11, 2022.

Check plans, permits and open conditions

Ask for approved plans relevant to the leased area, permit close-outs, inspection sign-offs and a list of open conditions, notices or restrictions. Compare the plans with the space you will receive: walls, fire separations, exits, docks, stairs, equipment rooms, utility routes and any tenant-improvement area should match the documents. Verify important records with the authority where practical rather than relying only on a landlord’s summary.

New York City explains that a final certificate follows qualifying work that affects a building’s use or occupancy. Other jurisdictions use different names and procedures, so the local authority’s answer controls. Do not treat a temporary, partial or construction-related approval as final permission to open your business.

Review fire and life-safety protection

Request the available records

Ask for fire-protection and life-safety approvals and the inspection, testing and maintenance records available for the property. Depending on the building and jurisdiction, relevant systems may include sprinklers, fire alarms, smoke control, emergency lighting, fire doors, standpipes, extinguishers and monitored signals. Confirm the status of systems serving both your premises and shared areas.

Inspect the egress arrangement on site. Identify every exit serving the leased area, the route to a public way, travel obstructions, locked or controlled doors, emergency lighting and the portion of corridors, stairs, yards or gates that the landlord controls. Your operation, storage height, racking, partitions or equipment can change how exits and fire systems function. If records are incomplete or the planned use raises technical questions, retain a qualified fire-protection or life-safety professional.

Separate private-lease terms from government examples

The U.S. General Services Administration’s leasing clause describes circumstances in which a fire-engineer report may be used in connection with government facilities when a certificate is unavailable. That alternative is tied to the stated government-lease circumstances and is not a general waiver for private tenants. GSA Class Deviation CD-2021-11 should therefore be read as an example of documentation questions, not as permission to occupy an unapproved private warehouse.

Clarify responsibility for shared systems

The lease should identify who schedules inspections, pays contractors, receives reports, corrects deficiencies and keeps systems continuously available. State how the parties will handle a failed test, an impaired sprinkler or alarm, a blocked exit, a required shutdown and emergency access. If the landlord controls a shared system, the tenant should not be left with a compliance duty it cannot perform or a bill it cannot predict.

Check accessibility and routes into the building

Determine which accessibility standard applies to the property and planned use, then obtain the evidence required locally. Review the route from parking or public transport, accessible entrances, doors, thresholds, ramps, lifts, toilets, employee areas and any customer or visitor route. Consider whether your fit-out, storage or security arrangements would obstruct an accessible path.

California’s Department of General Services requires an accessibility survey in its state-leased-building process before lease execution. That is a useful example of a document a tenant may request, not a universal private-lease requirement. California DGS lessor lease requirements applies to that state process. Confirm the applicable rule with the authority for the warehouse’s location and have a qualified accessibility professional review disputed conditions.

Test whether the building fits the operation

Inspect the delivered premises, not a model or promise

Walk the actual space with your operations team and, where appropriate, a building professional. Compare dimensions and features with the lease plan and delivery specification. Record photographs, measurements and defects, and attach an agreed schedule to the lease or a condition report.

  • Confirm loading access, dock position, door dimensions, turning areas, trailer or vehicle restrictions and the route from receiving to storage.
  • Check clear heights, column spacing, aisle geometry, floor transitions and locations where racking, conveyors or equipment will sit.
  • Verify electrical capacity, service voltage, outlets, data routes, water, drainage, gas, heating, cooling and ventilation against equipment and process requirements.
  • Identify roof, wall, slab, yard and drainage conditions that could affect storage, vehicles or planned improvements.
  • Check access hours, security controls, shared roads, gates, parking, waste areas and any landlord scheduling rules.

The cited public guidance does not establish universal warehouse thresholds for slab loading, dock counts, clear height, utility capacity or truck dimensions. Obtain property-specific drawings, calculations and utility confirmations instead of accepting an unsupported capacity statement.

Make delivery and commencement measurable

The lease should say what the landlord must deliver and when. Attach plans, specifications and a punch-list process. Define whether rent starts at physical possession, substantial completion, receipt of approvals, or another event, and state what happens if a prerequisite is late.

Specify the remedy for an incomplete or nonconforming delivery: delayed commencement, rent abatement, a right to complete work, termination after a defined period, or another negotiated remedy. Include access for pre-opening inspections and commissioning, and identify who bears temporary utility, security or testing costs. A newly constructed building can still have unresolved defects, incomplete common areas or pending authority sign-offs.

Allocate maintenance, repairs and operating costs

Do not assume that “new” means maintenance-free or that the landlord automatically pays for every building system. The lease controls much of the practical allocation, subject to applicable law. England’s government guidance expressly notes that business-property tenant responsibilities depend substantially on what the lease says. The UK government’s tenant-responsibilities guidance applies to England and is an example of the drafting issue, not a rule for other countries or states.

Require notice before planned shutdowns, reasonable access for repairs and a process for urgent work. Clarify whether the tenant can perform emergency work and recover cost when a landlord-controlled system threatens safety or operations.

Use a document-and-decision checklist

Collect the following before signing, adapting the list to local law and the property:

  • Final certificate of occupancy or equivalent, including approved use and occupancy description.
  • Approved plans, completion records, permit close-outs and open inspection conditions.
  • Fire and life-safety approvals plus available inspection, testing and maintenance records.
  • Accessibility survey or other evidence required by the local standard.
  • Written delivery specification, condition report and landlord/tenant work schedule.
  • Utility information, equipment requirements and approvals for planned improvements.
  • Lease language allocating maintenance, repairs, operating costs, insurance, access and remedies.

For every document, note the issuing authority, covered area, date, conditions and person responsible for follow-up. Keep unresolved items on a signed closing checklist with a deadline and consequence; do not rely on an informal promise to “sort it out after possession.”

Compare candidate warehouses on evidence, not appearance

When two buildings appear similar, compare them on the factors that determine whether you can lawfully and practically open:

Decision axis Questions to answer Evidence to compare
Approval for the operation Does the approved use cover the exact storage, process, materials and planned alterations? Occupancy document, approved plans, authority confirmation and permit conditions.
Safety-record completeness Can you verify fire, egress and accessibility status for the leased area and shared routes? Inspection, testing, maintenance and accessibility records; professional review where needed.
Operational fit Can vehicles, staff, stock and equipment move and operate without unpriced work? Site inspection, measured plans, utility information and written improvement scope.
Cost and responsibility Who maintains systems, pays operating costs and controls access to perform work? Detailed lease clauses, service descriptions, insurance terms and reconciliation provisions.
Remedies What happens if delivery, approval or a critical system is late or defective? Commencement conditions, cure periods, abatement, completion rights and termination terms.

This is a practical comparison framework, not a published scoring standard. A building with a lower rent can be the riskier choice if approvals are uncertain, required work is undefined or remedies are weak.

Know what this review does not establish

Occupancy, fire, accessibility and lease-allocation checks do not by themselves resolve environmental contamination, structural design capacity, construction warranties, insurance adequacy, tax treatment or operating-cost reconciliation. Those subjects require property-specific documents and advisers qualified in the warehouse’s jurisdiction. Ask for environmental and structural information when the operation warrants it, and have insurance and financial provisions reviewed independently.

Rules cited from England, California, New York City, U.S. federal agencies or government leasing programs cannot be generalized to another location. Before committing, obtain written confirmation from the local building or planning authority and advice from professionals licensed or qualified for that jurisdiction.
