Repair common Windows errors and clear accumulated junk for a smoother, more stable PC - no reinstall needed.Free scan · no reinstallAssess facilities management (FM) as an operating system, not as a résumé check or a certification exercise. An acquisition team should test whether the target can keep each facility safe, compliant, available and cost-controlled; whether its records describe the physical estate accurately; and whether people, suppliers and systems can continue working after closing. The evidence comes from contracts, work orders, inspections, asset data, financial records, interviews and site observations, reconciled against the buyer’s intended operating model.
There is no universal FM pass score. The appropriate threshold depends on facility criticality, geography, regulatory exposure, portfolio complexity, buyer risk tolerance and the post-close model. A construction acquirer should therefore turn findings into quantified exposures, transition actions and deal protections rather than a single maturity number.

What facilities management capability means in a transaction
FM is the coordinated management of people, places, processes, suppliers, technology, risk, performance and finance. It covers more than repairs: the system must support the target’s business objectives, satisfy occupants and other interested parties, meet applicable requirements and improve when performance falls short.

IFMA’s competency map is a useful scope checklist. It covers occupancy and human factors; operations and maintenance; sustainability; facility information and technology management; risk management; communication; performance and quality; leadership and strategy; project management; real estate; and finance and business. These competencies help you find omissions; they are not an acquisition rating.
Define the perimeter and the buyer’s risk question
Before requesting documents, agree what the transaction actually includes and what “good” must mean after closing. A target may operate owned buildings, leased offices, customer sites, plants, laboratories, warehouses, construction compounds or shared premises. It may also manage facilities for another entity under a service agreement. Each category creates different obligations and transfer issues.
Map the estate
- Reconcile owned, leased, managed and shared locations to the transaction perimeter.
- Identify critical infrastructure, production areas, laboratories, data rooms, public-facing premises, high-occupancy buildings and sites with unusual environmental or safety exposure.
- Record country, state or province, city, facility use, floor area, tenure, landlord responsibilities and planned closure or expansion.
- Separate hard services, soft services, projects, workplace services and common-area responsibilities.
Set decision criteria
Write the questions that will drive diligence: Can a critical site remain operational? Are statutory inspections current? What maintenance and capital spending is required in the first 12, 24 and 36 months? Can the buyer obtain the data, contracts, credentials and specialist knowledge needed on day one? Which liabilities require a price adjustment, indemnity, escrow, condition precedent or integration plan?

Compliance requirements depend on location, facility use and the authority involved. Use local counsel and competent technical specialists for the obligations that matter to each site.
Examine governance, accountability and retained expertise
Request the FM policy, organization chart, delegated authorities, budgets, risk registers, escalation procedures and management reviews. Map who owns policy, budget, compliance, asset information, supplier relationships, incident response and capital decisions. Trace an issue from discovery to approval, work, verification and closure; gaps in that chain reveal more than an organization chart.
Test the operating model
- Which activities are performed by employees, which by contractors and which by landlords or managing agents?
- Who can stop unsafe work, authorize emergency spend and declare a facility unavailable?
- Does the target retain enough engineering, commercial, safety and data expertise to challenge suppliers?
- Are projects handed over into operations with complete records, warranties, training and maintenance plans?
- How are lessons from incidents, audits and recurring defects converted into changed procedures?
Compare the documented model with interviews of FM leaders, site managers, technicians, procurement staff and finance personnel. A polished central policy with no site-level understanding is a control weakness. Conversely, local competence that is undocumented or concentrated in one employee creates transfer risk.

Validate the estate and asset information
The asset register is the foundation for maintenance, compliance, insurance, budgeting and contract checks. UK Government Facilities Management Standard 002, Asset Data, emphasizes that decisions are compromised when information is incomplete, inaccurate or out of date and calls for consistent data structures through contract changes. Use that principle while adapting fields and retention rules to the buyer’s jurisdiction.

Reconcile records to reality
- Reconcile the property list to the transaction perimeter and flag sites appearing in one list but not another.
- Export the CMMS or IWMS asset register and compare a risk-based sample with drawings, building-management-system points, invoices, inspection certificates and physical assets.
- For critical equipment, check identifier, location, ownership, condition, criticality, age, maintenance requirement, service history and responsible party.
- Ask for the data dictionary, change-control procedure, last update date, duplicate rules and export format.
- Walk selected sites and photograph or otherwise record discrepancies under the agreed information-security rules.
Look for unexplained gaps between the register, CMMS/IWMS, building systems, invoices, statutory records and what site staff can point to. Identify information held only in a former employee’s mailbox, a supplier portal or an inaccessible proprietary system. A register that cannot be exported in a usable form can create an immediate transition dependency even when the physical equipment is sound.
Determine whether maintenance is effective
Maintenance effectiveness is demonstrated by controlled risk and reliable outcomes, not by the size of a preventive-maintenance spreadsheet. Review planned preventive maintenance (PPM), statutory tasks, reactive work, repeat faults, emergency callouts, work-order closure quality and contractor evidence.
Analyze the maintenance record
- PPM completion rate, with the definition, period, exclusions and evidence for completed tasks.
- Overdue work by age, asset criticality, cause and approved risk acceptance.
- Reactive work volume, repeat failures and emergency callouts, segmented by site and asset class.
- Work-order response and resolution times by priority, including pauses and customer confirmation rules.
- Backlog size, age, risk ranking, estimated cost, funding and trend over at least several reporting periods.
- Inspection, testing and calibration records for safety-critical or business-critical equipment.
Distinguish a quantified, prioritized backlog from an informal list of known defects. Ask who priced it, what assumptions were used, which items are legally required, and what happens if funding is delayed. A low backlog may indicate good maintenance—or suppressed reporting, incomplete assets or aggressive closure rules.
Connect condition to the business
Inspect a sample of high-criticality assets and sites. The consequence of failure differs sharply: a production line may stop revenue-generating work; a laboratory may lose controlled conditions; a healthcare facility may affect patient safety; a data center may lose availability; an office campus may primarily affect workforce continuity. Link condition findings to business interruption, safety, tenant obligations, insurance, warranty rights, capital requirements and post-close investment.
The available FM guidance identifies maintenance regimes and outcome measures but does not establish a universal acquisition condition threshold. Set thresholds with engineering, operations, finance and transaction advisers for the actual portfolio.

Check compliance, safety and resilience site by site
Create a location-specific obligations register with local counsel and technical specialists. Depending on use and jurisdiction, evidence may include fire and life-safety inspection and test records, permits, environmental obligations, workplace-safety records, water or air-quality controls, corrective actions and emergency plans. Record the authority, frequency, responsible party, last completion, next due date, open exception and proof of closure.
Verify, do not just collect certificates
- Sample certificates and inspection reports against the asset, location and required frequency.
- Confirm that the contractor or responsible authority is competent for the work and that deficiencies were actually corrected.
- Trace overdue items, notices, restrictions, enforcement correspondence and accepted risk decisions.
- Inspect representative equipment and life-safety systems to identify conditions not visible in paperwork.
- Ask site personnel what they would do if an inspection failed or a permit were suspended.
Facilities Management Standard 001, Management and Services, stresses maintaining a maintenance regime for mechanical and electrical assets and validating compliance work delivered through the supply chain. It is a reference framework, not a substitute for the rules applying to the target’s locations.
Test resilience in practice
Review incident logs, business-continuity plans, emergency contacts, on-call coverage, critical spares, temporary operating procedures, redundancy assumptions and recovery exercises. Compare the written plan with an interview or tabletop scenario: loss of power, water ingress, control-system failure, fire-system impairment, cyber incident or a contractor becoming unavailable. Note whether roles, escalation times and decision rights are understood at site level.

Read the commercial and legal mechanics
| Contract area | Questions to answer |
|---|---|
| Scope and interfaces | Are assets, locations, exclusions, response categories and customer responsibilities unambiguous? |
| Term and exit | What are renewal, termination, notice, step-in, handover and transition-assistance rights? |
| Price | How do indexation, minimum volumes, open-book charges, change orders and pass-through costs work? |
| Performance | Are service levels, measurement rules, credits, reporting and cure periods defined? |
| Risk allocation | What liability, indemnity, insurance, warranty and limitation provisions apply? |
| Data and systems | Who owns work-order, asset, meter and access data, and can the buyer retrieve it at exit? |
| People and subcontractors | Who performs the work, what qualifications are required, and can subcontractors be changed? |
| Transaction effects | Is consent required for assignment, change of control, novation or a site transfer? |
Have transaction counsel review assignment and consent issues. Then test a sample of supplier reports against work orders, invoices, incident records and user feedback. Look for unexplained invoice changes, unapproved variations, services billed for removed assets and performance credits never claimed.
IFMA’s vendor-management guidance recommends weighing technical capability, safety, financial stability, references and organizational fit alongside price. Its practical emphasis on measurable service levels, audit rights and exit terms is especially relevant to a buyer that may need to retender or integrate providers. ISO 41012, guidance on strategic sourcing and agreement development, provides an additional lens: ask whether outcomes were specified clearly, competition was preserved and the target retained enough expertise to govern the relationship.

Assess people, skills and key-person dependence
Map FM leadership, site teams, trades, safety and compliance roles, project delivery, procurement and data stewardship. Review vacancies, turnover, tenure, qualifications where relevant, succession plans, contractor reliance, overtime and use of temporary labor. Request role descriptions and training records for work that requires authorization or specialist competence.

Interview both leaders and site-level personnel. Ask how competing work is prioritized, how a supplier recommendation is challenged, who approves risk acceptance, where critical drawings and passwords are held, and what happens when the usual technician is absent. Differences between answers are evidence of undocumented practice or weak communication.
Compare in-house and outsourced delivery by total service cost and outcomes, not ideology. A small internal team can be effective if it has authority, data and supplier control; a large team can still underperform if accountability is diffuse.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone.Inspect technology, integrations and information security
Inventory CMMS/IWMS, building-management and automation systems, access control, metering, energy platforms, asset repositories and critical integrations. For each, record owner, support arrangement, licence or subscription term, interfaces, data retention, administrator access, remote vendor access, backup and recovery arrangements.
Confirm that the buyer can obtain the data and credentials required to operate after closing, subject to appropriate security controls. Coordinate cyber review with the IT team, particularly for internet-connected controls, remote maintenance accounts and integrations that can affect physical safety. Facilities Management Standard 002 and related government guidance emphasize asset-data quality and protection of building systems from cyber threats.
Check specifications and contracts for open protocols and exportable data. Open interfaces can reduce lock-in and preserve competition, but verify the actual installed configuration rather than relying on a procurement clause.

Test financial stewardship and capital exposure
Compare approved budgets, actual spend, forecasts, service charges, energy cost, planned replacement, emergency repairs and capital work. Separate operating and capital responsibilities across owned, leased and managed sites. Reconcile major variances to work orders, invoices, projects, insurance recoveries and landlord obligations.
Build a forward exposure view
- Cost of overdue statutory and safety work.
- Deferred maintenance by criticality, age, estimate and funding source.
- Near-term replacement needs for plant, controls, roofs, façades, lifts, electrical systems and other major assets where applicable.
- Unfunded lease, service-charge or landlord obligations.
- Recurring emergency work that may mask routine-maintenance underinvestment.
- Integration, data migration, retendering and transition costs.
Finance and business is one of IFMA’s core competencies. Use it to connect service outcomes with total service cost and funded capital, rather than treating the lowest invoice as the best model. The available frameworks do not prescribe a valuation adjustment; quantify exposures with finance, engineering and transaction advisers and document assumptions.
Use a defined performance scorecard
Define the measurement period, population, exclusions, source system and owner before comparing sites or targets. Validate management reports against source records and sample physical evidence.

| Work-order response and resolution | Elapsed time by priority, including the clock rules, pauses, reopenings and customer confirmation. |
| PPM completion and overdue work | Tasks due versus evidenced as complete, segmented by criticality and site. |
| Deferred-maintenance backlog | Value, age, risk, cause, funding and trend; distinguish priced work from uncosted observations. |
| Compliance and safety | Findings, incidents, notices and corrective-action closure, with severity and due-date logic. |
| Energy or resource performance | Consistent site boundaries, weather or operating-context notes and reliable meter sources. |
| Occupant or tenant feedback | Survey population, response rate, complaints, service categories and trend. |
| Supplier performance and cost | SLA attainment, invoice exceptions, credits, change orders and cost by service and site. |
IFMA’s staffing guidance identifies critical-system uptime, work-order response and resolution, deferred-maintenance backlog, energy performance, safety or compliance incidents and occupant or tenant satisfaction as useful outcomes. Treat them as indicators to investigate, not as proof of capability without source validation.
Run the diligence in an evidence sequence
- Set the perimeter and criticality map. List sites, uses, jurisdictions, tenure, critical systems and the buyer’s intended operating model.
- Request the core data room. Ask for property and asset registers, maintenance plans and work-order extracts, condition assessments, compliance registers and certificates, incident logs, contracts and amendments, supplier scorecards, budgets and forecasts, capital plans, system inventories and access or transition documentation.
- Perform desk reconciliation. Compare lists, dates, identifiers, invoices, certificates, work orders and budgets; record unexplained differences.
- Select risk-based samples. Weight samples toward critical assets, high-risk jurisdictions, unusual facility types, poor performance trends, large suppliers and sites with planned capital work.
- Interview and inspect. Speak with central and site personnel, then observe equipment, housekeeping, life-safety provisions, work quality and information posted or stored locally.
- Test supplier delivery. Trace selected services from contract scope to work order, technician evidence, invoice, SLA report and user confirmation.
- Quantify consequences. Estimate remediation, downtime, compliance, transition, capital and people costs, identifying confidence levels and dependencies.
- Convert findings into deal actions. Assign owner, evidence, consequence, remediation estimate, timing and post-close action; propose conditions, protections or integration work where warranted.
Red flags that require follow-up
- An asset register that cannot be reconciled to sites or physical equipment.
- Maintenance marked complete without technician evidence, readings, certificates or customer confirmation.
- Repeated emergency repairs, critical outages or recurring faults with no root-cause action.
- A growing or uncosted backlog, especially where risk ranking and funding are absent.
- Overdue statutory work, open enforcement notices or unexplained restrictions.
- Contracts with vague scopes, weak service levels, no audit rights or no practical exit assistance.
- Unexplained invoice changes, excessive change orders or concentration in one provider.
- Systems, credentials or data held by a supplier or individual and unavailable to the buyer.
- Performance reports with no definitions, inconsistent periods or no underlying records.
- Key-person dependence, persistent vacancies or a safety-critical capability supplied by one contractor.
None of these proves failure by itself. Treat each as a trigger to enlarge the sample, seek independent verification and quantify the consequence.
Compare targets and decide what transfers cleanly
When comparing two targets or operating models, use the same definitions and sample logic. A practical decision framework has seven axes:
- Risk and compliance control.
- Asset-data completeness and physical condition.
- Service reliability and maintenance discipline.
- Total cost and funded capital outlook.
- Workforce depth and retained oversight capability.
- Technology interoperability and transition risk.
- Fit with the buyer’s intended operating model.
Document the evidence behind each judgment and the uncertainties that remain. Weighting should reflect the portfolio: downtime may dominate for a production site, regulatory control for a healthcare or laboratory environment, and transition complexity for a dispersed leased estate. This framework is a synthesis for deal teams, not a published weighted score or universal pass mark.
What a complete diligence conclusion should contain
End with a site- and issue-level register, not a vague statement that FM is strong or weak. For every material exception, state the evidence, affected location or asset, operational and legal consequence, estimated remediation or capital need, responsible owner, timing, confidence level and proposed transaction or post-close action. Separate facts verified on site from management assertions and assumptions awaiting specialist confirmation.
A target is operationally transferable when its critical assets and obligations are known, maintenance and compliance work can be evidenced, suppliers are governable, people and systems are accessible, financial exposure is funded or quantified, and the buyer has a realistic plan for the first day and the first year. Where those conditions are not met, the right response is targeted protection and remediation—not an invented score.
