The result depends on the exact SEBI Listing Obligations and Disclosure Requirements (LODR) provision or statutory duty, the listed security, how long the filing is overdue, whether the omission is repeated, and the procedure in force when the exchange acts.
For specified LODR breaches, continuing or repeated non-compliance can bring additional measures, including a freeze on promoter or promoter-group shareholding and, in defined circumstances, suspension of trading. A depository-related obligation may fall under a different law and regulator procedure. The penalty quoted for one dematerialisation failure cannot be applied automatically to an unrelated depository submission.

Why the exact filing and security matter
“SEBI filing” is a broad description, not a single legal category. A listed entity may have periodic, event-driven, governance, financial, shareholding, or security-specific disclosure duties. The applicable rule can differ for equity shares, debt securities, commercial paper, or another listed instrument. A company that files one day late is not in the same position as an issuer that omits several periods, submits inaccurate information, or ignores an exchange direction.

The phrase “depository compliance filing” is even less precise. A duty may belong to an issuer, a depository, a depository participant, or an issuer’s agent. It may involve dematerialisation, certificates, reconciliation, beneficial-owner records, or a report required by a particular regulation. Before assessing exposure, identify the named filing or statutory obligation rather than treating every delay sent to a depository as an LODR default.

SEBI’s LODR master circular dated January 30, 2026 is the current starting point for listed-entity compliance guidance. The exact provision, table entry, exchange communication, and any later circular must be checked for the issuer and instrument involved.
Common LODR deadlines, with an important verification caveat
A February 2025 SEBI master circular described the following integrated-filing timelines. They are useful reference points, not permission to rely on an older schedule. Verify the current January 2026 master circular and the issuer’s specific security requirements before treating a date as controlling.
| Filing | Timeline described in the February 2025 circular | How to use the figure |
|---|---|---|
| Integrated Filing (Governance) | Within 30 days from the end of each quarter | Check the current master circular, the applicable LODR provision, and any exchange-specific instruction. |
| Integrated Filing (Financial), other than the last quarter | Within 45 days from quarter-end | Confirm whether the issuer and security type fall within the provision cited in the current circular. |
| Integrated Filing (Financial), last quarter and financial year | Within 60 days from the end of the last quarter and financial year | Do not assume this period applies to every financial disclosure; verify the current rule and reporting context. |
Missing one of these dates can make the issuer non-compliant, but the consequence still depends on the rule’s enforcement table and the exchange procedure. A deadline in a guidance document is not, by itself, evidence of a particular fine or suspension.
What usually follows a late or missing LODR filing
1. The exchange identifies the default
Listed entities normally submit LODR disclosures through the relevant stock exchange systems. An exchange can identify a late, missing, incomplete, or apparently defective filing from its monitoring process, an automated deadline check, or a review of the issuer’s submissions. The first practical document is often an exchange notice that names the regulation, filing, period, and date by which the company must respond or cure the default.
2. A fine may be imposed under the applicable schedule
SEBI’s LODR enforcement framework includes exchange-administered fines for specified late or missing filings. The amount is not one universal figure. It can depend on the provision, the type of disclosure, the number of days or periods outstanding, and the schedule incorporated into the current circular or exchange notice. Do not quote a daily rate or a maximum unless the notice and current table actually apply it to that filing.

3. The company may receive a cure or response period
An exchange communication may require the company to submit the overdue disclosure, explain the cause, pay or contest the assessed amount, and provide information by a stated deadline. Filing the document promptly is the sensible first step, but late submission does not automatically cancel a fine or prevent further action. The notice controls the response mechanics.
4. Continuing or repeated failure can trigger additional measures
SEBI’s January 2020 circular sets out a standard operating procedure for specified LODR provisions. Where the relevant conditions are met, continuing or repetitive non-compliance can lead beyond the initial fine. Possible measures include freezing promoter or promoter-group shareholding and procedures that may result in suspension or revocation-related action. These are provision-specific remedies; a first late filing does not automatically produce a freeze or a trading suspension.

An exchange measure under an LODR circular is different from a SEBI adjudication, a direction issued under another securities law, or a statutory penalty. A company can face more than one process if the facts support it, but the existence of an exchange fine does not prove that a separate adjudication will follow.
Can a company’s shares be suspended for a missed filing?
Trading suspension is possible in defined cases, but it is not an automatic consequence of every late compliance submission. The current rule must be matched to the exact LODR provision, the listed security, the duration and number of defaults, and the issuer’s response to notices. An exchange may first apply a fine or another remedial step, then consider stronger action if non-compliance continues or recurs.
A September 30, 2013 SEBI press release provides historical context. It described an earlier procedure involving per-day fines, movement to a trade-for-trade category after two consecutive quarters of non-compliance, a freeze of promoter or promoter-group holdings if the default continued, and eventual suspension with a limited trading window. SEBI explained that suspending trading could affect non-promoter investors because their usual exit route was closed. That historical description should not be presented as a universal current escalation ladder: later circulars, amendments, the current master circular, and the exchange’s notice govern today’s case.

Do not state that a company is automatically delisted, that trading stops immediately, or that all shareholders are locked in merely because one filing was late. Those outcomes require the applicable rule and facts to be established.
Why a depository obligation requires a separate analysis
The Depositories Act and related regulations address duties that are not interchangeable with an issuer’s LODR reporting obligations. The responsible party may be a registered depository, participant, issuer, or issuer agent, and the available action depends on the particular statutory section or regulation. SEBI’s regulations framework allows action against registered depositories or participants for specified defaults; it does not create one penalty for every filing made to a depository.
The narrow Section 19D example
A SEBI adjudication order quotes Section 19D of the Depositories Act for a specific failure to dematerialise securities or issue certificates within the applicable time. The quoted provision states a penalty of one lakh rupees for each day of continuing failure or one crore rupees, whichever is less. That is a narrow statutory example tied to the dematerialisation or certificate duty described in the order. It is not a general fine for a late LODR filing, a missed reconciliation statement, or any document sent to a depository.
Because statutory text and regulations can be amended, confirm the current wording, responsible entity, and factual conditions before relying on that amount in a live matter.

- Name the obligation. Record the filing title, the LODR regulation or statutory section, and whether the issue is late submission, total omission, inaccurate disclosure, or a data inconsistency.
- Identify the instrument and venue. Note whether the security is equity, debt, commercial paper, or another instrument, and identify every exchange on which it is listed. Requirements can vary by security type.
- Reconstruct the dates. Write down the original due date, the date the company actually submitted the filing (if it did), and the number of missed periods or days. Preserve system acknowledgements and the filed version.
- Locate the exchange notice. Capture the notice date, regulation cited, assessed fine, cure instructions, response deadline, and any direction about promoter holdings or trading.
- Check the default history. Look for earlier notices, unpaid or disputed fines, prior quarters with the same failure, and any evidence that the exchange has classified the problem as continuing or repetitive.
- Match the current procedure. Check the January 30, 2026 SEBI LODR master circular, the relevant enforcement table, the January 2020 SOP where applicable, and any later circular or exchange communication.
- Separate legal routes. Decide whether the matter is an exchange-administered LODR action, a Depositories Act or regulation issue, a SEBI adjudication, or more than one of these.
What the company should do after discovering the miss
File the missing information promptly
Submit the overdue disclosure through the prescribed exchange channel after checking the figures, dates, board approvals, and attachments. If the filing is unavailable because an underlying event has not been completed, explain that fact rather than submitting an inaccurate statement.
Respond to the notice on its own terms
Use the response deadline and format in the exchange communication. State when the company discovered the issue, what has been filed, why the delay occurred, and what control change will prevent recurrence. If the company disputes the fine or classification, preserve that objection while still meeting any filing or payment direction that is not stayed.
Protect the evidence trail
Keep the original due-date calculation, internal approval records, exchange acknowledgements, correspondence with the depository or participant, and copies of every corrected submission. A later review may turn on whether the company acted promptly and whether the disclosure was complete and accurate.
Check for linked defaults
A missed governance or financial filing can coincide with other overdue disclosures, shareholding reports, certificate work, or reconciliation duties. Review the same period across each applicable instrument and exchange, but do not label a separate item non-compliant until its own deadline and rule have been verified.
Escalate governance oversight
Material or repeated failures should be reported through the company’s compliance and board processes. The goal is not merely to upload one document; it is to stop a continuing default that could satisfy the conditions for stronger exchange action.
How the main fact patterns differ
| Fact pattern | What must be established | Potential direction of analysis |
|---|---|---|
| One late periodic LODR filing | Exact provision, days late, filing completeness, and notice terms | An exchange notice and the fine in the applicable schedule may be the immediate issue; escalation is not presumed. |
| Several missed periods or a continuing omission | Prior defaults, cure history, and whether the current SOP treats the breach as repetitive | Additional measures, including promoter-shareholding restrictions or trading-related procedures, may become relevant if the stated conditions are met. |
| Inaccurate or incomplete disclosure | What was stated, what was omitted, materiality, and whether a correction was filed | The matter may involve duties beyond a lateness fine, including a separate regulatory or adjudication process. |
| Depository dematerialisation or certificate delay | Responsible party, statutory section, applicable time limit, and continuing-failure period | The specific statutory penalty, such as the Section 19D example, can be considered only if its conditions actually match. |
| Another depository submission | Filing name, entity responsible, depository rule, and any notice | Do not import the Section 19D amount or an LODR fine without confirming the governing provision. |
What investors and counterparties should look for
Publicly available exchange notices and company disclosures can show whether a filing was late, whether a fine was assessed, and whether the issuer reported a cure. They may not, by themselves, establish the final legal position. Check the cited regulation, the response deadline, the listed security, and whether a later notice records payment, correction, withdrawal, or escalation.
For a specific company, the most reliable description is therefore factual and dated: identify the filing, original due date, actual submission date, notice, fine or direction, prior history, and current status. Avoid converting an unresolved notice into a claim that the company has been suspended, delisted, or found liable under a different statute.
