A US construction business should keep two connected layers of records: books that summarize gross income, deductions and credits, and the invoices, receipts, contracts, payment evidence, payroll files and asset histories that prove those figures. Organize the supporting records by tax year and, where useful, by project. Federal rules provide the baseline, but state requirements, worker status, contract clauses, lenders and customers can impose additional duties.
The two layers every construction business needs
Recordkeeping is not just a matter of saving tax receipts. A defensible system lets you trace a reported amount from the company’s books to the underlying document and, for project work, to the job that created the income or cost.

1. Books and transaction summaries
Maintain journals, ledgers or another suitable accounting system that clearly shows income and expenses. The records should summarize gross receipts, deductions and credits using a consistent accounting method appropriate to the business. Keep business and personal activity separate; mixing them makes both tax preparation and project analysis harder.

A spreadsheet or electronic accounting system can do the same when it preserves readable source documents and allows them to be retrieved.

2. Source documents behind each entry
A summary entry is not the whole record. Keep the documents that establish who was paid, how much, when, for what, and how the payment occurred. In many cases, several documents together provide complete support—for example, an invoice, a card statement and a receipt may each establish a different part of the transaction.
Income and customer-payment records
Keep enough information to show the amount and source of every customer receipt. A job file should normally connect the financial trail to the contract and the work performed, while recognizing that practical job-file organization is not an IRS mandate for every contractor.
- Customer contracts and approved amendments.
- Estimates, proposals and signed scopes of work.
- Invoices, progress billings, applications for payment and retainage details.
- Change orders, directives, credits and correspondence that changes the amount or scope billed.
- Receipt records, deposit slips and bank-deposit information.
- Credit-card slips, electronic payment confirmations and other payment-trail evidence.
- Information returns received or issued when relevant to the transaction.
For management, place these documents in the project folder and link the related deposits to the customer and invoice. That makes it possible to distinguish earned billings, retainage, customer advances and collections without relying on memory.
Purchases, materials and operating expenses
Construction costs are often spread across suppliers, subcontractors, equipment yards and employees. Preserve the documents that identify the payee, amount, date, description and proof of payment. The IRS recognizes that a combination of records may be needed to establish all of those elements.

| Record type | Examples to retain | Useful organization |
|---|---|---|
| Materials and supplies | Supplier invoices, delivery tickets, receipts, purchase orders and payment evidence | Tax year, expense category and project or cost code |
| Subcontractor costs | Subcontract, certificates or invoices, approved pay applications, lien-related payment records and electronic or canceled-check evidence | Subcontractor, project, contract phase and billing period |
| General operating expenses | Rent, utilities, insurance, office purchases, advertising, professional fees and account statements | Tax year and income or expense type |
| Travel, vehicles and meals | Receipts, mileage or usage logs where applicable, business purpose and payment records | Vehicle or employee, date and job or business purpose |
Keep invoices and receipts even when a bank or card statement shows that money left the account. The statement proves payment, but may not identify the items purchased or the business purpose. Conversely, an unpaid invoice does not by itself prove that payment occurred. Preserve the pieces that, together, support the deduction.
Connect costs to jobs without confusing management practice with law
Project-level coding is one of the most useful construction practices. Assign labor, materials, subcontractors, equipment and other direct costs to the relevant project when doing so helps measure job performance. Retain the original document as well as the coding or allocation record. A job-cost report is a management summary; it does not replace the invoice, receipt or payment evidence behind it.
Payroll and employment-tax files
Keep payroll records and the documents supporting wage calculations and employment-tax filings. The file should allow you to reconcile gross wages, withholdings, employer taxes, payments and filed returns.

- Payroll registers, pay stubs and records of deductions or benefits.
- Employee and worker-classification documentation relevant to the engagement.
- Employment-tax returns, deposit confirmations and year-end wage statements.
- Records supporting fringe benefits, advances, reimbursements and garnishments, when applicable.
The IRS says: “Keep all records of employment taxes for at least four years.” That is a specific minimum for employment-tax records, not a universal rule for every document held by a construction company.

Federal construction-contract payroll records
On covered federal construction contracts, Federal Acquisition Regulation clause 52.222-8 requires payrolls and related basic records for the work to be preserved for three years after the work. The clause applies to the covered contract and its labor records; it does not automatically govern every private construction job or every record in your business. Check the clause in the contract and any incorporated requirements before setting a destruction date.
Equipment, vehicles and other business assets
Asset records support depreciation and the calculation of gain or loss when property is sold, traded or otherwise disposed of. Keep a separate history for each significant item, including:
- Description, identification number and the date and method of acquisition.
- Purchase price, delivery and setup costs, and capital improvements.
- Depreciation schedules and other deductions claimed.
- Business-use information and any allocation between business and nonbusiness use.
- Date and method of disposition, sale or trade price, selling expenses and related closing documents.
For equipment bought with a loan, retain the purchase documents and financing records together. When an item is rebuilt or materially improved, preserve the invoices that establish the improvement cost rather than recording only the final total in an asset register.
How long should construction records be kept?
There is no single federal retention period for all construction-business records. The IRS explains that the necessary period depends on the action, expense or event documented and that records should be kept as long as needed to prove income or deductions. Apply the rule to the category and the circumstances, then check contract, state and local requirements.

| Record or situation | Federal rule or guidance | What to do |
|---|---|---|
| Employment-tax records | At least four years under current IRS recordkeeping guidance | Retain payroll and employment-tax support for at least that period, and longer if another obligation or unresolved matter requires it. |
| Payroll and basic records on covered federal construction work | Three years after the work under FAR 52.222-8 | Follow the contract clause for the covered project; do not apply it automatically to private work. |
| Income, expense and asset records | Period depends on the tax action, expense or event and the need to prove the item | Keep the supporting records while they may be relevant to a return, amended return, assessment, audit, asset basis or disposition, subject to applicable law and professional advice. |
| State, local, lender or customer records | May impose separate periods or access requirements | Review the governing requirement before destroying records, especially for public work, loans, disputes or warranties. |
Do not adopt a policy that simply says “keep everything three years.” That could be too short for some tax, asset or contract matters and unnecessarily vague for others. Put the retention trigger in the policy—for example, the end of a tax period, completion of covered work, asset disposition or resolution of a dispute—and document any legal hold that suspends destruction.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone.Paper, electronic and backup systems
Electronic records are acceptable when they follow the same basic principles as paper records. The format matters less than completeness, readability, integrity and retrieval.
Minimum controls for electronic files
- Capture the original invoice, receipt, contract, payroll report or payment confirmation, not only a manually typed summary.
- Use consistent file names or indexing that identifies the vendor or customer, date, amount and project when relevant.
- Keep an audit trail for edits, reclassifications and deleted or voided transactions.
- Back up the accounting data and the attached source documents in a separate location or service.
- Test that an ordinary user can open and read files after export, migration or a software change.
- Control access so that payroll, banking and customer information is limited to people who need it.
An accounting-software subscription by itself is not proof of a transaction. If the subscription ends or a file is corrupted, you still need a readable, complete copy of the records and a practical way to retrieve them. Export reports and attachments periodically when your system or contract requires it.

Paper folders can work for a small contractor with modest transaction volume, provided entries are legible, dated and cross-referenced to the supporting documents. Use separate folders or binders for each year, and preserve a project index so a cost or receipt can be found without searching every file. Scan critical documents when loss, fading or remote access is a concern; the scan should remain readable and complete.

A workable filing structure for a construction company
Choose a structure your staff will use consistently. One practical arrangement is:
- Company finance: general ledger, bank reconciliations, credit-card statements and filed tax returns.
- Revenue: customer contracts, billings, receipts, deposits, retainage and change documentation.
- Projects: job-cost reports and copies or links to the source records for labor, materials, subcontractors and equipment.
- Payroll: time records, payroll registers, tax filings, deposits and year-end forms.
- Assets: purchase files, improvement invoices, depreciation schedules and disposition documents.
- Compliance and contracts: public-work clauses, licenses, insurance certificates, lender covenants and correspondence affecting record access or retention.
Use a single transaction identifier or project code across invoices, payment records and job-cost reports. Reconcile bank and card accounts regularly so missing receipts or duplicate entries are found while the transaction is still familiar.
Common recordkeeping failures and their fixes
| Failure | Why it creates risk | Fix |
|---|---|---|
| Only keeping bank statements | They show cash movement but often omit the business purpose, items purchased or project allocation. | Attach invoices, receipts, contracts and coding support to the payment record. |
| Putting all costs in “materials” or “miscellaneous” | You cannot explain job profitability or substantiate unusual amounts. | Use consistent expense categories and project or cost codes. |
| Relying on a job-cost spreadsheet alone | A summary can contain errors and does not prove the underlying payment. | Link each summary line to the original source documents. |
| Mixing personal and business spending | It obscures the business purpose and complicates reconciliations. | Use dedicated business accounts and record any owner transactions separately. |
| Deleting payroll files after a generic period | Employment-tax and contract rules can differ. | Classify the record first, then apply the longest applicable requirement and any legal hold. |
| Changing software without an export plan | Attachments, audit trails or historical reports may become inaccessible. | Export readable reports and source documents, verify them, and retain the retrieval instructions. |
Before setting a destruction schedule
- List the record categories your business actually creates: revenue, expenses, payroll, assets, contracts and project files.
- Mark which records relate to employment taxes, covered federal work, open disputes, loans, warranties or unresolved returns.
- Check state and local rules, contract clauses and customer or lender requirements for each marked category.
- Set a retention trigger and owner for each category, rather than one blanket number.
- Pause destruction when an audit, claim, investigation, collection issue or other legal hold is pending.
- Review the schedule with your tax professional or attorney when the consequence of deleting a record is significant.
These steps turn recordkeeping into an operating control: the company can explain what it earned, what each job cost, how workers were paid and how an asset’s tax basis was calculated, without depending on a single employee’s inbox or memory.
Frequently Asked Questions
What records should a contractor keep for taxes?
Keep transaction summaries plus the source documents for income, purchases, materials, subcontractors, payroll, employment taxes and assets. Each document set should show the amount, date, business purpose or description, payee or customer and proof of payment where applicable.
How long should construction payroll records be kept?
Employment-tax records must be kept for at least four years under IRS guidance. Payroll and related basic records for covered federal construction work must be preserved for three years after the work under FAR 52.222-8. The applicable contract, state rule or unresolved matter may require a longer period.
Is electronic recordkeeping acceptable for a construction business?
Yes. IRS guidance permits a paper or electronic system suited to the business if it clearly shows income and expenses. Electronic files must remain complete, readable, secure and retrievable, with source documents preserved rather than only typed summaries.
