There is no universal list of recoverable costs. The signed adjustment clause, the contract’s governing law, and the type of adjustment control. A clause may permit a revision for specified labor or material costs, an identified index, or documented costs caused by a directed change. It may also exclude indirect costs, overhead, profit, or amounts already included in another rate. Read the actual clause before treating any cost increase as chargeable.
What “price adjustment” means in a construction contract
Price adjustment is a general term for several different contract mechanisms. The answer changes depending on whether you are dealing with market escalation, a directed change in scope, a labor-rate change, a new tax or legal requirement, or a delay-related claim. A contractor cannot usually convert an unfavorable cost movement into a contract increase simply by showing that its expenses rose.

- Economic price adjustment: The contract price moves up or down when a defined contingency occurs, using an established price, specified actual labor or material costs, or an identified cost index.
- Change-order adjustment: The price is remeasured because the owner or contracting officer changed the work, quantities, method, or time requirements.
- Other contractual adjustments: Separate provisions may address taxes, duties, statutory wage changes, insurance, bonds, or delay. Their treatment must come from the relevant clause and applicable law.
Federal Acquisition Regulation (FAR) Subpart 16.203 describes a fixed-price economic price adjustment as providing for an “upward or downward revision of the stated contract price upon the occurrence of specified contingencies.” That federal framework is an example, not an automatic entitlement in a private construction contract.

Before sorting receipts into “allowable” and “unallowable” categories, identify the documents that create the right to adjust the price. Review the executed contract, incorporated general and supplementary conditions, specifications, bid forms, amendments, accepted alternates, and any change-order procedure. A later quotation, estimate, or industry custom cannot replace an express requirement in the agreement.

Jurisdiction matters as well. Federal clauses, state public-works rules, and private contracts can use different definitions of direct cost, markup, notice, and proof. A federal agency clause may be persuasive as an example of cost documentation while having no application to a private project or a non-U.S. contract.
Look for language that answers these questions:
- What event triggers an adjustment?
- Which labor, material, equipment, or other cost items are identified?
- Is the calculation based on actual costs, an established price, or an index?
- What baseline date, quantities, rates, or schedules apply?
- Is there a threshold, cap, sharing percentage, or downward-adjustment rule?
- When and how must notice be given?
- What records, invoices, payroll data, quotations, or calculations must be submitted?
- Are overhead, profit, subcontractor markups, indirect costs, or contingency expressly included or excluded?
Adjustment mechanisms and their cost bases
| Mechanism | Typical trigger | Cost basis described in the contract | Evidence usually required |
|---|---|---|---|
| Established-price adjustment | A specified market or published price changes | The established price or other defined reference | Contract baseline, reference price, change date, and calculation |
| Actual-cost labor or material adjustment | The contractor experiences an increase or decrease in specified costs during performance | Actual covered labor or material costs, subject to the clause’s limits | Payroll, invoices, quantities, rates, and allocation support |
| Index-based adjustment | An identified labor or material index moves | The index named in the contract and its stated formula | Index publications, baseline and current readings, covered quantities, and formula |
| Directed change-order adjustment | Owner or contracting officer changes scope, quantities, means, or time | Priced changed work and the allowed burdens or markups | Itemized proposal tied to drawings, instructions, labor, equipment, and materials |
FAR Subpart 16.203 identifies the first three methods. It describes their use where market or labor stability is seriously uncertain over an extended performance period and the contingencies can be identified separately. The clause still controls which items, quantities, dates, thresholds, and limits apply.
Cost categories that may be included
Labor and labor burdens
Labor can qualify when the clause identifies the relevant trade, occupation, wage rate, hours, or labor-cost change. A change-order proposal should show the work activity, trade or employer, hours, hourly rate, and any permitted labor burden. Burdens can include items that the clause specifically allows, but a burden already embedded in a composite rate or overhead factor cannot normally be charged again.

Do not substitute a general wage statistic for the rate or index named in the contract. If the clause uses actual costs, retain payroll and time records; if it uses an index, use the stated index and dates instead.
Materials
Material escalation is potentially recoverable when the material is identified, the quantity is covered, and the trigger and calculation method are satisfied. Depending on the clause, the proof may be a supplier invoice, a quotation, an established price, or an identified index. The proposal should distinguish the baseline unit price from the current unit price and show the quantity to which the difference applies.

A general statement that “materials went up” is not enough. Check whether the material was purchased, stored, or delivered within the period covered by the clause; whether the contract fixes quantities; and whether the clause requires a threshold before any adjustment applies. If deleted work reduces the covered quantity, a downward adjustment may be required.
Equipment
Equipment costs may be included in a changed-work proposal when the equipment is required to perform that work and the clause permits the charge. The supporting breakdown should identify the equipment, usage or standby period, applicable rental or ownership rate, and operating costs if separately allowed.

Use the rate method stated in the contract or its incorporated pricing guide. Equipment already included in a unit price or labor rate should not be billed a second time.
Delivery, shop drawings, submittals, and other direct costs
The General Services Administration (GSA) change clause is a useful federal example of the detail that may be requested. It lists delivery costs when delivery is not already included in material unit costs, preparation or revision of shop drawings and submittals, and other direct costs tied to the changed work.
These items need a direct connection to the change. Identify the document, shipment, service, or task, explain why it resulted from the instruction, and remove any amount already included in a material price, labor burden, or overhead allocation.

Time-related costs
Some change clauses allow specified time-related costs that are not treated as direct costs and are not already included in overhead. This can cover defined costs associated with the time impact of changed work, but it does not automatically establish entitlement to every delay, disruption, or extended-overhead claim.
Separate the time effect caused by the change from unrelated project slippage. Follow the contract’s schedule-update, notice, and contemporaneous-record requirements, and identify the period and cost calculation rather than applying a broad percentage without contractual support.
Overhead, profit, and subcontractor markups
Overhead and profit are neither automatically recoverable nor automatically excluded. Their treatment depends on the exact clause and the pricing level at which the work is performed.
The GSA example calls for itemized direct-cost support and restricts duplicative overhead or profit markups on a subcontractor’s overhead or profit. In contrast, a Department of Veterans Affairs (VA) construction-change supplement provides stated overhead and profit allowances for the performing party under that clause. These different federal formulations show why a markup percentage from one contract cannot be transferred to another.

- Direct labor, materials, equipment, delivery, and other direct costs.
- Labor burdens or other expressly permitted burdens.
- Prime-contractor overhead, if the clause allows it.
- Subcontractor overhead and profit, subject to any anti-duplication rule.
- Prime-contractor profit, if permitted.
Do not apply a prime markup to a subcontractor markup that the clause prohibits, and do not hide overhead inside a labor or equipment rate and then add it again as a separate percentage.
Costs that require express contract support
The federal examples cited above do not establish a universal rule for every category sometimes presented in an adjustment request. Taxes, duties, insurance, bonds, escalation contingencies, and general indirect costs require a clause-specific analysis. The same is true of financing expense, home-office allocations, productivity loss, and extended project administration.
For each disputed category, ask whether the contract:
- Names the category directly;
- Includes it within an allowed rate or markup;
- Excludes it from the adjustment;
- Requires proof of actual payment or a specified calculation; or
- Assigns the risk elsewhere through a contingency, allowance, or fixed-price provision.
If the documents do not answer the question, do not present the amount as an established entitlement. Mark it as a contract-interpretation issue and obtain advice under the governing law.

How to prepare a defensible price-adjustment calculation
- Identify the governing documents. Record the jurisdiction, project type, contract form, amendments, incorporated clauses, and exact adjustment provision.
- Classify the request. State whether it is indexed escalation, an actual labor or material adjustment, a directed change order, a tax or legal change, or a delay-related claim. Do not combine different mechanisms in one unexplained total.
- Define the trigger and baseline. Record the event date, baseline date, covered performance period, quantities, rates, index publication, threshold, cap, and any sharing formula.
- Build an itemized cost breakdown. Separate labor by trade or occupation, hours, rates, and burdens; materials by description, quantity, unit price, and supplier support; equipment by item and usage; and other direct costs by task.
- Reconcile the proposal to the changed work. Tie every line to a drawing revision, written direction, schedule activity, or covered index. Remove work that was not changed and apply required credits for deleted quantities.
- Test for duplication. Check whether delivery is already in the material unit price, whether labor burdens are in the hourly rate, whether overhead is in a composite rate, and whether a subcontractor markup is being marked up again.
- Apply permitted markups and exclusions. Add only the overhead, profit, burdens, or time-related costs the clause allows, in the order and at the rates it specifies.
- Meet notice and submission deadlines. Submit the required notice, reservation of rights, detailed proposal, and supporting records within the contractual time limits. A well-supported calculation can still be barred by late notice where the contract makes notice a condition.
- Preserve the records. Keep payroll, delivery tickets, invoices, purchase orders, quotations, equipment logs, daily reports, submittal records, schedule updates, and correspondence that establish causation and amount.
What the federal examples illustrate
FAR economic price adjustment
FAR Subpart 16.203 explains that an economic price adjustment revises a fixed price upward or downward when specified contingencies occur. It recognizes adjustments based on established prices, actual increases or decreases in specified labor or material costs that the contractor experiences, and identified labor or material cost standards or indexes. A related federal labor-and-material clause ties the calculation to scheduled costs and quantities and excludes categories stated in that clause, including indirect cost other than a defined fringe-benefit exception and profit in the referenced actual-cost method.

Those exclusions, thresholds, and limits belong to the particular federal clause. They should not be generalized to a private agreement.
GSA change-order proposal
The GSA construction-change example demonstrates the level of detail an agency may request: labor by trade, employer, or occupation; hours; burdened hourly rates and applied labor burdens; equipment required for the work; shop drawings and submittals; delivery not already included in material unit costs; specified time-related costs outside direct-cost and overhead treatment; and other direct costs. It also limits duplicative overhead and profit on subcontractor amounts.
VA construction-change supplement
The VA supplement uses an itemized breakdown of materials, quantities, unit prices, labor separated by trade, and construction equipment, with stated overhead and profit allowances for the performing party under that clause. Its different markup treatment reinforces the practical rule: use the executed clause, not a remembered percentage from another federal or private project.
Common mistakes that weaken an adjustment request
- Relying on a market increase without identifying the contractual trigger.
- Using an index that the contract does not name.
- Applying current prices to quantities outside the covered work or period.
- Combining direct costs, overhead, profit, and contingency in one unsupported percentage.
- Charging delivery, burdens, or subcontractor markup twice.
- Ignoring downward adjustments for deleted work or falling index values.
- Submitting invoices without showing the baseline, formula, and connection to the changed work.
- Assuming a federal clause controls a private project or a different jurisdiction.
When professional review is warranted
Have qualified local construction counsel or a quantity surveyor review the clause and records when entitlement is disputed, the notice deadline is at issue, the calculation involves substantial delay or disruption, or the project uses unfamiliar public-works requirements. A construction claims consultant can help organize the cost record, but the contract and governing law remain the source of the right to payment.
The Bottom Line
A construction contract price adjustment can include only the costs, rates, indexes, markups, and conditions authorized by the executed clause and applicable law. Labor, materials, equipment, delivery, submittals, specified time-related costs, overhead, and profit may each be included in some contracts and excluded or limited in others. Build an itemized, non-duplicative calculation, meet the notice rules, and apply any required downward adjustment.
