What alternatives can a city consider before selling public parkland?

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Before selling public parkland, a city can examine a land exchange, a lease or easement that preserves public use, a redesign or relocation of the project, a conservation arrangement with another public agency, and parkland dedication or cash-in-lieu mechanisms that provide replacement land or improvements. It can also retain the parcel and change the project’s funding or phasing. The right choice depends on the parcel’s dedication and title history, local charter and statutory authority, environmental obligations, public-access needs, replacement-land quality, and rules governing approvals and proceeds.

No single safeguard applies everywhere. Toronto, Portland, and British Columbia use different tests and procedures. Examples from those jurisdictions are useful decision models, not a substitute for the law of the city considering the transaction.

Why a sale should be tested against other forms of change

A fee-simple sale transfers ownership permanently. That is different from granting a defined easement, leasing space above or below a park, exchanging one public parcel for another, removing a dedication, or accepting cash for a development-related parkland obligation. A city may have authority for one transaction but not another, and a long-term lease or easement may still be treated as a disposition under local policy.

The practical question is not simply whether a project needs land. It is whether the project needs this land, in this form, for this duration, and with what effect on public use. A defensible decision record should show that the city tested less irreversible options before giving up ownership.

Start with the parcel and the governing law

Confirm dedication, title, and restrictions

Identify how the land entered public ownership. A parcel dedicated as parkland during subdivision may be subject to a dedication statute or a special removal process. Other land may be held under a charter, trust, grant, covenant, conservation restriction, funding agreement, or environmental approval that limits disposal. Review the title, plan of subdivision, dedication language, easements, covenants, encumbrances, and any conditions attached to acquisition or capital funding.

Map the legal boundary as well as the operational one. A fence, path, play area, tree stand, drainage feature, or informal access route may extend beyond the parcel shown in a project concept. The city should know which rights are being transferred and which rights remain.

Identify the decision-maker and public process

Determine whether approval belongs to council, a planning authority, a parks board, an electorate, a minister, or more than one body. Some systems require a surplus declaration before a sale; others require a bylaw, public notice, hearing, referendum, or elector approval. A transaction can fail even when the project is desirable if the wrong procedure is used.

Check whether local policy treats a permanent easement or a lease longer than a stated term as a disposal. Toronto’s land-disposal framework, for example, includes transfers of ownership and permanent or long-term interests such as an easement or a lease longer than 21 years. That threshold is Toronto-specific and should not be generalized.

Define the public functions that must survive

Inventory current and potential functions: neighborhood access, sports and play space, walking routes, shade, habitat, stormwater management, flood storage, cultural use, emergency access, and connections to other open spaces. A replacement parcel that is equal in area but inaccessible, steep, contaminated, isolated, or ecologically inferior may not replace the original park’s utility.

Check proceeds and replacement obligations

Some laws restrict where sale proceeds may go. British Columbia guidance, for the category of parkland dedicated on subdivision, says elector approval is required to dispose of the parkland and directs sale proceeds to a parkland acquisition reserve fund. The same guidance notes an approval requirement for removing park dedication by bylaw. Those rules depend on the land’s history and the province’s current statutes; they are not a universal municipal rule.

Alternative 1: Exchange the parcel for better or equivalent parkland

An exchange can preserve the public open-space system without leaving the city with less usable parkland. The city conveys the affected parcel, or an agreed interest in it, and receives nearby land that is equivalent or larger in area and comparable or superior in green-space utility.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Toronto’s Official Plan says city-owned lands in Parks and Open Space Areas may be exchanged for other nearby land of equivalent or larger area and comparable or superior green-space utility. The plan otherwise discourages sale or disposal and limits exceptions. The Toronto criteria illustrate the questions any city should ask:

  • One-Handed Loading - Keep one hand free with a 1/4 in. hex chuck that accepts 1 in. bit tips
  • Proximity: Is the replacement close enough to serve the same residents and maintain a connected park system?
  • Area: Is it at least as large, after excluding slopes, setbacks, hazards, or land that cannot be programmed?
  • Utility: Can it support comparable recreation, access, shade, habitat, drainage, and gathering functions?
  • Timing: Will the replacement be acquired, serviced, and open before the existing park function is lost?
  • Certainty: Is the city receiving clear title and enforceable commitments rather than a future promise?

An appraisal alone cannot establish equivalence. The city should combine a land survey, accessibility analysis, ecological assessment, programming plan, maintenance estimate, and public review. If the replacement is larger but remote, the council record should explain why the location does not undermine neighborhood access.

Alternative 2: Grant a lease or easement instead of selling the land

A project may need a defined right to occupy, cross, build under, or build over parkland rather than ownership of the surface. A lease or easement can limit the footprint, preserve city title, and specify restoration, maintenance, insurance, public access, and termination duties.

Toronto’s disposal framework recognizes easements and long-term interests as transactions that may require the city’s disposal process. Portland’s charter provides a more specific example: “The City may rent or lease area below or above parks, public places, streets, viaducts, tunnels and other facilities, where the public use is preserved.” Portland’s rule does not automatically authorize a similar lease in another city.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Questions for an easement

  • What exact subsurface, overhead, surface, access, or construction rights are needed?
  • What is the term, renewal structure, and termination right?
  • Will public paths, fields, playgrounds, and facilities remain open, and when may construction or maintenance temporarily close them?
  • Who pays for inspection, utilities, security, repairs, tree replacement, and restoration?
  • What happens if the project is abandoned, enlarged, or used for a different purpose?

A narrow easement is not automatically a minor transaction. Its construction staging, ventilation structures, emergency access, noise, lighting, and maintenance corridors may have a larger practical effect than the legal footprint. Require plans and performance standards, not only a metes-and-bounds description.

Questions for a lease

A lease should distinguish exclusive areas from shared areas and state how rent is calculated, adjusted, and spent. Include public-access hours, operating standards, insurance, indemnity, subletting limits, inspection rights, default remedies, restoration security, and end-of-term obligations. If the term is long enough to be treated as a disposition, follow the same public process and legal review as a sale.

Alternative 3: Redesign, relocate, or change the route

The strongest alternative may be to avoid the park altogether. A route shift, smaller structure, different construction method, phased build, underground alignment, shared facility, or use of already disturbed land can remove the need for a transfer.

Toronto’s policy for a particular class of essential underground public works or utility easement uses a no-reasonable-alternative condition. It also addresses restoration, enhancement, and public access. That is an example of a local test, not a universal legal standard. A city considering a similar project should require the proponent to document alternatives rather than accept a conclusory statement that the park is the only feasible location.

What an alternatives analysis should contain

  • A map of alignments and sites considered, including public and private land.
  • Engineering feasibility, construction risk, schedule, and lifecycle cost for each option.
  • Temporary and permanent effects on trees, habitat, drainage, accessibility, noise, and recreation.
  • Land acquisition, utility relocation, permitting, and mitigation requirements.
  • The reason each option was rejected, supported by evidence that the council can evaluate.

Cost is relevant but should not be the only measure. A cheaper route that permanently fragments a park may create maintenance and social costs that do not appear in the project budget. Conversely, a more expensive route may be justified if it avoids irreversible loss and preserves a heavily used neighborhood asset.

Alternative 4: Use a public-agency conservation arrangement

A conservation arrangement can support a project that restores, protects, or manages natural features without selling the park to a private owner. The city might cooperate with a regional park authority, conservation agency, utility, or another public body under an agreement that defines ownership, management, public access, restoration, monitoring, and funding.

Toronto’s Official Plan identifies a narrow public-agency conservation exception with applicable criteria. The existence of that exception does not mean every conservation proposal qualifies. The agreement should identify the public purpose, the features being protected, the agency responsible for each obligation, and the remedy if restoration or monitoring is not performed.

Safeguards for a conservation arrangement

  • Keep public ownership or secure a durable public-interest interest.
  • Describe baseline ecological conditions and measurable restoration targets.
  • Set inspection, reporting, and adaptive-management requirements.
  • Protect public access unless a documented safety or habitat reason requires a restriction.
  • Fund long-term stewardship, not only initial construction.
  • Provide a reversion or enforcement mechanism if the public purpose is abandoned.

Conservation status should not be used to obscure a loss of recreation or access. The city should publish both the ecological gains and the public-use changes so residents can assess the trade-off.

Alternative 5: Require parkland dedication or accept cash-in-lieu where authorized

Development-related parkland mechanisms can produce land or funding without selling an existing park. Depending on local law, a city may require dedication on the development site, agree to a nearby off-site dedication, or accept cash-in-lieu for acquiring land or improving park amenities.

Toronto’s current guidance describes three ways an applicable development parkland requirement can be satisfied: on-site dedication; nearby off-site dedication by agreement; and cash-in-lieu at the city’s discretion. It says the levy can support purchasing land for new parks or improving existing park amenities. Cash-in-lieu is therefore a funding tool, not a direct replacement for the same parcel.

Toronto figures and their limits

In the Toronto context, the guidance describes Planning Act rates of 2% for non-residential uses and 5% for residential uses. It also describes an alternative rate of one hectare for each 600 net residential units in designated Parkland Acquisition Priority Areas, subject to stated conditions and caps. In that specified alternative-rate context, the page describes caps of 10% for sites five hectares or less and 15% for sites greater than five hectares.

These figures are Toronto policy figures, not standard rates for every city. Before relying on a dedication or cash-in-lieu strategy, confirm the enabling statute, eligible development types, valuation method, geographic spending limits, timing, caps, and whether council has discretion to accept money rather than land.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Do not confuse funding with replacement

Cash can finance a future acquisition or an improvement such as lighting, drainage, planting, or accessibility. It may not preserve the original neighborhood’s walking distance, mature canopy, habitat, or cultural meaning. The council should state whether the objective is replacement land, improved service elsewhere, or a broader system investment, and then measure the result against that objective.

Alternative 6: Retain the park and change the project’s funding or phasing

The city can keep the parcel and pursue a different capital plan, operating arrangement, grant strategy, borrowing schedule, development agreement, or project phase. The reviewed municipal examples do not establish a universal alternative funding stream, so a city should identify only funding sources that its own law and budget support.

Phasing can reduce the immediate land requirement. A temporary facility, shared-use agreement, staged construction footprint, or pilot project may allow the city to test demand before making an irreversible transfer. Any temporary use still needs a restoration budget, end date, and public-access plan.

Criterion Questions for council and the public
Ownership and access Does the city retain title? If not, are public paths, facilities, and hours protected by enforceable terms?
Replacement quantity and location Is replacement land nearby, available before loss, and at least equivalent in usable area?
Park utility Can the option provide comparable recreation, shade, habitat, drainage, gathering, and connectivity?
Ecology and restoration What trees, habitat, soils, and water functions are affected, and who will restore and monitor them?
Project necessity Has the proponent shown that the project needs this site and this type of property interest?
Fiscal effect What are acquisition, construction, maintenance, insurance, restoration, and lifecycle costs?
Legal approvals Are surplus declarations, bylaws, hearings, elector approvals, environmental permits, or agency consents required?
Public involvement Can residents review the alternatives, maps, agreements, and mitigation before a decision?
Proceeds restrictions Where may money be deposited or spent, and is a reserve fund required?
Reversibility Can the city end, relocate, or restore the use if circumstances change?

Rankings should be transparent. The examples reviewed here do not establish one universally best option; local law, neighborhood needs, ecological conditions, and project purpose determine the result.

A practical pre-sale process

  1. Define the public purpose. Describe the project, the service it provides, the area required, and the date by which access is needed.
  2. Verify the parcel. Obtain title, survey, dedication history, restrictions, leases, easements, environmental records, and an inventory of current uses.
  3. Identify governing rules. Confirm charter provisions, statutes, official-plan policies, disposal codes, dedication laws, environmental requirements, and approval thresholds.
  4. Map public functions. Record paths, recreation, trees, habitat, drainage, access routes, cultural uses, and links to other parks.
  5. Develop alternatives. Test exchange, lease, easement, redesign, relocation, conservation arrangements, dedication, cash-in-lieu, retention, and phasing where each is legally plausible.
  6. Require comparable evidence. Obtain engineering, ecological, accessibility, valuation, maintenance, and lifecycle-cost information for each option.
  7. Design enforceable terms. Put access, restoration, security, monitoring, replacement timing, maintenance, default, and reversion obligations in draft agreements.
  8. Conduct the required public process. Publish maps, the alternatives analysis, staff recommendations, draft terms, and proceeds plan early enough for meaningful comment.
  9. Make findings on the record. State why the selected option satisfies legal criteria and why less irreversible alternatives were rejected.
  10. Monitor delivery. Track replacement-land acquisition, restoration, access, spending, and maintenance after approval; report failures and corrective action publicly.

What the local examples show

Toronto: exchange and narrow exceptions

Toronto’s Official Plan discourages sale or disposal of publicly owned lands in Parks and Open Space Areas. Policy 4.3.8 states that no city-owned lands in those areas will be sold or disposed of unless the criteria in Policy 4.3.9 are satisfied. The plan allows an exchange for nearby land of equivalent or larger area and comparable or superior green-space utility. It also describes narrow circumstances involving a public-agency conservation project or an essential underground public-works or utility easement where no reasonable alternative exists, along with restoration, enhancement, and other plan criteria. For the described easement exception, public access is not to be restricted except during construction and maintenance.

A September 2024 Toronto decision report describes proposed Official Plan Amendment 528 as a way to allow limited qualifying transactions without a site-specific amendment. The report says other project types, including public transit projects, would still require a site-specific amendment under the recommendation. It also says the amendment would not itself declare city-owned land surplus or replace the existing Municipal Code disposal framework. Because that was a 2024 report, anyone relying on its procedural effect in a current case should verify whether and how it was implemented.

Portland: leasing space while preserving use

Portland’s charter expressly permits renting or leasing area below or above parks and other public facilities when public use is preserved. The charter also says a park dedication may not be terminated unless City Council finds that the area is no longer needed for the dedication purpose, another public use has a greater need, or another location would further public use. After termination, the property may be leased, sold, or exchanged subject to the charter. The charter page notes an amendment effective January 1, 2025. These are Portland rules and do not establish authority in another municipality.

British Columbia: elector approval and reserve funds

British Columbia’s official local-government guidance treats parkland dedicated on subdivision differently from an ordinary municipal parcel. It says elector approval is required to dispose of that parkland and directs sale proceeds to a parkland acquisition reserve fund. It also notes approval requirements for removing park dedication by bylaw. Applying those points requires confirmation of the parcel’s land history and the current provincial legislation.

Common failure modes and how to correct them

Calling a cash payment a replacement park

Correct the record by identifying what the money will buy, where it can be spent, when the acquisition will occur, and which original functions will remain unmet.

Assuming a lease avoids disposal rules

Check the local definition of disposition and the term threshold. A long-term lease or easement may require the same notice, surplus declaration, or council approval as a sale.

Using area as the only equivalence test

Compare usable acreage, access, topography, programming capacity, canopy, habitat, drainage, and travel distance. Document the replacement before approving the transfer.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Accepting a no-alternative claim without testing it

Require alignments, engineering assumptions, cost ranges, construction impacts, and written reasons for rejecting each feasible route or site.

Leaving restoration to a future promise

Set measurable standards, responsible parties, funding security, inspection rights, deadlines, and remedies in the agreement and approval conditions.

Relying on an outdated policy description

Check the current charter, bylaw, official plan, statute, and implementation status immediately before a transaction. Proposed amendments and effective dates matter.

Minimum contents of a defensible council record

  • Parcel title, dedication history, map, survey, and existing restrictions.
  • The project’s documented need for land and the consequences of not proceeding.
  • A comparison of exchange, lease, easement, redesign, relocation, conservation, dedication, cash-in-lieu, retention, and phasing options that are legally available.
  • Public-access, recreation, ecological, accessibility, cultural, and maintenance impacts.
  • Replacement-land details, including location, usable area, timing, title, servicing, and stewardship.
  • Environmental assessment, restoration commitments, monitoring, and financial security.
  • Required approvals, public notices, hearings, elector processes, and agency consents.
  • The permitted destination and accounting treatment of any proceeds.
  • Draft agreements with default, termination, reversion, and enforcement provisions.
  • Findings explaining why the selected option best protects the public purpose under the city’s law.

For most cities, the prudent sequence is to preserve the park first, narrow the property interest second, redesign the project third, and consider a permanent sale only after the alternatives analysis and required public process show why less irreversible choices cannot meet the public purpose.
