Short answer: A trademark injunction is an enforceable federal court order that prohibits or requires specifically described conduct. For a building-material buyer or dealer, it does not automatically apply merely because the person handles the same product. The actual order, notice, the person’s relationship to a party, and any active participation with a covered person determine the practical risk. Read the operative injunction—not just a complaint, lawsuit announcement, or sales warning—before deciding whether inventory may be advertised, sold, transferred, or retained.
What a trademark injunction does
In a civil action under the federal Lanham Act, a court with jurisdiction may grant an injunction under equitable principles and on terms it considers reasonable. The purpose is to prevent a specified violation of trademark rights, including violations covered by 15 U.S.C. § 1125(a), (c), or (d). The statute describes the court’s authority this way:
As an Amazon Associate I earn from qualifying purchases.
“The several courts vested with jurisdiction of civil actions arising under this chapter shall have power to grant injunctions, according to the principles of equity and upon such terms as the court may deem reasonable, to prevent the violation of any right of the registrant of a mark registered in the Patent and Trademark Office or to prevent a violation under subsection (a), (c), or (d) of section 1125 of this title.”
The order can stop conduct, require conduct, or impose conditions. Depending on the case, it might address use of a name or logo, packaging, product listings, advertising, representations about affiliation, distribution channels, destruction or disposition of materials, or other acts identified by the judge. The order’s operative language controls. A trademark dispute, demand letter, complaint, or preliminary allegation is not itself an injunction.

Why the exact wording matters
Rule 65(d)(1) requires specific terms
Federal Rule of Civil Procedure 65(d)(1) requires an injunction to state why it was issued, state its terms specifically, and describe in reasonable detail the acts restrained or required. That specificity is important for a dealer deciding what to do with stock. An order might prohibit use of a mark in a catalog but say nothing about physical inventory; another might expressly address possession, shipment, online listings, customer communications, or product labels.
Do not infer the order’s scope from a headline or from the allegations in the underlying case. Obtain the signed order and examine every operative paragraph, including definitions, exhibits, incorporated schedules, and later amendments. If a provision is unclear, ask counsel to interpret it before taking an action that could be treated as noncompliance.

Temporary, preliminary, and permanent relief are different
- Temporary restraining order (TRO): short-term emergency relief that can restrict conduct while the court addresses further proceedings. Its duration and renewal terms are controlled by the order and applicable procedure.
- Preliminary injunction: relief issued while the case continues. It can remain in force until a stated date, a further order, or final resolution, depending on its terms.
- Permanent injunction: relief entered after the court resolves the relevant claims or reaches a settlement-based judgment. It may contain continuing restrictions and reporting duties.
Section 1116(a) includes a rebuttable presumption of irreparable harm in specified circumstances: after a finding of a covered violation for permanent relief, and after a finding of likelihood of success on the merits for preliminary-injunction or TRO relief involving a covered violation. That presumption concerns one part of the court’s equitable analysis; it does not mean every trademark disagreement produces an injunction.
Who can be bound when you are not the named defendant?
Rule 65(d)(2) limits the persons bound by an injunction to specified categories that receive actual notice by personal service or otherwise:

- the parties to the action;
- the parties’ officers, agents, servants, employees, and attorneys; and
- other persons in active concert or participation with someone in either of the first two categories.
A buyer or dealer is therefore not automatically bound simply because they purchase, stock, advertise, sell, or distribute the same type of building material. Nonparty status, however, does not answer every question. A nonparty who has actual notice and is acting in active concert or participation with a covered party may fall within the order’s reach. Whether that standard is met depends on the facts and the language of the particular order.
Questions that determine practical exposure
- Are you named as a party, or identified in the order by role or entity?
- How did you receive actual notice, and when?
- Does the order define “defendant,” “affiliate,” “agent,” “distributor,” “seller,” “product,” or another term that includes your activities?
- Are you carrying out instructions, transactions, fulfillment, advertising, or transfers for a person already covered by the order?
- Does the order expressly address third-party inventory, downstream sales, online listings, customer orders, or destruction and surrender?
- Have you continued an activity after receiving notice that could be characterized as coordinated participation with a restrained person?
These questions organize a risk review; they do not decide it. A court’s interpretation and the case-specific facts control.
What a dealer should do after learning of an injunction
- Secure the complete order. Obtain the signed TRO, preliminary injunction, permanent injunction, judgment, exhibits, and any later modification. Confirm the court, case number, date, and effective time.
- Identify the operative prohibitions and requirements. Mark each paragraph that addresses names, marks, packaging, labels, advertising, websites, point-of-sale material, shipments, returns, inventory, records, or communications.
- Map the order to your operations. List every affected SKU, private-label item, listing, quotation, purchase order, warehouse location, shipment, and customer commitment. Separate conduct that occurred before notice from conduct planned afterward.
- Pause uncertain activity. If a planned sale, transfer, advertisement, relabeling, or shipment could fall within a restrained act, place it on hold while counsel reviews the order. Preserve the goods rather than moving or altering them without direction.
- Preserve records. Keep purchase invoices, supplier communications, lot numbers, photographs, listings, customer orders, shipping records, and the date and method by which notice was received. Do not delete or rewrite records.
- Notify the right internal people. Tell purchasing, sales, ecommerce, warehouse, marketing, customer service, and logistics staff what activity is on hold. Limit distribution of the order to people who need it, but do not give conflicting informal instructions.
- Ask counsel targeted questions. Provide the order and your transaction map. Ask specifically whether you are bound, what conduct must stop, how existing inventory should be handled, and whether the court requires a notice, certification, report, surrender, or other action.
- Document the decision. Record the interpretation received, the controls implemented, the responsible person, and the date on which each control will be reviewed.
A dealer should not assume that changing a product description, removing a logo, moving stock to another warehouse, or selling through a different channel cures a violation. Those steps may themselves implicate the order or evidence. Follow the written terms and professional advice.
Inventory, shipments, and customer orders
Existing stock
An injunction may or may not address inventory already in a dealer’s possession. Check for language requiring removal from sale, return, surrender, destruction, relabeling, segregation, or a court-approved disposition. If no inventory provision appears, that silence is not permission to ignore other restrained conduct, such as advertising the goods under a protected mark or fulfilling an order through a covered supplier.

Goods in transit and open orders
Review purchase orders, bills of lading, delivery appointments, drop-ship instructions, and customer contracts. Determine whether a shipment was initiated before notice, whether title or possession has transferred, and whether a covered party is involved in fulfillment. These facts can affect the analysis, but they do not create a safe harbor by themselves. Hold disputed shipments when the order or counsel directs you to do so, and keep a written record of the hold.
Listings and advertising
Search every channel that a customer can see: website pages, marketplace listings, price sheets, catalogs, social posts, paid ads, email templates, signage, and printed brochures. An order directed at “use” of a mark may reach more than a product’s physical label. Remove or edit material only in a way consistent with the order; preserve a copy for your records before changing it.

When seizure may be involved
Section 1116(d) provides a separate, conditional remedy in a civil action involving use of a counterfeit mark in connection with the sale, offering for sale, or distribution of goods or services. On an ex parte application, a court may authorize seizure of goods and counterfeit marks involved in the alleged violation, certain means used to make the marks, and related records, subject to statutory requirements.
This remedy is not a routine consequence of every trademark injunction and is not a finding that building materials generally are counterfeit. The statute’s definition for this subsection includes specific conditions concerning a counterfeit of a qualifying registered mark and excludes marks used on goods whose manufacturer or producer was authorized to use the mark for that type of goods. The court’s seizure order and the statute’s requirements govern.

If an authorized officer or process server presents a seizure order, do not obstruct the process or conceal, move, destroy, relabel, or dispose of items covered by it. Read the inventory and scope in the order, request a copy, identify a company contact, and promptly involve counsel. Keep separate records of what was taken, what remained, and any business interruption.

Section 1116(a) permits an injunction to direct a defendant to file and serve a written report under oath describing the manner and form of compliance. The statutory period is thirty days after service unless the court sets a longer period. This reporting provision is optional: it applies only when the order includes it.

Common mistakes and safer alternatives
| Common mistake | Why it creates risk | Safer approach |
|---|---|---|
| Assuming every downstream seller is automatically bound | Rule 65(d)(2) uses defined categories and requires actual notice; the facts may or may not show active concert or participation. | Compare your role, notice, and conduct with the order’s text and obtain a case-specific interpretation. |
| Treating a complaint or demand letter as the injunction | Allegations and requests are not the court’s operative command. | Obtain the signed order, including exhibits and later amendments. |
| Continuing sales while “waiting to see what happens” | Conduct after actual notice can increase exposure if it falls within the order. | Pause uncertain activity and document the hold. |
| Moving or relabeling disputed stock | Relocation, alteration, or concealment may conflict with inventory, evidence, or seizure provisions. | Segregate and preserve goods unless the order or counsel authorizes a disposition. |
| Deleting listings and emails | Deletion can destroy records needed to show compliance and may create separate preservation issues. | Preserve originals and document any controlled edits. |
| Assuming silence about inventory equals permission | Other provisions may still restrain advertising, use of the mark, or coordinated fulfillment. | Analyze each operative paragraph against each business activity. |
A practical order-review checklist
- Identity: court, case number, parties, judge, date, and effective time.
- Definitions: every defined mark, product, person, entity, channel, and prohibited act.
- Covered people: parties, personnel, agents, attorneys, and persons in active concert or participation who received actual notice.
- Conduct: acts restrained, acts required, and any exceptions or safe procedures stated in the order.
- Goods and records: inventory, packaging, labels, advertising, customer data, supplier records, and devices or materials subject to handling instructions.
- Procedure: service details, reporting duties, sworn statements, deadlines, hearings, and modification instructions.
- Operations: assigned owner for purchasing, sales, warehouse, ecommerce, marketing, customer service, and logistics controls.
What the general federal framework cannot answer
The federal statute and Rule 65(d) establish the framework, not the outcome for a particular product or transaction. They do not establish whether a named mark is valid, whether a specific building material is infringing or counterfeit, whether a particular dealer acted in active concert, or whether a given shipment may proceed. State law, contractual duties, customs or agency procedures, and case-specific orders may add requirements.
For a live dispute, give a trademark attorney the complete order and a factual timeline: when you bought the goods, from whom, what you advertised, when notice arrived, what remains in stock, and what sales or shipments are pending. That information is more useful than relying on a general statement that “dealers are covered” or “dealers are never covered.”
