Samsung Considered Johnson Controls’ HVAC Business for Its First Major Acquisition in Years. Bosch Got the Deal Instead.

Samsung was reportedly among potential bidders for Johnson Controls’ residential and light-commercial HVAC business in March 2024, but it never acquired the assets. Bosch ultimately agreed to buy the business in July 2024 and completed the transaction on July 31, 2025.

What the original Samsung report said

A March 25, 2024 report said Samsung Electronics was among several potential buyers considering Johnson Controls’ residential and light-commercial HVAC business. Bosch and Lennox were also reported as possible bidders. The early coverage put the potential transaction at more than $6 billion and linked it to the possibility of Samsung’s first major acquisition in roughly seven years.

That wording described a potential bid—not a signed agreement, binding offer, or completed acquisition. The report also cited Samsung’s acquisition of Harman International as the company’s last major acquisition and referred to comments from Samsung Electronics co-CEO Han Jong-hee about progress on a new M&A deal. What Samsung was reportedly considering

The target was broader than a conventional “AC company.” Johnson Controls’ Residential and Light Commercial business included:

#1 Best Overall
BLACK+DECKER Smart Portable Air Conditioner, 14,000 BTU, BPACT14WT, White | 10,200 BTU SACC for Rooms up to 700 Sq. Ft., Smart 3-in-1 Portable AC, Fan and Dehum with Follow Me Remote
  • Three-in-One Unit: Our 14,000 BTU ASHRAE (10,200 BTU SACC) air conditioner also functions as a dehumidifier & fan. This portable air conditioner has a full function remote control & top mounted control panel with LED display
  • Portable AC: Take this personal air conditioner (16.5” x 14.06” x 27.09) in rooms up to 700 sq. ft. Stay cool in the hot summer months and sleep well with this BLACK+DECKER ac unit for bedroom
  • Smart AC with Voice Control: This smart air conditioner allows Wi-Fi connectivity and can be controlled using our mobile app available on iOS and Google Play stores, and voice controlled by Amazon Alexa or Google Assistant
  • Follow Me Remote: Our portable AC unit comes with a full function remote control that features a FOLLOW ME function, which allows the remote to act as a thermostat for precise temperature control
  • Installation Kit: When it comes to fans that blow cold air, this indoor ac unit includes an easy-to-install window kit. A large, vented airflow outlet ushers in cool air
  • Johnson Controls’ North American Ducted business;
  • the company’s 60% interest in Johnson Controls-Hitachi Air Conditioning, with Hitachi Global Life Solutions holding the remaining 40%;
  • residential and light-commercial air-conditioning, heating, heat-pump and ducted HVAC products; and
  • brands including York, Hitachi, Coleman, Champion, Luxaire, Guardian, Evcon and TempMaster.

Johnson Controls’ filings describe the Hitachi operation as a global residential joint venture rather than a wholly owned Johnson Controls subsidiary. The proposed sale therefore involved an HVAC portfolio, brands, distribution capabilities and a major joint-venture interest—not simply a single air-conditioner manufacturer. See Johnson Controls’ SEC filing.

Why the business could have fit Samsung

Samsung already operates in air conditioning and connected appliances, so an acquisition could have expanded its position in a market that overlaps with smart homes, energy management and building technology. These are strategic possibilities rather than publicly confirmed reasons for Samsung’s reported interest.

Immediate scale and distribution

Buying an established HVAC platform could have given Samsung access to recognized brands, dealer relationships, installers and regional distribution networks. That would be faster—and potentially less risky—than building comparable channels organically.

A larger connected-home ecosystem

HVAC equipment is increasingly connected to home-automation and energy-management systems. Samsung could potentially have used the assets to add heating and cooling as another important endpoint in its appliance and smart-home ecosystem.

Exposure to heating and efficiency trends

The portfolio extended beyond cooling into heating, heat pumps and light-commercial systems. That would have given Samsung exposure to electrification and building-efficiency markets, although success would have required expertise in installation, maintenance, parts and field service—not just consumer electronics.

Why the “seven years” claim needs qualification

The phrase “first acquisition in seven years” referred to the possibility of Samsung’s first major acquisition since Harman. It should not be read as proof that Samsung had made no investments, minority stakes or smaller transactions during that period.

It was also a description of the situation in March 2024, not a complete corporate-development record through 2026. The important point is that the HVAC deal would have represented a significant return to large-scale M&A for Samsung Electronics, particularly outside its core semiconductor and smartphone businesses.

Approximately $5.6 billion Later net proceeds reported by Johnson Controls after cash disposed, taxes and transaction-related expenses.

The $5.6 billion figure is not the purchase price. It is the amount Johnson Controls reported after deductions. Johnson Controls’ sale announcement provides the transaction figures; its later SEC filing explains the net proceeds.

What happened to Hitachi’s HVAC interests?

The transaction did not mean that Hitachi simply disappeared from air conditioning. Hitachi reported that its joint venture with Johnson Controls was transferred to Bosch, while Hitachi Global Life Solutions acquired the Shimizu Factory in Japan, a development and production base for commercial air-conditioning equipment.

Hitachi also described a brand-licensing arrangement with Bosch intended to support the expansion of Hitachi-branded residential air-conditioning products in the United States and Asia. The deal therefore changed ownership and operating arrangements while preserving an ongoing role for Hitachi’s brand and selected operations. Read Hitachi’s post-completion announcement.

What the episode says about Samsung’s M&A strategy

The reported interest showed that Samsung was willing to consider a substantial industrial and building-technology acquisition, not only deals directly tied to phones, chips or displays. An HVAC purchase could have broadened Samsung’s recurring exposure to installation-based infrastructure and energy management.

However, the failed outcome does not establish why Samsung did not win the process, whether it submitted a binding offer, or whether it abandoned broader M&A plans. The available reporting supports only the narrower conclusion that Samsung was considered a potential bidder and that Bosch ultimately secured the assets.

Bottom line

Samsung’s possible HVAC acquisition was a credible reported story in March 2024, but it was never a completed Samsung transaction. Johnson Controls sold the residential and light-commercial HVAC business to Bosch for approximately $8.1 billion in total consideration, and Bosch completed the purchase on July 31, 2025. The original “first acquisition in seven years” headline should therefore be read as a report about Samsung’s potential bid—not as an announcement of a Samsung deal.
