Procede Software acquired Responsive Information Management Systems and Services (RIMSS) on October 22, 2026, extending its dealer-management-software business into agriculture and construction equipment dealerships. Procede says RIMSS customers will keep their existing software, contracts, and support relationships, while both platforms continue to receive support and development. The announcement does not disclose financial terms or describe a merger, migration, or platform-sunset plan.
What did Procede acquire?
RIMSS is a San Antonio-based dealer management system provider for agriculture, construction, and transportation dealers. Procede’s announcement says RIMSS was founded in 1983 and serves more than 200 dealer groups and 400 rooftops across North America. The company names Kubota, Case IH, AGCO, and Hino among RIMSS’s OEM relationships. These figures and relationships are company-reported, not independently audited.

What does the acquisition mean for construction and farm dealers?
For dealers, the immediate announced effect is ownership change, not a new shared system. Procede says it aims to serve dealer groups operating across commercial vehicles and equipment markets, drawing on RIMSS’s experience in agriculture and construction and Procede’s engineering, go-to-market, and AI capabilities through Procede Intelligence.
That rationale describes the companies’ intentions; it does not establish that cross-selling, new integrations, or a combined product has launched. The October 22 announcement says both platforms are built on Microsoft technology and have OEM integrations. It describes Excede as built on Microsoft SQL Server and enhanced with workflows, APIs, and Procede Intelligence, but does not specify comparable technical details for RIMSS or announce a technical merger.

What should a dealer evaluate before drawing conclusions?
The acquisition announcement is not a product comparison or a recommendation to adopt either DMS. Dealers assessing software should distinguish the stated ownership and continuity news from unanswered operational questions:
- Industry and OEM coverage: Confirm that the system supports the dealership’s equipment lines, workflows, and required OEM connections.
- Contracts and support: Review the terms already in place and ask how support contacts, service levels, and escalation paths will work after the ownership change.
- Integration requirements: Identify the systems that must exchange data with the DMS, then verify whether the needed integrations are available and maintained.
- Implementation and migration: Ask for a written scope, schedule, data-conversion plan, and responsibility matrix before approving any change. No migration is announced in this deal.
- Total cost: Request pricing and implementation details directly; the acquisition announcement provides no product pricing or transaction value.
Procede also says the two businesses have roughly 99% customer retention. The announcement does not give a measurement period or methodology, so the figure should be treated as a company claim rather than a forecast of what any individual dealer will experience.

Procede and RIMSS have not disclosed financial terms. The announcement also leaves open whether the companies will eventually integrate, migrate, or discontinue either platform, and on what timeline. For now, the clearest customer-facing commitments are continued support and development for both products and the retention of RIMSS customers’ existing software, contracts, and support relationships.
