How to Evaluate an Engineering and Construction Company Before Signing a Major Contract

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Before signing a major engineering or construction contract, verify that the proposed company is legally authorized, financially and operationally capable, technically suited to your project, safe, properly insured and willing to accept a contract that allocates risk clearly. Do not choose on presentation or lowest price alone. Build a written evidence file, independently check references and public records, and make unresolved licensing, bonding, financial or integrity problems pass/fail issues.

Start with a written definition of success

Evaluation is only meaningful when every bidder is measured against the same project. Finish a short project brief before requesting proposals. It should identify the work, technical and performance requirements, known site conditions, delivery method, milestones, completion date, testing and acceptance criteria, commissioning obligations and reporting requirements.

As an Amazon Associate I earn from qualifying purchases.

Create an evidence-based scorecard

Use a 0-to-5 score for each criterion, but record the document, interview answer or independent confirmation supporting every score. A score without evidence is an opinion. Weight the criteria according to the consequences of failure on this project rather than using price as the default weighting.

Evaluation axis What to verify Evidence to retain
Technical competence Engineering disciplines, specialist methods, codes and technical resources required for the scope Project examples, resumes, calculations or method statements, quality records
Comparable experience Projects similar in size, complexity, location, delivery method and risk profile Owner contacts, final cost and schedule data, closeout results
Capacity and backlog People, equipment, cash, bonding and management attention available during your schedule Backlog report, staffing plan, equipment list, bank or surety confirmation
Cost control and financial strength Accounting controls, forecasting, procurement discipline and ability to fund work between payments Protected financial information, sample reports, references from financial institutions
Quality and safety Written systems, inspection, testing, training and incident response Quality and safety plans, audit findings, incident statistics and corrective actions
Schedule reliability Record of meeting milestones and managing delay causes Baseline-versus-final schedules, owner references, recovery plans
Compliance and integrity Licenses, disciplinary history, litigation, liens, defaults and ethical conduct Licensing-authority records, court or lien searches, signed disclosures
Commercial risk Insurance, bonds, indemnity, change control and dispute provisions Certificates, policy wording, bond confirmations and proposed contract
Subcontracting Who will perform the work, how they will be supervised and whether they are qualified Subcontractor list, scopes, licenses, insurance and supervision chart

Verify the legal entity before reviewing its proposal

Match the contracting party to the real risk bearer

Request the exact legal name, registration number, jurisdiction of formation, operating address, ownership or parent-company information and the name and authority of the proposed signatory. Search the corporate registry and confirm that the entity is active and in good standing. A trade name, local branch or sales entity may not be the company that will employ workers, carry insurance, provide a warranty or receive payment.

Ask for a written organization chart showing parents, subsidiaries, joint ventures and intended project entities. If a parent guarantee, joint-venture agreement or other support is important to your decision, make it an executed contract attachment rather than an informal promise.

Confirm licenses directly with the authority

Check every required contractor and professional license with the issuing licensing authority, not only with the bidder. Record the license class, permitted work, expiration date, restrictions and disciplinary or enforcement history. Confirm that the named engineering professionals are authorized for the relevant jurisdiction and that the contracting entity is allowed to perform the proposed scope.

Ask local counsel or the licensing authority to confirm requirements that vary by location and project type, including registration, required insurance limits, payment and performance bonds, lien rights, payment timing, retainage, indemnity limits and public-procurement rules. Do not assume a license in one state, province or country transfers to another.

Request a formal qualification package

AIA A305-2020 is a structured contractor-qualification document designed to collect background, references and financial-stability information. Its exhibits address financial and performance information, project-specific licensing, key personnel, proposed subcontractors, self-performed work, safety, insurance, bonds and past projects. Use it as a consistent request for information, then tailor additions to the engineering and construction risks in your project.

Information the package should contain

  • Legal identity, ownership, organization and authorized representatives.
  • Current licenses and registrations for the project location and scope.
  • Key personnel, their availability, roles and relevant experience.
  • Comparable completed and ongoing projects, including owner contacts.
  • Proposed subcontractors, suppliers and the percentage of work to be self-performed.
  • Written safety, quality-assurance and quality-control programs.
  • Insurance policies, limits, deductibles, exclusions and claims-made or occurrence terms.
  • Bid, performance and payment bond details and the confirming surety.
  • Financial information supplied under an appropriate confidentiality agreement.
  • Disclosure of claims, defaults, terminations, bankruptcies, liens, litigation and disciplinary actions.

Set a submission deadline and require the bidder to identify every exception or unavailable document. Silence should not be treated as confirmation that a requirement is met.

Test responsibility, not presentation quality

For a useful responsibility benchmark, Federal Acquisition Regulation (FAR) 9.104-1 states:

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

This is a government-procurement standard, but it is a practical private-project test. A polished proposal cannot substitute for resources, controls, ethical history or a credible schedule.

Examine genuinely comparable work

Define “comparable” precisely

Ask for several projects that match your required size, complexity, technical systems, location, delivery method and regulatory environment. A large portfolio is not proof of relevant experience if the firm’s role, risk allocation or self-performed scope was materially different. Distinguish work completed by the proposed team from projects performed by an unrelated office or former employer.

Interview owners independently

Obtain permission to contact the owners directly and arrange calls without the bidder controlling the conversation. Ask each owner:

  • What were the original contract value and final cost, and what caused the difference?
  • What were the planned and actual dates for major milestones and completion?
  • How many change orders occurred, who initiated them and how transparently were they priced?
  • Were defects, rework, safety events, claims or unresolved punch-list items significant?
  • How accurate and timely were cost reports, forecasts and payment applications?
  • Did the company pay subcontractors and suppliers on time?
  • How did it respond when a problem threatened cost, quality or schedule?
  • Would the owner hire the firm again, and for what type of work?

FAR 9.105-1 identifies customers, subcontractors, suppliers, financial institutions, government agencies, publications and trade associations as possible information sources. Use those channels to corroborate the bidder’s account. A recent subcontractor or supplier can reveal payment practices and field management that an owner reference may not see.

Check financial and operational capacity

Look beyond annual revenue

Revenue or a large backlog does not prove that the company can finance your work. Request current financial information under confidentiality protections, together with evidence of banking and surety support. Review liquidity, working capital, debt pressure, unresolved losses and the quality of management’s forecasts with an accountant or financial adviser when the contract is material.

Ask for current backlog by completion date, committed labor, major equipment and other obligations that compete for the same people. Compare those commitments with your required mobilization and milestone dates. Require the bidder to explain how it will fund payroll, materials and subcontractor payments during the interval before your progress payments.

Test project controls

Request examples of cost reports, schedules, procurement logs and change-order registers with confidential information redacted. Confirm who prepares them, how often forecasts are updated, how committed costs are captured and who can approve commitments. Ask how the company identifies trends early enough to recover a threatened milestone.

For an engineering-led scope, examine document control, design review, calculation checking, design-change authorization and coordination between designers and field personnel. For construction, examine estimating, purchasing, equipment maintenance, labor planning and closeout controls.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Review safety, quality and subcontracting systems

Safety program

Request the written safety program, site-specific planning process, worker training, toolbox-talk records, incident reporting, investigation and corrective-action procedures. Ask who has stop-work authority and how safety performance is managed across subcontractors. Do not treat a low incident count as conclusive without understanding workforce size, reporting practices and the types of work performed.

Quality assurance and testing

Require a project quality plan that identifies inspections, hold points, testing laboratories, document retention, nonconformance handling and acceptance records. Establish who pays for failed tests and rework, and who has authority to reject nonconforming work. For engineering services, include independent design checks and a clear process for responding to field information that conflicts with the design.

Subcontractor and supplier controls

Obtain the proposed subcontractor and major-supplier list, scope split, self-performed percentage and supervision structure. Verify each critical subcontractor’s licenses, insurance, relevant experience and capacity. Ask how substitutions will be approved and how lower-tier safety, quality and payment obligations will flow down.

Verify insurance, bonds and adverse history

Insurance that matches the exposure

Obtain certificates plus relevant policy details; a certificate alone does not prove coverage. Confirm general liability, workers’ compensation and automobile insurance, and add professional liability when engineering or design is included. Consider pollution, builder’s risk, cyber or other specialized coverage when the site and systems justify it.

Check limits, deductibles, exclusions, aggregate erosion, additional-insured wording, primary and noncontributory status, waiver of subrogation, geographic scope and policy dates. For claims-made professional or other policies, determine the retroactive date, reporting requirements and tail coverage after completion. Require prompt notice of cancellation or material reduction.

Bonds and surety confirmation

Confirm bid, performance and payment bonds directly with the named surety, including penal sums, form, effective dates and the surety’s authority for the project location. Ask whether the proposed contract value fits the contractor’s current bonding program. A bond form that omits required obligees, notice procedures or scope can be less protective than its headline amount suggests.

Claims, liens and integrity checks

Search appropriate court, lien, insolvency, licensing and disciplinary records. Ask the bidder to disclose pending or threatened claims, defaults, terminations for cause, bankruptcies and payment disputes. Compare disclosures with independent records and references. Material discrepancies should trigger a written explanation and specialist review before selection.

Align the contract with the delivery method

Risk changes substantially among design-bid-build, design-build, engineer-procure-construct, construction manager at risk and other models. State which party owns design completeness, site investigation, permitting, procurement, coordination, commissioning and performance risk. Do not copy a clause from another delivery method without checking that it matches the actual responsibilities.

Clauses that should be complete before signature

  • Scope and document priority: Attach drawings, specifications, schedules, models and the responsibility matrix. State which document controls when they conflict.
  • Schedule: Identify commencement, interim milestones, substantial and final completion, owner-furnished information, notice of delay, schedule updates, recovery plans, extensions and any enforceable delay damages.
  • Price and payment: Define pricing basis, invoicing evidence, retainage, payment timing, stored materials, audit support and conditions for withholding.
  • Changes: Require written authorization, defined pricing and time impact before extra work where practical. Set emergency-work rules and prohibit informal field directives from silently changing the price.
  • Allowances and contingencies: State who controls them, what they cover, how unused amounts are credited and how overruns are approved.
  • Escalation: Identify whether labor, material or energy escalation is included, shared or capped, and require supporting indices or supplier evidence when adjustments are permitted.
  • Testing and acceptance: Specify tests, commissioning, substantial-completion conditions, punch-list procedures, retesting and the effect of failed tests.
  • Warranties and records: Set warranty periods, response times, exclusions, operation manuals, as-built documents, training and record-retention duties.
  • Insurance and indemnity: Attach required limits and endorsements, define responsibility for third-party claims and respect any statutory limits on indemnity.
  • Subcontractors: Make the prime contractor responsible for lower-tier performance, payment, safety and compliance, while preserving your approval and audit rights.
  • Suspension and termination: Define cure periods, owner convenience rights, termination for cause, payment for completed work, transition of materials and protection of design documents.
  • Disputes: Use a ladder such as project-level notice, senior negotiation, neutral decision-maker or mediation, then arbitration or court. Set governing law, venue and survival of payment, warranty and record duties.
  • Lien and payment protection: Require conditional and unconditional lien releases appropriate to each payment stage and promptly address notices from lower tiers.

Have local construction counsel review the final agreement, especially indemnity, lien, payment, prompt-pay, licensing, public-contract and dispute provisions.

Use decision gates and document the award

Pass/fail gates

Set these gates before comparing commercial offers:

  • Required licenses are valid for the entity and scope.
  • Insurance and bonds meet the project’s limits, forms and dates.
  • Financial and staffing capacity is credible against backlog and milestones.
  • No unresolved integrity, insolvency, disciplinary or disclosure issue is material to the work.
  • References confirm acceptable cost, schedule, quality, safety and payment behavior.
  • The proposed contract reflects the chosen delivery method and has an executable change and dispute process.

Escalate gaps to the appropriate specialist: counsel for legal and claims issues, an insurance adviser for coverage, a surety for bonding, an accountant for financial analysis and an independent engineer for technical capability. Record the question, response, evidence, evaluator and date.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Compare total evaluated cost

Normalize bids for exclusions, allowances, owner-furnished items, schedule differences, escalation assumptions, warranty scope, insurance costs and likely change exposure. A lower initial price can be more expensive when it depends on unpriced site risk, thin staffing or aggressive assumptions. Conversely, a higher price is not automatically safer; require evidence that the premium buys relevant capability or a better risk position.

Do not award until every exception is either accepted in writing, priced, or removed. Keep the final scorecard, clarifications, reference notes and approval record with the contract file so the basis for selection remains clear if performance or a dispute later becomes an issue.

Red flags that warrant a pause

  • Pressure to sign before licenses, insurance, bonds or the scope are verified.
  • A different legal entity appears on the proposal, policy, bond or warranty.
  • References are unavailable, limited to personal contacts or unwilling to discuss final cost and schedule.
  • The company refuses reasonable financial or backlog information while seeking a large mobilization payment.
  • Key personnel are promised but not committed, or the staffing plan conflicts with current workload.
  • Important work is assigned to unnamed subcontractors or the self-performed percentage changes without explanation.
  • Repeated claims of “force majeure” or owner-caused delay replace specific recovery plans and records.
  • Contract language leaves change pricing, document precedence, testing, acceptance or indemnity undefined.
  • Disclosures conflict with court, lien, licensing or reference information.

A pause is not a rejection. It is a decision to obtain evidence or revise the deal before an avoidable risk becomes your contractual obligation.
