Then review its scope, site observations, interviews, data gaps and recommendations with qualified environmental and legal professionals. A Phase I helps evaluate potential contamination and liability; it does not certify that land is clean or automatically provide CERCLA protection.
What environmental due diligence is—and what it is not
Environmental due diligence is the investigation a buyer performs to understand whether a property has conditions that could create cleanup costs, regulatory duties, financing problems or environmental liability. For U.S. transactions involving potential federal CERCLA protections, the defined process is All Appropriate Inquiries (AAI). EPA describes AAI as evaluating a property’s environmental conditions and assessing potential liability for contamination.

AAI is commonly satisfied with a Phase I ESA conducted under ASTM E1527-21, the general commercial and industrial practice. EPA’s current AAI information also identifies ASTM E2247-23 as consistent with the AAI Final Rule for forestland and rural property transactions. A Brownfields eligibility page still references E2247-16, so ask the environmental professional and transaction counsel to confirm which current practice applies to your property and closing.

A Phase I is an inquiry and assessment, not normally a sampling exercise. It uses records, interviews, a site inspection and professional judgment to identify conditions indicative of a release or threatened release of hazardous substances. If the findings warrant it, a Phase II or another property-specific investigation may use sampling to determine the type and extent of a potential release.

AAI can support possible CERCLA defenses or protections for an innocent landowner, contiguous property owner or bona fide prospective purchaser (BFPP), but only when the applicable protection’s other threshold and continuing criteria are met. Completing a Phase I alone does not guarantee immunity, prove that contamination is absent or transfer another party’s obligations to you.
Start the checklist before commissioning a report
Define the transaction and the protection you need
Give the environmental professional the exact street address and legal description, the buyer and intended user, the transaction type, the expected acquisition date and the property’s planned use. State whether you are pursuing a particular CERCLA liability protection. The answer affects the report’s user, timing, information requests and legal review.
AAI must be completed before acquisition for the protections described by EPA. Plan the work around the actual closing date, not an estimated contract-signing date.

Assemble the buyer’s information package
The buyer is not merely a recipient of a report. Supply information that the professional may not be able to discover efficiently through public records:
- Title records and any environmental cleanup liens.
- Recorded activity and use limitations, institutional controls and engineering controls.
- Specialized knowledge about the site or nearby properties.
- Commonly known or reasonably ascertainable information about past operations, spills or waste handling.
- The relationship between the purchase price and the property’s uncontaminated fair market value when that information is relevant to the inquiry.
- Existing environmental reports, permits, tank records, spill files, remediation documents and correspondence with regulators.
Identify who can provide access, keys, safety information and operating history. Missing buyer-supplied information can become a significant data gap or limit the professional’s ability to interpret a condition.

| Question | What the EPA framework says | Buyer action |
|---|---|---|
| General commercial property practice | ASTM E1527-21 is identified as consistent with the AAI Final Rule. | Ask the consultant to identify E1527-21 and the AAI rule in the proposal and report. |
| Forestland or rural property practice | ASTM E2247-23 is identified on EPA’s current AAI information as consistent with the rule. | Confirm whether the property fits this practice and why it is appropriate. |
| When the inquiry must occur | AAI must precede acquisition when relying on the cited protections. | Set the field visit, report date and any updates before closing. |
| How long the inquiry remains current | EPA’s eligibility guidance describes a one-year period before acquisition, with certain components updated when the inquiry is more than six months old. | Have the professional confirm in writing that the report and required updates remain adequate for the actual acquisition date. |
A prior owner’s Phase I is not automatically reusable. Check its date, named user, property boundaries, intended transaction, scope, exceptions, access restrictions, data gaps and required updates. A report prepared for a different lender or buyer may not satisfy your transaction’s reliance or timing needs.
Choose and document a qualified environmental professional
Many AAI activities must be conducted by, or under the supervision or responsible charge of, an environmental professional who meets the rule’s education, training and experience criteria. EPA does not certify individual environmental professionals. The professional self-certifies in the report.

Request the proposed report signatory’s qualifications, relevant property experience, professional liability coverage and ability to meet your closing schedule. Confirm who will perform the reconnaissance, who will review the records and who will sign the certification. Do not describe a consultant as “EPA-approved”; that designation is not supplied by EPA.
When comparing proposals, evaluate the following items rather than selecting solely on a headline fee:
| Comparison point | Questions to ask |
|---|---|
| Standard and AAI scope | Which ASTM practice and regulatory reporting requirements will be used? Is the work intended to support a specific CERCLA protection? |
| Professional responsibility | Who is the environmental professional and report signatory? What education, training and experience support the certification? |
| Property coverage | Does the scope include the exact legal parcel, leased areas, improvements and adjoining properties? |
| Records and interviews | Which historical sources, government databases, owners, occupants and officials will be reviewed or interviewed? |
| Reconnaissance limits | What areas are accessible, and how will snow, locked rooms, unsafe conditions or other restrictions be handled? |
| Updates through closing | What is included if the report becomes more than six months old, and who confirms validity on the acquisition date? |
| Follow-up process | How will a potential Phase II or other investigation be scoped, authorized and reported? |
Confirm that the Phase I covers the whole risk picture
Property history and adjoining uses
The report should address current and historical uses of the subject property and relevant adjoining properties. Historical sources may include aerial photographs, fire insurance maps, city directories, street directories and archival records. Look for enough source names and dates to understand what was actually searched and which periods remain uncertain.

Environmental and regulatory records
Review the government environmental records identified by the professional, including listings, permits, spills, tanks, transformers and prior investigations where relevant. Ask whether records were unavailable, incomplete or inconsistent, and how those limitations affect the professional’s opinion.

The report should state who inspected the property, the inspection date, the areas visited and any inaccessible areas. EPA examples of potentially significant observations include staining, spills, odors, stressed vegetation, corrosion, liquid pools, discolored water and ground-surface alterations. These observations are evidence for professional analysis, not a substitute for an environmental assessment by the buyer.
Pay particular attention to areas that are commonly missed during a rushed walk-through: floor drains, pits, loading docks, waste storage, former fuel dispensing areas, transformers, maintenance shops, sumps, dry wells, fill areas, buried tanks and neighboring operations that could affect the site.
Interviews
Interviews can include current owners and occupants, property managers, government officials and past owners or occupants. Check that the report identifies each participant, the timing and the method of the interview. An unexplained absence of a knowledgeable former operator can be a meaningful limitation.

EPA does not impose one mandatory format, length or layout for a Phase I report. EPA’s suggested content includes an introduction, property description, user-provided information, records review, reconnaissance, interviews, the professional’s opinion, data gaps, conclusions and additional services. Those suggestions are not themselves regulatory requirements; the separate reporting requirements in 40 CFR Part 312 and the applicable ASTM practice still matter.

Use this review sequence:
- Verify identity and scope. Match the report’s legal property description, address, parcel boundaries, intended user and transaction to your deal. Check stated assumptions, methods, exceptions and deviations.
- Test historical coverage. Confirm that present and past uses of the subject and adjoining properties are discussed and that the records sources and search dates are visible.
- Reconcile the site visit. Check who went where and when. Read every access limitation, safety restriction, weather condition and area excluded from observation.
- Check interview evidence. Identify participants, dates and methods, and note whether important operators or officials could not be reached.
- Follow the reasoning. The professional should explain why observations, records and interviews do or do not indicate a release or threatened release.
- List significant data gaps. A data gap is important when it affects the ability to identify environmental conditions. Ask what uncertainty remains and whether it changes the transaction decision.
- Understand every recommendation. Ask what a recommended additional investigation is intended to resolve, what decision it supports and whether it should occur before closing.
Decide when a Phase II or other follow-up is warranted
A Phase I may identify a recognized environmental condition, a controlled or historical condition, an unexplained data gap or another concern requiring more work. The appropriate response is site-specific. A Phase II may use soil, groundwater, soil-gas, building-material or other sampling to better understand the type and extent of a potential release, but the scope should be designed by a qualified professional rather than selected from a generic package.
Before authorizing follow-up, obtain a written scope that states the suspected chemicals or sources, media to be sampled, sampling locations and rationale, laboratory and quality controls, health and safety measures, reporting format, schedule and decision criteria. Coordinate access with tenants and consider whether sampling could affect operations, financing, insurance or the purchase agreement.
Possible transaction responses include additional investigation, a price or escrow negotiation, a remediation agreement, environmental insurance, use restrictions, a closing condition or termination under the contract. Those are legal and commercial decisions; the environmental report supplies evidence and professional recommendations.
Keep CERCLA protections alive after closing
AAI is only one criterion for the protections described by EPA. Depending on the protection claimed and the facts, continuing duties can include taking reasonable steps to address releases, honoring land-use restrictions and institutional or engineering controls, cooperating with authorized response actions, complying with information requests and notices, and not impeding response work.
Build those duties into ownership procedures. Preserve the Phase I, updates, title records, notices, environmental correspondence and control documents. Assign responsibility for inspections, reporting, access and maintenance of engineering controls. Tell property managers and occupants about restrictions that affect excavation, wells, soil movement or building alterations. Obtain property-specific advice from environmental and legal professionals about the protection you intend to claim.
Transaction-ready final checklist
- The exact property, buyer, intended user and acquisition date are identified.
- The objective—ordinary risk review or support for a particular CERCLA protection—is stated in the engagement.
- The applicable ASTM practice and AAI scope are confirmed.
- The environmental professional’s qualifications and report certification are documented.
- Title, lien, control, historical-use and buyer-known information has been supplied.
- Subject and adjoining properties, records, interviews and site reconnaissance are covered.
- Access restrictions, weather conditions, safety limits and other exceptions are explicit.
- Opinions are tied to reasoning, and significant data gaps are explained.
- Every follow-up recommendation has a defined purpose and transaction decision.
- The report is within the applicable timing window, with required updates completed before acquisition.
- Post-closing reasonable steps, controls, cooperation and notice duties have an owner.
The strongest environmental due diligence file is not simply a Phase I PDF. It is a dated, property-specific record showing what was investigated, what could not be investigated, how the professional reached the opinion, what remains uncertain and how the buyer will meet continuing obligations after closing.
