The Board found that the transaction would significantly restrict effective competition under Article 7 of Law No. 4054, but accepted Arsem’s behavioral commitments as sufficient to address the concerns.

Why did the authority see a competition problem?
The Board concluded that the acquisition fell within merger-control rules and would significantly restrict effective competition. The concern centered on the companies’ regional positions rather than on a nationwide cement market.
Overlapping regional suppliers
The proceeding records complaints that Kars Çimento and Arkoz Madencilik produced cement in neighboring provinces and competed for customers. Complainants said combining the businesses could remove a meaningful alternative for buyers in Ağrı, Iğdır, Kars, Ardahan and Artvin.

Transport costs and geographic limits
Complaints also focused on the practical limits of switching suppliers. Cement is costly to move, and complainants argued that producers in Van and Erzurum might not be effective substitutes once distance and freight costs were considered. Dealer and customer feedback
The Authority contacted dealers and customers on 15 September 2025. The reasoned decision says many Kars Çimento dealers reported buying only from Kars Çimento and finding it difficult to switch because of transport costs. Some respondents believed the plant’s capacity was not being used efficiently and said higher production could benefit the market. Others expressed concern about local concentration, cement prices and the future of their dealer relationships.

Those statements are reported views gathered by the Authority. They do not establish the transaction’s post-closing effects, and the available material does not show that prices rose, deliveries fell or dealer contracts changed.
What does conditional clearance mean?
Arsem offered behavioral commitments, and the Board found them sufficient to remedy the identified competition concerns. The commitments are binding under the decision. A breach may lead to administrative fines under Article 17 of Law No. 4054.
