Liens: What They Are and How They Work

A lien secures an unpaid obligation against property, but it does not automatically mean seizure. Construction liens, federal tax liens, priority, and release each follow different rules.

A lien is a legal claim or security right tied to property, usually used to secure payment of a debt or another obligation. For construction owners and contractors, a mechanics lien is one important example—but lien rules, enforcement, priority, and release depend on the lien type and the law that governs it. A lien does not automatically mean the property has been seized.

What is a lien?

A lien gives a creditor or claimant a legally recognized interest connected to property because an obligation is unpaid or otherwise unfulfilled. Depending on the law and the kind of lien, the property may be real estate, personal property, financial assets, or another specified asset. A lien can affect a property’s sale or financing, but its existence alone does not establish that the claimant can immediately take the property.

The word “lien” covers different legal mechanisms. A claim created by federal tax law is not the same as a construction lien created under state law. The rules for creating, recording, enforcing, prioritizing, and releasing a lien depend on its legal source and the jurisdiction involved.

How is a lien different from a levy?

A lien secures a claim against property; a levy is an action that takes property to satisfy a debt. The distinction is particularly clear for federal tax collection: the IRS says a federal tax lien secures the government’s interest, while a levy actually seizes property to pay the tax debt. A lien therefore should not be treated as proof that a seizure has already occurred. IRS: What’s the difference between a levy and a lien?

How does a construction mechanics lien work?

Construction mechanics liens are governed by state law, so the California example below should not be applied automatically to a project in another state. In California, the Contractors State License Board explains that an unpaid contractor, subcontractor, laborer, or material supplier may record a mechanics lien against property under applicable rules. The lien is recorded with the county recorder. California Contractors State License Board: What is a Mechanics Lien?

A recorded claim can create real consequences for an owner as well as the unpaid construction business. The California board warns that an unpaid claim may lead to foreclosure action, and that an owner may face double payment in some circumstances if a prime contractor does not pay subcontractors or suppliers—even after the owner has paid the prime contractor. It also notes that a recorded mechanics lien may make it harder to borrow against, refinance, or sell the affected property. These are California consumer warnings, not a statement of the rules or outcomes in every state.

What the example does—and does not—establish

  • It identifies categories of construction participants who may record a claim in California when unpaid; it does not establish that any particular claimant qualifies or that a specific lien is valid.
  • It shows why owners should take a recorded claim seriously; it does not mean that every lien automatically results in foreclosure or double payment.
  • It does not provide a nationwide filing deadline, notice requirement, priority rule, or release process. Those must be checked under the law for the project’s location and facts.

How does a federal tax lien work?

A federal tax lien follows a different process from a construction mechanics lien. The IRS says it arises after the agency assesses a tax liability, sends a bill explaining the amount due (notice and demand), and the taxpayer neglects or refuses to pay in time. For a federal tax lien, the IRS describes the claim as reaching real estate, personal property, financial assets, and certain future assets during the lien’s duration. That description applies to the federal tax lien context; it should not be generalized to other types of liens.

Federal tax lien (United States) After IRS assessment, notice and demand, and failure or refusal to pay in time. The IRS describes a public notice filing and a claim that can reach specified property during the lien’s duration. IRS guidance
Mechanics lien (California example) An unpaid contractor, subcontractor, laborer, or material supplier may record a claim against property under California rules. The California Contractors State License Board warns of possible foreclosure action, double payment in some construction situations, and difficulty borrowing against, refinancing, or selling affected property. Can a lien force a sale?

Sometimes a lien claimant may have a legal route to seek enforcement against property, but whether that route is available—and what process is required—depends on the lien and governing law. The California Contractors State License Board warns that an unpaid mechanics lien claim can lead to foreclosure action. That is a possible consequence, not an automatic result for every recorded claim. The IRS distinction is useful here: a lien is a claim securing payment, whereas a levy is an act that takes property to satisfy a tax debt.

Who has priority when multiple liens affect property?

There is no single priority order that applies to all liens. A dispute can turn on the type and legal source of each claim, the property and jurisdiction, when each claim attached or became effective against third parties, required filing and notice, and statutory exceptions.

In the federal tax lien context, the U.S. Department of Justice Tax Division’s archived collection manual describes a “first in time is the first in right” principle, while also discussing filing rules and statutory provisions that can affect the outcome. It says state law determines the nature of the taxpayer’s property interest, while federal law determines priority among competing liens asserted against that interest. For a construction project, do not assume that a rule described for federal tax liens decides the order of a mechanics lien and other claims. Check the law governing the property and each claim, including the required recording and notice rules.

What should you check if you find or receive a lien claim?

Start by identifying exactly what has been asserted and where. A notice, a recorded claim, and a court action are not interchangeable documents, and deadlines or responses may depend on which one you have and the law that applies.

  1. Identify the claimant and lien type. Determine who claims payment, what obligation the claim concerns, and whether it is a construction, tax, or other lien.
  2. Review the document and public record. Check the property description, claimed amount, dates, recording information, and any stated basis for the claim. For a recorded property lien, confirm the relevant county or other official record for the property’s location.
  3. Check the governing jurisdiction’s rules. Filing, notice, enforcement, priority, and release requirements vary. Do not use a deadline or procedure from another state or lien category.
  4. Get advice suited to the particular claim. If the lien affects a sale, refinance, construction payment, or a deadline, consult a qualified attorney or other appropriate professional in the property’s jurisdiction. A general description cannot determine whether a specific lien is valid or what response is required.

How can a lien be released, removed, or changed?

The available remedy depends on the lien. For federal tax liens, the IRS says full payment is the best way to remove the lien and states that it releases the lien within 30 days after the tax debt is paid. The IRS also describes several distinct options:

  • Release after payment: The IRS states that it releases a federal tax lien within 30 days after the tax debt is paid in full.
  • Discharge: Removes the lien from specific property; it does not describe the same result as releasing the lien from all property.
  • Subordination: Allows another creditor to move ahead of the IRS without removing the lien.
  • Withdrawal of the public notice: Removes the Notice of Federal Tax Lien from public notice, but does not cancel the underlying tax liability.

Eligibility and conditions apply to the IRS options. The 30-day period is the IRS’s stated period for release after full payment of a federal tax debt; it is not a general deadline for other liens. For a mechanics lien or another non-tax claim, use the applicable jurisdiction’s rules and the documents for that claim rather than assuming the IRS procedures apply. Why the word “lien” can mean different things

Some legal systems also recognize possessory liens: a right to retain property already lawfully held until a debt is paid. UK Insolvency Service guidance distinguishes legal, statutory, contractual, and equitable forms, and notes that an equitable lien does not require possession.
