The dividing question is what the contract principally buys. If its main purpose is carrying out construction works, or facilitating separate works that must produce a complete work to the contract’s specifications, it is a works contract under the UK Procurement Act 2023. If the buyer is principally acquiring products and any siting or installation merely supports that purchase, the arrangement is supply-oriented under the definitions used in the cited procurement regimes.
This distinction is most precise in UK public procurement. The Procurement Act 2023 applies to contracting authorities in England, Wales and Northern Ireland, and to Scottish authorities exercising reserved functions; ordinary devolved Scottish authorities remain subject to Scotland’s own procurement legislation. Private construction agreements and contracts governed by another country’s law require a separate analysis.

Construction packages often contain the same ingredients—materials, equipment, design, labour, installation and testing—but classification follows the contract’s principal purpose, not the vocabulary used in its title. Calling an agreement a “construction supply contract” does not settle the legal question. Read the scope, specifications, pricing structure and obligations together, then apply the test in the procurement regime that governs the purchase.
Works contracts under the Procurement Act 2023
Schedule 1, paragraph 4 of the Procurement Act 2023 states:

“A contract is a “works contract” if its main purpose is— (a)the carrying out of works under the contract (whether or not resulting in a complete work), or (b)to facilitate the carrying out of works otherwise than under the contract, where those works are intended to result in a complete work that complies with specifications set out in, or determined under, the contract.”
Two features matter. First, the test is expressly about the main purpose. Secondly, the contract can qualify even when the physical works are performed under a separate arrangement, provided the contract’s purpose is to facilitate works intended to create a complete work that complies with specifications set out in, or determined under, the contract. The Act’s associated guidance links “works” to regulated activities and CPV codes, so the schedule of activities should be checked rather than relying on an informal description such as “fit-out” or “installation”.

The Public Contracts Regulations 2015 define a public supply contract by its object: purchasing, leasing, renting or hire-purchasing products, whether or not the arrangement also includes incidental siting and installation. In that formulation, installation does not by itself turn a goods purchase into a works contract.
The Ministry of Defence’s separate defence and security framework uses a similar concept. Its DSPCR Chapter 6 guidance describes supply as the purchase or hire of goods, with siting or installation where relevant. These are regime-specific definitions. They should not be presented as an exhaustive statement of every supply-contract rule under the Procurement Act 2023 or under private contract law.
Works contract versus supply contract at a glance
| Question | Works-oriented answer | Supply-oriented answer |
|---|---|---|
| What is the primary deliverable? | A construction result, or work carried out to produce or facilitate a complete work that meets contractual specifications. | Products acquired by purchase, lease, rental or hire-purchase. |
| What role does design or execution play? | Design, execution or coordination is part of achieving the specified work, or of facilitating it under a separate arrangement. | Any design or configuration is ancillary to obtaining the products, unless the governing regime treats the combined scope differently. |
| Does installation decide the classification? | Not automatically. Installation points toward works when it is part of the main construction purpose. | Incidental siting or installation can remain part of a supply contract under the PCR 2015 and DSPCR formulations. |
| How are mixed scopes handled? | Apply the governing statute’s main-purpose or principal-subject test; do not import a test from another regime. | Check whether goods remain the principal subject and whether accompanying work is genuinely incidental. |
| Why does classification matter? | For a contracting authority, it can affect the procurement route, applicable threshold and reporting or procedural duties. | Goods and services thresholds and rules may differ from works treatment, subject to authority type, value, exceptions and the governing regime. |
The table is a decision aid, not a substitute for reading the applicable legislation. The same physical project can be classified differently under different statutory frameworks, especially where defence, security or devolved Scottish rules apply.
Why a construction label is not enough
Buyers frequently start with the wrong question: “Is this happening on a construction site?” The better question is: “What outcome is the supplier being engaged to provide?” A plant manufacturer that delivers a standard unit and performs a short commissioning visit may still be supplying goods. A contractor that designs, builds and hands over a functioning facility is normally being engaged for a works outcome. The contract name, purchase-order code or accounting category cannot replace the scope analysis.
Do these 3 things before closing this tab:
1Clear out junk files and repair common Windows errors2Fix the driver behind crashes, sound loss and screen glitches3Repair Windows errors before they cause bigger problemsLook for objective indicators in the documents:
- the employer’s requirements or technical specification;
- drawings, bills of quantities, activity schedules and completion criteria;
- whether payment is tied to completed elements of work or to units of product delivered;
- who carries design responsibility and design risk;
- whether testing, commissioning and integration are needed to create the specified complete work;
- whether the supplier must coordinate other contractors or merely provide a product for someone else to install; and
- whether the work is performed under the contract or under a separate arrangement that the contract is designed to facilitate.
None of these indicators is conclusive in isolation. Together they show whether the commercial centre of gravity is a construction result or acquisition of goods.
A step-by-step classification method for buyers
-
Identify the governing legal regime first
Record whether the buyer is a contracting authority, where the authority is located, whether it is exercising a reserved function, when the procurement starts and whether a special regime applies. The Procurement Act 2023 is not a universal code for every UK construction purchase. A private developer, a utility, a defence authority and a devolved Scottish authority may face different rules.
-
Write the deliverable in one sentence
Describe the promised outcome without using the words “works contract” or “supply contract”. For example: “Design and construct a compliant substation ready for operation” describes a works outcome; “Purchase 20 standard transformers, delivered and positioned on prepared plinths” describes a goods outcome. If the sentence needs several unrelated outcomes joined by “and”, the package may be mixed and needs a closer review.

-
Separate essential obligations from incidental support
List every obligation, then mark it essential or supporting. Product manufacture, ownership transfer and delivery may be essential in a goods order. Siting, connecting a cable and a short commissioning visit may support that purchase. Conversely, excavation, foundations, structural alteration, integration and acceptance testing may be essential to delivering a functioning work.

Apply the main-purpose test in the relevant regime
Under the Procurement Act 2023, ask whether the main purpose is carrying out works or facilitating separate works intended to result in a complete work that complies with the contract’s specifications. Do not decide by counting the number of line items or by choosing whichever component has the largest price without considering the contract’s purpose.
-
Test whether installation is truly incidental
Installation is more likely to be incidental when the product is standard, the buyer or another contractor has prepared the site, the supplier’s task is limited to positioning or connection, and the product remains the principal object. Installation is less likely to be incidental when the supplier must design the installation, alter the building, provide foundations or enabling works, coordinate multiple trades, or guarantee a complete operational facility.
-
Check for facilitation of separate works
A contract can be works-oriented even if another agreement performs the physical construction. Examine whether the contract sets or determines the specifications for a complete work and is principally intended to make that separate work happen. This is the specific facilitation limb in Schedule 1, paragraph 4; it should not be confused with ordinary delivery of a component to a project.
-
Document the reasoning and obtain advice where the result changes obligations
Keep a short classification note identifying the regime, principal deliverable, significant obligations, treatment of installation and reasons for the conclusion. If the package is borderline, ask the procurement team or a qualified construction-procurement adviser to review the actual terms before advertising or awarding it. Classification can affect procedure and thresholds, so a label selected after the event is risky.

How mixed construction packages should be analysed
A single package may combine goods, installation, design, professional services and construction. There is no single cross-regime formula that resolves every combination. First identify the controlling statute or procurement rules; then apply that regime’s own test for the main purpose, principal subject, value or other classification requirement.
Design-and-build package
Where the supplier is responsible for designing and executing a building, road, plant or other specified facility, the design is normally part of achieving the construction outcome rather than an incidental service attached to a product. Under the Procurement Act 2023, the question remains whether the main purpose is carrying out works or facilitating a complete work that complies with the stated specifications.
Equipment with vendor installation
Suppose an authority buys a standard pump, and the vendor delivers it, bolts it to an existing base and connects pre-installed services. Under the PCR 2015 supply definition, incidental siting and installation can remain within a supply contract. The conclusion may change if the vendor must design the plant room, construct the base, modify the building, integrate several systems and guarantee a complete operational installation.
Separate supply and construction contracts
An authority might buy materials under one contract and appoint a contractor under another. Keep the contracts’ purposes distinct, but check whether one contract is principally intended to facilitate separate works covered by the Procurement Act’s definition. The fact that work is split between suppliers does not, by itself, answer the classification question.

Services wrapped around goods or works
Maintenance, training, software, logistics or consultancy can sit alongside either goods or works. Older PCR and separate defence guidance contain regime-specific approaches for mixed contracts, including principal-subject or value-based analysis. Those approaches are useful warnings that mixed scopes need care, but they are not interchangeable instructions for every Procurement Act or private contract decision.
UK public-procurement thresholds for 2026–2027
The Cabinet Office’s Guidance: Thresholds lists the following amounts for the period 1 January 2026 to 31 December 2027. The figures include VAT and apply only to the specified UK public-procurement categories.
| Category | Authority or scope stated in the guidance | Threshold, including VAT | Period |
|---|---|---|---|
| Works contract | UK Cabinet Office category | £5,193,000 | 1 January 2026–31 December 2027 |
| Supply of goods or services | Central government authority | £135,018 | 1 January 2026–31 December 2027 |
| Supply of goods or services | Sub-central government authority | £207,720 | 1 January 2026–31 December 2027 |
These are procurement thresholds, not limits on what a private client may spend and not estimates of construction cost. They cannot be applied without checking the authority type, estimated contract value, aggregation rules, contract features and any relevant exception or special regime. A goods package that falls below one figure is not automatically outside every procurement duty, and a works package above the works threshold is not automatically subject to the same process in every jurisdiction.
Jurisdiction and scope: when the Procurement Act applies
The Cabinet Office’s Module 1: Scope, definitions and general principles explains that the Procurement Act 2023 applies to contracting authorities in England, Wales and Northern Ireland, and to contracting authorities carrying out reserved functions in Scotland. Devolved Scottish authorities generally continue under Scotland’s separate procurement legislation.
The same module describes exceptions, special-regime contracts and limited obligations that can apply below the main thresholds. A buyer therefore needs to establish:
- the authority’s legal status;
- the project’s location and, for Scotland, whether the function is reserved or devolved;
- the procurement or contract-start date;
- the estimated total value, including options and extensions where the applicable rules require them;
- whether the subject falls within a special regime or exception; and
- whether the purchase is genuinely a public procurement or a private commercial agreement.
The public definitions and thresholds do not create a general law governing every private construction contract. Private buyers should use the governing contract and applicable jurisdictional law, with professional advice where classification affects risk allocation, tendering or regulatory compliance.

State the outcome, not just the item list
Begin the scope with a functional description of what must exist at completion. If the buyer needs a complete, compliant facility, say so and identify the specifications, tests and acceptance criteria. If the buyer is purchasing products for installation by others, identify the products, delivery point, packaging, title and any limited positioning or commissioning duties.
Make responsibility boundaries explicit
Show who provides design, surveys, temporary works, foundations, lifting, connections, permits, testing, commissioning and handover documents. Ambiguous boundaries make it harder to determine whether installation is incidental and invite competing interpretations of the principal purpose.

Align pricing with the intended classification
For a works outcome, a bill of quantities, activity schedule or milestone structure should identify the work and completion evidence. For a goods purchase, list quantities, product specifications, delivery terms and any separately priced installation. Pricing does not decide classification, but a coherent price structure supports the stated commercial purpose.

Use lots carefully
Separating equipment, enabling works and installation can improve competition, yet lotting does not automatically remove the need to analyse the overall procurement. Explain the purpose of each lot and how interfaces will be managed. Under the Procurement Act’s facilitation limb, a contract that enables separate works may still be works-oriented if that is its main purpose.
Preserve the classification record
Keep the scope, market analysis, classification note, threshold calculation and approval together. If the scope changes during clarification or a variation, reassess the principal purpose and any threshold or procedural consequence before signing the change.
Worked examples
| Scenario | Likely starting point | What must still be checked |
|---|---|---|
| A contractor designs and constructs a new public building to the authority’s performance specification. | Works-oriented: the central outcome is a completed construction work. | The governing regime, authority status, value, exceptions and the exact specifications. |
| An authority buys catalogued generators, with delivery, positioning and connection to an existing prepared connection. | Supply-oriented under the PCR 2015 formulation if the siting and connection are incidental to the product purchase. | Whether the supplier also designs the installation, performs substantial building work or guarantees a complete facility. |
| A contract provides the design and technical specification for a bridge that a different contractor will build. | Potentially within the Procurement Act’s facilitation limb if the main purpose is enabling separate works intended to create the specified complete work. | The actual obligations, specifications, relationship between contracts and applicable regime. |
| A package includes equipment, foundations, structural alterations, controls integration and commissioning. | Mixed scope requiring a principal-purpose analysis; it may be works-oriented if those activities are essential to the complete operational result. | Do not apply a PCR or defence test automatically; obtain a regime-specific review. |
| A private developer orders façade panels and asks the manufacturer to advise on fixing details. | No automatic public-procurement classification; commercially it may remain a goods purchase with ancillary advice. | The contract’s governing law, design responsibility, installation obligations and any building or sector regulation. |
“Likely starting point” is deliberate. A real classification depends on the signed scope and governing law, not on a short description of the project.
Common mistakes and how to correct them
Mistake: treating every site activity as works
Correction: distinguish incidental siting or installation from obligations that create, alter or integrate a complete work. Record why the activity is ancillary or central.
Mistake: assuming the contract title controls
Correction: analyse the principal deliverable, specifications, design duties, payment structure and acceptance criteria. Rename the document only after the substance is clear.
Mistake: applying the Procurement Act to a private purchase
Correction: establish whether the buyer is a contracting authority and which law governs the agreement. Public thresholds do not set private project limits.
Mistake: using Scottish rules interchangeably
Correction: confirm whether a Scottish authority is exercising a reserved function. Devolved Scottish authorities generally remain under separate Scottish procurement legislation.

Buyer checklist before issuing or signing
- Have we identified the buyer’s legal status, location, function and governing procurement regime?
- Can we describe the main deliverable without relying on the words “works” or “supply”?
- Are products the principal object, with installation genuinely incidental, or is the supplier responsible for a functioning construction result?
- Who owns design responsibility and risk?
- Do the specifications define a complete work, and could this contract be facilitating works performed under another arrangement?
- Have mixed goods, services and construction activities been analysed under the correct regime rather than a borrowed test?
- Has the estimated value been calculated using the applicable rules, including VAT and any required options or extensions?
- For a public buyer, have the 2026–2027 thresholds, authority category, exceptions and below-threshold duties been checked?
- Is the classification reasoning recorded and approved before tendering, award or a material variation?
