Before signing a lease in a new shopping center, prove five things in writing: the suite and permitted use fit your business; the project will be delivered to an inspectable standard on a defined date; total occupancy cost works under realistic sales scenarios; promised anchors and opening conditions have enforceable consequences; and renewal, relocation, repair, assignment and make-good terms will not undermine the business later. A leasing brochure is a plan, not a guarantee. Have local retail-leasing counsel review the lease, disclosure documents, work letter and center agreements before you commit.

Start with the business case and the lease together

A new center offers potential visibility, parking and complementary tenants, but much of its value may still be prospective. Treat every promise about traffic, tenant mix, opening dates or sales as a due-diligence question. Ask what document supports the statement, who is bound by it, and what happens if it proves wrong.

The lease should identify the premises, the relevant project phase, the work the landlord must complete, the event that constitutes delivery, and the date possession, the term, construction access and rent each begin. It should also define any center-wide test used for occupancy or co-tenancy. Without those details, a tenant can end up paying for a location whose access, neighboring businesses or common areas are materially different from the proposal.

“A retail lease is a legally binding contract between the lessor and lessee for the use of the premises where the lessee conducts their retail business.”

New South Wales Small Business Commissioner, Retail Tenancy Guide

That definition is useful everywhere as a reminder of the commitment involved; the NSW guide’s specific legal requirements apply in New South Wales and should not be treated as universal law.

Verify exactly what you are leasing

Confirm the suite, area and phase

Obtain a dated site plan and an exhibit showing the suite boundaries, measured area, storefront and access points. Confirm whether the quoted area is measured to an agreed standard and whether columns, service corridors, storage or shared facilities are included. In a phased development, identify the phase that will open first and the portions that may remain under construction.

Walk the site at different times if possible. Check sightlines from roads and parking, pedestrian circulation, neighboring uses, loading routes, delivery hours, waste locations, security, lighting and the distance between parking and the storefront. A technically correct address can still fail an operating model if customers cannot see, reach or use the premises conveniently.

Define the permitted use broadly enough

Write the use clause around how the business operates now and how it reasonably may operate during the term. Depending on the concept, address products and services, food preparation, repairs, classes, events, storage, online order fulfillment, pickup, returns and delivery. A narrow named use can prevent a sensible change in product mix or service model.

List every license, planning approval, health permit, building approval and trade authorization required by local authorities. Make the lease conditional on the approvals that are essential to the concept, or at least give the tenant a termination or rent-delay right if an authority refuses an approval for reasons outside the tenant’s control.

Check access, parking, signage and utilities

Do not rely on a general promise of “ample parking” or “prominent signage.” Identify monument, fascia, blade, window and directional-sign rights; approval standards; illumination rules; sign maintenance; and the cost of permits and installation. Confirm parking allocation, accessible spaces, customer pickup areas and any future changes to the parking field.

Have the design and construction teams verify electrical capacity, water, drainage, gas, HVAC, ventilation, fire protection, data pathways, grease or exhaust requirements and after-hours access. The tenant should not be responsible for infrastructure outside its control. The lease and work letter should state who upgrades capacity, obtains approvals and pays for failures or delays.

Investigate the project and the landlord’s promises

Separate signed commitments from intentions

For each advertised anchor or major tenant, ask whether a lease is signed, whether it contains conditions, its planned opening date and whether it must operate continuously. A leasing presentation may show a desired tenant mix rather than binding commitments. Request dated information supporting traffic, sales and occupancy representations, and preserve the material relied on in negotiations.

New South Wales disclosure guidance identifies examples of potentially relevant center information, including annual center sales, specialty-shop turnover per square metre by category, traffic counts, major-tenant lease expirations, planned works and fit-out standards. Those disclosure rules are jurisdiction-specific. Elsewhere, obtain equivalent information contractually where it matters to your decision, and label projections as projections rather than guaranteed foot traffic.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Understand delivery, opening and ongoing co-tenancy

These are different negotiated structures:

  • Delivery co-tenancy: a specified anchor, phase or occupancy level must exist before the tenant has to accept possession.
  • Opening co-tenancy: a condition affects the duty to open, the rent start or both when the center launches.
  • Operating co-tenancy: a condition continues during the term and can provide relief if required tenants close or occupancy falls.

Define the denominator for any percentage test. “The center” could mean the first phase, the entire planned development, or only leasable area delivered by a particular date. In a phased project, an undefined denominator can make a threshold impossible to calculate.

Negotiate the consequence, not just the condition. Possible remedies include delayed acceptance, delayed opening or rent, reduced rent, a right to stay closed, or termination. Specify evidence, notice, cure periods, election deadlines and whether the tenant must be open and not in default to use the remedy. These protections arise from the signed bargain; they do not automatically follow from an anchor appearing on a plan.

Make delivery and construction measurable

Set an inspectable delivery standard

Attach a plan and written scope describing the landlord’s work: shell condition, slab and structure, utilities and service capacity, code compliance, storefront, common areas, access routes, fire and life-safety systems, and any promised roads or parking. State milestone dates, permitted delay extensions, notice requirements and the consequences of missing a date.

Coordinate the landlord’s work with the tenant’s design, procurement and construction schedule. Establish when the tenant may enter for surveys, shop drawings, early works, equipment installation and merchandising. Clarify whether early access changes the rent commencement date or creates insurance, security and utility obligations.

Use an inspection and punch-list process

  1. Pre-delivery review: inspect the suite and common areas against the plan, specifications and code requirements.
  2. Document defects: create a dated punch list with photographs, responsible parties and target correction dates.
  3. Set acceptance rules: distinguish minor cosmetic items from defects that prevent lawful occupancy, safe operation or construction.
  4. Record handover: sign a condition report identifying meters, keys, equipment, finishes and unresolved work.
  5. Reserve remedies: state that acceptance does not waive claims for concealed defects or missed landlord work.

A jointly acknowledged condition record protects both sides. Keep photographs and commissioning records for systems that will affect future maintenance and make-good obligations.

Read tenant-improvement allowance mechanics

An allowance is useful only if the lease makes it collectible. Confirm eligible work, design and approval standards, required invoices, lien waivers, inspection rights, submission deadlines, payment milestones, retainage, tax treatment and the result if the landlord delays approval or payment. Confirm whether unused funds expire, can be applied to approved equipment or rent, and whether the allowance is reduced if the project scope changes. Construction materials for new retail projects emphasize coordinating landlord work, tenant work, permits and allowance timing; they do not establish a standard allowance or entitlement.

Calculate the full occupancy cost

Model at least a conservative, expected and strong-sales case using the actual rent schedule. Headline base rent is only one part of the commitment.

Cost or obligation What to verify
Base rent and increases Starting date, escalation method, frequency, fixed amounts or index formula, and any free-rent period.
Percentage or turnover rent Sales threshold, definition of gross sales, exclusions, reporting calendar, audit rights and treatment of online, pickup, delivery and return transactions.
CAM and other outgoings Allocation denominator, included services, exclusions, management fees, capital items, gross-up rules, caps, estimates, reconciliation and records available for inspection.
Taxes, insurance and utilities Which charges are passed through, how usage is measured, who maintains meters and whether security or after-hours services are separate.
Marketing and promotion Required contribution, permitted uses, approval or reporting obligations and whether the charge changes with sales or area.
Fit-out and restoration Design, permits, financing, equipment, contingency, removal of improvements and the condition required at lease end.

Request the formula and supporting records behind CAM and other pass-throughs. Confirm the reconciliation date, audit period, late-charge rules and treatment of capital work. Accounting rights depend on the lease and local law, so a promise of “transparent” charges is not a substitute for defined records and deadlines.

Turnover definitions require special care. For example, NSW guidance says online sales need not be reported for turnover rent unless they “touch” the premises in the specified way under its framework. That is not a universal rule. Define how web orders, click-and-collect, delivery dispatch, returns and sales completed away from the store are treated in your jurisdiction and lease.

Protect the operating model during the term

Exclusive use and competing tenants

An exclusive-use clause is negotiated protection, not an automatic right. Define the competing business, territory, duration, product or service overlap, landlord remedies and exceptions for existing rights. Practical-law commentary identifies competitor definitions, geographic scope, assignment, duration and competing rights as key drafting issues. A vague promise not to lease to a “similar” business is difficult to enforce.

Trading hours and continuous operation

Check required opening hours, seasonal rules, closure rights during construction or emergencies, staffing obligations and penalties for non-operation. Align any continuous-operation covenant with realistic staffing, permit, supply and force-majeure conditions. Confirm whether a co-tenancy remedy is lost if the tenant temporarily closes under an agreed exception.

Maintenance, repairs and building systems

Allocate responsibility for structure, roof, exterior walls, common areas, HVAC, fire systems, plumbing, electrical equipment and specialized systems serving the premises. Identify response times for failures and the rent or closure remedy for prolonged outages. NSW guidance specifically highlights responsibility for building infrastructure, plant, equipment and air conditioning; the precise allocation elsewhere must come from the lease.

Read the exit and change provisions before signing

Renewal options

Calendar the notice window and method for every option. Determine how renewal rent is reset—fixed increase, market review, valuation or another formula—and which incentives, fit-out obligations and make-good duties continue. Missing an option deadline can remove leverage even when the business is performing well.

Assignment and subletting

Review consent standards, transfer fees, financial tests, franchise or ownership changes, continuing liability and release conditions. A business sale, restructuring or change of control may be an assignment under the lease even when the tenant remains in the same premises.

Relocation, demolition and redevelopment

New centers evolve. If the landlord can relocate or redevelop, require defined triggers, notice, comparable replacement space, payment of moving and refit costs, treatment of downtime and rent, and a termination right if the alternative does not work. Do not accept a broad relocation power without a practical process for preserving customer access and signage.

Make-good and end-of-term condition

Agree at the start what must be removed, restored or left in place. Record the handover condition, obtain approval for alterations and retain permits and drawings. The final obligation may include signage, partitions, cabling, equipment, flooring, penetrations and hazardous materials; ambiguity can turn a planned exit into a large unbudgeted project.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Compare candidate centers on the same evidence

Use one written matrix and identical assumptions for every site.

Decision area Evidence to compare
Customer and trade-area fit Access, visibility, parking, signage, neighboring uses, circulation and delivery logistics.
Project certainty Completed versus proposed work, phase sequencing, delivery date, permits, utilities and landlord scope.
Tenant mix enforceability Signed versus proposed anchors, opening requirements, occupancy definition and co-tenancy remedies.
Total cost Base rent, escalations, CAM or outgoings, turnover rent, promotion, utilities, fit-out and restoration.
Operating flexibility Permitted use, hours, exclusivity, assignment, renewal, relocation, redevelopment and make-good.

Score only information you can substantiate. Keep projections separate from contractual rights and note the date and source of each representation.

Pre-signing checklist

  1. Obtain the complete draft lease, disclosure statement where applicable, work letter, center rules, site plan and relevant easement or center-agreement materials.
  2. Verify the suite, area measurement, phase, access, parking, signage, utility capacity, permitted use and local licensing requirements.
  3. Put landlord delivery scope, dates, inspection, tenant access, tenant work, permit sequencing and allowance payment conditions in writing.
  4. Model every rent component and operating charge, then obtain the CAM or outgoings formula, reconciliation procedure and review rights.
  5. Identify every anchor or major tenant that matters, verify its commitment and negotiate clear delivery, opening or ongoing conditions and remedies where possible.
  6. Calendar construction submissions, opening obligations, option deadlines, notices, audits and renewal dates.
  7. Record handover condition with a jointly acknowledged report and photographs; state exactly what must be removed, restored or left at lease end.
  8. Have local retail-leasing counsel review the final documents and use a qualified cost professional for project-specific fit-out estimates.

Bottom line

Lease a new shopping-center location only after the promised opportunity has been converted into measurable obligations: a defined suite and use, an inspectable delivery standard, a documented rent and cost model, enforceable co-tenancy terms and workable rights for renewal, transfer, relocation, repairs and exit. The closer the project is to opening, the more evidence you should require—not less—because construction schedules, tenant commitments and operating costs can still change until the documents make them binding.
