A U.S. academic building construction contract should identify the parties and project, incorporate a coordinated set of contract documents, define the work and design responsibilities, and make price, schedule, changes, safety, risk, and closeout obligations explicit. It should also address the realities of building on or near an active campus: access, deliveries, work hours, utility interruptions, emergency routes, and protection of teaching, research, clinical, or other ongoing operations. The right terms depend on the project’s location, public or private status, funding, procurement method, and delivery model; there is no single clause package that fits every college or university project.
Use the framework below to organize drafting and review. It is not a universal legal form: the institution’s procurement, facilities, risk, and legal teams should align the contract with the project and applicable law.

Start with a complete, coordinated contract document set
A construction contract is more than the signed agreement. It is the collection of documents that establishes what the contractor must build, how the work will be administered, and what happens when requirements change or conflict. Identify every incorporated document by title, date, revision, and project identifier so both parties can determine which version governs.

Identify the owner’s and contractor’s full legal names, the project name and location, the contract price or pricing basis, and the selected delivery and payment arrangements. State how the contract begins, including any notice to proceed, and identify the required completion dates or milestones. The agreement should also say how amendments and other modifications become binding—for example, who may sign them and what written record is required.

Choose an agreement that fits the actual project structure. AIA publishes different owner-contractor arrangements for different delivery structures, including construction-manager adviser and integrated project delivery documents. Its A201 general conditions are intended to work with an owner-contractor agreement; they are not, by themselves, a complete project contract. The A201-2017 form is one general-conditions reference, not a substitute for project-specific documents and review.
Enumerate documents and state how conflicts are resolved
List the agreement, general conditions, supplementary conditions, drawings, specifications, addenda, schedules, approved alternates, and any other documents the parties intend to incorporate. Include a clear order-of-precedence rule for inconsistent requirements, and check that document titles, dates, project names, and revisions match across the set. Without an agreed method for resolving conflicts, a discrepancy between a drawing and specification can become a dispute about scope, price, or time.
Project closeout requirements may be part of the contract-document set, not an informal list assembled at the end. A Vanderbilt University sample based on A201-2017 illustrates how a public university may adapt general conditions and identify handover materials such as record documents, operation and maintenance manuals, BIM models, system studies, equipment manuals, and bonds. Treat such a sample as an example of adaptation, not a ready-made contract for another institution.
Define the work, interfaces, and design responsibilities
Describe what the contractor must provide, what is excluded, where the work limits are, and how the construction scope relates to existing campus facilities. Identify the design documents and applicable quality requirements, along with the parties’ responsibilities for design completion, delegated design, coordination, submittals, substitutions, testing, and correction of nonconforming work.
Make responsibility for information and equipment explicit. The contract should assign who provides or verifies surveys, geotechnical information, hazardous-material information, permits, utility coordination, and owner-furnished equipment. It should also explain how the contractor is to report a discrepancy or unforeseen condition and what process applies before proceeding with affected work.

Coordinate academic building systems and users
Academic projects can combine conventional building work with specialized technology and operational requirements. Identify the applicable room data, teaching and research equipment, audiovisual and IT systems, security and access controls, laboratory systems, and any other defined performance requirements. Specify interfaces among the construction contractor, design team, institution, equipment vendors, and separate contractors. State who supplies, installs, connects, tests, and accepts each system where those responsibilities cross scopes.
For research or clinical settings, decide whether controlled environments, sensitive equipment, animal-care areas, clinical services, or continuity plans require particular construction methods or operational protections. These are project-specific decisions: they should be translated into measurable requirements and assigned responsibilities rather than treated as universal campus clauses.
Set a schedule that works for an active campus
Define notice to proceed, interim milestones, substantial completion, and final completion. Require schedule updates at an agreed interval and establish how the contractor must show progress, identify slippage, and propose recovery measures. Clarify the treatment of schedule float, extensions of time, owner-caused delay, weather, and delay notice. If the owner is considering liquidated damages or incentives, specify the terms only after confirming they are appropriate and lawful for the project.
Write down access, phasing, and work windows
Translate campus coordination into site-specific requirements. Address access routes, badging, delivery hours, staging and laydown areas, work hours, noise, dust, vibration, and coordination with adjacent facilities. Identify emergency egress routes that must remain available and how temporary changes will be reviewed and communicated. If the project is phased or occupies a site next to active teaching or research facilities, show the boundaries and sequence in the schedule and contract documents.
For utility interruptions, define the advance notice, review, and approval process, including who has authority to approve an outage and how affected campus units will be notified. Address emergency coordination and the contractor’s duty to respond to an unplanned interruption. A general direction to “coordinate with the university” is less useful than named roles, notice periods, approval steps, and a clear record of authorization.

Make price, payment, and records auditable
State whether the work is priced as a stipulated sum, cost plus fee, guaranteed maximum price, unit price, or another structure. Then define the components needed to administer that choice: allowances, contingencies, alternates, taxes, escalation treatment, and allocation of savings where applicable. Do not leave assumptions about what is included in the price to informal proposals or later conversations.
Set the payment-application cycle and list the supporting records the contractor must submit. Identify who reviews and certifies applications, how stored materials are documented, whether and how retainage applies, what lien releases or equivalent documents are required, and how disputed amounts are handled. Specify final-payment prerequisites, including applicable closeout documents and releases. Payment deadlines, retainage rules, and release requirements can depend on jurisdiction and project type, so verify them for the actual project instead of importing a generic schedule.
Control changes, claims, and disputes
Identify who can direct a change and what written authorization is required before changed work proceeds, except where a separate emergency process applies. Establish how the contractor submits proposed price and schedule adjustments, what records must substantiate them, and how the owner responds. Address construction change directives or other interim directions if the selected contract form uses them, including how the parties will track work while final pricing or time is being resolved.
Set a claim-notice procedure with a clear recipient, delivery method, timing, and required information. State escalation steps and select the intended dispute forum—such as mediation, arbitration, or court—along with venue and governing law. Explain whether work must continue while a dispute is pending, to the extent that obligation is enforceable. Federal Acquisition Regulation Part 43 describes written change procedures and equitable adjustments in relevant federal contracting circumstances; it is a federal procurement reference, not a blanket rule for private or state university construction.
Protect people, property, and campus operations
Allocate construction safety responsibilities and require an appropriate site safety plan, incident reporting, and emergency procedures. Define site rules for protecting students, staff, visitors, workers, existing property, and ongoing operations. Address hazardous materials and fire protection, and include infection-control measures where the facility or work makes them relevant. Identify any required background screening, access controls, or security procedures and who administers them.

For projects near research or clinical operations, consider whether the contract needs specific controls for sensitive equipment, controlled environments, animal care, clinical services, or continuity of essential operations. Determine how incidents, unexpected hazards, and changes to access or protection measures are reported and escalated. The institution and design team should set requirements to fit the location and facility use; a campus label alone does not establish a universal safety or security standard.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone.Match insurance, bonds, and risk terms to the project
List required insurance policies and limits, additional-insured terms, certificate requirements, builder’s risk, deductibles, and waivers of subrogation as applicable. Allocate responsibility for property in transit and materials stored off site where those exposures exist. Coordinate insurance requirements with the project’s funding, delivery model, owner policies, and risk profile.
Decide whether bid, performance, payment, or warranty bonds are required and specify the required form and timing. These are distinct instruments: AIA’s document catalog identifies each as serving a different function. Whether any is appropriate or required depends on the project and applicable procurement rules. Review indemnity, limits of liability, consequential damages, and force-majeure provisions with attention to jurisdictional restrictions and the parties’ intended allocation of risk.
Assign permits, code compliance, and other obligations
State who obtains and pays for permits and inspections, and identify the applicable building, fire, accessibility, energy, environmental, labor, tax, and procurement requirements. Assign responsibility for documenting compliance and responding to inspection findings. If the owner provides permits or approvals, identify which ones and what cooperation the contractor must provide.

Academic owners may also have sustainability targets, local-hiring goals, minority- or women-owned business participation requirements, reporting duties, or grant conditions. Their applicability depends on location, public or private status, funding, and procurement rules. AIA cautions that standard forms may require modification to comply with state and local law; review the selected form and all supplementary terms accordingly.

Define completion, commissioning, and handover
Explain the inspection and acceptance process, including punch lists, substantial completion, any beneficial occupancy, and final completion. Set out commissioning responsibilities and the evidence required to demonstrate that building systems meet specified performance requirements. Define who arranges tests, who witnesses them, how deficiencies are recorded, and what must be corrected before acceptance.
List the closeout items the contractor must provide and the required format and delivery date. Depending on the project, these may include training, warranties, spare parts, keys and credentials, record drawings, operation and maintenance manuals, equipment manuals, BIM or asset data, and final lien or bond releases where applicable. For an academic building, describe operational readiness in terms the institution can verify—for example, required system testing, staff training, and delivery of access credentials—rather than relying on a general promise that the building is ready for use.
Choose forms and delivery terms around the project
Before selecting a standard form or delivery method, compare the actual project’s needs across five questions:
- Design responsibility: Who is responsible for design, and at what point does the contractor join the process?
- Price certainty: How is the price established, and how will changes be valued?
- Schedule and authority: Can design and construction overlap, and who makes decisions at each stage?
- Owner capacity: What staffing and expertise will the institution need for cost and design coordination?
- Risk and claims: How are risk, claims, and any savings allocated?
Then check the edition and terms of the chosen form, its relationship to the other contract documents, and the amendments needed for the particular project. A form family’s name does not prove it is suitable. The owner’s procurement, facilities, risk, and legal teams should review the assembled contract against the institution’s requirements and applicable law before execution.
