Choose the engineering firm on demonstrated qualifications and the people who will perform the work, then agree a precise scope and negotiate the fee. After an acquisition, add checks for ownership changes, staff continuity, conflicts, legacy obligations, licensing, and insurance. Your project location, engineering discipline, buyer type, and funding source determine which licenses, registrations, procurement rules, and contract requirements apply, so confirm those locally before signing.
Start with the decision, not the fee
An acquisition can leave an engineering firm’s name and portfolio looking familiar while changing its ownership, managers, systems, insurance program, subcontractor network, or access to the people who delivered earlier projects. Your diligence should therefore test both the firm’s organizational capability and the actual team proposed for your job.

A sound sequence is to evaluate qualifications, develop or confirm the scope and schedule with the selected firm, and negotiate a fee based on that scope. The American Society of Civil Engineers (ASCE) describes this qualifications-based sequence in Policy Statement 304. Selecting the lowest bid before you know what work is required can produce an apparently cheap proposal that excludes essential analysis, reviews, coordination, or site support. This is professional guidance, not a universal rule for every private purchase.
1. Establish the project facts that control eligibility
Before soliciting proposals, write down the facts that determine who may legally perform and sign the work:
#1 Best Overall
- Valued Carpenter Pencil Set: You will get 2 pcs solid carpenter pencils with 26 piece 2.8 mm refills, 1 replaceable sharpener, 1 plastic storage box.The complete carpenter pencils combination allows you to finish your work faster and more easily
- Deep Hole Marker Pencil: The deep-hole construction pencils adopts 45mm elongated tip design, which is more convenient to mark in the small hole or in other tight areas that other carpenter markers cannot reach
- Carpenter Pencils with Sharpener: The sharpener is screwed into the top of the work pencil, which won't get lost either. Built-in pencil sharpener that keep the lead with pointed and smooth to Improves line of sight in fine work
- Stronger Solid Lead: This work pencil is matched with a 2.8 mm thick lead , which is much thicker and stronger during the drawing process of construction work, it will not break or damage easily
- Marks on Various Surfaces: 3 colors solid construction pencil can marks on various surfaces, such as metal, plastic, wood, paper etc. Ideals for woodworkers, contractors, craftsmen, builders, merchants and masons
- Project address and governing state, country, municipality, or other authority.
- Engineering disciplines required, such as civil, structural, mechanical, electrical, geotechnical, environmental, or specialist systems work.
- Whether the buyer is a private owner, developer, lender, contractor, public agency, or a public-private entity.
- Funding and procurement source, including federal assistance or a public contract.
- Required construction stage, permitting path, review bodies, and anticipated construction value.
Then verify the firm’s authorization and the relevant individual licenses, registrations, seals, and responsible-charge requirements with the authority having jurisdiction. Because no location or discipline is specified here, exact requirements cannot be stated safely. Ask local counsel, the permitting authority, or the applicable professional board to confirm them.
2. Test qualifications with evidence
Request comparable project proof
Ask for examples that match the technical problem, delivery method, complexity, site conditions, and project phase you face. A generic list of landmark projects is less useful than a short explanation of what the firm actually designed, reviewed, stamped, coordinated, or inspected; which staff performed it; and what changed during delivery.
ASCE Policy Statement 304, adopted July 21, 2026, says professional engineering services should be selected on qualifications including “training, experience, past-performance, and capabilities.” Use those four categories as your evidence request:

- Experience: comparable facilities, hazards, codes, materials, software, and construction methods.
- Past performance: references, schedule and budget performance, change history, claims, and quality records where the client can disclose them.
- Capabilities: in-house disciplines, laboratories or field resources, digital coordination, quality control, and the ability to obtain specialist support.
Check the proposed method
Require a concise technical approach tied to your stated outcomes. It should identify investigations, calculations, modeling, design reviews, permitting support, construction administration, site visits, and deliverables. Ask what information the firm needs from you and which assumptions could change its work. A firm that cannot explain its method without relying on marketing language has not yet demonstrated fit.
Call references directly
Speak with at least the project owner or manager named in each reference. Ask whether the same discipline leads were involved, how the firm handled errors or late information, how responsive it was during construction, and whether additional services or disputes arose. Keep notes so every finalist is assessed against the same questions.

- One-Handed Loading - Keep one hand free with a 1/4 in. hex chuck that accepts 1 in. bit tips
3. Verify the people who will do the work
Evaluate personnel as well as the corporate firm. Request the project executive, project manager, discipline leads, reviewers, and site representatives by name. For each person, record relevant experience, license status, role, expected availability, and planned time commitment. NSPE procurement guidance also identifies specialized knowledge, experience in the project type, assigned qualified personnel, timeliness, and recognition of budget limits as selection considerations.
Ask whether essential capabilities will come from an affiliate or subconsultant. Identify that organization’s name, discipline, lead person, deliverable, insurance, and reporting relationship. Require notice and approval for substitutions when a named person is material to the selection, while allowing a practical process for replacing someone who leaves or becomes unavailable. The sources do not impose one universal staffing clause; the point is to make responsibility visible before work starts.

During interviews, ask the proposed leads to explain a relevant technical decision, a difficult field condition, and how they communicate unresolved risk. Their answers reveal more than a résumé and help confirm that the people presented in the proposal are the people you will actually reach.
4. Investigate what the acquisition changed
Request a factual briefing on the transaction and its effect on your engagement. You do not need confidential deal terms, but you do need to know who owns and controls the contracting entity and who has authority to commit staff, sign deliverables, and resolve claims.
| Acquisition question | Evidence to request | Why it matters |
|---|---|---|
| Who is the contracting entity now? | Legal name, registration details, ownership or control information, and authorized signatory. | Prevents a contract with an entity that cannot assume the intended obligations. |
| Did leadership or operating units change? | Current organization chart and explanation of merged offices, renamed entities, or centralized functions. | Shows where decisions, technical review, and escalation now occur. |
| Are key people still available? | Written confirmation from the proposed leads and a continuity or substitution plan. | Protects against a proposal built around staff who have departed or moved. |
| What happened to systems and records? | Data-retention, document-control, cybersecurity, and project-file migration procedures. | Inherited files, calculations, and approvals must remain retrievable and controlled. |
| Are earlier obligations still covered? | Explanation of responsibility for legacy work, warranties, open claims, and prior-client commitments. | Clarifies who will respond if an earlier act affects your project or interface. |
Ask whether the acquisition creates restrictions on serving competitors, using inherited intellectual property, or accessing another client’s confidential information. Have your lawyer review any answer that affects ownership, confidentiality, or successor liability.

5. Screen for conflicts and independence
Ask the firm to identify current or former assignments that could limit its independent judgment, access to information, or ability to act for you. Include work for an owner, contractor, lender, regulator, competitor, or another consultant on the same project. Obtain a written conflict disclosure and an explanation of any proposed mitigation, such as information barriers or a different review team.
Federal buyers must consider the rules in Federal Acquisition Regulation (FAR) Subpart 9.5. Those rules direct contracting officers to identify and evaluate potential organizational conflicts early and to avoid, neutralize, or mitigate significant conflicts before award. The FAR notes heightened risk in professional services, technical evaluations, and certain systems-engineering roles. It directly governs federal procurement; it does not automatically bind a private owner. A private buyer should still use the same questions as a practical independence check and then follow any applicable local or funding rules.
6. Build the scope and schedule before negotiating price
Give each finalist the same statement of objectives and ask the selected firm to help turn it into an executable scope. Define:
- Design criteria, codes, standards, surveys, investigations, and analyses.
- Drawings, specifications, models, calculations, reports, permits, and other deliverables.
- Review stages, approval gates, construction-phase services, site visits, and response times.
- Owner-provided information, access, testing, decisions, and other assumptions.
- Explicit exclusions, allowances, interfaces with architects, contractors, vendors, and other consultants.
- Milestones, dependencies, critical-path dates, and the process for changing them.
Only after this scope is sufficiently clear should you negotiate the fee. Compare like with like: a lower number may omit field observation, coordination, design iterations, or specialist review. Ask each firm to identify its pricing basis, reimbursable expenses, assumptions, and triggers for additional services.
7. Compare finalists with a consistent scorecard
Use a written scorecard and record evidence rather than impressions. The following axes reflect the factors most likely to affect delivery after an acquisition.

| Criterion | Questions to score | Warning sign |
|---|---|---|
| Technical fit | Has the firm solved this type of problem under comparable codes, site conditions, and delivery constraints? | Only broad or unrelated project examples. |
| Named team | Are the proposed leads qualified, licensed where required, available, and supported by reviewers? | Senior presenters disappear after selection or availability is undefined. |
| Method and deliverables | Does the approach identify investigations, interfaces, reviews, and measurable outputs? | Scope consists of general promises with no exclusions or assumptions. |
| Past performance | Do references confirm quality, communication, schedule control, and fair handling of changes? | References are uncontactable or cannot describe the proposed team. |
| Independence | Are conflicts disclosed and credibly mitigated? | The firm refuses to identify overlapping roles or information controls. |
| Continuity | Can the acquired organization preserve records, authority, and staff continuity? | No clear contracting entity or successor-responsibility explanation. |
| Risk and insurance | Do contract duties, liability provisions, and coverage align with the services? | Broad guarantees, unclear exclusions, or insurance certificates without policy context. |
Score qualifications and delivery risk first. Use the fee as a comparison only after scope and assumptions are aligned.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone.8. Review the agreement as a risk-allocation document
The contract should match the work you intend to buy and state who controls each decision. Have counsel and your insurance adviser review it before signature. At minimum, address:
- Legal parties, authorized signatories, scope, deliverables, standards, and schedule.
- Owner responsibilities, information supplied, access, approvals, and reliance on third-party data.
- Change control, additional services, delays, suspension, termination, and payment mechanics.
- Subconsultants, affiliates, delegation, review responsibilities, and replacement of key personnel.
- Ownership and permitted use of drawings, models, calculations, specifications, and project data.
- Confidentiality, cybersecurity, records, dispute procedures, governing law, and venue.
- Insurance, indemnity, limitation of liability, and responsibility for professional errors.
ASCE Policy Statement 388, adopted July 10, 2025, states: “ASCE opposes the inclusion of warranty, guarantee, or similar clauses in contracts for professional engineering services.” ASCE’s position is that such language can create absolute liability for matters beyond an engineer’s control and beyond the usual professional standard of care. That does not decide your contract. Ask qualified legal and insurance advisers whether a proposed warranty, indemnity, standard of care, or limitation is lawful, insurable, and appropriate for your transaction.
9. Confirm insurance and legacy coverage
Obtain current evidence of the firm’s professional-liability, general-liability, workers’ compensation, automobile, and cyber coverage where relevant to the work. Confirm policy periods, limits, deductibles, exclusions, and whether affiliates or subconsultants are covered. A certificate alone may not answer how claims are handled.
Because this engagement follows an acquisition, ask how prior acts, tail coverage, open claims, and liabilities of the acquired practice are treated. The 2022 Greyling A/E/C mergers-and-acquisitions diligence paper warns that insurance areas are often overlooked and can have financial consequences. It is an industry resource, not a regulator or a substitute for transaction-specific advice. Have your broker or risk adviser review material exposures and the final insurance wording.

10. Use a documented selection process
- Define the project: document location, discipline, authority, funding, stage, and desired outcomes.
- Issue a focused request: ask for comparable experience, named personnel, method, schedule, assumptions, conflicts, and fee basis.
- Verify evidence: check licenses, registrations, references, past performance, and the availability of key staff.
- Interview the working team: test technical judgment, communication, and escalation practices.
- Select on qualifications: record why the preferred firm is best equipped before discussing final price.
- Develop scope and schedule: resolve deliverables, exclusions, interfaces, owner duties, and milestones in writing.
- Complete acquisition diligence: confirm entity authority, continuity, records, conflicts, legacy obligations, and insurance.
- Negotiate and sign: align fee, payment, risk allocation, work-product rights, and change procedures with the agreed scope.
- Hold a mobilization meeting: confirm contacts, document controls, decision rights, review dates, and the first deliverables.
Common failure modes and practical fixes
The proposal relies on the old firm’s reputation
Fix: require project-specific examples and evidence from the current legal entity and current staff. Treat predecessor experience as relevant only when the people, records, and responsibility genuinely carry over.
The cheapest fee wins a vague scope
Fix: normalize deliverables, exclusions, hours or effort assumptions, reimbursables, and construction-phase services before comparing totals.
A key engineer leaves after award
Fix: name critical roles, require prompt notice, approve material substitutions, and preserve access to equivalent qualified reviewers.
A conflict appears after work begins
Fix: obtain disclosures before award, update them when ownership or assignments change, and document mitigation or withdrawal decisions.
Insurance looks adequate but legacy exposure is unclear
Fix: obtain broker-level advice on prior acts, tail coverage, claims, exclusions, and the obligations assumed by the contracting entity.
Resources for deeper contract and selection work
ASCE Policy Statement 304 points readers to ASCE Manual No. 45, How to Select and Work Effectively with Consulting Engineers: Getting the Best Project, for additional selection guidance. ASCE also describes the EJCDC Engineering Series as professional-services agreements, including owner-engineer and engineer-subconsultant documents. Check the current edition and have local counsel adapt any form to your jurisdiction, project type, and negotiated risk allocation.
Finally, confirm whether public-procurement statutes, funding conditions, or licensing rules impose a qualifications-based selection process, conflict disclosures, specific contract language, or additional records duties. Requirements vary by jurisdiction and buyer; do not assume a US federal rule, a private-sector practice, or an industry template applies automatically to your project.
