Short answer: a subcontractor or supplier does not automatically inherit the main contractor’s project contract, and the project owner does not automatically become the party that must pay. Your immediate rights usually come from the subcontract, purchase order, bond or direct agreement you signed. The result then turns on why the main contract ended, what your documents say about payment, termination and assignment, whether a surety, lender or owner has step-in rights, and the law governing the project.
Work may continue under a replacement contractor, stop while accounts are settled, or be transferred through a formal novation or step-in arrangement. Those outcomes are negotiated or documented; they are not created merely because the owner appoints someone new.

Start with the contract chain, not the project site
Construction projects are layered. The owner contracts with a main contractor (the prime). The prime contracts with subcontractors and suppliers, and those businesses may in turn engage lower-tier firms. Each contract normally creates rights only between its own parties.

A pipe supplier that sold to the mechanical subcontractor normally looks first to that buyer. Owner approval of a subcontract does not, by itself, create an owner–subcontractor contract. A public-works FAQ from the Philippines makes that point expressly, and the same separation appears in U.S. federal procurement rules.

The U.S. Federal Acquisition Regulation (FAR) states: “A subcontractor has no contractual rights against the Government upon the termination of a prime contract.” The same provision explains that the subcontractor may have rights against the prime contractor or the intermediate subcontractor with whom it contracted. That is a U.S. federal rule for contracts containing the applicable FAR clauses, not a universal statement about every private or international project.
Why the main contract was lost changes the outcome
“Lost” can mean several legally different events. Obtain the written notice and identify the mechanism before deciding what to do.
Termination for convenience or work no longer needed
A convenience termination ends work without finding that the contractor breached. Covered U.S. federal contracts generally require the prime to settle termination proposals from its immediate subcontractors. Each subcontracting tier is responsible for settling with its own immediate lower tier. The Government may settle a subcontractor proposal directly when the contracting officer decides that doing so is in the Government’s interest, but direct settlement is discretionary and not a general promise of payment. FAR guidance says direct settlements are not encouraged.

Those planning points help explain what a settlement may need to cover, but they do not set a universal compensation formula for private projects.

Termination for default or contractor failure
After a default, the owner or public agency usually focuses on completing the work and preserving its contractual remedies. Under FAR Subpart 49.4, alternatives can include continued performance through an acceptable third party while the Government preserves its rights. In covered construction cases, a surety may propose to take over and complete the work. If the surety does not complete it, the contracting officer normally arranges a new contract.
A new completion contract does not automatically assume every former subcontract or purchase order. The replacement contractor may rehire some trades, but it can require new prices, schedules, warranties and releases. Your existing payment and termination claims remain governed by the contract you signed and the applicable law.
Insolvency of the prime or project company
Insolvency adds a separate layer of bankruptcy or restructuring law, security interests and claims priorities. A lender or public authority may have a direct agreement allowing it to step in, cure specified defaults, or nominate a replacement operator. UK private-finance (PFI) guidance describes such arrangements as a way to preserve subcontracts and continuity, while warning that the stepping-in party may assume outstanding liabilities. Sequential or competing step-in rights can also prevent the intended solution from working smoothly.
Recommended Free Tools
Direct payment to subcontractors can be considered within a wider PFI contract suite, but it is not automatic. Confirm exactly which agreement grants the right, what notice and cure periods apply, and whether payment is conditional on assignment of the subcontract, proof of performance, or a release.

Negotiated replacement, novation or partial transfer
The owner, outgoing prime and replacement contractor may negotiate a novation or assignment. A novation substitutes a new contracting party and normally requires the required consents; an assignment may transfer rights while leaving performance obligations with the original party, depending on the contract and governing law. Some projects use a direct agreement under which a lender or owner can take over a subcontract after a default.
Do not treat a request to “keep working for the new contractor” as proof that your old account has been paid or released. Obtain a written agreement identifying the effective date, the party responsible for pre-transfer work, retention and defects, treatment of stored or ordered materials, and the terms for future work.
Who owes you money?
Separate amounts by contract and by stage of performance. The party that issued your subcontract or purchase order is usually the first payment obligor. A termination of the prime contract does not erase an earned payment claim, but it may trigger certification, set-off, retainage, termination-cost or dispute procedures.

Collect the signed subcontract, approved change orders, payment applications, site records, delivery tickets, inspection reports, certificates, invoices, retainage statements and correspondence about disputed work. Determine which applications were certified, which remain pending, and whether the contract permits set-off or “pay when paid” language. The legal effect of pay-when-paid and pay-if-paid wording varies by jurisdiction, so do not assume either phrase guarantees or eliminates payment.

Partly performed or terminated work
Termination clauses may allow payment for work properly performed, reasonable demobilization, restocking or cancellation charges, and certain committed costs. They may also limit recovery for lost anticipated profit on unperformed work. The exact calculation is document- and law-dependent. Submit the notice, records and proposal required by your contract within its stated deadline; a general invoice may not preserve a termination claim.
Unpaid goods and committed orders
List materials in four categories: delivered and incorporated, delivered and stored on site, in transit, and ordered but not yet shipped. UNCITRAL guidance on industrial construction contracts notes that suppliers may refuse further deliveries or seek recovery of delivered equipment or materials when sums remain unpaid. Whether a supplier can do so depends on title terms, retention-of-title language, security interests, construction liens, possession and local law. Do not remove, redirect or resell materials without legal advice and a written instruction that protects your title and payment position.
Can you continue with the replacement contractor?
Possibly, but continuation needs a defined legal bridge. Review the following before mobilizing under a replacement:
Free tools Windows power users keep installed
One-click scans. No signup required.
- Assignment or novation clause: whether consent is required and whether the owner, lender or surety has a unilateral transfer right.
- Termination and suspension language: when your obligations end, what notice is required, and whether a site shutdown creates storage or demobilization duties.
- Direct agreement or step-in deed: who may cure a default, what liabilities are assumed and how long you must continue after notice.
- Scope and price: whether the replacement document covers only future work or also unpaid prior work, defects, warranties and retention.
- Release and reservation of rights: whether accepting a new order waives claims against the original counterparty, a surety or a bond.
Have the replacement party identify the responsible contracting entity, insurance, payment process, schedule baseline and authority to issue instructions. A site representative’s verbal assurance is not a substitute for a signed agreement.

Bonds, sureties, owners and lenders
A payment bond or performance bond may provide an additional route, but each bond has its own protected parties, notice periods, claim procedures, exclusions and deadlines. A performance bond is primarily a completion mechanism; a payment bond may address unpaid subcontractors or suppliers. The bond does not automatically make the owner your customer, and a claim can be lost through late notice or failure to follow the bond’s steps.
On some public or financed projects, a direct agreement gives the owner, lender or surety rights to receive notices, cure defaults, approve a transfer or step in. Read that agreement with the subcontract; the documents may impose obligations that do not appear in the purchase order. Check whether the step-in party assumes accrued liabilities or only future performance.
A practical response plan
Use this sequence while preserving the status quo and avoiding irreversible action:
- Secure the documents. Gather the prime-contract termination notice if available, your subcontract or purchase order, amendments, bonds, direct agreements, insurance certificates, schedules, approved changes and all payment records.
- Identify the legal framework. Record the project location, public or private status, governing-law clause, dispute forum and any mandatory notice or lien/bond deadlines. The U.S. FAR, UK Procurement Act guidance, Philippine public-works rules and UNCITRAL guidance are examples of different frameworks, not interchangeable rules.
- Classify the event. Mark the notice as convenience, default, insolvency, negotiated replacement or another stated mechanism. If the notice is ambiguous, ask for clarification in writing without conceding fault.
- Reconcile the account. Prepare a ledger of approved work, disputed work, retainage, unpaid invoices, stored goods, cancellation charges, demobilization and other committed costs. Attach contemporaneous proof.
- Protect notice rights. Calendar every contractual, bond, lien, public-claim and insolvency deadline. Send notices through the contractually required method and keep delivery evidence.
- Control materials and equipment. Photograph and inventory items by location and status. Preserve serial numbers, title documents and delivery records. Do not move or dispose of property based solely on a phone call.
- Evaluate a replacement offer. Require a signed assignment, novation or new subcontract that states who pays pre-transfer amounts, who owns stored materials, how warranties run and whether any release is limited.
- Escalate the right issue. A construction lawyer, claims consultant or insolvency adviser can assess bond strategy, lien or security rights, set-off, retention of title and proof-of-claim procedures under the governing law.
Comparison of the main decision factors
| Factor | Why it changes the result | What to verify |
|---|---|---|
| Reason for loss | Convenience, default, insolvency and negotiated replacement can trigger different settlement and completion procedures. | Exact notice, clause cited and effective date. |
| Contracting counterparty | Your immediate payment and performance rights usually run to the party that signed your subcontract or purchase order. | Signature blocks, incorporated terms and lower-tier relationships. |
| Stage of work or goods | Completed work, incorporated materials, stored goods, in-transit shipments and future orders may be valued or transferred differently. | Acceptance, title, possession, delivery and cancellation records. |
| Bond or direct agreement | May add a completion, payment or continuity route, subject to strict terms. | Protected parties, notice deadlines, cure rights and assumed liabilities. |
| Public or private project and jurisdiction | The cited U.S., UK, Philippine and international frameworks have different institutions and limits. | Governing law, forum, procurement regime and mandatory statutes. |
Common mistakes that worsen the position
- Assuming the owner must pay because it approved the subcontract.
- Continuing work for a replacement contractor without a written scope, price and payment obligation.
- Signing a broad release in exchange for a partial payment without reserving bond, lien, retention or disputed-work claims.
- Stopping deliveries, removing installed goods or redirecting shipments without checking title, notice and insolvency rules.
- Missing a short bond, lien or termination-claim deadline while waiting for the prime’s promised settlement.
- Treating one jurisdiction’s public-contract rule as a universal construction rule.
What the cited frameworks establish—and what they do not
The U.S. FAR provisions establish a specific federal procurement approach: the prime settles immediate subcontractor proposals after a covered convenience termination; the Government may make a discretionary direct settlement; and a subcontractor does not gain contractual rights against the Government merely because the prime contract ended. FAR default provisions describe surety takeover and reprocurement options, but they do not say that a new contractor automatically assumes every old subcontract.
UK Cabinet Office termination guidance emphasizes planning for assets, data, sums owed and supplier breakage costs under the Procurement Act 2023. Its discussion of replacing an excluded or excludable subcontractor is a narrow statutory context, not a general entitlement whenever a project changes hands. UK PFI distress guidance describes step-in structures and their liability risks within PFI documentation.
A Philippine public-works FAQ illustrates that owner consent to subcontracting alone does not create an owner–subcontractor contract. UNCITRAL’s 2009 legal guide offers international contract-planning guidance on transfer or termination of supply arrangements and the risk that unpaid suppliers will withhold deliveries or seek recovery of materials. None of these sources supplies a universal payment rate, recovery percentage or standard timetable.
Bottom line
Expect a transition process, not an automatic substitution. Establish who your contract is with, preserve every notice and bond right, separate earned work from future work and control materials by documented title and possession. Continue under a replacement only after the new party’s responsibilities and your old claims are written down. Because the cited rules are jurisdiction- and contract-specific, a lawyer familiar with the project’s governing law should review the documents before you stop work, remove goods, sign a release or accept a transfer.
