The result depends on the legal entities named in your agreement, the transaction structure, the warranty documents, and the law where the home is located. Treat an acquisition announcement as a reason to verify those documents—not as proof that your deal has changed.
Ask the builder for written confirmation of which entity will complete construction, receive your payments, deliver the home, and handle warranty claims. Preserve your executed agreement and every notice before signing an amendment, assignment, release, or replacement contract.

Start with the distinction that controls everything
“The builder was bought” can describe several different events. A parent company may acquire the shares of the company that signed your contract; two subsidiaries may merge; a project may be transferred to another affiliate; or the original vendor may remain in place while only its ownership changes. Those structures can produce very different contractual consequences.
Ownership change versus contracting-party change
Find the exact legal names in your agreement. Identify the vendor or seller, the construction entity, the deposit holder, and the warranty provider. Then compare those names with the entity identified in the acquisition notice. A change in the parent company is not necessarily a change in the company that owes you a home.

A U.S. Securities and Exchange Commission filing by Taylor Morrison Home Corporation illustrates one possible structure: a subsidiary merged into Taylor Morrison Home Corporation, which survived and then became a wholly owned subsidiary of Berkshire Hathaway. That filing shows why the surviving legal entity matters; it does not determine the rights of any individual purchaser.
Questions to ask before signing anything new
- Which entity signed as vendor or seller in my executed agreement?
- Is the builder a separate legal entity, and does that entity remain licensed and responsible for construction?
- Is the proposed document an amendment, an assignment, a novation, a release, or an entirely new agreement?
- Which entity will take my next payment, deliver title or possession, and respond to defects?
- Does the notice change any price, closing date, inclusions, deposit protection, warranty term, or dispute process?
Request answers in writing. Do not assume that a sales representative’s verbal assurance changes the legal agreement, and do not assume you can refuse a requested amendment without checking the contract and local law.
What happens to a signed purchase contract
If the original contracting entity survives
When the company named in your agreement remains the surviving entity, the acquisition may change who owns that company without changing your written obligations. Your payment schedule, specifications, notice provisions, and closing mechanics generally remain the terms of the existing agreement unless a valid amendment or applicable law changes them.

If the contract or project is transferred
A transfer to another entity raises different questions. The documents should identify the successor and explain whether the successor assumes every obligation. Check for language about assignments, consent, releases, indemnities, and representations. A request that you cancel and re-sign can affect deposit protection, upgrade credits, financing conditions, critical dates, limitation periods, and the evidence of your original bargain.
Keep the original contract, addenda, change orders, receipts, construction correspondence, and every acquisition-related notice together. If a successor asks you to sign, compare the two documents line by line and obtain independent legal advice where the change affects money, timing, title, or remedies.
What an acquisition announcement does not prove
- It does not prove that construction will be delayed.
- It does not prove that your closing or occupancy date has moved.
- It does not prove that a warranty has been shortened, expanded, or replaced.
- It does not prove that you must accept a new contract.
- It does not establish that every affiliate has the same liability as the entity named in your agreement.
Ontario: merger and warranty responsibility
Ontario has specific guidance that should not be generalized to other provinces, U.S. states, or countries. Tarion’s merger guidance states: “From a warranty perspective however, the new company post-merger is responsible for maintaining the warranty obligations of any previous entities.” Tarion may require confirmation that indemnities, vendor and builder agreements, and statutory obligations can be met both retroactively and going forward. A merger, acquisition, or other significant corporate change must be reported to the Home Construction Regulatory Authority (HCRA) and Tarion well in advance.

Why “builder” and “vendor” are not interchangeable
HCRA guidance distinguishes the company that sells the home from the party that performs or controls construction. Tarion administers Ontario’s new-home warranty plan and acts as a financial backstop for vendor warranty obligations. An Ontario builder may remain responsible for statutory warranty after certain contract or responsibility changes, but HCRA warns that coverage can be jeopardized if the builder no longer controls construction. The practical question is therefore not only “Who owns the group?” but also “Which licensed entity controls the work and stands behind the statutory obligations?”
If you already own the home
HCRA’s owner guidance says a successor in title can continue to benefit from warranty coverage during the warranty period, but is bound by what the prior owner did or failed to do. If the former owner allowed a claim period to expire without filing, a later owner is bound by that failure. If a claim was filed and ownership changed, the new owner steps into the prior owner’s position and carries the claim forward. Keep proof of filing dates, inspection reports, photographs, and all responses.
What the acquisition means for a builder warranty
Read the actual warranty, not a sales summary
The U.S. Federal Trade Commission (FTC) describes a builder warranty as coverage that generally comes with new-home construction and applies to permanent parts of the home. Terms vary by component and by warranty. The FTC gives common examples—not universal requirements—of one year for workmanship and materials on many components, two years for heating, ventilation, air-conditioning, plumbing, and electrical systems, and up to ten years for major structural defects under some builders’ warranties.

| Typical FTC example | What it means | Qualification |
|---|---|---|
| One year | Workmanship and materials on many components | General example; your document may differ |
| Two years | HVAC, plumbing, and electrical systems | General example; coverage and definitions vary |
| Up to ten years | Major structural defects under some warranties | Not every builder or jurisdiction provides this term |
Check the warranty’s covered components, exclusions, start date, claim deadlines, inspection rules, repair obligations, and dispute-resolution procedure. Many warranties exclude appliances, small cracks, or items covered by a manufacturer’s separate warranty. They may also exclude the homeowner’s temporary relocation costs while repairs are performed.
Do not confuse a builder warranty with a paid service contract
The FTC says a paid “home warranty” is really a service contract that costs extra; it is not the builder’s construction warranty. Buying an optional service contract does not preserve or replace obligations owed under your purchase agreement or statutory new-home plan.

How to protect a claim during an ownership change
- Read the written warranty and locate the deadline for reporting the defect.
- Submit the claim through the stated process, even if the company also offers a telephone hotline.
- Put the request in writing and describe the location, symptoms, dates, and requested remedy.
- Keep photographs, videos, inspection reports, invoices, delivery confirmations, and a log of every communication.
- Follow required mediation, arbitration, inspection, or escalation steps before the deadline expires.
The FTC notes that many new-home warranties provide or require mediation and arbitration. Whether those procedures apply, and what choices you have, depends on your actual warranty and the law governing it.

Construction schedules and closing dates
An acquisition announcement is not a delay notice
Use the dates in your signed agreement as the baseline. Ask whether the builder is changing a date, issuing a formal notice, or merely providing ownership information. A new parent company may leave the construction team and schedule unchanged; conversely, a project transfer could require a formal notice under your contract.
Ontario critical dates and addenda
For Ontario new-home agreements, HCRA says the correct addendum depends on the type of home. The addendum sets out closing or occupancy obligations, notice rules, permitted extensions, and compensation provisions. The guidance identifies addenda dated October 7, 2020 and requires vendors to use the most recent applicable version; confirm the current form for your transaction.
Each addendum includes a critical expected completion date and a latest date for permitted extensions, often called the outside closing or occupancy date. A municipality must issue an occupancy permit before occupancy can occur. If the home is not ready by the outside date, a 30-day termination period may be triggered during which the purchaser may have a right to terminate.
Delay compensation is fact-specific
A delay that prevents closing or occupancy may create compensation rights under Ontario’s warranty law, but not every delay qualifies. The addendum, the reason for the delay, required notices, and the builder’s compliance with extension rules all matter. Changing agreed dates can affect compensation rights, so do not sign a date change or release without understanding what it waives.
A practical action plan for buyers
Before closing
- Mark every contractual date, notice period, outside date, and termination window on a calendar.
- Request the acquisition notice, the surviving or successor entity’s full legal name, and confirmation of who will close the transaction.
- Ask whether the builder proposes an amendment, assignment, release, or replacement agreement.
- Verify deposit records, upgrade credits, financing conditions, and included items against your original agreement.
- Have a real-estate lawyer review any document that changes the contracting party, date, price, title, or remedies.
While construction is underway
- Ask for the current construction milestone and the date the builder expects to meet.
- Require any extension notice in the form and timeframe specified by your agreement or local addendum.
- Keep a dated log of missed milestones, site communications, inspections, and requested changes.
- Do not treat a marketing update as a formal contractual notice.
After possession
- Complete the warranty inspection and report defects within the stated period.
- Confirm whether the warranty administrator, builder, or successor entity must receive the claim.
- File in writing and retain proof of delivery.
- If you sell the home, give the successor owner the warranty records and explain any claim already filed.
Compare situations using the same five questions
Two buyers can hear the same acquisition announcement and have different rights. Compare these factors rather than relying on headlines:
| Factor | What to identify |
|---|---|
| Jurisdiction | Province or state, regulator, warranty plan, and governing law |
| Entity structure | Vendor, seller, builder, surviving corporation, and any assignee |
| Warranty | Provider, covered components, exclusions, deadlines, claim history, and dispute process |
| Dates and notices | Original critical dates, permitted extensions, notices received, and amendments signed |
| Project stage | Pre-construction, construction underway, pre-closing, or post-closing |
Common failure modes and how to avoid them
- Relying on a verbal promise: request an email or formal notice naming the responsible entity and confirming unchanged terms.
- Signing a replacement contract without comparison: preserve the original and obtain advice before releasing prior rights.
- Missing a warranty deadline: file a written claim as soon as a defect appears, then supplement it with evidence.
- Assuming every delay is compensable: check the governing addendum, notice rules, cause of delay, and outside date.
- Confusing a parent company with the builder: match the legal names and licenses in your own documents.
- Ignoring a successor’s claim history: transfer all claim confirmations and deadlines when ownership changes.
When professional advice is warranted
Obtain jurisdiction-specific legal advice if you are asked to sign a release or cancellation, the successor entity is unclear, the closing date is being moved, a deposit or financing condition changes, a warranty claim is rejected, or an outside date is approaching. A regulator or warranty administrator can explain its process, but only a review of your executed agreement can determine the contractual effect of a proposed change.
