What a Construction Contract Should Include to Prevent Disputes

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

A construction contract cannot guarantee that a dispute will never occur. It can, however, remove the uncertainty that turns ordinary problems into expensive claims by recording exactly what each party will build, when work and payment are due, how changes are approved, who carries each risk, and what happens when the parties disagree.

The right contents depend on the project and jurisdiction. A homeowner renovation agreement, commercial design-build contract, public-works form and private building agreement are not interchangeable. Use the checklist below to make responsibilities operational, then have a lawyer or construction professional check mandatory local terms before signing.

1. Identify the parties, authority and project

Start with information that lets anyone identify the contracting parties and the job without guesswork. Use each party’s full legal name, trading name if different, physical and notice address, phone and email, and the name and title of each person authorized to approve work or changes. For a contractor, include the applicable licence or registration number and the jurisdictions in which it is valid. The Federal Trade Commission advises consumers to verify licensing and insurance with state or county government and to put contractor identity details in the agreement.

State the project address, legal description or parcel reference where relevant, contract date, owner’s representative, contractor’s project manager and the procedure for formal notices. Specify whether notice must be delivered by hand, mail, email, an electronic project system or more than one method, and when receipt is deemed to occur. A notice clause that names no recipient or address is difficult to use when a deadline matters.

Authority to bind each party

Write down who may sign the contract, issue a change order, approve an invoice, accept work and receive a claim. Say whether a site superintendent’s instruction changes price or time, or whether only a named representative can do that. This prevents an informal conversation from being treated as an authorized commitment.

2. Define the scope so the price has a clear meaning

The scope should allow a third party to determine what is included, excluded and required to produce a complete result. Describe the work, deliverables, quantities or measurable limits, materials, workmanship standard, performance criteria, finishes, testing and cleanup. Identify owner-supplied items, contractor-furnished equipment, temporary works, transportation, protection of existing property and disposal responsibilities. The CIAP Document 102 FAQ defines “work” broadly to include contractor-provided labor and materials, equipment, transportation and other facilities needed to perform the obligations.

Attach or identify every drawing, specification, schedule, survey, geotechnical report and allowance that forms part of the deal. Include written estimates, emails or sales promises that influenced the decision to sign; the FTC says a written estimate should describe the work, materials, completion date and price. Do not rely on a salesperson’s assurance that something is “included” if the signed documents do not say so.

Coordinate the contract documents

List each document by title, date and revision number. State which document controls if drawings, specifications, schedules or the agreement conflict. There is no universal precedence rule, so the parties must choose one that fits the project and confirm that later changes supersede earlier text only to the extent stated. Remove obsolete alternatives and mark “not applicable” rather than leaving competing versions in the file.

3. Set the price and payment mechanics

Name the pricing basis: lump sum, unit price, cost-plus, guaranteed maximum price or another defined method. For each basis, explain how the amount is calculated and what evidence supports it. State allowances, contingencies, taxes, permits, testing fees, escalation treatment and the procedure for correcting a quantity or arithmetic error.

Payment term to specify What the contract should say
Invoice content Required form, billing period, measured quantities, receipts, payroll or subcontractor records, sworn statements and lien or claim releases where lawful.
Payment trigger Objective milestone, percentage complete, delivery or other event; identify who measures completion and the evidence required.
Review and payment time Number of days to approve, reject or request more information, followed by the payment due date.
Retainage Permitted percentage, statutory limits, release timing and conditions for partial or final release.
Disputed amounts Notice deadline, undisputed amount to be paid, records required and the process for resolving the balance.
Final payment Closeout documents, completion certificate, releases, warranties, as-builts, manuals, keys and correction of punch-list work.

Do not assume a rule from a public contract applies to a private job. FAR Part 32 and FAR 52.232-27 contain payment and retainage provisions for covered U.S. federal contracts; they do not automatically govern private construction. For consumer work, the FTC warns against large upfront payments and notes that some states limit down payments. Check the applicable local limit rather than copying a percentage from another project.

4. Make the schedule understandable and enforceable

Use calendar dates or a clearly defined number of working days for commencement, milestones and completion. State the assumptions behind the schedule: site possession, permits, design information, owner selections, utility relocations, financing, long-lead materials and access hours. Assign responsibility for each dependency and explain how a missed dependency affects the dates.

Delay and extension procedure

Define excusable delay, compensable delay and contractor-caused delay in terms that fit local law. Require prompt written notice identifying the event, expected effect, mitigation steps and updated completion forecast. State the time allowed to submit supporting records and the time for the other party to respond. If liquidated damages, bonuses or other date-based amounts are used, identify the rate, trigger and any cap, and obtain local advice on enforceability.

The CIAP FAQ illustrates schedule and delay-notice mechanics in one Philippine form. Those deadlines are examples tied to that form, not universal construction law.

5. Require a written change-order path

A change clause should answer four questions: who may order a change, what must the proposal contain, how are price and time valued, and what happens before agreement. Require a written description of added, deleted or revised work; drawings or specifications; the price adjustment or pricing method; the time impact; effects on other work; and signatures or electronic approvals from authorized representatives.

Set proposal and response deadlines. State whether the contractor may proceed before price agreement, how interim payment will be calculated, and how an unresolved amount is decided. The Federal Transit Administration says it is not best practice to issue a change order before price and schedule are negotiated and agreed where feasible. The same guidance recognizes that avoiding delay may sometimes require work to proceed while compensation is resolved under the contract’s disputes clause.

Caltrans describes change orders as tools to revise plans or specifications, authorize extra-work payment, adjust payment, clarify terms and resolve disputes or claims. That public-project description is useful process guidance, not a private-contract rule. Keep a change log linking each instruction to its proposal, approval, cost record and schedule update.

6. Allocate responsibilities and project risks

List who obtains and pays for permits, inspections, utility locates, surveys, testing, temporary services and traffic or access controls. Assign site access, security, protection of existing structures, hazardous-material information, safety coordination and responsibility for subcontractors. If the owner supplies materials or information, state delivery dates, quality requirements, storage, inspection and the consequence of late or defective items.

Design and concealed conditions

Say who is responsible for design adequacy, coordination between disciplines, shop drawings, code compliance and design changes. Establish a process for differing site conditions, concealed defects and inaccurate information: notice period, investigation, interim protection, valuation and time adjustment. A party should not accept a risk it cannot reasonably inspect, control or insure.

Insurance, bonds and indemnity

Specify required policies, limits, additional insured status where lawful, certificates, cancellation notice, performance or payment bonds, and when coverage must be in force. Draft indemnity obligations to match the party’s control and applicable anti-indemnity restrictions. The NSW Government’s residential-contract guidance and CIAP materials show why private residential and public or commercial risk clauses differ; neither should be copied without checking the governing jurisdiction.

7. Define inspection, completion and acceptance

Separate substantial completion from final completion. Define the objective conditions for each, including operational tests, permits, occupancy documents, cleaning, training, manuals, as-built drawings, spare materials and removal of temporary works. Give the owner reasonable inspection access and state how inspections are scheduled and recorded.

Punch lists and acceptance

Set a punch-list process: who records deficiencies, how the contractor responds, the correction deadline, reinspection and the remedy if work remains incomplete. Explain whether occupancy or use counts as acceptance, and what acceptance does or does not waive. Tie final payment to documented closeout conditions and lawful releases, not to an undefined “satisfaction” standard.

8. Write a usable warranty and defect process

Identify the warranted work, duration, exclusions, start date, notice method, response time, repair standard and emergency procedure. State whether repair extends the warranty for the repaired item and how consequential damage is handled, subject to local law.

The FTC explains that builder warranties for new homes commonly cover limited workmanship or materials for specified components and vary in scope and duration. A one-year guarantee described in the CIAP FAQ applies to that form and setting; it is not a universal warranty period. Distinguish a builder’s contractual warranty from a separately purchased service contract or manufacturer warranty, and identify which party administers each claim.

9. Build a dispute ladder before a claim arises

Name the project representatives who must first review a problem. Require a written notice describing the issue, contract provision, requested relief, supporting records and the date of discovery. Set response deadlines and escalation steps so a field disagreement does not remain unresolved until the end of the job.

  1. Project-level review: representatives meet, inspect the work and exchange the contemporaneous records.
  2. Executive negotiation: an officer or senior manager reviews the unresolved issue within a stated period.
  3. Mediation or adjudication: use only if selected and available under the governing law and project type.
  4. Arbitration or court: specify the forum, venue, governing law, service method, cost allocation and available emergency remedies.

State whether work continues during the dispute, what payment must continue, and how the owner can protect the site. The FTA guidance links unresolved change compensation to the contract’s Disputes clause; the CIAP form describes adjudication and arbitration in its local context. The appropriate forum depends on jurisdiction, project funding and the parties’ agreement.

10. Cover suspension and termination

Define material breach, cure notice, insolvency, abandonment and prolonged suspension. If termination for convenience is allowed, state notice, payment for completed work, accepted materials, demobilization and committed subcontractor costs. Explain who secures the site, protects unfinished work, hands over documents and materials, and preserves warranties after termination.

Include a right to suspend for nonpayment or unsafe conditions only where lawful, with notice and restart procedures. Coordinate termination rights with notice, insurance, bonding and dispute provisions so one clause does not silently contradict another.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

11. Control the signed document and the records

Before signature, attach every referenced plan, specification and schedule; identify revisions; fill every blank; delete unused options; and confirm that incorporated terms are readable. Each authorized party should sign and date the same final version and receive a complete copy, including attachments.

Keep the contract, notices, daily reports, photographs, meeting minutes, delivery tickets, invoices, payment certifications, inspection records and change documents in an organized project file. The FTC advises reading carefully, filling blank spaces, keeping records and following conversations with written correspondence when a problem arises. A record is most useful when it is created at the time of the event, identifies the relevant contract requirement and preserves the decision-maker’s approval.

12. Check which rules actually apply

Setting Illustration of why local review matters
U.S. consumer or home-improvement work The FTC recommends checking state or county licensing and insurance, recording scope and cost promises, checking down-payment limits and not paying the full amount upfront. Certain contracts signed at home or away from a seller’s permanent business may carry a three-business-day cancellation right, subject to the transaction and exceptions.
New South Wales residential work NSW Government guidance updated 29 April 2026 says residential building work over A$5,000 generally requires a written contract; work over A$20,000 requires the more extensive large-job contract and progress-payment schedule. These thresholds are NSW rules.
U.S. federal procurement FAR clauses can impose construction progress-payment, retainage and prompt-payment requirements on covered federal contracts. They do not automatically apply to private projects.
Philippines private construction CIAP Document 102 is a standard form for private construction in its stated setting. The latest version took effect 1 February 2023; its notice periods, guarantees and other mechanics remain form-specific.

Use the governing law and project funding to decide which licensing, payment, lien, consumer-protection, prompt-payment, insurance, safety and dispute rules must be added. A local construction lawyer can check enforceability and mandatory wording; a template from another country or project type is not a substitute.

What to compare when choosing a contract form

There is no universally best form. Compare proposed terms against the project’s actual risk profile:

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
  • project type, parties and jurisdiction;
  • scope completeness and coordination of drawings and specifications;
  • price certainty, allowances and exposure to escalation;
  • payment timing, retainage and cash-flow risk;
  • change approval, valuation and interim-pricing rules;
  • schedule dependencies, delay notices and extension rights;
  • design, site-condition, insurance, bond and indemnity allocation; and
  • dispute forum, cost, speed and ability to obtain emergency relief.

A contract that answers these questions in plain, project-specific language gives the parties a workable record when conditions change. It reduces ambiguity; it does not eliminate the need for communication, documentation or timely decisions during construction.
