PMS vs Mutual Funds: Fees, Flexibility and Who Each Suits

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Portfolio management services (PMS) and mutual funds are different legal and operating structures, not simply two versions of the same investment. PMS manages an individual client portfolio, normally with securities held directly for that client. A mutual fund pools many investors’ money in a scheme and gives each investor units. PMS can accommodate personal restrictions and a tailored mandate, but the opening threshold is high and fees are negotiated in a client agreement. Mutual funds generally offer a lower access threshold and simpler scheme-level ownership, with costs that vary by scheme and plan.

Neither structure guarantees higher returns. The useful decision is whether you meet PMS eligibility, how much control you need, how concentrated a portfolio you can tolerate, what the complete costs and taxes are, and whether you can evaluate the manager’s disclosures.

What PMS and mutual funds actually own

PMS gives you an individual portfolio

Under portfolio management services, a portfolio manager manages assets for an individual client rather than combining that client’s money into a common scheme. Securities or other permitted assets are held for the client, with ownership recorded in the client’s name as described in Securities and Exchange Board of India (SEBI) investor material. The manager’s mandate, permitted instruments, restrictions and reporting obligations are set out in the client agreement and disclosure document.

This structure can matter when you want a portfolio built around a particular tax position, sector exclusion, concentration limit, liquidity need or other personal constraint. It also means your result can differ materially from another client using the same manager: holdings, cash-flow timing and restrictions may not be identical.

Mutual funds issue units in a pooled scheme

A mutual fund combines investors’ contributions in a scheme. The scheme manager buys and sells assets according to the stated mandate, while each investor owns units rather than the underlying shares or bonds individually. You select the scheme and plan; day-to-day security selection is made at scheme level.

The pooled format can spread exposure across many holdings, although diversification depends on the scheme’s category, mandate and actual portfolio. A narrowly focused scheme can still be concentrated, and every scheme remains exposed to market risk.

PMS vs mutual funds: the practical differences

Decision axis PMS Mutual funds What to examine
Structure and ownership Individual client portfolio; direct ownership of securities is described by SEBI Pooled scheme; investor owns scheme units Whether individual security ownership and personal restrictions matter
Opening amount SEBI’s September 2024 FAQ states a minimum of INR 50 lakh in funds or securities when opening a PMS account The minimum depends on the selected scheme and transaction The actual minimum and the effect of any withdrawal
Fees Agreed with the client; may be fixed, performance-based or a combination Scheme expenses vary; direct and regular plans have different cost structures Total ongoing, transaction and exit costs, and how each is calculated
Control Discretionary, non-discretionary or advisory arrangements are available You choose the scheme and plan; the scheme manager runs the pooled portfolio How much authority and customization you want
Portfolio risk Investor-specific holdings may be more concentrated; manager and liquidity risks require close review Risk depends on the scheme mandate and holdings; market risk remains Concentration, liquidity, benchmark and manager fit
Typical decision burden You must assess a manager’s agreement, disclosures, reporting and restrictions You compare schemes, plans, mandates and disclosures Your ability and willingness to monitor the product

What is the minimum amount for PMS?

SEBI’s portfolio-manager FAQ published in September 2024 says a portfolio manager must accept at least INR 50 lakh in funds or securities when opening a PMS account. This is a regulatory opening threshold, not an average account size, a recommended allocation or a promise of performance.

The same FAQ says a partial withdrawal must leave the required minimum in the account. It also says a client is not required to add money merely because the portfolio’s market value later falls below INR 50 lakh. Those rules address the account threshold; they do not prevent losses, margin calls where applicable, or a manager’s contractual requirements for specific strategies.

Confirm the threshold and withdrawal wording in the current regulations and the manager’s documents before signing. SEBI has listed replacement Portfolio Managers Regulations dated October 12, 2026, but states that those regulations take effect on April 1, 2027. The applicable rule can therefore change after that date.

Is PMS more expensive than a mutual fund?

There is no defensible single percentage that represents every PMS or every mutual fund. The structures charge differently, so compare the complete cost mechanics rather than a headline rate.

How PMS fees are set

SEBI’s FAQ says PMS charges are agreed with the client and may be a fixed amount, a performance-based fee or a combination. The service agreement must state the amount and manner of fees payable for each service. Read for management or advisory charges, performance-fee calculation, hurdle or benchmark language, frequency of crystallisation, taxes, custody or transaction-related charges and fees for services provided directly or through another party.

The cited FAQ also says a portfolio manager cannot charge an upfront fee directly or indirectly. Treat that as a requirement to verify against the current rule and agreement, not as permission to ignore other charges that arise during the service. Ask for an illustration showing exactly how a fee is calculated in a rising, falling and flat market.

How mutual-fund costs work

Mutual-fund expenses are charged at scheme level and vary by scheme. SEBI’s direct-versus-regular guidance explains that the underlying portfolio is the same within the corresponding direct and regular plans, while the cost structure differs. Regular plans include intermediary commission; direct plans do not, and their expense ratios are generally lower.

A lower expense ratio does not by itself make a scheme suitable. Compare the scheme’s mandate, risk, portfolio turnover, transaction costs, exit load where applicable, taxes and the service you receive. Any numerical illustration in SEBI’s guidance is hypothetical; it is not a current market-wide fee statistic.

A cost comparison that works

  1. Collect the primary documents. For PMS, obtain the current disclosure document and proposed agreement. For a mutual fund, obtain the scheme information, applicable plan details and current expense and exit-charge disclosures.
  2. Identify the fee base. Determine whether the charge is based on assets, committed capital, gains, realised gains, a benchmark or another formula, and whether cash is included.
  3. Model different outcomes. Calculate the rupee cost for a gain, a loss and a year with substantial deposits or withdrawals. Performance fees and plan expenses can behave differently when returns are uneven.
  4. Add non-management costs. Include brokerage, custody, taxes, transaction charges, fund-level expenses and any exit or switching charge that applies to the product.
  5. Compare net results on the same basis. Use the same period, benchmark, cash-flow assumptions and tax treatment. A gross PMS figure cannot fairly be compared with a mutual-fund return after expenses.

How much control and customization do you get?

Discretionary PMS

In a discretionary arrangement, the manager makes investment decisions independently within the agreed mandate. The manager can decide when to buy, sell, hold cash or rebalance without requesting approval for each trade. Your agreement should define permitted assets, concentration limits, risk parameters, reporting and any restrictions you require.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Non-discretionary PMS

In a non-discretionary arrangement, the manager researches and recommends transactions, but you make the final buy or sell decision. This can provide more personal control, but it also makes execution timing and your availability part of the investment process. Clarify how a recommendation expires, how instructions are recorded and what happens if you do not respond.

Advisory PMS

An advisory arrangement provides advice while you execute the investment decisions. It may suit an investor who wants professional analysis but wants to retain execution authority. Confirm whether the manager has any authority to place orders, what advice is covered and how conflicts are handled.

Mutual-fund investors do not direct individual trades inside the scheme. They choose among schemes and plans, then accept the portfolio decisions made under the scheme mandate. That is simpler, but it cannot normally implement a personal instruction such as excluding one company from an otherwise suitable pooled portfolio.

Risk, diversification and liquidity

Concentration risk

Customization can produce a portfolio that is more concentrated than a diversified mutual-fund scheme. A manager may hold a small number of high-conviction positions, or your exclusions may remove entire sectors. Review the maximum position size, sector exposure, cash range and process for correcting a breach.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Market and manager risk

Both structures can lose money when markets or particular securities fall. PMS adds dependence on the manager’s research, execution, operational controls and adherence to your mandate. A strong previous period does not establish that the same process will outperform in the future.

Liquidity risk

Direct holdings may include securities that are difficult to sell without moving the price. A mutual fund can also hold illiquid assets depending on its category. Check the stated liquidity limits, dealing frequency, settlement practices and any restrictions on withdrawals or redemptions before committing money needed for a known expense.

Operational and conflict risks

Read how assets and cash are held, who acts as custodian, how related-party transactions are disclosed and how complaints are handled. SEBI’s PMS disclosure expectations cover fees, portfolio risks, related-party transactions, performance and audited financial statements. A provider’s registration does not mean SEBI approves or guarantees the service.

How to compare PMS and mutual-fund performance fairly

Do not compare a promotional PMS return with a mutual fund’s published NAV return until the measurement methods match. Check all of the following:

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
  • Period: use identical start and end dates and state whether the period is a full market cycle or a short window.
  • Benchmark: use a relevant benchmark for the mandate, not a broad index chosen only because it makes the result look better.
  • Fees and taxes: establish whether each figure is before or after management fees, scheme expenses, brokerage and taxes.
  • Cash flows: account for deposits and withdrawals. A client who invested gradually can have a different result from the manager’s model portfolio.
  • Restrictions: note whether exclusions, position limits or liquidity requirements prevented the portfolio from matching the stated strategy.

SEBI’s FAQ describes time-weighted rate of return (TWRR) and benchmark reporting for investment approaches, and XIRR for investor reporting. TWRR helps evaluate the manager’s investment decisions without allowing the timing of external cash flows to dominate the result. XIRR reflects the individual investor’s actual deposits and withdrawals. A manager’s approach return and your account return can therefore differ even when the holdings are similar.

Who should consider PMS?

PMS may be worth evaluating when all of these conditions are true:

  • You meet the INR 50 lakh opening threshold and can keep the required amount after any planned partial withdrawal.
  • You have a clear reason for needing a tailored portfolio, such as personal restrictions, a specific concentration policy or direct ownership.
  • You can understand and negotiate the fee formula, performance reporting, liquidity terms and risk disclosures.
  • You can tolerate periods of underperformance, concentrated losses and the possibility that your account differs from another client using the same manager.
  • You are prepared to verify registration and review ongoing reports rather than relying only on a sales presentation.

This is a conditional fit, not a recommendation. A high balance alone does not make PMS appropriate.

Who should consider mutual funds?

Mutual funds may be worth evaluating when you want pooled exposure, a choice of mandates and plans, and an investment that does not require opening an individually managed PMS account. They can be a practical format for investors who prefer scheme-level diversification and standardised disclosures.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

A direct plan may suit a cost-conscious investor who is comfortable choosing and monitoring schemes without intermediary distribution. A regular plan includes intermediary involvement and a higher expense structure in general; the value of that service depends on the guidance you receive and the decisions it helps you make.

Choose by mandate and risk, not by the label “mutual fund.” Equity, debt, hybrid and specialised schemes can have very different volatility, liquidity and concentration characteristics.

A due-diligence checklist before you commit

  1. Verify registration. Check the portfolio manager’s registration details in SEBI’s registry. Registration is not an endorsement: SEBI says it does not approve the services offered by a portfolio manager.
  2. Read the disclosure document. Look for the investment approach, principal risks, fees, related-party transactions, performance presentation, audited financial statements and material conflicts.
  3. Read the agreement line by line. Confirm whether the service is discretionary, non-discretionary or advisory; list permitted securities; record your restrictions; and understand authority to trade, custody and reporting.
  4. Test the withdrawal terms. Ask how partial withdrawals interact with the minimum, how quickly assets can be sold, and whether any security-specific restriction can delay payment.
  5. Request comparable performance data. Ask for benchmark, TWRR or other stated methodology, gross-versus-net presentation, period, cash balance and the effect of client-specific restrictions.
  6. Map every cost. Obtain a complete schedule covering fixed charges, performance fees, taxes, brokerage, custody, transaction expenses and charges paid to other service providers.
  7. Check reporting and complaints. Establish the frequency and format of statements, portfolio valuation, risk reporting, contact points and escalation procedure.
  8. For a mutual fund, compare the exact plan. Confirm whether you are buying direct or regular, the current expense ratio, exit terms, dealing rules, portfolio mandate and benchmark.

Withdrawals, reporting and day-to-day differences

With PMS, your account is tied to an individual mandate. A withdrawal can require selling particular securities, and the resulting cash, taxes and concentration may differ from the original plan. Ask whether withdrawals are processed pro rata, by security selection or according to your instruction, and how a minimum-balance rule is applied.

With a mutual fund, you redeem units under the scheme’s dealing and settlement rules. The redemption value is based on the applicable NAV, less any applicable charges and taxes. You do not choose which underlying securities are sold for your redemption; that decision remains at scheme level.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

For either structure, retain statements and tax records. Compare the account or scheme’s reported value with your own cash-flow record so that you can distinguish investment performance from the effect of adding or withdrawing money.

Regulatory date to keep in mind

SEBI’s legal listing dated October 12, 2026 identifies the Securities and Exchange Board of India (Portfolio Managers) Regulations, 2026 and states that they take effect on April 1, 2027. As of October 17, 2026, that effective date is still in the future. Do not treat the 2026 regulation as the rule already governing every current account; confirm which regulation, circulars and disclosure requirements apply on the date you invest.

SEBI’s portfolio-manager FAQ, published September 20, 2024, states: The certificate of PMS registration is valid unless it is suspended or cancelled by the Board. That sentence describes the registration certificate; it does not guarantee returns, solvency, liquidity or suitability of any particular manager.

A simple decision sequence

  1. Start with eligibility. If you cannot meet the applicable PMS minimum without compromising your emergency reserve or near-term obligations, compare mutual-fund schemes instead.
  2. Define the control you actually need. If pooled exposure is acceptable, a mutual fund may meet the objective. If personal restrictions or direct ownership are central, investigate PMS structures.
  3. Set a risk limit before reviewing returns. Decide the maximum acceptable concentration, loss and illiquidity, then reject products that exceed it.
  4. Compare net, like-for-like evidence. Align period, benchmark, fees, taxes, cash flows and restrictions before drawing a performance conclusion.
  5. Read and question the documents. Do not invest until the fee formula, withdrawal process, reporting, conflicts and complaint route are understandable in writing.

The better choice is the structure whose ownership, control, risk and cost mechanics you can explain clearly and monitor consistently. PMS is not automatically superior because it is personalised, and a mutual fund is not automatically safer because it is pooled.
