PMS vs AIF in India: Key Differences in Structure, Risk and Access

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

In India, a Portfolio Management Service (PMS) normally manages a portfolio for one client, while an Alternative Investment Fund (AIF) pools investors’ money into a scheme. That structural distinction affects control, investment selection, fees, reporting and exit options. Neither format is automatically safer or more profitable: the mandate, assets, concentration, leverage, manager and documents determine the actual risk.

This is a comparison of the Securities and Exchange Board of India (SEBI) framework. “PMS” and “AIF” have different meanings in other industries and countries. The ordinary regulatory entry thresholds are ₹50 lakh for PMS and ₹1 crore for AIF, but both have important exceptions. Treat those figures as eligibility rules, not suggested allocations, return targets or safety ratings.

What PMS and AIF actually are

Portfolio Management Services: an account-level mandate

Under SEBI’s Portfolio Managers Regulations, a portfolio manager manages a client’s portfolio under an agreement. In a discretionary arrangement, the manager independently makes investment decisions for that client within the agreed mandate. In a non-discretionary arrangement, the manager acts on the client’s directions. Advisory services are another form of portfolio-management business and do not give the adviser the same decision role as a discretionary manager.

The agreement and disclosure document should specify the investment objective, permitted instruments and sectors, restrictions, tenure, early-withdrawal terms, custody arrangements, fees, reporting and other operating terms. Securities are selected for the individual mandate rather than bought for a common pool, so two clients using the same manager can have different holdings if their objectives or restrictions differ.

Alternative Investment Funds: a pooled scheme

An AIF collects commitments from investors into a fund scheme. The manager invests the pooled capital according to the scheme’s documents, and investors generally receive rights in investments and distributions in proportion to their commitments, subject to regulatory exceptions such as the rules noted for angel funds. An investor chooses whether to enter a strategy; the investor normally does not instruct the manager on each trade in the pooled portfolio.

The placement memorandum and related agreements govern the scheme’s investment policy, valuation, expenses, performance allocation, term, distributions, transfers and exits. “AIF” is therefore not one investment style. A scheme may hold private companies, other illiquid assets, public-market positions or a combination, and the risks differ accordingly.

Question PMS AIF What to verify
Structure Individual client portfolio managed on a discretionary or non-discretionary basis; advisory service is also recognised. Pooled fund scheme in which investors generally share investments and distributions pro rata to commitments. Whether assets and decisions sit at client-account or scheme level, and what the agreement or placement memorandum says.
Ordinary minimum ₹50 lakh for a PMS client or new placement under the current general rule. ₹1 crore for an ordinary investor under the general rule. Accreditation, employee/director and social-impact-fund exceptions, plus the current scheme documents.
Trade-by-trade control Discretionary manager decides within the mandate; a non-discretionary client can give directions. Investor selects the scheme and strategy rather than directing each pooled trade. Decision rights, permitted restrictions and customization.
Risk driver Mandate, holdings, concentration, strategy and manager. Category, underlying assets, concentration, permitted leverage, valuation and manager. Downside scenarios, conflicts, valuation policy and leverage limits.
Fees Contractually agreed fixed, return-based or combined fees. Scheme-specific management charges, performance allocation and expenses. All-in cost, performance methodology, hurdle or catch-up terms where applicable, and tax treatment.
Liquidity Tenure and termination rules appear in the client agreement; selling holdings can still take time or affect price. Term, redemption or transfer rights depend on the scheme and its assets. Lock-up, redemption windows, gates, transfer restrictions, valuation frequency and early-exit cost.
Reporting Client-level reports and disclosures on risks, fees, related parties and performance are required. Reporting and valuation terms are set out in the placement memorandum and scheme documents. Frequency, valuation source, statements of expenses and conflict disclosures.

Minimum investment: ₹50 lakh versus ₹1 crore

PMS threshold

SEBI’s current Portfolio Managers Regulations set the ordinary minimum investment for a PMS client or new placement at ₹50 lakh. The minimum does not apply to an accredited investor when the required disclosures are made and the terms are agreed with the portfolio manager. Confirm how accreditation is established and recorded before relying on that exception.

AIF threshold

The usual AIF minimum is ₹1 crore. The cited SEBI Gazette provisions and later SEBI material identify exceptions, including accredited investors and specified employees or directors of the AIF or its manager. Qualifying social-impact funds have a special individual-investor rule. The exact eligibility conditions can change with amendments, so check the current consolidated AIF Regulations dated July 14, 2026 and the particular scheme’s offer documents before committing money.

These are entry thresholds, not required account sizes for every investor. They do not show the average investor’s balance, the expected return or the probability of loss. A fund or manager may impose a higher commercial minimum, and an exception may require disclosures or contractual terms that a marketing presentation does not explain.

Control, customization and ownership

How much can a PMS client control?

A discretionary PMS client gives the manager authority to choose and execute investments within a defined mandate. The client can negotiate objectives, restrictions, instruments and other limits in the agreement, but cannot normally approve every trade after granting discretion. A non-discretionary client retains direction over transactions, subject to the arrangement and the manager’s regulatory obligations.

Account-level management can make customization relevant for a client with sector exclusions, concentration limits, a liquidity need or an existing portfolio that must be considered. Ask whether a requested restriction changes the strategy, creates additional costs or makes the portfolio materially different from the manager’s stated approach.

What an AIF investor controls

An AIF investor chooses a scheme, accepts its investment policy and receives the rights described in the fund documents. The investor normally cannot direct the manager to buy or sell a particular pooled asset. The benefit is access to a defined strategy and shared execution; the trade-off is less control over individual positions and timing.

Read the subscription agreement and placement memorandum for voting, consent, key-person, removal, winding-up and conflict provisions. Do not assume that a large commitment creates the same control as a separately managed portfolio.

Who holds the securities?

Ask for a clear description of custody and ownership. In PMS, determine how the client’s securities and cash are held and reported at account level. In an AIF, determine what is held by the scheme and how the investor’s interest is represented. The legal form, custodian, trustee or other service-provider roles and the reporting produced for you should be consistent with the governing documents.

Risk: compare the mandate or scheme, not the label

SEBI requires risk disclosures for PMS and prohibits guaranteed-return claims. The Portfolio Managers Regulations state that fees are charged “without guaranteeing or assuring, either directly or indirectly, any return.” That is regulatory language, not a promise that a particular strategy will avoid losses.

Risk question PMS analysis AIF analysis
What assets are held? Review each permitted instrument and the actual client holdings. Review the scheme’s asset class, stage of investment, sector exposure and restrictions.
How concentrated can it be? Client-specific limits may differ from another client’s portfolio; inspect the mandate. Check scheme concentration limits, diversification language and look-through exposure to underlying vehicles.
Is leverage used? Ask whether borrowing, derivatives or other leveraged exposures are permitted and how losses are controlled. Check the scheme’s leverage permissions, financing terms, collateral and potential capital calls or dilution where relevant.
How are assets valued? Confirm pricing sources and frequency for less-liquid positions in the client report. Read the valuation policy, independent valuation arrangements and the effect of stale or model-based prices on reported value.
What conflicts exist? Review related-party transactions, allocation between clients and affiliated products. Review related-party transactions, allocation between schemes, affiliated entities, expenses and co-investment arrangements.
What can go wrong? Model loss from a concentrated position, a strategy drawdown, forced sale or inability to sell at the expected price. Model loss from underlying businesses or assets, delayed exits, valuation adjustments, leverage and scheme-level expenses.

A concentrated PMS can be riskier than a diversified AIF, while an AIF holding early-stage private companies can be riskier and less liquid than a PMS invested in liquid securities. A category label does not create a universal risk ranking. Compare the actual exposures, manager discretion, valuation, leverage and time horizon.

Fees, performance allocation and net returns

PMS charges

SEBI permits PMS fees to be fixed, return-based or a combination. The manager must disclose fee terms, and the arrangement cannot guarantee or assure returns. Before signing, obtain the fee schedule and ask how each charge is calculated: management fee, performance fee, brokerage and transaction expenses, custody, taxes, research or other pass-through costs, and termination charges.

For return-based fees, establish the performance measurement period, treatment of losses, high-water mark, hurdle, crystallisation date, benchmark, treatment of withdrawals and whether calculations are before or after expenses. A headline percentage is not comparable unless these definitions match.

AIF charges

AIF fees and performance allocation are scheme-specific. The placement memorandum should set out management fees, carried interest or other performance allocation, operating expenses, fund-level costs, hurdle and catch-up provisions where applicable, and the circumstances in which charges are crystallised. There is no single market-wide AIF fee or return figure established here.

Liquidity, lock-ups and getting out

PMS exits

The PMS agreement states tenure, termination and early-withdrawal terms. Ending the agreement does not make every holding immediately saleable. A manager may need time to sell an illiquid security, and a rushed sale can reduce the price. Ask for the expected dealing timeline, valuation date, notice period, in-kind transfer option, charges and the process for disputed valuations.

AIF exits

An AIF’s liquidity depends on its scheme type, assets and documents. A private-market scheme may hold assets until a financing, sale, listing or other event; a liquid strategy may offer different redemption mechanics. Check the lock-up, redemption windows, gates, suspension rights, transfer restrictions, valuation frequency, side-pocket or similar provisions if applicable, and any early-exit discount or charge.

Do not treat a reported net asset value as an executable exit price. Ask how often the portfolio is valued, who performs the valuation, how long a sale normally takes and what happens if there is no observable market.

Questions for an emergency cash need

  • Can I terminate or redeem on the date I need, or only during a stated window?
  • What notice is required, and when will cash actually be paid?
  • Can the manager sell without a material discount in the current market?
  • Are transfers to another investor allowed, and must the manager consent?
  • Which fees, taxes or performance allocations apply on an early exit?

Reporting and due diligence before investing

PMS rules require client reporting and disclosures that cover portfolio risks, fees, related-party transactions and performance information. For an AIF, the placement memorandum, valuation policy, financial statements and periodic reports are the starting point. Read the operative documents rather than relying on a presentation or verbal description.

  1. Confirm registration and authority. Verify the portfolio manager’s or AIF’s SEBI status, the legal entity signing your documents and the custodian, trustee or other service providers named in them.
  2. Map the investment. List the assets, geography, sector limits, concentration limits, leverage, derivatives, currency exposure and permitted related-party transactions.
  3. Read the decision rules. For PMS, identify discretionary powers or client-direction procedures. For an AIF, identify the investment committee, key-person events, conflict process and investor consent rights.
  4. Reconcile all costs. Build an all-in schedule of management fees, performance fees or allocation, fund expenses, brokerage, custody, administration, taxes and exit charges.
  5. Test liquidity. Write down lock-up, notice, redemption, transfer and valuation provisions, then compare them with the date on which you may need the money.
  6. Review reporting. Confirm report frequency, valuation source, performance calculation, benchmark, risk metrics, related-party disclosures and how complaints are handled.
  7. Check personal suitability. Consider emergency reserves, time horizon, loss capacity, existing exposures and whether the minimum threshold would leave you under-diversified.

Specialist nuance: AIF co-investment and PMS

PMS and AIF are not completely separate in every transaction. SEBI’s 2025 memorandum describes co-investment in unlisted securities by investors in Category I and Category II AIFs through a Co-investment Portfolio Manager using the PMS route. The same material discusses a separate Co-Investment Vehicle route within the AIF framework, and SEBI’s listing records a framework circular dated September 9, 2025.

This is a specialist pathway, not a general right of every AIF investor. Confirm the operative circular, the eligible investor and fund category, allocation process, fees, conflicts, valuation, information rights and exit alignment. SEBI’s co-investment material discusses synchronising a co-investor’s exit with the AIF’s exit so that one investor is not disadvantaged by a different sale timetable.

If your priority is… Questions that may point toward PMS Questions that may point toward an AIF
Customization Do you need client-specific exclusions, limits or a portfolio built around existing holdings? Can you accept the scheme’s common investment policy without directing individual trades?
Access to a defined pooled strategy Would a separately managed account create unnecessary complexity for your objective? Does the scheme provide the asset exposure, manager and term you want, with acceptable lock-up?
Control over timing Does the mandate provide practical control over withdrawals and individual positions? Can your finances tolerate the scheme’s redemption restrictions and uncertain asset-sale timing?
Transparency of costs Can you calculate fees from the client agreement and account statements? Can you model management fees, fund expenses and performance allocation from the placement memorandum?
Risk tolerance Are you comfortable with the concentration and discretion allowed in your mandate? Are you comfortable with pooled exposure, valuation methodology, leverage and the scheme’s underlying assets?

Bottom line for an India-based investor

PMS is generally an individually managed mandate: it can offer more account-level customization and, in a non-discretionary arrangement, more direction over transactions. AIF is generally a pooled scheme: it can provide access to a common strategy, but the investor accepts the fund’s investment policy, valuation and exit terms.

The ordinary thresholds are ₹50 lakh for PMS and ₹1 crore for AIF, subject to accreditation and other specified exceptions. Start with eligibility, then compare the actual mandate or scheme on assets, concentration, leverage, fees, valuation, reporting, liquidity and conflicts. Read the latest SEBI rules and the signed documents before acting; the label alone cannot establish suitability, safety or expected return.
