How to Respond When a Bank Guarantee Is Invoked in a Construction Dispute

A practical response guide for contractors facing a bank guarantee demand: secure the full record, check the instrument’s requirements, and treat the guarantee and construction dispute as separate legal tracks.

If a client or project owner has demanded payment under your bank guarantee, act immediately: obtain the complete guarantee and demand, check the presentation requirements against the actual documents, and contact local construction and banking counsel. A dispute about the construction contract does not, by itself, establish that a demand under an autonomous on-demand guarantee is invalid or that the bank must wait for the dispute to be resolved.

What an invoked guarantee means for a construction contractor

A bank guarantee is a promise by a bank to pay a beneficiary if the beneficiary makes a demand that meets the instrument’s requirements. In a construction project, the beneficiary is often the employer or project owner, and the applicant is the contractor whose bank arranged the guarantee. The instrument may secure performance, an advance payment, or another contractual obligation; its wording determines what it covers and how a demand must be made.

As an Amazon Associate I earn from qualifying purchases.

The first distinction to keep in view is between the bank’s undertaking and the parties’ construction contract. A contractor may believe that the employer owes certified payment, terminated the contract wrongfully, caused delay, or has no valid claim for defects. Those arguments concern the underlying contract. If the guarantee is autonomous and payable on demand, the bank’s undertaking may be separate from those merits. A strong contract claim therefore does not automatically stop a compliant demand or require the bank to decide who is right about project performance.

“Invoked” can mean that the beneficiary has sent a demand, that the bank is examining it, or that payment has already been made. Establish which stage applies before choosing a response. The demand may be subject to the guarantee’s documentary requirements, but a bank examining an autonomous guarantee is generally checking the presented documents against the instrument rather than trying the construction dispute.

What to do first

Move promptly, preserve the record, and avoid relying on an informal objection as a substitute for legal advice. The following sequence is a practical document and issue checklist, not a universal court procedure. Local counsel should assess any urgent court application under the governing law and forum.

  1. Assemble the complete guarantee file. Obtain the original or complete electronic guarantee, every amendment, extension, replacement, and relevant bank notice. Include any counter-guarantee documents available to you and the contract clauses dealing with the security. Record the issuer, applicant, beneficiary, guaranteed amount and currency, expiry, reduction mechanism, governing law, stated forum, presentation address or channel, and any incorporated rules.
  2. Preserve the actual demand and its delivery trail. Keep the demand exactly as received, all attachments, the envelope or electronic transmission, timestamps, and communications from the beneficiary and bank. Record when and where the beneficiary presented it, when the bank notified you, whether the bank has indicated payment is pending, and whether payment has already occurred. Do not assume a notification date is the presentation date.
  3. Have counsel compare the demand with the instrument. Review the beneficiary and signatory, required statements, supporting documents, amount, currency, presentation method and place, timing, and expiry. Identify each alleged mismatch precisely and preserve the document or record that establishes it. A general assertion that the contractor performed properly is not the same as an objective discrepancy in the demand documents.
  4. Escalate urgently to local construction and banking counsel. Provide the guarantee, demand, bank communications, relevant contract provisions, and contemporaneous evidence. If payment is imminent, counsel can assess whether any legal remedy is available, what evidence and procedural steps it requires, and whether there is time to seek it. Standards for court intervention and filing requirements depend on jurisdiction and the instrument.
  5. Keep the underlying contract process on track. Continue meeting contractual notice requirements and applicable deadlines for payment claims, adjudication, dispute boards, arbitration, or court proceedings. Preserve payment applications and certificates, site records, instructions, delay and defect evidence, and termination notices. A challenge to a guarantee does not replace the contract’s dispute-resolution process.

Do not assume that writing to the beneficiary or bank suspends payment, pauses a deadline, or extends the guarantee. Verify any effect in the instrument and under local law. Keep communications factual and preserve originals; unsupported accusations or informal steps can complicate the record without changing the bank’s obligations.

How to identify the type of guarantee and the rules that apply

Do not infer the guarantee’s legal effect from its project label, such as “performance bond” or “advance payment bond.” Read the operative wording. The practical difference is whether payment depends principally on a demand meeting stated formal requirements or on proof of a contractual condition or loss. The exact distinction and consequences are determined by the instrument and applicable law.

Question to check What to look for Why it matters to the response
Is it on-demand or conditional? Read the payment promise, any required statement of breach, and any requirement for evidence or other documents. An autonomous on-demand undertaking may be examined separately from the merits of the construction dispute. A conditional instrument may make specified conditions or evidence relevant. Do not decide the category from its title alone.
Are rules incorporated? Look for an express reference to ICC Uniform Rules for Demand Guarantees (URDG 758), another named set of rules, or no incorporated rules. Rules apply because the instrument incorporates them, not merely because the transaction is international or the parties mention them elsewhere. Confirm the stated edition and reconcile it with the guarantee text and governing law.
What must the demand contain? Check required wording, statement of breach, supporting documents, signatures, beneficiary identity, amount, and currency. These are possible documentary compliance points. Assess the actual presentation against each requirement rather than arguing only about project entitlement.
How and when must it be presented? Check the named place, delivery channel, business-day or timing language, expiry date, and any extension or reduction provisions. A demand’s timing and route can matter independently of the construction contract’s deadlines. Establish the actual presentation details from the transmission record.
Which law and forum are specified? Read the governing-law, jurisdiction, and dispute-resolution clauses, along with any relevant rules. The applicable threshold and procedure for urgent relief are jurisdiction-specific. Do not assume the construction contract’s forum also governs the guarantee.
Which dispute process governs each issue? Separate the guarantee’s terms from the construction contract’s notice, dispute-board, adjudication, arbitration, or court clauses. The guarantee dispute and the underlying contractual claim may follow different routes and timelines.

How to review the demand for documentary compliance

Make a requirement-by-requirement comparison. The purpose is to identify verifiable issues in the presentation, not to invite the bank to decide whether the employer’s construction claim is fair. Keep the instrument and demand side by side and have counsel check the governing rules and local law before drawing a legal conclusion.

  • Who is demanding payment? Confirm the named beneficiary and whether the demand is signed by a person whose authority or signature meets the instrument’s requirements.
  • What statement is required? Determine whether the guarantee calls for a specified declaration of breach, non-performance, or another fact, and compare that requirement with the wording actually presented.
  • Are supporting documents required? List each document the instrument calls for and check whether the demand included it in the required form. Do not assume that additional evidence is required if the guarantee does not say so.
  • Does the amount match? Check the demanded sum and currency against the maximum amount, any prior payments, reduction schedule, and terms governing partial or multiple demands.
  • Was it presented by the required route, place, and time? Compare the guarantee’s presentation instructions with the delivery evidence and expiry provisions. A request to extend or replace the guarantee is not itself proof that a later demand is valid or invalid.
  • Are the governing rules consistent with the demand process? If URDG 758 or other rules are incorporated, review their relevant provisions together with the instrument. Do not apply a rule simply because it is familiar or commonly used in construction finance.

Separate a documentary point from a merits point in your notes. For example, “the required attachment is absent” is a claim about what was presented; “the employer caused the delay” is a claim about the project dispute. Both may matter to the wider case, but they are not interchangeable arguments.

What URDG 758’s five-business-day period does—and does not—mean

ICC URDG 758 Article 20(a) is described in the 10 July 2023 Uganda Commercial Court decision in Omega Construction Limited v Attorney General and Another as requiring a guarantor to examine a demand within five business days following the day of presentation. That is a bank examination period when URDG 758 governs; it is not a universal deadline for a contractor to file an objection or seek an injunction.

Before applying that period, confirm that the guarantee actually incorporates URDG 758, check the instrument’s presentation terms and the applicable edition, and ask local counsel how the provision operates under the governing law. The period should not be treated as a promise that the bank will pay on a particular day, nor as an automatic grace period for the applicant to pursue court relief.

When a court may intervene

In some jurisdictions, courts may consider intervention on narrow grounds such as clear fraud or an abusive or unconscionable demand. The threshold, evidence required, available remedy, and timing vary by governing law and procedural posture. It is not enough to state that the beneficiary is wrong under the construction contract and assume that payment will be stopped.

The Uganda decisions VS Hydro Uganda Limited and 3 Others v RwenzoriHydro (PVT) Limited and 3 Others (13 March 2023) and Omega Construction Limited v Attorney General and Another (10 July 2023) discuss autonomy, documentary requirements, and arguments about alleged abuse or fraud in their own circumstances. They are jurisdiction-specific decisions, not a universal rule for every guarantee. The Supreme Court of Bangladesh’s decision in Civil Revision No. 3743 of 2019 (14 August 2022) likewise discusses autonomy and documentary discrepancy in the context of guarantees governed by URDG 758. The fact that these courts addressed such arguments does not establish that the same test or result applies elsewhere.

For counsel to assess a possible urgent application, organize evidence around the demand itself and the relevant decision-makers’ knowledge before payment. Preserve contemporaneous records that could substantiate an allegation of fraud or abuse, and identify what the beneficiary or bank knew and when. A bare disagreement about performance, certification, termination, or entitlement is not the same thing as evidence that the demand itself is fraudulent or that the required documents are non-compliant.

The ICC’s Guide to ICC Uniform Rules for Demand Guarantees (URDG 758) treats fraud and other defences as a limited subject within the rules. It is a specialist reference, not a substitute for advice on the guarantee’s wording and local law. No injunction should be assumed available or likely without counsel’s assessment of the governing law, forum, instrument, evidence, and procedural posture.

Run the construction contract claim separately

Even if the bank pays, the parties’ underlying rights and remedies under the construction contract may remain to be determined through the contract’s agreed process. Conversely, pursuing that process does not itself suspend the guarantee. Treat these as linked but distinct workstreams: one addresses the guarantee and demand; the other addresses the project claims and defences.

Preserve the contract record

  • Keep payment applications, certificates, invoices, valuations, and records of amounts paid or withheld.
  • Preserve instructions, correspondence, meeting records, daily site logs, programmes, progress records, and evidence relating to delay, defects, access, or variations.
  • Retain notices, responses, termination documents, and records of any request to extend, replace, reduce, or return the security.
  • Identify upcoming notice dates and deadlines under the contract’s dispute-board, adjudication, arbitration, or court provisions.

Keep the legal questions distinct

For the guarantee, ask whether the instrument is autonomous or conditional, what documents and statements it requires, whether the demand complied, and what law and forum govern. For the construction contract, ask what obligations were performed, what sums or remedies are claimed, what notices were required, and which dispute route applies. Evidence may be relevant to both, but a finding about one does not automatically decide the other.

Common mistakes that can weaken a response

  • Arguing only that the project claim is wrong. That may be central to the contract case, but it does not by itself identify a defect in a demand under an autonomous guarantee.
  • Assuming the bank will investigate the works. Under an autonomous documentary undertaking, examination is generally directed to the demand and the guarantee’s requirements, not a full construction merits inquiry.
  • Using “fraud” as a label without evidence. Any allegation of fraud or abuse should be grounded in verifiable evidence relating to the demand and the relevant circumstances, with local counsel assessing the applicable legal threshold.
  • Applying URDG 758 without checking incorporation. The rules are not universal defaults; inspect the guarantee for an express incorporation and confirm the stated edition and applicable law.
  • Treating five business days as the contractor’s response deadline. The period discussed in Omega Construction concerns the guarantor’s examination under Article 20(a) where URDG 758 applies.
  • Relying on an informal objection to stop payment. Do not presume that a protest to the bank or beneficiary suspends payment or extends the guarantee. Get advice on the actual instrument and local procedure.
  • Letting the contract claim lapse while focusing on the guarantee. Track the contract’s notices and dispute deadlines independently, even while an urgent guarantee issue is being assessed.

A concise file to give counsel

To make urgent advice more effective, send a dated, organized file rather than an unstructured narrative. Include:

  • the complete guarantee and all amendments or extensions;
  • the demand, attachments, delivery evidence, and every bank communication;
  • the relevant security and dispute clauses from the construction contract;
  • a chronology of issuance, amendments, presentation, notices, and any payment status reported by the bank;
  • a table matching each demand requirement to the document presented and the issue, if any;
  • the core records supporting alleged fraud or abuse, if raised, and a note of what the beneficiary or bank knew and when; and
  • a separate list of live contractual notices, claims, and dispute-resolution deadlines.

Ask counsel to identify the governing law and forum, the guarantee type and incorporated rules, the exact presentation issues, the status and urgency of payment, and the available response under local procedure. This focuses the initial review without assuming that any particular remedy will be granted.

Frequently asked questions

Can the employer call a performance guarantee while the construction dispute is ongoing?

Possibly. If the instrument is an autonomous on-demand guarantee, an ongoing disagreement about delay, defects, payment, or termination does not automatically invalidate a demand or require the bank to wait for the contract dispute to conclude. The wording, documentary requirements, governing law, and any applicable rules still need to be checked.

What if the bank has already paid?

Record the payment status and timing and take the guarantee file to local counsel promptly. Payment under the guarantee does not necessarily determine the parties’ underlying contractual rights, which may still be pursued through the contract’s agreed process. Available post-payment steps depend on the instrument, law, forum, and facts.

Does URDG 758 always give the contractor five business days to respond?

No. Article 20(a)’s five-business-day period is described as the guarantor’s time to examine a demand following presentation when URDG 758 governs. It is not a universal contractor deadline, injunction period, or automatic grace period. Confirm incorporation and obtain local advice on the actual terms.

Will a court stop payment if the beneficiary is wrong about the project?

Not necessarily. Ordinary disagreement about the construction merits is distinct from a documentary discrepancy or evidence supporting an allegation of fraud or abuse. Court intervention, if available, is jurisdiction-specific and may be limited to narrow circumstances. No result should be assumed without assessing the governing law, evidence, and procedure.

It does not replace the instrument itself or local legal advice. Verify current availability and format before seeking a copy.

The Bottom Line

When a bank guarantee is invoked, secure the full instrument and demand, establish the presentation and payment status, and have local counsel check the documents against the guarantee’s exact terms. Keep any guarantee challenge separate from the construction contract claim: a merits dispute alone may not stop an autonomous demand, and contract notices and deadlines continue to matter.
