Do not assume that a new brand name is either a harmless rebrand or an acceptable substitute. Before delivery, ask the seller in writing whether the manufacturer, product identity, formulation, grade, performance or warranty is changing. Obtain the exact replacement identifiers and technical documents, then compare them with your signed order, specifications and approved sample. Whether you can reject the change, cancel, claim a price adjustment or require the original depends on the governing law, your contract, your buyer status and what has actually changed.
First, establish what “brand change” means
“The brand has changed” can describe several materially different events:
As an Amazon Associate I earn from qualifying purchases.
- A trademark or company-name update while the same legal manufacturer continues making the same product.
- A manufacturer change, perhaps because a factory, licence, distribution agreement or ownership has changed.
- A different model, grade, formulation, dimensions, finish, fire rating, thermal value or other performance characteristic.
- A substitute product that the seller considers equivalent but that was not named in your order.
The name on a box does not resolve those possibilities. Regulation (EU) 2024/3110 on construction products addresses responsibilities where a product is placed on the market under another person’s name or trademark, which is why you should identify the actual manufacturer and product documentation rather than rely on a familiar label. That regulation helps with product responsibility and compliance; it does not, by itself, decide whether a seller may alter an existing order.

Read the deal you actually made
Your rights start with the documents that became part of the transaction. Gather the signed order, quote, invoice, purchase confirmation, incorporated specification, approved sample, drawings, schedule, warranty wording and any substitution clause. Also save the original product listing, advertisement and technical sheet if they are not attached to the signed paperwork.
| What the paperwork identifies | What a proposed change may mean | What to verify |
|---|---|---|
| A named manufacturer and exact product or model | A different product is likely being proposed, even if the new item is described as equivalent. | Manufacturer, model, revision, formulation, intended use and performance data. |
| Brand or trade name only | It may be a rebrand, but the seller still needs to prove continuity of product and manufacturer. | Legal manufacturer, former and current names, packaging, technical documents and warranty issuer. |
| Grade, standard or performance level | A new name may be acceptable only if every required characteristic remains satisfied. | Declared values, test methods, tolerances, certification and intended application. |
| Category only, such as “insulation board” | The contract may leave more choice, but other promises can still limit substitutions. | Dimensions, thermal or acoustic rating, reaction-to-fire class, compatibility, quantity and finish. |
| An approved sample or mock-up | A visually similar replacement may still fail the agreed appearance or performance. | Colour, texture, dimensions, batch consistency and written approval requirements. |
Look for language such as “or equivalent,” “subject to availability,” “substitution permitted,” “approved equal,” or “manufacturer’s current specification.” Read those words with the rest of the clause: who may approve a change, what evidence is required, whether the price changes and how notice must be given. A clause allowing substitutions does not automatically prove that every alternative is equivalent or waive safety, code, warranty or schedule requirements.
Request a complete, verifiable change package
Do not evaluate a replacement from a salesperson’s description alone. Ask for a dated written proposal containing:
What’s actually slowing this PC down?
Pick the symptom - the matching free tool is one click away.
- Former brand and product name, and the proposed brand and product name.
- The legal manufacturer, manufacturing site where relevant, importer or distributor responsible in your jurisdiction, and the reason for the change.
- Exact product identifiers: model, grade, formulation, dimensions, thickness, finish, colour, batch or revision number.
- The current product data sheet, declaration or certification required for the intended market and use, installation instructions and safety information.
- Declared or tested performance for every requirement in the order, including tolerances and test standards.
- Warranty terms, issuer, duration, exclusions, claim procedure and whether the warranty is transferred to the new product.
- Packaging and labelling photographs or descriptions so the delivered material can be identified.
- Price, tax, delivery date, lead time, minimum quantity and any effect on labour or other materials already ordered.
- Compatibility information for adjoining, previously purchased or already installed materials.
Ask the seller to identify any characteristic that is not the same as the ordered product. “Equivalent” is a claim to test against the contract, not evidence of equivalence by itself.

Compare the replacement against the order
Use a side-by-side record rather than a general statement that the products are “similar.” The person approving the change should be able to see which requirement is met, how it is demonstrated and what remains uncertain.
| Comparison point | Ordered material | Proposed material | Evidence to retain |
|---|---|---|---|
| Legal manufacturer and facility | As shown on the order or specification | Exact legal entity and facility, if relevant | Manufacturer declaration, label and dated seller statement |
| Product identity | Brand, model, grade, formulation and revision | Brand, model, grade, formulation and revision | Data sheets, labels and product codes |
| Physical characteristics | Dimensions, thickness, density, finish, colour and tolerances | Same fields, with any difference highlighted | Technical sheet, sample and delivery inspection |
| Required performance | Each contractual value or class | Corresponding declared or tested value | Declaration, test report or certification applicable to the jurisdiction |
| Intended use and compliance | Use stated in drawings, specification or contract | Manufacturer’s permitted use and limitations | Installation instructions and compliance documents |
| Warranty and support | Promised issuer, term and remedy | Replacement warranty and claim route | Warranty document and written confirmation |
| Cost and schedule | Contract price and delivery commitment | New price, credit or surcharge and delivery date | Written amendment or revised order |
| Compatibility | Other materials and systems specified | Manufacturer’s compatibility statement | System details, approvals and installer confirmation |
If a cell cannot be verified, record “not stated” and ask for the missing evidence. Do not treat an unconfirmed characteristic as equal to the original.
Follow this response sequence
- Pause approval. Tell the seller in writing that you have not approved a substitution and that delivery or installation must not be treated as acceptance while the change is being reviewed.
- Obtain the change package. Request the identities, technical documents, certifications, warranty, price and schedule information listed above.
- Check the contract. Mark every reference to brand, manufacturer, model, grade, performance, sample, approved equal and substitution authority. Confirm who is entitled to approve and what form that approval must take.
- Compare requirement by requirement. Record differences in performance, dimensions, appearance, compliance, compatibility, warranty, price and delivery. Ask a designer, engineer, building-control professional or installer to review safety-critical characteristics where appropriate.
- Choose a documented path. Either accept the precisely identified replacement with written adjustments, or state why it does not meet the deal and request the contractual or legal remedy available to you.
- Confirm the result in an amendment. Name the exact product, quantity, price, delivery date, warranty, documents and any credit or extra cost. Limit approval to that item and change; do not sign a broad waiver of unrelated rights.
- Keep an evidence file. Save emails, attachments, photographs, samples, call notes, delivery records and the final signed change document in date order.
If you are willing to accept the replacement
Acceptance should be specific, conditional and traceable. A useful written approval identifies the exact make, model, grade, revision, quantity and intended location. It should state that the seller must supply the listed technical documents and that the agreed price, delivery date, installation requirements and warranty are as recorded.
Resolve commercial effects before signing. A different product can alter cutting waste, fixings, adhesives, labour, storage, lead time or the performance of adjoining assemblies. If the new material costs less, record the credit rather than assuming it will be applied later. If it costs more, state who bears the increase and why. If the change delays the work, record the revised date and responsibility for resulting costs where the contract permits.

Where only the name has changed, ask for a written statement that the legal manufacturer, product formulation, specifications, manufacturing location if relevant, certifications and warranty remain unchanged, or identify each exception. Retain the old and new labels so a future warranty or compliance question can be traced.
If you do not accept the change
State the mismatch rather than simply writing “no.” For example, identify that the proposal names a different manufacturer, lacks the required fire classification, changes the approved appearance, has not demonstrated compatibility or falls outside the substitution clause. Request performance as ordered or the remedy available under the contract and applicable law.
Do not sign a delivery note, variation order or “equivalent product” approval that could be read as accepting the change unless it accurately records your position. If a delivery arrives before the issue is resolved, inspect without altering or installing the materials, photograph packaging and markings, note shortages or discrepancies on the delivery record and notify the seller promptly. Avoid an absolute refusal or withholding of payment unless the contract and local law support that step; obtain advice when the amount, safety risk or deadline is significant.

- Check quantities, dimensions, finish, visible damage, storage instructions and expiry or batch information.
- Separate disputed material so it is not accidentally cut, incorporated or mixed with approved stock.
- Record the discrepancy on the carrier or delivery document where possible and email the seller the same day.
- Ask the installer or site manager to pause work if installation could make inspection, removal or a safety assessment difficult.
Once material is installed, proving the original issue and calculating removal or replacement costs can become harder. If installation is necessary to prevent immediate damage, document the reason, notify the seller and obtain professional advice on mitigation.
What official examples show about legal rights
There is no universal rule that every buyer may reject a renamed or substituted building material. The result changes with location, buyer status, contract wording and the actual difference between the products. The following official materials illustrate that point; they are not a single worldwide rule.
| Source and setting | What it establishes | What it does not establish |
|---|---|---|
| Construction Industry Authority of the Philippines, official construction-contract FAQ | In that framework, an item specified exclusively by trade or manufacturer name is generally to be used. The FAQ says: “However, the Contractor may substitute another material, article or process if the substitution is approved in writing by the Owner.” It also places responsibility on the contractor for materials used without approval. | It is not a universal consumer-law rule and does not decide an unrelated order or jurisdiction. |
| Philippine government interpretation dated 7 September 2022 concerning presale-home contracts | Where an equivalent material is used in that setting, the substitute’s brand information should be specified and buyer consent obtained, subject to the stated exception where the original cannot be supplied for reasons not attributable to the seller and the substitute is not inferior in value, utility or quality, or compensation is provided. | It does not automatically govern ordinary retail purchases, commercial projects or contracts outside that legal context. |
| UK Government overview of the Consumer Rights Act 2015, published 14 August 2015 | It explains UK consumer remedies for faulty goods and rules concerning unfair contract terms. Those provisions may be relevant when a consumer receives goods that do not conform to the contract. | It does not determine a buyer’s rights in another country or replace the wording of a construction contract. |
| Regulation (EU) 2024/3110 on construction products | It addresses manufacturer, importer and distributor responsibilities in specified circumstances, including products placed on the market under another person’s name or trademark. It supports checking the actual responsible manufacturer and compliance documentation. | It does not by itself grant a right to cancel an existing order or compel a seller to supply the original brand. |
Use these examples to identify the questions a local adviser should answer: Which law governs? Are you a consumer, contractor, developer or business buyer? What documents form the contract? Does a substitution clause apply? What notice and remedy deadlines exist? Has the material already been accepted or installed?

Health, environmental and hazardous-material information
Check safety data, emissions, treatment chemicals, handling precautions and disposal requirements for the proposed product. A new manufacturer may use different ingredients or instructions, creating obligations that were absent from the original product.
System warranties and compatibility
Roofing, cladding, waterproofing, insulation, sealant, flooring and other systems may depend on approved combinations. Confirm that the replacement will not invalidate the system warranty or require a different primer, adhesive, fastener, joint detail or maintenance schedule.
Work already scheduled or partly installed
Record labour bookings, site access, storage costs and dependencies before agreeing to a later delivery. If the replacement changes sequencing or causes delay, put the revised programme and cost responsibility in writing.
A message you can send to the seller
Adapt this wording to your documents and project:
Subject: Written clarification required — [order number] [product]
I have not approved a substitution under this order. Please confirm in writing whether the proposal is only a brand or company-name change, with the same manufacturer and product, or whether any manufacturer, model, formulation, grade, performance, dimensions, finish, certification or warranty will change.
Please provide the former and proposed product names; legal manufacturer; exact model or grade and revision; current technical data and compliance documents for the intended use; warranty terms; packaging and labelling details; reason for the change; price or credit; and delivery impact.
Please identify how the proposed product meets each requirement in the attached order/specification and identify every difference. Until this review is complete, please do not treat delivery or installation as my approval of a substitution.
If the change is acceptable, I will confirm the precise product and any price, programme and warranty adjustments in a written amendment.
Keep a clear record and escalate early
Create a single folder containing the dated order, original listing, specifications, seller notices, technical documents, photographs, samples, delivery records, call notes and your responses. After a phone call, email a short confirmation of what was said and invite correction if inaccurate. This prevents a later dispute over whether approval was given or which product was discussed.
Use the seller’s formal complaint route if the explanation or proposed remedy is inadequate. For a project contract, notify the contract administrator, architect or employer’s representative using the notice method and time limits in the contract. For a consumer purchase, contact the relevant local consumer-protection authority. Seek local legal advice promptly for a high-value order, threatened cancellation deadline, safety or code issue, refusal to provide documents, material already installed or a dispute over payment.
Do not assume that you may cancel, demand a refund, withhold all payment or insist on the original brand without checking the applicable law and contract. A lawyer or qualified contract professional can assess the governing terms, evidence and available remedies for your location.
Common mistakes to avoid
- Assuming a familiar new name proves the same manufacturer or formulation.
- Relying on a verbal assurance that the product is “identical.”
- Approving “an equivalent” without naming the exact model, grade and revision.
- Comparing only colour or dimensions while overlooking performance, certification, compatibility or warranty.
- Ignoring the original advertisement or approved sample because it was not attached to the invoice.
- Allowing disputed goods to be installed before documents and approval are complete.
- Signing a broad variation or waiver when you intended to approve only one item.
- Applying a rule from another country or a presale-home case to an unrelated contract.
- Waiting until after the delivery date to raise the issue, even when the contract sets notice deadlines.
Final decision checklist
- Have you confirmed whether the change is a rename, a new manufacturer or a different product?
- Do you have the exact legal manufacturer, product code, model, grade, formulation and revision?
- Have you compared every contractual performance, appearance, dimension, compliance and compatibility requirement?
- Are the warranty, price, delivery date, installation effects and documentation recorded?
- Does the contract require written approval, and has the person with authority signed it?
- Have you preserved the original order, listing, samples, correspondence and delivery evidence?
- If the change is unacceptable, have you stated the specific mismatch and requested the appropriate contractual or legal remedy?
- Have you obtained local professional advice where value, safety, code compliance or deadlines make the consequences material?
The practical answer
A seller’s announcement that a building-material brand has changed is a request for clarification, not proof that you must accept a new product or that you may automatically cancel. Identify what changed, test the proposal against the written deal and applicable technical requirements, and make any approval or rejection precise and written. That process protects both the construction result and your ability to pursue the remedy that the governing contract and local law actually provide.
