Prepare an indexed, traceable record set before you market the homebuilding company. Reconcile financial statements and tax returns to bank records and source documents; create project-by-project files; organize contracts, permits, licenses, governance, assets, liabilities, insurance and workforce records; disclose open issues with explanations; and control buyer access through confidentiality and staged disclosure. A transaction attorney and accounting or valuation professional should review the actual contracts, liabilities, sale structure and tax consequences.
There is no single nationwide homebuilder diligence checklist. License rules, permit treatment, contract assignment, warranty exposure, lien issues, environmental requirements and safety obligations depend on the states, localities, projects, counterparties and transaction form involved.

What a buyer is trying to verify
Due diligence is the buyer’s process for testing whether the business described in marketing materials is the business that can actually be acquired and operated. In a homebuilding company, that means more than confirming annual revenue. The buyer must understand which projects are complete, active or merely planned; what has been paid and what remains to be spent; which customer, subcontractor and supplier obligations are outstanding; and whether the licenses, permits, land, equipment and people needed to finish the work will be available after closing.
The strongest preparation creates a traceable story. A buyer should be able to select a figure in a financial statement, identify the related general-ledger entry, and reach the bank statement, invoice, receipt, payroll record, contract or other source that supports it. The same principle applies to a project schedule, a vehicle, a parcel of land, a customer deposit or a warranty claim.

The U.S. Small Business Administration’s sale guidance addresses valuation, sale agreements, access to information and professional review, while its business-planning and management guidance identifies contracts, leases, permits, licenses, safety matters and internal records as areas buyers may examine. The IRS explains the source records needed to substantiate receipts, expenses and business assets. These sources provide a framework; they do not establish a universal homebuilder-specific checklist.
1. Set the sale perimeter and information rules first
Before gathering documents, write down what the proposed transaction might include. The perimeter should identify the legal entity or entities, land, lots, model homes, equipment, vehicles, plans, intellectual property, software rights, inventory, contracts, permits, employees and other operating assets that could be transferred. Also list items that may remain with the seller, such as excluded real estate, unrelated investments or personal assets.
Do not assume that “the business” has one obvious boundary. A builder may operate through several entities, hold land in a separate company, use personally owned equipment, or have projects at different stages. Record the ownership and intended treatment of each item so that later negotiations do not create an accidental omission.

Use a consistent folder and file-naming convention. An index should show the category, document description, date, applicable entity or project, current status and any known gap. Keep a change log so advisers can tell which version is current. A secure virtual data room is an optional implementation choice, not a requirement imposed by the SBA; an access-controlled shared repository can work if it preserves permissions, version history and download records.
Stage disclosure instead of opening everything at once
Agree with counsel on what can be shared before a serious indication of interest, after a confidentiality agreement, during confirmatory diligence and immediately before closing. Early materials can be aggregated or redacted where customer, employee or pricing confidentiality requires it. Later stages can include detailed contracts, personally identifiable information and project-level records after the buyer has accepted the applicable protections.
The SBA notes that the sale agreement should address the buyer’s level of access to information and lists confidentiality agreements among typical transaction documents. Put those rules in writing before sensitive files are released. Maintain a log of who received access, when it was granted and which categories were available.
2. Build a financial record that can be traced to source documents
Start with the latest available income statements, balance sheets and cash-flow statements, then collect the records that support them. Include federal, state and local tax returns; bank and credit-card statements; accounts-receivable and accounts-payable aging; debt schedules; payroll registers; contract-labor records; invoices; receipts; purchase orders; and asset registers.
The IRS says supporting documents should establish both the amount and the business purpose of receipts and expenses. For assets, keep records showing acquisition, improvements, depreciation, business use and disposition. Link each supporting file to the period, account and entity it belongs to.

Use a reconciliation workpaper
A simple reconciliation schedule can prevent weeks of avoidable questions. For every material account or adjustment, show the reported amount, supporting source, reconciling item, explanation, responsible reviewer and resolution status. Explain unusual expenses, owner-related items, one-time transactions, intercompany balances, cash withdrawals, disputed receivables, aged payables and any period for which documentation is incomplete.
| Financial area | Records to assemble | Buyer-facing explanation |
|---|---|---|
| Revenue and customer balances | Contracts, invoices, payment histories, deposits, retainage and accounts-receivable aging | Explain recognition timing, unpaid amounts, disputed invoices and obligations attached to deposits or retainage. |
| Direct project costs | Subcontractor invoices, purchase orders, materials receipts, payroll or labor records and job-cost reports | Reconcile job-cost totals to the general ledger and identify estimates that remain subject to change. |
| Overhead and owner items | General-ledger detail, bank statements, lease records, vehicle costs and related-party transactions | Separate recurring operating costs from personal, discretionary or nonrecurring items without disguising them. |
| Debt and taxes | Loan agreements, payoff statements, liens, tax returns, notices and payment records | Identify balances, guarantees, security interests, unpaid taxes and any negotiated or disputed amount. |
| Fixed assets | Purchase documents, titles, depreciation schedules, improvement records and disposal files | Show ownership, condition, basis, accumulated depreciation and any lien or lease affecting the asset. |
Prepare a project-level financial view
Aggregate financial statements hide the economics of individual jobs. Prepare a schedule for each completed, active and planned project showing contracted price, approved change orders, billings and collections, costs incurred, estimated cost to complete, expected margin, customer deposits or retainage, and the assumptions behind completion status. Reconcile the schedule to the general ledger and identify who prepared and reviewed it.
This schedule is a practical homebuilding workpaper, not a published universal standard. Its value is that it lets a buyer test whether reported margins, cash needs and remaining obligations are consistent with the underlying contracts and cost records.

Create an index of recent and current projects, including projects that were canceled, paused or sold. Give each project a self-contained file so the buyer does not have to reconstruct its history from scattered email threads.
Core project documents
- Signed customer or development contract, amendments and exhibits.
- Approved change orders, pricing support, payment terms, billing history and current balance.
- Original schedule, current completion estimate, inspection milestones and known delays.
- Plans, specifications, selections, allowances and evidence of customer approvals.
- Subcontractor and supplier agreements, purchase orders, payment status and unresolved back-charges.
- Permit applications, issued permits, inspection reports, certificates and correction notices.
- Customer communications that create or modify commitments, including delay notices and settlement discussions.
- Punch-list items, warranty requests, defect allegations, claims, litigation or threatened disputes.
- Customer deposits, retainage, escrow arrangements and other funds held for a project.
For each project, write a short status note that distinguishes signed obligations from internal forecasts. State what is complete, what remains, the principal assumptions, the next required decision and any issue that could change cost, schedule or liability.
Flag transfer-sensitive items
Mark any assignment restriction, required customer consent, lender approval, termination right, change-of-control clause, permit condition, warranty promise or subcontractor replacement issue. The SBA identifies contracts, leases, permits and environmental concerns as buyer-review items, but the governing rule for a particular project is found in the actual document and applicable jurisdiction. Do not promise that a contract, permit or warranty will transfer until counsel has checked it.
4. Verify licenses, permits and compliance by jurisdiction
Build a licensing and permitting matrix for every state, county, city or other jurisdiction where the company works. For each item, record the responsible license holder, license or registration number, issuing authority, current status, expiration date, renewal requirements, disciplinary history and any question about assignment or change of control.
Do these 3 things before closing this tab:
1Scan for outdated or missing drivers - takes under a minute2Repair Windows errors before they cause bigger problems3Fix the driver behind crashes, sound loss and screen glitches| Area | What to record | Why it needs local review |
|---|---|---|
| Builder and trade licenses | Holder, number, class, status, expiration, renewals and responsible individual | Licensing authority rules and transfer or ownership-change requirements differ by jurisdiction. |
| Building and development permits | Application, issued permit, plans, inspection history, fees and open corrections | A permit may be tied to a property, applicant, entity or responsible professional under local rules. |
| Certificates and approvals | Certificates of occupancy, zoning approvals, utility sign-offs and subdivision documents | Validity and transfer treatment depend on the issuing authority and project facts. |
| Safety and workplace compliance | Written programs, training, incident logs, inspections, notices and corrective actions | Requirements can vary with workforce, worksite and applicable federal, state or local rules. |
| Environmental and site matters | Assessments, notices, remediation records, wetlands or stormwater documents and correspondence | Exposure is property- and jurisdiction-specific and may affect both value and closing conditions. |
The SBA advises checking with local licensing offices because requirements vary by industry and location. Confirm the answer directly with the relevant authority and transaction counsel. Never represent that an owner’s personal license automatically transfers with a company sale.

5. Inventory assets and surface every liability
Prepare an asset register that reconciles the balance sheet to what the company actually owns or controls. Include land and lots, model homes, buildings, vehicles, heavy equipment, tools, materials inventory, plans, trademarks, domain names, software rights and other intellectual property. For each item, show legal owner, location, condition, book value, estimated basis, financing or lien and whether it is included or excluded from the proposed deal.
Prepare a separate liability and exposure schedule. Include secured debt, equipment leases, mortgages, mechanics’ or other liens, personal or corporate guarantees, unpaid taxes, customer deposits, warranty obligations, defect claims, litigation, threatened claims, insurance disputes, environmental matters and contingent obligations. Identify the amount claimed, probability or status as understood by management, reserve or insurance response, relevant policy and next action.
The SBA cautions sellers not to omit assets or liabilities from the sale agreement. The IRS recordkeeping guidance supports documenting acquisition, improvements, depreciation, use and disposition of assets. If a balance or claim is uncertain, label the uncertainty and provide the underlying correspondence instead of presenting an unsupported estimate as final.

6. Organize governance, ownership and people records
Entity and ownership file
Collect formation certificates, articles, operating agreements or bylaws, ownership ledgers, membership or share transfers, minutes, written consents, resolutions, assumed-name filings and good-standing records. Include authority for borrowing, selling assets, admitting owners and approving the proposed transaction. The SBA describes these internal records as useful when selling a business or responding to legal action.
Employee and contract-labor file
Organize payroll registers, compensation and benefit summaries, employment or independent-contractor agreements, classification analyses, handbooks, training records, key-person arrangements and outstanding leave or bonus obligations. Apply privacy controls and share personally identifiable information only at the stage approved by counsel. Identify which people are essential to estimating, permitting, scheduling, customer communication or project closeout, and document whether their continued service is expected or uncertain.
Do not hide dependence on an owner, superintendent, estimator or key subcontractor. A buyer needs to understand the operating capability that will exist after closing and the transition support that may be required.
7. Prepare valuation and transaction-structure questions
Before quoting a value, assemble the asset, project, financial and real-estate information a qualified professional will need. The SBA describes income, market and asset approaches to valuation. The appropriate method depends on the company’s facts, including backlog, land holdings, work in progress, equipment, profitability, liabilities and concentration of customer or project risk. Do not insert a generic industry multiple or promise a sale price that the records cannot support.

For a qualifying lump-sum sale of a trade or business, IRS Publication 544 explains that the transaction is treated as a sale of individual assets and generally uses the residual method to allocate consideration among them. That rule does not answer every transaction’s tax question; the correct analysis depends on the actual entities, assets, liabilities, elections and agreement. The buyer and seller should coordinate allocation reporting with their tax professionals.
Use a decision matrix for competing offers
| Comparison axis | Questions to answer from the documents |
|---|---|
| Transferred property and rights | Which entity interests, land, equipment, plans, inventory, contracts, permits and records are included? |
| Assumed and retained obligations | Who bears debt, liens, guarantees, deposits, warranty work, claims, taxes and other liabilities? |
| Continuity and consent | Can projects continue, and which customers, lenders, licensors, subcontractors or authorities must approve the change? |
| Price mechanics | What valuation basis, working-capital or other adjustments, escrow, holdback and payment timing apply? |
| Tax and legal effects | How will the structure and allocation be reported, and what approvals or filings are required? |
| Transition and access | What owner support, employee continuity, confidentiality protections and staged information access are expected? |
These are comparison prompts, not a conclusion that one structure is superior. Have advisers model the financial, legal and tax result under each serious alternative.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone.8. Run the information process like a controlled project
- Assign owners. Name one person for finance, each project group, licensing, legal records, assets, people and data-room administration.
- Build the master index. Give every file a category, entity or project, date, version and status. Record missing items and the person responsible for obtaining them.
- Reconcile before uploading. Resolve duplicate files, inconsistent totals, expired certificates and unexplained balances before a buyer finds them.
- Prepare an issues register. For each open item, state the facts known, financial or schedule effect, responsible adviser, proposed response and next decision. Do not speculate beyond the available evidence.
- Apply access tiers. Separate general company information, confidential financials, detailed contracts, personal information and legally privileged material. Release each tier only under the agreed confidentiality process.
- Preserve an audit trail. Keep upload dates, version history, access logs, questions, answers and any later replacement document.
- Control the question process. Route buyer questions to a designated team, answer from the records, and add any new answer or document to the index so all approved participants work from the same version.
- Freeze the closing set. Before signing, reconcile the final schedules to the agreement’s definitions, exhibits, disclosure schedules and purchase-price adjustment mechanics.
Common preparation failures and how to correct them
Unreconciled project margins
Symptom: The project schedule, accounting system and invoices show different cost or completion figures.
What’s actually slowing this PC down?
Pick the symptom - the matching free tool is one click away.
Correction: Reconcile each project to the general ledger, identify committed but unbilled costs, document the estimate-to-complete method and have an accounting professional review material judgments.
Expired or mismatched licenses
Symptom: A license is current in one jurisdiction but held by an individual, inactive entity or wrong address elsewhere.
Correction: Verify status with each issuing authority, update renewals and ownership records, and obtain counsel’s answer on change-of-control or transfer requirements before describing the license as a sale asset.
Hidden customer or subcontractor commitments
Symptom: Email promises, side letters, unpaid change orders or informal warranty commitments are absent from the contract file.
Correction: Search project correspondence, interview the responsible manager, add the commitment to the project status note and disclose assignment, consent or cost implications.

Incomplete liability disclosure
Symptom: A lien, guarantee, deposit, claim or tax notice appears only after the buyer asks a targeted question.
Correction: Compare legal, insurance, banking, tax and project records; list every known exposure; and obtain a written view from counsel and the relevant insurer or lender.
Over-disclosure without controls
Symptom: Sensitive employee, customer or pricing files are shared before confidentiality terms and access limits are in place.
Correction: Pause distribution, document what was shared, tighten permissions and follow counsel’s remediation advice. Use aggregated or redacted information until detailed access is justified.
Professional review and jurisdiction-specific limits
Use a transaction attorney to review the sale agreement, assignment and consent provisions, license and permit treatment, warranties, liens, claims, environmental matters and closing conditions. Use a CPA, transaction accountant or valuation professional to test reconciliations, normalize financial information, assess valuation methods, review tax records and model purchase-price allocation.
Builder licensing, permit transfer, active-contract assignment, warranty and defect obligations, lien law, environmental rules and safety requirements must be checked for the company’s actual states, localities, projects, contracts and transaction form. The SBA’s general guidance cannot answer those questions for a particular builder, and IRS publications do not replace advice on the company’s structure or state taxes.
Final readiness checklist
- The proposed sale perimeter identifies included and excluded entities, assets, projects and obligations.
- The master index links financial figures to source documents and explains material differences.
- Completed, active, planned, canceled and paused projects have status files with contracts, costs, schedules and open issues.
- Assignment restrictions, consents, deposits, warranties, claims and termination rights are flagged for review.
- Licenses, permits, inspections, safety records and notices are verified by jurisdiction.
- Assets, liens, debt, guarantees, taxes, insurance and contingent liabilities are inventoried.
- Governance, ownership, workforce and contract-labor records are organized with privacy controls.
- Valuation assumptions and transaction-structure questions have been reviewed by qualified advisers.
- Confidentiality terms, access tiers, question handling and version control are operating before detailed disclosure.
- Known gaps are disclosed with an owner, explanation and remediation plan rather than left for the buyer to discover.
