How to Evaluate a U.S. Construction Company Before an Acquisition

Test a construction company’s reported earnings against project records and cash, then verify backlog, capacity, bonding, licenses, contracts, and continuity before closing.

Evaluate a construction company by testing whether its reported earnings can turn into cash, whether its committed projects can be completed profitably, and whether its people, licenses, contracts, equipment, and surety support will remain available after closing. Start with the target’s project-level records, verify important claims with independent customers and counterparties, and resolve transaction-specific legal and licensing questions with the authorities and advisers who can answer them. A strong income statement alone is not enough: liquidity, work in progress, execution capacity, and continuity can determine whether the business can deliver the work it has sold.

Use contractor responsibility as a screening framework—not an acquisition checklist

Federal procurement rules offer a useful way to organize diligence, even when the buyer is acquiring a private company rather than bidding for a federal contract. FAR 9.104-1 identifies responsibility factors including adequate financial resources; the ability to meet schedules in light of existing commitments; satisfactory performance and integrity; suitable organization and accounting and operational controls; technical skills; equipment and facilities; and legal eligibility. Those factors translate naturally into acquisition questions about cash, backlog, project controls, staff, fleet, safety, and the company’s ability to keep operating after ownership changes.

The regulation governs responsibility for federal contract awards; it does not define every question in a private-company acquisition. Treat it as a disciplined screening lens, then add diligence specific to the target’s states, municipalities, customers, contracts, transaction structure, and risk profile. A company can look capable on paper and still be a poor acquisition if its profits depend on optimistic estimates, its work cannot be bonded, or essential licenses and relationships do not continue.

FAR Part 9 also points to the value of corroboration. Its listed information sources include contractor financial and personnel data, commercial sources, preaward surveys, and information from suppliers, subcontractors, customers, financial institutions, agencies, and trade associations. In a deal, this supports a basic rule: do not rely on management’s description of performance when the project owner, customer, bank, surety, or subcontractor can confirm the relevant facts.

Build a diligence data request around the way the contractor earns and spends cash

Request records at both the company level and the individual-project level. A construction contractor’s financial statements can conceal uneven project outcomes, slow collections, disputed changes, or costs that have not yet been reflected in estimates. The objective is to reconcile financial reporting with what has actually been performed, billed, collected, paid, and committed.

Company-wide financial and liability records

  • Several years of audited or reviewed financial statements, if available, plus monthly interim statements for the current year and the prior year.
  • Tax returns, bank statements or bank records, debt agreements, guarantees, and details of available credit lines and borrowing conditions.
  • Accounts-receivable and accounts-payable aging, cash-flow information, working-capital detail, and schedules of debt and other obligations.
  • Equipment and facility records, including ownership or financing information, maintenance history, and planned replacement or repair needs.
  • Records concerning tax, payroll, benefits, workers’ compensation, general liability, auto, professional liability, environmental matters, claims, and other contingent liabilities.

Project and backlog records

  • Project-level job-cost ledgers and work-in-progress (WIP) schedules, with the assumptions used to estimate revenue, costs to complete, and expected margins.
  • Current and completed project lists, contract values, schedules, billed-to-date and collected-to-date information, remaining work, and customer or owner contacts.
  • Backlog reports, change orders, claims, retainage, unapproved changes, disputes, warranty obligations, and any liquidated damages or default concerns.
  • Subcontractor and supplier commitments, payment status, procurement needs, and the labor, equipment, and management capacity required to finish awarded work.

Ask for consistent periods and definitions. If the target’s backlog report, WIP schedule, and monthly financials use different cut-off dates or categories, have the seller explain and reconcile the differences before comparing them. Where source records are incomplete, mark the uncertainty instead of filling it with a management estimate.

Test earnings quality by tracing estimates into project records and cash

Construction accounting depends on estimates about work performed, remaining cost, changes, and timing. A reported margin is more informative when it can be traced to job-cost detail, contract terms, approved changes, and later cash collections. Have a transaction-accounting adviser reconcile project reporting to the financial statements and tax records, then investigate any large or recurring differences.

Reconcile each material project

  1. Compare the contract with the project record. Confirm the original scope and price, approved amendments, billing terms, retainage, and any material exclusions or owner obligations.
  2. Trace costs to source records. Compare the job-cost ledger with payroll, subcontractor invoices, supplier bills, equipment charges, and the general ledger. Identify costs posted late, allocated across jobs, or left outside the project estimate.
  3. Challenge the forecast to complete. Ask the project manager and estimator what labor, material, subcontract, equipment, and schedule costs remain. Compare their assumptions with current commitments and job progress.
  4. Separate approved value from expectation. Identify changes that are executed and approved separately from pending proposals, disputed claims, or work performed without a resolved price.
  5. Follow billing through collection. Reconcile earned or reported revenue to invoices, receivables, retainage, cash receipts, and any deductions or disputes.
  6. Compare forecast with outcome. For completed jobs, compare original estimates and successive forecasts with final cost, margin, completion timing, claims, and warranty experience. Look for recurring patterns rather than relying on a single unusually good or bad project.

Use the same method across projects and periods. A WIP schedule is an estimate, not proof that a margin will be realized. Have people who are not responsible for the original estimate review important assumptions, and ask for explanations where forecasts changed substantially near completion or where reported profit is not accompanied by collections.

Measure cash capacity as well as accounting equity

Book net worth does not by itself show whether a contractor can pay workers and suppliers while awaiting customer payment or fund a period of heavy project spending. FAR 32.202-4, in the context of government financing, explicitly treats both net worth and liquidity as relevant to assessing financial condition. That is a useful reminder for acquisition analysis: examine working capital, cash flow, bank lines, credit relationships, collection patterns, and near-term obligations alongside equity.

The Surety & Fidelity Association of America’s discussion of contractor prequalification likewise identifies annual and interim financial statements, WIP, cash flow, net worth, working capital, bank lines, and credit relationships as information relevant to financial strength. These are diligence inputs, not a formula or a universal pass threshold. The evidence here does not establish a single WIP ratio, EBITDA multiple, or minimum liquidity level that fits every contractor. Set deal-specific expectations with advisers using the target’s size, project mix, payment terms, seasonality, debt, and planned capital needs.

Decide whether the target can finish the work it has sold

Backlog is not automatically valuable. Its quality depends on contract economics, schedule realism, customer reliability, collection terms, available labor, subcontractor capacity, equipment, and the company’s ability to manage several jobs at once. For every material active project, compare the committed schedule with staffing, equipment availability, procurement lead times, and the target’s other obligations. Ask project managers what could delay or reduce expected margin and what resources they need to complete the work.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Review current and completed work for schedule slippage, unapproved change orders, warranty exposure, disputes, defaults, liquidated damages, and customer satisfaction. Confirm important facts with owners or customers rather than relying solely on the target’s internal status labels. For a claimed change or receivable, establish whether it is approved, billed, disputed, or collected; those are materially different states.

Assess concentration as a risk, not just a revenue statistic. Determine how much the target depends on a small number of customers, project types, owners, subcontractors, suppliers, or individual estimators and managers. Concentration can make a healthy-looking backlog vulnerable to a single cancellation, delayed payment, key departure, or change in market demand. The supplied evidence provides no universal concentration limit, so the buyer should evaluate the consequences for this particular business.

Check the operating system behind the project results

Ask how the company estimates work, approves budgets, tracks labor and materials, manages changes, selects and monitors subcontractors, handles procurement, assures quality, and escalates schedule or cost problems. Compare the stated process with actual project files and interviews. If each project manager uses a different method, or financial staff cannot reconcile job reporting to the ledger, the buyer may be acquiring a control problem as well as a contractor.

Assess management, labor, and transition dependence

Map the people who estimate, sell, schedule, supervise, and close out work. Identify which relationships or approvals depend on the owner or a small number of employees. Verify key managers, estimators, superintendents, project managers, and skilled tradespeople; ask what roles are difficult to replace and what retention or transition arrangements may be necessary. Also assess the durability of subcontractor relationships and whether the target’s work depends on informal arrangements that could change after closing.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Do not treat a seller’s promise to remain available as a substitute for a specific transition plan. Determine which customers, employees, suppliers, and subcontractors need introductions or direct communication, what duties the seller will perform, and how project decisions will be handed over. The appropriate terms depend on the transaction and people involved; have counsel document them rather than assume that personal goodwill transfers with the shares or assets.

Inspect equipment, facilities, safety, and quality practices

Compare equipment owned, leased, financed, or routinely rented with the work in backlog. Inspect condition and maintenance records, identify equipment that is unavailable or near replacement, and estimate capital needs that could affect cash after closing. Review facilities and project support capacity where they are material to the work.

Examine safety programs and records, quality assurance practices, incident and claim history, and how corrective actions are tracked. Federal responsibility criteria include suitable organization and accounting and operational controls, technical skills, safety programs where appropriate, and construction equipment. That makes these areas practical diligence subjects, but it does not replace a target-specific safety, insurance, environmental, or legal review.

Review performance, integrity, and potential claims

Build a history of material disputes, contract terminations, defaults, claims, warranty matters, and regulatory or exclusion issues relevant to the company’s customers and jurisdictions. Ask for the target’s explanations, but verify material events with counterparties and records. FAR 9.104-1 includes satisfactory performance and integrity among responsibility factors, while FAR Part 9 identifies customers, suppliers, subcontractors, financial institutions, agencies, and other sources that may provide relevant information.

For references, ask specific questions rather than “Was the contractor good?” For an owner or customer, ask whether the work met scope and schedule, how changes and closeout were handled, whether invoices or claims remain in dispute, and whether the customer would engage the company again. For suppliers and subcontractors, ask about payment experience, unresolved balances, reliability, and whether their relationship is with the company or principally with the seller. Record who answered and when; a favorable reference is not a substitute for reviewing the underlying contract or payment history.

FAR 9.103(c) cautions in federal procurement that lowest evaluated price alone can be a “false economy” if default, late delivery, or unsatisfactory performance leads to additional costs. For a buyer, the broader lesson is to investigate the cost of execution and failure, not just the quoted purchase price or apparent historical margin.

Confirm surety support instead of assuming it will continue

If the company performs bonded work, obtain its complete bond schedule, current surety correspondence, indemnity agreements, claim or reservation information, and details of capacity and single-job limits. Ask the surety directly how the proposed transaction, any change in ownership or management, and the company’s post-close financial position affect future support. The Surety & Fidelity Association of America identifies WIP and financial capacity among prequalification considerations, so changes in liquidity, work mix, or leadership are relevant to raise.

FAR Part 28 describes bonds as instruments that secure a contractor’s obligations to an obligee. That role makes bonding more than an administrative file: a project may depend on the contractor’s ability to meet bond requirements and maintain the surety relationship. Do not assume existing bonds, indemnities, or aggregate capacity automatically transfer or remain available after a transaction. The available sources do not establish that outcome; obtain transaction-specific confirmation from the surety and legal counsel before treating bonded backlog as secure.

Map licenses, permits, contracts, and liabilities by jurisdiction

Construction licensing is jurisdiction-specific. Build a matrix for every state and local authority relevant to the target’s work, showing the license or permit, the company or individual responsible for it, the qualifying person where applicable, renewal date, current status, and any disciplinary history. Verify the details with the relevant authority, including whether a sale, change of control, departure of a qualifying individual, or change in business structure affects the authorization. Do not infer the answer from a license held in another state or from the target’s past ability to perform.

Review material customer, supplier, subcontractor, lease, and financing contracts for assignment and change-of-control terms, consent requirements, termination rights, bonding obligations, retainage, warranty responsibilities, pricing, and dispute provisions. The effect of those terms depends on actual contract language and transaction structure. Identify required consents and approvals early enough to make them conditions or closing workstreams where appropriate, with counsel’s advice.

Review tax, payroll, benefits, workers’ compensation, general liability, auto, professional liability, environmental, safety, and claims records with the appropriate advisers. Federal procurement sources are not a substitute for state-specific licensing research or target-specific legal, tax, environmental, employment, safety, and insurance diligence. Where the target operates in multiple jurisdictions, ask advisers to distinguish obligations that attach to the entity from those tied to an individual, location, contract, or permit.

Compare targets and deal structures on the same risk axes

When evaluating more than one company or possible transaction structure, use a common scorecard so that a stronger presentation or larger backlog does not distract from different underlying risks. The following dimensions are supported by federal responsibility factors and construction-specific financial and surety considerations; they are comparison categories, not a prescribed scoring model.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
Dimension What to compare Evidence to test
Earnings quality and cash conversion Whether reported project profit is supported by costs, billings, collections, and completed-job results. Financial statements, job-cost ledgers, WIP schedules, aged receivables, cash records, and completed-job forecasts versus outcomes.
WIP and backlog risk Whether committed work is profitable, collectible, and achievable with available capacity. Contracts, approved changes, schedules, costs to complete, customer confirmation, claims, and project staffing plans.
Liquidity and bonding Ability to meet near-term obligations and maintain required surety support. Cash flow, working capital, bank lines, credit relationships, bond schedule, surety correspondence, and transaction-specific confirmation.
Project and customer concentration Exposure to a few owners, project types, suppliers, or key relationships. Revenue and backlog by customer and project, reference calls, contract terms, and dependence on the seller.
Licenses and contract continuity Whether legal qualifications and material agreements remain usable after closing. Jurisdiction-by-jurisdiction license matrix, change-of-control terms, consent requirements, and authority confirmation.
Management and labor dependence Whether the company can estimate, supervise, and complete work without one person or fragile relationships. Organization and project responsibility maps, key-person interviews, retention needs, and subcontractor references.
Safety, integrity, and claims Whether performance history creates legal, cost, reputation, or eligibility exposure. Claims and dispute records, customer references, safety records, regulatory matters, and termination or default history.
Fleet, facilities, and capital needs Whether physical resources fit the workload and what investment is required after closing. Equipment lists, maintenance and financing records, inspections, utilization, and replacement or repair plans.
Seller transition Whether operational knowledge, customer relationships, and decisions can be transferred reliably. Defined transition responsibilities, key introductions, retention arrangements, and documented handoff plans.

Do not collapse the scorecard into an unsupported universal pass/fail number. Instead, connect each unresolved issue to its financial or operational consequence: a price adjustment, escrow or indemnity discussion, consent or surety confirmation, retention plan, additional working capital, revised forecast, or decision not to proceed. Legal and accounting advisers should assess which responses fit the actual deal and applicable law.

Organize findings into a decision before signing

For each material finding, record the evidence reviewed, who verified it, what remains uncertain, and what could happen if the assumption proves wrong. Separate confirmed liabilities from estimates and from questions not yet answered. A concern that can be resolved by a customer confirmation is different from a license continuity issue that could prevent performance, and both differ from a margin forecast that depends on an unapproved change order.

Translate diligence findings into deal decisions with the relevant advisers. Possible responses include revising the valuation or forecast, requiring additional records, securing consents or surety confirmation, planning for working-capital needs, arranging key-person retention, allocating known liabilities in transaction documents, or declining the acquisition. The appropriate protection depends on the facts, purchase structure, bargaining position, and enforceability of the proposed terms.

Federal rules provide a useful set of questions about resources, capacity, performance, controls, skills, equipment, and eligibility. They cannot determine whether a particular contractor is worth buying. That answer comes from reconciling financial claims with project evidence, verifying operational continuity, and resolving the specific legal, licensing, surety, and liability questions that could affect the business after closing.
