A construction default notice is compliant only when it follows the executed contract, incorporated conditions, amendments, and applicable law. There is no universal cure period, delivery method, recipient, or wording that works for every project. Start by identifying the exact notice and default clauses, then document the breach, set the contract-based deadline, serve the required recipient, and preserve proof.
AIA A201-2017 and the Federal Acquisition Regulation (FAR) offer useful examples, but their procedures apply within their respective contract frameworks. A private project, a federal procurement, a subcontract, and a design agreement may impose different steps. For an active dispute or possible termination, have construction counsel review the agreement and timeline in the governing jurisdiction.

The notice should give the recipient a fair, contractually sufficient opportunity to understand the alleged failure and take the required corrective action. It also creates a record showing that the sender followed the agreement before pursuing the next remedy.
A compliant notice normally does all of the following:

- Identifies the agreement, project, parties, and sender’s authority.
- Names the operative default, performance, payment, schedule, safety, or other clause.
- States the specific act or omission, when it occurred, and whether it is continuing.
- Explains the cure required and how completion will be evaluated.
- Calculates the deadline from the contract’s stated trigger and time convention.
- Uses the required recipient, address, channel, and proof of delivery.
- States only the remedies and escalation rights available under the contract and law.
- Preserves the notice, attachments, dispatch record, receipt, and supporting project evidence.
A vague letter saying that performance is unacceptable may not identify the contractual failure or provide a usable cure opportunity. Conversely, a notice that threatens automatic termination when the contract does not authorize it can create avoidable risk.

Documents to collect
- The signed prime contract, subcontract, purchase order, or design agreement.
- General conditions and supplementary or special conditions, including the edition identified in the agreement.
- Amendments, change orders, written modifications, and approved clarifications.
- Notice exhibits, project contact sheets, communication protocols, and electronic-delivery provisions.
- Default, cure, suspension, termination, claims, dispute-resolution, and payment clauses.
- Schedules, milestone requirements, submittal obligations, quality provisions, and safety rules relevant to the alleged failure.
- The governing-law and venue provisions.
AIA describes A201 as general conditions commonly incorporated into related agreements. The applicable A201 edition, supplementary conditions, project-specific amendments, and local requirements control the result; an unamended form summary is not a substitute for the signed project documents.
Confirm the notice category
Several communications are called a “default notice” in everyday project language, but they can have different requirements.
| Notice path | Purpose | Key drafting question | Potential next step |
|---|---|---|---|
| Notice to cure | Identifies a breach and gives the contractual opportunity to correct it. | What clause defines the failure, cure, trigger, and period? | Further contract remedies if the breach remains uncured. |
| Show-cause notice | Requests an explanation for why a specified remedy, often termination, should not be taken. | Does the contract require a response or explanation before action? | Decision by the authorized party after reviewing the response and record. |
| Notice of claim | Preserves a claim for additional time, money, or another contractual entitlement. | Does the claims clause impose a separate notice deadline and delivery method? | Evaluation under the claims and dispute provisions. |
| Termination notice | Communicates an exercised termination right. | Has every prerequisite, including any cure or show-cause step, occurred? | Termination administration and the remedies stated in the agreement. |
The FAR distinguishes cure and show-cause formats. AIA A201-2017 also treats claim notices differently from ordinary notices. Calling a letter a cure notice does not eliminate the requirements that apply to a claim or termination notice.
Build a defensible fact record before writing
Gather the records that establish the obligation, the event, the date, and the impact. Use confirmed facts rather than conclusions, estimates presented as certainty, or allegations copied from informal discussions.

- Dated daily reports, inspection reports, and quality-control records.
- Approved schedules, updates, look-ahead plans, and milestone logs.
- Submittal, RFI, testing, delivery, and procurement records.
- Photographs or videos with reliable dates and locations.
- Meeting minutes, correspondence, messages, and prior written notices.
- Payment applications, invoices, pay records, and notices of nonpayment when payment is the alleged default.
- Safety reports, stop-work directives, and incident records where safety is involved.
- Change orders, directives, and other documents that may excuse, modify, or extend performance.
Create a chronology that separates three questions: what the contract required, what happened, and what evidence proves each point. Check whether the recipient has raised an excuse, owner-caused delay, differing site condition, approved change, force-majeure event, payment issue, or other contractual defense. A notice that ignores a documented modification or excuse may be challenged even if a problem exists.
Verify authority and parties
Identify the legal names of the contracting parties, project name and location, contract or purchase-order number, and the person authorized to issue the notice. Confirm whether the agreement requires copies to a project representative, owner, architect, construction manager, surety, or another designated recipient. The person who observed the problem may not be the person authorized to issue a contractual notice.
Describe the default precisely
The central section should allow a reader to identify the alleged failure without searching through a stack of project correspondence.

Connect facts to the contract clause
Quote or accurately summarize the relevant obligation, identify the clause and document containing it, and then map the evidence to that obligation. State the date or date range, location, affected work, and whether the condition continues.
For example, instead of writing “You are in default for poor performance,” identify the missed milestone, the schedule provision, the approved completion date, the work remaining, and the dated records showing the variance. If the issue is defective work, identify the specification, drawing, inspection result, location, and required correction. If the issue is nonpayment by a subcontractor, identify the payment clause, invoice or application, amount, due date, and any permitted withholding provision.
State the cure in measurable terms
Tell the recipient what must be done, by when, and how the sender will determine whether the cure is complete. A cure may require completing named activities, replacing nonconforming materials, submitting a recovery schedule, supplying records, remitting a defined amount, or maintaining a continuing performance obligation. Avoid demanding work that the contract does not require or silently changing the scope.
If the breach has multiple components, list them separately. Explain whether curing one item does not excuse the others. Attach schedules, inspection reports, photographs, or marked drawings when they are necessary to make the demand understandable; identify each attachment in the notice.
Calculate the cure deadline from the contract
Never import a generic “10-day” or “14-day” rule. Locate the clause that sets the period and identify its trigger. The trigger may be receipt, delivery, issuance, a specified event, or another date defined by the agreement. Check whether the period uses calendar days or business days, whether the first day is excluded, and whether the deadline moves when it falls on a weekend or holiday.
Federal example: FAR 49.402-3
For specified federal non-delivery failures, FAR 49.402-3 provides a cure period of 10 days or longer as necessary. FAR 49.607 uses a 10-day sample period and permits a longer period the contracting officer considers reasonably necessary. These are federal procurement rules and examples, not a default deadline for private construction contracts.
FAR 49.607 also says a cure notice should not be issued when the remaining contract schedule cannot allow a realistic cure period. The sender should therefore compare the proposed period with the time remaining, the work required, access and procurement constraints, and any contract language addressing extensions.
Put the deadline in the notice
State the exact date, time, and time zone when appropriate, along with the event that starts the clock. If the deadline depends on receipt, do not describe it only as “10 days from this letter.” Use wording that matches the governing clause and the actual delivery method. If the contract permits an extension or the sender grants one, document the extension in writing and identify whether it changes any other right.
Serve the correct recipient and preserve proof
Delivery is part of compliance. Address the notice to the representative and location specified in the agreement, and copy additional recipients only when the contract or project process requires or permits it.

AIA A201-2017 example
Under the AIA A201-2017 example, ordinary notices are written to the designated representative and may be delivered in person, by mail, courier, or electronic transmission when the agreement specifies the electronic method. Claim notices have a separate delivery rule involving certified or registered mail or courier proof of delivery. Do not assume that an email commonly used for project coordination satisfies a claim-notice requirement.
Federal example
FAR 49.607 calls for proof of delivery for its delinquency notices. Follow the contract’s stated address and method, retain the delivery evidence, and confirm that the authorized contracting officer or other required official issued the notice.
Delivery checklist
- Read the notice clause and identify every permitted or mandatory method.
- Verify the named representative, physical address, email address, and any required copy recipients.
- Use the method that satisfies the clause; use more than one channel only as a supplement unless the contract says otherwise.
- Record the date and time sent, tracking or certificate number, transmission record, and any delivery or refusal event.
- Save the exact final document and attachments that were delivered.
- Calendar the cure deadline from the contract’s trigger and monitor receipt disputes.
Draft the notice in a contract-first sequence
- Heading and subject. Label the communication accurately, such as “Notice to Cure” or “Cure Notice,” and include the project, agreement number, and date.
- Authority and parties. Identify the sender, recipient, contract, project, and provision authorizing the notice.
- Contract requirement. State the relevant clause and obligation.
- Specific failure. Set out the act or omission, dates, location, affected work, and supporting records.
- Required cure. List each corrective action and the standard for completion.
- Deadline. State the trigger, exact due date and time, and any contract-based calculation.
- Continuing duties. State any obligation that continues during the cure period, but only if the contract imposes it.
- Consequences. Identify the next contractual step without claiming that a remedy is automatic unless the agreement says so.
- Attachments and delivery. List attachments and identify the delivery method required by the contract.
- Signature. Use the authorized signatory and preserve evidence of authority.
Practical drafting template
The following is a structure, not a universal form. Replace each bracketed item only after checking the executed agreement.
NOTICE TO CURE
Project: [project name and location]
Agreement: [contract number and date]
Date sent: [date and time]
To: [legal name and contract-designated representative]
Delivery method: [method required by notice clause]
Contract requirement
[Identify the clause and summarize the obligation.]
Alleged default
[Describe the specific act or omission, dates, location, affected work, and records supporting it.]
Required cure
[List each action required and the standard for determining completion.]
Deadline
Under [clause], the cure must be completed by [date, time, and time zone], calculated from [contractual trigger].
Contractual consequences
If the default is not cured as required, [identify only the next remedies or procedures authorized by the agreement and applicable law]. This notice does not waive any other rights or obligations.
Attachments: [numbered list]
[Authorized signatory, title, contact information]
State consequences without overclaiming
A cure notice should explain what may happen after an uncured default, but it should not convert a conditional right into an automatic result. Use the agreement’s terminology for suspension, withholding, supplementing the work, replacement, termination, damages, or dispute escalation. Check whether another notice, approval, hearing, show-cause response, or decision is required first.
Preserve contractual rights accurately. A reservation such as “The sender reserves rights and remedies available under the agreement and applicable law” should not be used to conceal a failure to identify the required cure or to bypass a separate claims procedure. If the sender has already accepted late performance, directed changed work, or granted extensions, address those facts rather than asserting an unqualified default.
Federal default actions require additional review
For covered federal contracts, FAR 49.402-3 directs review by contracting and technical personnel and counsel before deciding the type of termination action. FAR 49.402-3(a) states: “the Government shall decide which type of termination action to take … only after review by contracting and technical personnel, and by counsel”. This is a federal default-termination procedure, not a general statement of private construction law.
The federal analysis also considers the contract terms, the specific failure and any excuses, alternative sources, and urgency. A private owner or contractor should apply the review process required by its agreement, organizational procedures, and governing law rather than assume that a federal process applies.

Using a generic cure period
Problem: The notice says “cure within 10 days” without identifying the contractual trigger or period.
Fix: Quote or accurately summarize the clause, calculate the date from the required event, and explain any calendar-day, business-day, receipt, or holiday rule.

Describing conclusions instead of facts
Problem: The notice alleges “poor workmanship,” “delay,” or “nonperformance” without identifying the work, date, clause, or evidence.
Fix: Use a numbered list of failures tied to records and state the measurable correction for each.
Sending to the wrong person or by an unapproved channel
Problem: A project email reaches a field supervisor but the contract designates a corporate representative or requires courier delivery.

Fix: Follow the notice clause, send to every required recipient, and retain proof of delivery.
Mixing cure, claim, and termination language
Problem: One letter tries to preserve a claim, demand cure, and terminate without satisfying the separate requirements for each action.
Fix: Identify the intended notice category and issue additional notices when the contract requires distinct procedures.
Ignoring amendments and defenses
Problem: The notice relies on the original schedule or scope after a change order, extension, owner delay, or approved substitution.

1Clear out junk files and repair common Windows errors2Scan for outdated or missing drivers - takes under a minute3Repair Windows errors before they cause bigger problemsFix: Reconcile the fact record with every modification and address known excuses before asserting default.
Failing to preserve the final record
Problem: The sender cannot prove which attachments were sent, when delivery occurred, or which version was approved.
Fix: Save a locked copy of the final notice, attachments, transmission record, receipt, and source documents in the project file.
Final pre-delivery checklist
- The executed agreement and incorporated conditions were reviewed.
- The applicable default, cure, claims, termination, and notice clauses were identified.
- The sender has authority and the legal names and contract number are correct.
- Each alleged failure is tied to a clause, date, location, and supporting record.
- The requested cure is specific, measurable, and within the contract scope.
- The deadline uses the correct trigger, time convention, and receipt rule.
- The delivery method, address, representative, and required copies are correct.
- Attachments are listed and included in the delivered set.
- Consequences are described conditionally and accurately.
- Dispatch, receipt, and the final signed version will be preserved.
- Required project, technical, management, and legal review is complete.
When to obtain construction-law advice
Have counsel review the notice before sending when termination, substantial damages, a surety, public funds, contested payment, a disputed change, a safety incident, insolvency, or a tight deadline is involved. The title alone does not establish the governing jurisdiction, contract form, alleged default, notice history, waiver issues, or entitlement to terminate. Those conclusions require the actual agreement and project timeline.
