How to Build a Portfolio for a PMS Investment in India

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Build a Portfolio Management Service (PMS) investment around your own goals, time horizon, cash-flow needs, risk capacity, existing holdings and restrictions—not around a manager’s recent return. Start with a written investor brief, decide what role PMS will play in your complete portfolio, translate the manager’s strategy into explicit limits, and then verify fees, risks, liquidity, conflicts, custody, reporting and benchmark methodology before signing. SEBI investor material states a ₹50 lakh minimum investment requirement; confirm the current rule and any applicable exception in the latest regulations and provider documents before transferring money.

What a PMS investment actually is

PMS is a professional service in which a portfolio manager manages investments to align with a client’s financial goals, with customization for risk tolerance and preferences. Unlike a pooled product, the service is built around an individual client mandate. Zerodha’s investor explanation describes direct ownership of portfolio securities and customization, but those features do not automatically make PMS suitable or superior to mutual funds, index funds or direct investing.

The written client agreement is the foundation of the relationship. SEBI’s Portfolio Managers Regulations require the agreement to define the parties’ relationship and their respective rights, liabilities and obligations. The regulation states: “Every portfolio manager shall before taking up an assignment of management of funds or portfolio of securities in writing on behalf of a client, enter into an agreement in writing with such client clearly defining the interse relationship, and setting out their mutual rights, liabilities and obligations relating to management of funds or portfolio of securities”. Check the current consolidated text of the SEBI Portfolio Managers Regulations, 2020 before relying on any clause.

Your agreement should cover investment objectives and services; permitted investment areas and client restrictions; instrument types and expected exposure proportions; tenure; early-withdrawal terms; risks; fees; custody; accounts, audit and reporting; and other investment terms. If a promise or restriction matters to you, have it stated in the agreement or an incorporated schedule rather than relying on a presentation or conversation.

Step 1: Write an investor brief before meeting a manager

A PMS proposal can look attractive until it is tested against the circumstances that determine whether losses or illiquidity would damage your plans. Write these facts down first and give the same brief to every provider so comparisons are consistent.

Define each goal and its deadline

  • State what the money is for: retirement, a home, education, business capital, legacy or another purpose.
  • Give every goal a date or date range. A portfolio intended for a payment in two years has a different loss capacity from money not needed for fifteen years.
  • Separate essential goals from discretionary goals. Essential spending should not depend on selling a concentrated or illiquid position during a market decline.

Map liquidity and cash-flow needs

List expected withdrawals, emergency reserves, taxes, debt payments and irregular commitments. Identify how much cash must remain outside PMS and whether you may need partial withdrawals. Ask how the manager handles cash, redemptions and securities that cannot be sold quickly. Liquidity is a portfolio constraint, not an afterthought.

Distinguish risk capacity from risk tolerance

Risk capacity is the financial ability to withstand a loss without jeopardising a goal; risk tolerance is the level of volatility you can continue to accept emotionally. Record a loss that would force you to sell, the largest temporary decline you believe you could endure, and the circumstances that would change your answer. A high tolerance does not create capacity if the money is needed soon.

List your existing exposure and restrictions

Compile equity, debt, cash, property, employee shares, business interests and other material assets. Include investments held by other family members when they serve the same household goals. Note tax constraints, prohibited sectors, ethical exclusions, promoter or employer restrictions, and any requirement to avoid particular issuers. The objective is to identify overlap and constraints before a PMS account adds another layer of exposure.

Step 2: Decide what role PMS has in the whole portfolio

Do not evaluate a PMS allocation in isolation. Decide which goal or sleeve it will cover, what remains in low-volatility or liquid assets, and how its holdings may overlap with your other accounts. A concentrated PMS strategy can materially change household exposure even when the account is only one part of total wealth.

Write a one-page role statement: the goal served, investment horizon, minimum liquidity reserve, acceptable instruments, prohibited exposures, expected review date and conditions that would trigger a reduction or exit. This is not a model allocation. It is a control document that lets you judge whether the service continues to serve its purpose.

SEBI investor material says PMS is intended to align management with client goals and risk preferences. That alignment must be demonstrated by the mandate and holdings, not inferred from the PMS label.

Step 3: Translate the manager’s strategy into measurable limits

Read the manager’s stated objective and investment process, then convert broad language into questions and limits you can monitor.

Investment universe and style

  • Which asset classes, sectors, market-cap ranges and geographies are eligible?
  • Can the manager hold cash, derivatives, unlisted instruments or securities outside the stated style?
  • What does “long term” mean in expected holding period, and how often has the portfolio historically turned over?
  • What events cause a purchase, sale or change in position size?

Concentration and exposure

Ask for maximum single-security, sector and thematic exposures, and whether those limits are measured at cost or market value. Request the policy for a position that rises above a limit because of appreciation. If your household already owns a major position, specify how overlap will be treated.

Liquidity and cash management

Understand the liquidity profile of intended holdings and the process for meeting withdrawals. Ask how the manager values thinly traded securities, handles a market suspension and prioritises sales when several clients request cash. A strategy that is suitable only when markets are orderly may not fit a goal with a fixed payment date.

Client-specific restrictions

Provide restrictions in writing and confirm how they are implemented, checked and reported. SEBI’s regulatory framework requires the agreement to describe investment areas, restrictions, instruments and proportions of exposure. Ask for a sample restriction report or exception notice rather than accepting a verbal assurance.

Step 4: Check the provider and disclosure document

Use the provider’s disclosure document, agreement and current regulatory records as your evidence set. The SEBI investor guide to Portfolio Management Services describes the service, the stated minimum investment and key risks. The SEBI regulations and contracts provisions set out agreement and disclosure topics. The SEBI Master Circular for Portfolio Managers dated June 7, 2024 covers reporting topics including fees, benchmarking and related-party investments. The SEBI Investor Charter for Registered Portfolio Managers is a further investor-facing reference.

Registration and business information

  • Verify that the entity is a SEBI-registered portfolio manager in the current regulatory record.
  • Read the legal entity name, responsible personnel, custody arrangement and complaint-escalation route.
  • Check the age and continuity of the strategy, changes in key personnel and whether the presented record belongs to the same legal entity and process you would hire.

Conflicts and related parties

Look for related-party transactions, investments in associated entities, brokerage or distribution relationships and other incentives that could influence security selection or execution. Ask how conflicts are identified, approved, disclosed and monitored. SEBI disclosure requirements specifically include related-party information; treat a missing explanation as a question, not as evidence that no conflict exists.

Financial and operational controls

Review disclosed audited financial statements, custody arrangements, account segregation, valuation practices, audit coverage and the format of periodic reports. Confirm which institution holds securities and cash, who can authorise transfers, and how you receive statements independently of the manager where applicable.

Compare PMS providers on the same evidence

Complete one worksheet per provider. “Best” cannot be established from a return number without knowing the mandate, risk, period, fees and calculation method.

Decision area Questions to answer Evidence to retain
Mandate fit Does the objective match your goals, horizon, liquidity and restrictions? What role does it play beside existing holdings? Signed agreement, mandate schedule and your investor brief
Investment approach What universe, style, concentration, cash policy and turnover are expected? Is the process consistent over time? Disclosure document, strategy note and portfolio reports
Risk What market, concentration, issuer, sector, liquidity and manager risks could affect your goals? Risk disclosures, position limits and explanations of drawdowns
Fees What fixed, asset-based, performance, transaction, custody, tax and other charges apply? Complete fee schedule and worked calculation in the agreement
Performance What period, client basis, calculation method and benchmark are used? Are returns net of applicable fees? Regulatory performance disclosure and benchmark definition
Operations Who holds assets, how often are reports sent, how are conflicts disclosed, and how do withdrawals and termination work? Custody terms, report sample, conflict disclosures and exit clause

SEBI regulations require disclosure of the quantum and manner of fees, portfolio risks, related-party transactions and performance. Use the requirements as prompts, then read the provider’s actual documents for the details that apply to your account.

Model the total cost before looking at returns

Ask for a rupee illustration at your proposed investment size. Separate every recurring and event-based charge:

  • asset-based or fixed management fees;
  • performance fees, including the calculation period, hurdle, high-water mark, loss recovery and crystallisation date;
  • brokerage, transaction levies, custody, fund-transfer and account charges;
  • taxes and statutory charges; and
  • any fee charged by an affiliated or third-party service provider.

Compare outcomes after applicable fees over comparable periods and against the stated benchmark. A performance figure without its fee treatment, benchmark and measurement period cannot tell you what you would have received. Do not extrapolate a past return into a forecast.

Understand performance and choose a useful benchmark

Ask whether the record is for individual clients or a composite, how cash and new subscriptions are treated, whether returns are time-weighted or money-weighted, and whether fees and taxes are deducted. Confirm the start date, periods with no track record and any change in strategy or manager.

A benchmark should represent the investable opportunity and risk profile of the mandate. Record the benchmark name, return convention and rebalancing or constituent assumptions. Then compare three things separately: the PMS result, the benchmark result and progress toward your personal goal. Beating a benchmark does not make a strategy suitable if it violates your liquidity or concentration limits.

Price the risks a PMS can add

SEBI investor material identifies market, concentration, liquidity and managerial risks. Market prices can fall; a focused strategy can leave you heavily exposed to a few issuers or sectors; less-liquid holdings may be difficult to sell in adverse conditions; and outcomes depend partly on management decisions.

Market risk

Decide in advance what evidence would show that a decline is within the mandate rather than a reason for an emergency sale. A written horizon and cash reserve reduce the chance that a temporary fall becomes a permanent loss caused by forced selling.

Concentration risk

Review the largest positions and sector exposures at the total-household level, not only inside the PMS account. Ask how position sizes are reduced when prices rise or the investment thesis changes.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Liquidity risk

Match withdrawal promises to the liquidity of the holdings. Ask about settlement timing, gates or notice periods, valuation of thinly traded securities and the process for raising cash during stressed markets.

Manager and process risk

Identify who makes decisions, what happens during an absence or departure, and how the process is documented. A strategy dependent on one person deserves a specific succession and continuity explanation.

Confirm the ₹50 lakh threshold and eligibility

SEBI investor material states a minimum PMS investment requirement of ₹50 lakh. The page does not establish that this amount applies unchanged to every future date or circumstance. Historical thresholds appear in older material, so verify the current requirement, any exception and the provider’s acceptance policy against the latest regulations and your documents. The SEBI Portfolio Managers Regulations page shows a last amendment date of February 10, 2025; the Master Circular cited above is dated June 7, 2024.

Set monitoring rules before funding

Agree how often you receive holdings, transactions, valuation, fees, cash and performance reports. Specify the benchmark and the format for explaining material portfolio changes. A practical review should check:

  • progress toward the stated goal and remaining horizon;
  • actual concentration versus agreed limits;
  • liquidity and cash required for upcoming commitments;
  • changes in strategy, personnel, fees, custody or related-party arrangements;
  • performance over comparable periods after applicable fees; and
  • whether your circumstances or restrictions have changed.

Review the mandate when a goal, job, tax position, family obligation or loss capacity changes. Do not change a long-term strategy solely because of one short reporting period, but investigate unexplained deviations from the agreed process.

Plan withdrawals and termination in advance

Read early-withdrawal, notice, settlement and termination clauses before signing. Ask whether a partial withdrawal changes the fee calculation, whether securities are transferred in kind or sold, and how unsettled trades, taxes and accrued performance fees are handled. Keep emergency liquidity outside PMS so a forced sale is not your only way to meet a near-term obligation.

Before termination, obtain a complete statement of holdings, cost, transactions, fees, tax information and custody details. Confirm the destination account and the timetable for transferring cash or securities. Document the reason for exit and any unresolved complaint through the provider’s stated escalation route and the relevant SEBI investor channels.

A pre-investment decision checklist

  1. Write goals, dates, liquidity needs, risk capacity, tolerance, existing exposure and restrictions.
  2. Define the PMS sleeve’s role in the complete household portfolio.
  3. Read the strategy and convert universe, concentration, cash and liquidity statements into measurable limits.
  4. Verify current SEBI registration, the ₹50 lakh threshold and any applicable exception.
  5. Read the disclosure document and agreement, including risks, fees, custody, reporting, conflicts and termination.
  6. Reconcile performance periods, client or composite basis, calculation method, benchmark and fee treatment.
  7. Obtain a total-cost illustration and stress-test the effect of a loss or delayed sale on each goal.
  8. Agree reporting frequency, review triggers, withdrawal mechanics and who handles operational questions.
  9. Fund only after unanswered questions are resolved in writing.

When a PMS decision is defensible

A defensible decision is one in which the mandate fits your goals and constraints, the strategy’s concentration and liquidity are acceptable, total costs are understood, performance is compared on a like-for-like basis, and custody, conflicts, reporting and exit terms are documented. No manager or strategy can remove market risk, and historical performance is not a guarantee of future results. If you cannot explain how the service fits your household portfolio and how you would obtain cash when needed, the due-diligence work is not complete.
