How councils can protect housing projects when a main contractor becomes insolvent

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

When a main contractor becomes insolvent, a council’s first priority is not automatic termination. It is to secure the site, establish exactly what has happened, preserve evidence and identify a lawful, funded route to completion. The signed contract and related security documents determine whether the council can call a bond, step into subcontracts, take possession of materials, pay suppliers directly or terminate.

This is a UK public-sector guide. National Infrastructure and Service Transformation Authority (NISTA) guidance updated on 11 August 2026 is particularly detailed for PFI projects; its lender and direct-agreement mechanisms should not be applied automatically to an ordinary council building contract. RICS guidance provides wider construction-contract context on bonds, guarantees, retention and collateral warranties. The council’s executed contract, procurement route, security wording and applicable law remain decisive.

What the council should do first

Set up a small incident group immediately. It should normally include the project lead, legal adviser, procurement specialist, finance officer, quantity surveyor or commercial manager, technical lead, and health-and-safety representative. Add insurance, communications and housing-management colleagues where the project or residents require them.

Confirm the insolvency and who controls the contractor

Identify the precise corporate entity named in the contract. Check whether it is in administration, liquidation or another formal insolvency process, and obtain the appointed office-holder’s name and contact details. Record who currently controls the company, its banked project funds, the site, plant, design information and subcontracts. A trading difficulty, missed payment or director announcement is not necessarily the same contractual event as a formal insolvency procedure.

Make the site safe and accessible

Agree lawful access with the office-holder or other person controlling the premises, while checking the contract’s possession and access provisions. Inspect and record:

  • temporary works, excavations, scaffolds, cranes and other stability risks;
  • weather protection, drainage, water ingress and unfinished roofs or façades;
  • utilities, fire precautions, alarms, hoarding, locks and security;
  • work-at-height, asbestos, contamination and public-interface hazards; and
  • insurance requirements and any condition that could invalidate cover.

Use dated photographs, a written inspection and, where useful, an independent survey. Keep a log of emergency expenditure and instructions. Do not remove equipment or materials simply because they are on council land: title, risk and contractual rights may still be disputed.

Freeze and preserve the project record

Secure the executed building contract and every amendment, schedules, bills of quantities, specifications, programmes, payment certificates, applications, notices, meeting minutes, change records, drawings, models, building-control information, test results, commissioning data, defects lists, insurance records, warranties, bond documents and relevant correspondence. Preserve email, document-management and site-app records under the council’s retention and legal-hold procedures.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Make a payment and entitlement schedule showing what has been paid, what is certified, what is disputed, what remains in retention, and which applications or variations are awaiting assessment. Separately list materials on site, in transit and in manufacture, together with invoices, delivery notes, vesting certificates and any title clauses. Payment for an item does not, by itself, answer whether the council owns it or can take it.

Start with the contract suite, not a generic insolvency checklist

Insolvency rights vary between contract forms and negotiated amendments. Obtain legal advice on the complete contract suite, including documents with consultants, specialist contractors, funders and insurers. Build a rights-and-deadlines schedule that names the evidence required, the notice method and the person authorised to act.

Questions the schedule must answer

  • What event constitutes insolvency, and when did it occur?
  • What notices, certificates or evidence must be served, on whom and by which method?
  • Are there suspension, termination, replacement-contractor or employer’s-step-in rights?
  • Does termination require a cure period, an insolvency certificate, an adjudication or another precondition?
  • Who may enter the site, secure it, use temporary works and take possession of plant, materials and documents?
  • What licences permit the council or a replacement contractor to use designs, models, specifications and software?
  • Who owns materials paid for before insolvency, and who bears risk while they remain on site or in storage?
  • What insurance, collateral warranties, parent-company guarantees, performance bonds and retention funds exist?
  • What dispute, valuation, set-off and final-account procedures continue after insolvency?
  • What procurement and publication duties apply if the council replaces the contractor?

Have advisers check how the documents interact. Serving a termination notice, making a payment or taking control of a subcontract can affect other rights, create new liabilities or be alleged to waive an existing breach. The council should reserve rights expressly and keep a contemporaneous decision record.

Use bonds, guarantees and retention only on their actual terms

RICS identifies performance bonds, guarantees and retention funds as common construction-contract protections. They are separate instruments, not interchangeable labels. For each one, verify:

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
  • the named beneficiary and whether the council is entitled to claim;
  • the precise trigger, such as a defined insolvency event or default;
  • the secured amount and whether it is a fixed sum or a percentage;
  • expiry dates, claim windows and notice addresses;
  • conditions such as certificates, declarations, evidence of loss or prior notices;
  • exclusions, counter-indemnities and governing law; and
  • whether a claim affects other remedies or must be made before termination.

Do not infer the bond amount, call procedure or recoverable loss from a standard form or from another council’s project. Ask the issuer or broker to confirm practical claim requirements, but obtain legal advice before sending a demand.

Parent guarantees and retention

A parent-company guarantee may be worthless if the guarantor is also distressed, if the guarantee excludes the relevant breach or if its notice conditions have not been met. Check the guarantor’s identity, financial status, cap, duration and survival after termination.

Retention is part of the contractual payment mechanism. Confirm the amount held, release dates, ownership of the retained money and any trust or insolvency treatment. Do not assume that retention can simply be appropriated to fund completion costs without following the contract and applicable insolvency law.

Assess collateral warranties and step-in rights

Collateral warranties can give a named beneficiary rights against a consultant or specialist contractor, including a potential right to step into the underlying appointment. RICS states: “It is essential to check that step-in rights are enforceable, and the chartered surveyor should take advice on this issue if not experienced in the matter.” Check that the council is the named beneficiary, that the warranty was executed, that the step-in trigger has occurred and that the notice and timing provisions can still be met.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

What step-in can require

Taking over an appointment may require the council to cure outstanding breaches, pay sums due, assume future obligations or accept responsibility for instructions and design decisions. Before exercising the right, identify:

  • the exact step-in period and notice procedure;
  • unpaid fees, defects, design liabilities and insurance gaps;
  • the information and intellectual-property licences needed to continue;
  • which party controls the appointment before the council steps in; and
  • how the step-in interacts with termination, novation and any lender rights.

Do not describe a step-in right as a general power to take over the whole project. It may apply only to a particular consultant or subcontract and may not give access to materials, staff or other agreements.

PFI projects need a separate decision path

NISTA’s current distress guidance concerns contracting authorities and PFI projects. Its portfolio page reports 527 PFI contracts in England, with more than £100 billion in expected future payments, across sectors that include housing. Those figures describe the portfolio; they are not a count of housing projects or insolvencies.

PFI direct agreements can give lenders an opportunity to act before the authority. NISTA describes examples in which lenders may have often 90 days to decide on step-in or novation, followed by an example of 15 days for the authority’s decision on a service-provider step-in. These are illustrations of PFI contractual timing, not statutory deadlines for an ordinary council works contract.

Before exercising a PFI right, map the sequence among the authority, lenders, project company and service provider. NISTA warns that the authority may assume outstanding liabilities and that lender rights may take priority or operate first. Obtain a liability estimate, funding approval and an operational plan before issuing notices or taking control.

Build a costed continuity and completion plan

Legal rights do not keep a housing scheme moving without people, money and safe working arrangements. Commission an independent assessment of the physical and commercial position and update it as facts change.

Information the assessment should contain

  • percentage and quality of work completed, with defects and incomplete inspections;
  • design status, approvals, building-control information, test certificates and commissioning records;
  • remaining quantities, critical-path activities and long-lead materials;
  • subcontractor, supplier and consultant status, including unpaid sums and termination risks;
  • cost to complete, remobilisation, inflation, security, storage, insurance and professional-fee allowances;
  • temporary works, utilities, warranties, operation-and-maintenance information and resident interfaces; and
  • the likely time required to stabilise, re-procure and achieve completion.

Use a single assumptions register. Mark each figure as verified, provisional or disputed, and identify who owns the next investigation. This prevents an early estimate from being treated as an approved budget.

Compare the available routes

Route When it may be considered Issues to test before approval
Controlled rescue or sale The contractor or its business can continue safely under an agreed plan, or a buyer may take over. Funding, office-holder authority, programme credibility, security, warranties, subcontractor consent and value for money.
Bond or guarantee recovery A valid instrument responds to the event and a compliant claim can be made. Trigger, deadline, amount, exclusions, evidence and effect on other remedies.
Contractual step-in The council has an enforceable right to take over a defined appointment or service. Assumed liabilities, unpaid sums, notice periods, licences, insurance and lender priority.
Negotiated subcontractor continuity Critical specialists or suppliers can continue while the council preserves lawful control. Authority to contract, payment terms, title, warranties, procurement compliance and coordination with the insolvency office-holder.
Terminate and procure completion Continuity is unsafe, unaffordable or contractually unavailable, and a replacement route can be justified. Correct notice, site possession, records and materials, claims, funding, competition and timetable.

Score each route against safety, time, total cost, funding certainty, quality, legal challenge, procurement compliance, resident impact and the council’s ability to control delivery. The best route may change as the office-holder’s position, site evidence or subcontractor availability develops.

Be cautious about paying subcontractors directly

Direct payment can prevent a critical supplier from stopping work, but it can also create an additional liability. Before paying, establish:

  • the contractual or statutory authority for the payment;
  • whether it discharges an amount already owed by the council or creates a new contract;
  • whether the office-holder, contractor, funder or another party must consent;
  • whether the council can recover, set off or insure the payment;
  • what happens if the same sum is later claimed by the contractor or insolvency estate; and
  • whether payment could prejudice a bond claim, termination right or procurement position.

NISTA specifically cautions that direct payments in PFI projects can expose an authority to unrecoverable payments or double liabilities, depending on the contract and termination-compensation calculation. That warning is especially important where several agreements allocate payment and compensation risk differently.

Decide whether termination is justified and executable

Termination may be necessary, but it is not a complete recovery plan. Before serving notice, obtain a written recommendation covering the contractual trigger, authority to decide, notice form and service, site-possession arrangements, safety controls, materials and information, insurance, valuation, claims and replacement procurement.

For public contracts, check the applicable procurement regime. The Procurement Pathway explains that the Procurement Act 2023 provides an implied termination term for specified grounds and describes a contract termination notice requirement, subject to stated exceptions. Confirm that the Act applies to this authority and contract, identify the current notice requirements and comply with any publication and replacement-procurement duties. A conventional building contract, a PFI arrangement and a contract awarded under an earlier regime may not follow the same process.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Prepare the post-termination handover

  1. Serve notices exactly as the contract and law require, preserving proof of delivery.
  2. Agree or document lawful possession, access, locks, security, utilities and temporary works.
  3. Inventory plant, materials, samples, keys, records, drawings, models and digital credentials.
  4. Secure design and building-control information and confirm the licence needed by the replacement team.
  5. Record work quality, defects, tests, measurements and evidence needed for valuation or claims.
  6. Notify insurers, funders, regulators and affected stakeholders where required.
  7. Issue a replacement-procurement plan with an updated scope, risk allocation, programme and budget.

Governance, funding and communications

The council should maintain a written decision trail: the facts known at each stage, options assessed, legal advice received, safety and resident impacts, funding implications, procurement analysis and rights expressly reserved. Separate factual records from privileged legal advice and restrict circulation appropriately.

Finance officers should model immediate security and stabilisation costs, professional fees, duplicated mobilisation, inflation, delay-related costs, potential bond or guarantee receipts, retention, termination compensation and the cost of interim accommodation or resident communications. Do not treat a bond or damages claim as cash available until its timing and prospects are established.

Residents and elected members need accurate, proportionate information. Explain what is known, what work is paused, how safety is being managed, the next decision point and how housing or handover dates may change. Avoid promising continuity before the council has control of the site and a funded plan.

Common mistakes to avoid

  • Assuming insolvency gives the council identical rights under every contract form.
  • Changing locks, removing materials or instructing subcontractors before confirming authority and title.
  • Calling a bond without checking the trigger, deadline, beneficiary and demand wording.
  • Taking over a consultant or subcontract without pricing unpaid liabilities and insurance.
  • Paying a supplier informally and later discovering that the estate or another party claims the same amount.
  • Using PFI lender timelines as if they were statutory deadlines for a conventional works contract.
  • Terminating before arranging safe site possession, records, design licences and replacement procurement.
  • Relying on a preliminary cost-to-complete figure that excludes defects, remobilisation, inflation or temporary works.
  • Failing to preserve notices, photographs, payment records and communications needed for valuation or litigation.

A practical first-week checklist

  1. Convene the incident group and appoint one accountable decision lead.
  2. Verify the insolvency procedure, office-holder and current site controller.
  3. Secure lawful access, protect the works and record safety and weather risks.
  4. Preserve the contract suite, project records, payment data and evidence.
  5. Prepare the rights-and-deadlines schedule, including bonds, guarantees, warranties and notices.
  6. Commission an independent technical and commercial assessment.
  7. Identify critical subcontractors, suppliers, materials, design information and insurance gaps.
  8. Obtain legal, procurement and finance advice on step-in, direct payment, rescue and termination options.
  9. Produce a costed continuity or completion recommendation with decision criteria and funding.
  10. Communicate a controlled update to residents, members and stakeholders without overstating certainty.
