How Construction Contracts Allocate Responsibility for Delays and Extra Costs

Construction delay responsibility depends on the contract, governing law, and cause of the delay. Understand extensions, cost claims, changes, exceptional events, and delay damages.

Who pays for a construction delay depends on the signed contract, the governing law, and what caused the delay. A contractor may qualify for more time without qualifying for reimbursement of every added cost; an owner-caused suspension, a contractor-caused delay, a change in scope, and an exceptional event can each be treated differently. The practical task is to identify the event, follow the contract’s notice and claim procedures, and establish its effect on both the completion date and the costs claimed.

Start with the contract: time and money are separate questions

Construction contracts allocate delay risk through several provisions working together: the completion date, extensions of time, change and suspension procedures, delay damages, exceptional-event clauses, notice requirements, pricing rules, and dispute procedures. No single clause necessarily answers every question. Read the executed agreement as a whole, including amendments, special conditions, schedules, and incorporated standard terms, and apply the law governing that agreement.

Two questions must be kept distinct:

  • Does the event entitle a party to more time? If so, the completion obligation or the period in which delay damages may apply may change.
  • Does the event entitle a party to money? That may require a separate contractual provision or legal basis, and proof of the costs and their connection to the event.

An extension can protect a contractor from being treated as late for an excusable period without reimbursing extended site overhead, disruption, idle equipment, or other expense. Conversely, a change may have price consequences and also require an adjustment to the completion date. The wording of the contract and applicable law determine the result; neither time nor money follows automatically from the other.

How different delay causes may be treated

First classify the event and identify who had contractual responsibility for it. The following examples show why cause matters, but they are not universal allocations. A non-mandatory Chinese government sample form and U.S. federal procurement clauses illustrate particular approaches; neither replaces the terms of a private contract or the law governing it.

Owner-caused suspension or delay Does the contract grant additional time, payment, or both? Are costs limited to defined categories, subject to approval, or affected by mitigation requirements? The Chinese GF—2017—0201 sample assigns resulting additional costs and/or time from an owner-caused suspension to the owner.
Contractor-caused delay or suspension Can the contractor recover time or costs, or does the contract leave the consequences with the contractor? Are delay damages or other remedies available to the owner? The Chinese GF—2017—0201 sample assigns resulting costs and time from a contractor-caused suspension to the contractor.
Change to scope, sequence, or timing Who may authorize the change, how is its price valued, and what evidence is required to adjust the completion date? The Chinese sample recognizes additional or reduced work and changes to timing or sequence, with price and time adjustment where applicable. U.S. federal construction guidance connects time extensions to delay caused by changes.
Exceptional event, including an event addressed as force majeure Which events qualify, what notice and mitigation duties apply, who bears physical losses and stoppage costs, and when can a party terminate? The Chinese sample allocates consequences differently for certain permanent works, materials, contractor equipment, personal losses, stoppage, and requested acceleration.
Concurrent or overlapping delays How does the contract and governing law treat periods when more than one cause affects progress or completion? Does the analysis depend on critical-path impact or responsibility for each period? No universal allocation is established by the cited examples; the answer depends on the contract and applicable law.

The Chinese GF—2017—0201 sample expressly identifies itself as non-mandatory and allows adaptation through special terms. Its allocations are examples of how a form can divide risk, not default rules that apply elsewhere.

Owner-caused delay

Potential owner-related causes may include a late instruction, an owner-directed suspension, or a change that affects planned work. The contract may provide an extension, compensation, both, or neither for a particular event. Check whether the owner’s conduct falls within a defined category, whether any approval or instruction was required, and what procedure applies to documenting its effect.

Contractor-caused delay

If the cause is within the contractor’s contractual responsibility, the contractor may have to absorb resulting costs and may not receive additional time. The owner’s rights—including any agreed delay damages—also depend on the contract, proof of the relevant delay, and applicable law. A schedule showing late completion alone does not establish who caused it.

Changes and suspension

A change can alter the amount of work, the sequence in which it is performed, or its timing. These effects can influence both price and duration, but the adjustment process is contractual: it may require a written direction, a priced proposal, contemporaneous records, or a decision by a designated contract administrator. Do not assume that performing extra work automatically resolves how its time impact or associated expense will be valued.

Exceptional events and force majeure

The label “force majeure” does not itself answer whether an event excuses performance, extends time, reimburses costs, or permits termination. The clause’s definition and conditions matter. Check notice deadlines, mitigation duties, responsibility for damage to work or equipment, treatment of standby and stoppage costs, insurance provisions, and any termination trigger. The Chinese sample illustrates a split allocation rather than treating all losses as one category: some losses involving permanent work or on-site materials are assigned differently from damage to contractor equipment.

Extensions of time: what has to be established

An extension of time changes the contractual completion obligation for a qualifying delay. Before claiming one, identify the clause that grants relief and determine the conditions it sets. Relevant questions include:

  • Which events qualify, and are they categorized as owner-risk, contractor-risk, neutral, or otherwise?
  • Must the event delay a particular milestone, an element of completion, or the project’s overall completion date?
  • How is delay measured, and what schedule or records must support the claimed period?
  • Does the contract address overlapping causes, mitigation, or acceleration?
  • What notice, particulars, and claim-submission steps must be completed, and by when?

These issues are contract- and law-dependent. In U.S. federal procurement, the Federal Acquisition Regulation includes a construction time-extension clause used with its construction liquidated-damages clause. The FAR’s treatment of changes ties an extension to the amount by which a change delays completion elements. That is an illustration for federal contracts, not a general rule for every construction project.

Extra costs: what the claim needs to show

Potential delay-related costs include extended site overhead, additional supervision or inspection, equipment standing time, acceleration, disruption, and increased labor or material costs. Their presence on a cost ledger does not, by itself, make them recoverable. The claimant must connect the cost to a compensable event under the contract or another applicable legal basis, and meet the contract’s procedures and proof requirements.

For each claimed cost, ask whether it is:

  • within a category the contract permits the claimant to recover;
  • caused by the qualifying event rather than by an independent or contractor-responsible cause;
  • actually incurred, reasonably supported, and calculated under the contract’s valuation rules; and
  • affected by mitigation, concurrent delay, an agreed cap, insurance, or another contractual allocation.

Keep the time claim and cost claim analytically separate. A time extension may establish that a completion date should move, but the contract may still exclude or limit compensation for the period. Likewise, a change in price does not necessarily settle the time adjustment. The Chinese sample’s suspension provisions illustrate the distinction by allocating both time and costs according to whether the suspension is owner-caused or contractor-caused.

Liquidated damages for late completion

Liquidated damages are an amount or rate agreed in advance for a specified delay or failure to meet a contractual deadline. Their operation depends on the contract and the governing law; the figure, triggering event, applicable milestone, cap, and any required notice or certification should all be checked. A daily rate is not a universal industry standard, and an arbitrary amount should not be assumed valid merely because it appears in a contract.

For U.S. federal contracts, FAR Subpart 11.5 says liquidated damages are appropriate when timely performance is important and actual damages would be difficult or impossible to estimate accurately or prove. It requires the amount to reasonably forecast just compensation for probable harm, rather than operate as a punishment. The FAR states: “Liquidated damages are not punitive and are not negative performance incentives.” The rule governs U.S. federal procurement; it should not be presented as a universal test of enforceability in other jurisdictions.

When reviewing a liquidated-damages clause, establish the rate and period it covers, whether it applies to sectional or milestone completion as well as overall completion, whether it is capped, and how an approved extension changes the calculation. Also check how the contract authorizes amounts to be assessed, deducted, or certified. RICS’s 2024 second-edition practice information discusses general principles and how standard forms handle delay damages, including insertion and deduction or certification of amounts.

How to compare two contracts or standard forms

A heading such as “delay,” “extension,” or “force majeure” is not enough to compare risk. Read the operative wording and compare the same issues clause by clause:

  • Qualifying events: Which causes give time relief, and which also give a right to money?
  • Schedule impact: Must the event affect a milestone, a completion element, or the overall completion date? What method establishes that impact?
  • Notice and claims: What deadlines, required particulars, records, and submission stages apply?
  • Overlapping delay and mitigation: How are concurrent causes, efforts to reduce delay, and acceleration requests treated?
  • Damages: Are delay damages daily, sectional or milestone-based, capped, or otherwise limited? How are they assessed or deducted?
  • Changes: Who can authorize them, how is price determined, and how is time adjusted?
  • Exceptional events: How are events defined, costs shared, physical losses insured or allocated, and termination rights triggered?
  • Decision and dispute process: Who makes an interim determination, what records must be supplied, and where must a dispute be taken?

RICS’s practice information, published May 13, 2024, provides professional discussion of delay damages and the treatment of damages in standard forms. Standard forms can be amended, and the signed version—including negotiated special terms—must be the basis of the comparison.

Build a delay or extra-cost claim from the records

For an owner, contractor, or project manager assessing a live event, a clear chronology and a clause-by-clause review are more useful than a broad assertion that “the project was delayed.” Preserve contemporaneous documents and connect each claimed consequence to the event and the applicable contract provision.

  1. Locate the controlling documents. Gather the executed agreement, incorporated conditions, amendments, special terms, approved schedules, change documents, and any relevant instructions or suspension notices. Confirm the governing-law and dispute clauses.
  2. Identify the event and responsibility. Record what happened, when it began and ended, who issued or controlled the relevant instruction, and which contractual category may apply.
  3. Check notice requirements immediately. Find the applicable deadline, recipient, delivery method, required content, and any continuing-update or final-claim requirement. Follow the contract’s procedure rather than relying on an informal conversation.
  4. Establish schedule impact. Preserve the baseline and updated schedules, progress records, daily reports, meeting minutes, and relevant correspondence. Show the effect on the completion obligation or affected milestone, using the contract’s required method.
  5. Separate time from cost. State the time relief sought and identify each category of money separately. Support cost items with the records and valuation approach required by the contract.
  6. Document mitigation and changes. Keep records of steps taken to reduce the effect, any acceleration request, approvals, change proposals, and decisions about sequence or scope.
  7. Follow the dispute route. Identify any required interim decision, negotiation, adjudication, arbitration, or court process and the applicable deadlines. A claim can be impaired by missing procedural steps even where the underlying event appears significant.

When to get local construction-contract advice

For a live delay claim, proposed amendment, or dispute, consult a construction professional familiar with the governing jurisdiction before accepting a completion-date change, signing a release, agreeing to an acceleration plan, or making a final settlement. The legal effect of notice, concurrent delay, force majeure, and liquidated damages varies with contract wording and applicable law; federal procurement guidance and a non-mandatory foreign sample cannot resolve those questions for a different project.
