Construction Contract Default FAQs: Notice Periods, Cure Rights, and Remedies

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

There is no universal construction-contract default notice period. The controlling answer comes from the executed prime contract or subcontract, its general and supplementary conditions, amendments, notice clause, and governing-law provision. Federal procurement rules and AIA form guidance illustrate common approaches, but neither automatically governs a private project.

Start with the contract that actually governs

Before calculating a cure deadline, identify the project and the exact default clause. A federal fixed-price construction contract, a state or local public contract, and a private agreement can use different triggers, notice methods, and remedies. Even two contracts using the same standard form may differ after supplementary conditions, negotiated amendments, or project-specific schedules.

Pull these documents together:

  • The signed prime contract or subcontract and every amendment.
  • General conditions, supplementary conditions, specifications, and incorporated schedules.
  • The notice provision: permitted delivery methods, recipients, addresses, and when notice is effective.
  • Default, termination, suspension, payment, dispute-resolution, and excusable-delay clauses.
  • Any bond or surety requirements and governing-law provision.

Then classify the alleged default. Late completion, failure to prosecute with adequate diligence, defective or nonconforming work, nonpayment, abandonment, and other breaches may have different notice and cure rules.

Setting and authority Trigger described Notice or cure period Potential consequence
Federal procurement, FAR 49.402-3 Specified failures other than the situations treated separately for late delivery or performance Written cure notice specifying the failure; at least 10 days, or longer when necessary to cure Default action under the applicable contract clause if the failure is not cured
Federal fixed-price construction, FAR 52.249-10 Failure to prosecute diligently enough for timely completion or failure to complete within the contract time, including extensions Controlled by the clause and applicable FAR procedure; do not assume a cure notice is required for every trigger Termination of the right to proceed, Government completion, use of certain site resources, and possible damages
AIA A201-2017 guidance Contractor fails to carry out the work and fails to begin and continue correction after owner notice 10 days after receiving the owner’s notice Owner may correct the work under the form’s described right
AIA A401-2017 guidance Specified repeated failures or neglect by a subcontractor 10 days after receipt of notice to commence and continue correction with diligence and promptness Contractor may terminate the subcontract and finish the work by another method

The federal examples are explained in FAR Part 49, FAR 49.402-3, and FAR 52.249-10. The AIA examples come from its articles on A201-2017 owner correction rights and A401-2017 subcontract termination. The articles summarize form provisions; the executed form and modifications control.

Federal cure notices: what FAR 49.402-3 requires

FAR 49.402-3 describes the procedure for a federal default termination. The contracting officer should coordinate the proposed action with contracting and technical personnel and counsel. For a failure requiring a cure notice, the notice must be in writing, identify the failure, and allow at least 10 days—or more time when necessary for a realistic cure.

The regulation distinguishes failure to make delivery or perform within the specified time from other failures. That distinction matters: the applicable default clause and the actual triggering event determine whether a cure notice is a prerequisite. A contracting officer should not use a generic 10-day statement without checking the clause and the remaining schedule.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

FAR 49.402-3 also cautions that enough time must remain in the schedule for the contractor to complete a meaningful cure period. A notice issued so late that the stated period cannot produce a realistic cure can create procedural and evidentiary problems.

How to prepare and deliver a cure notice

For federal work, FAR 49.607 provides a sample cure notice and calls for proof of delivery. A private contract may prescribe a different form, address, or delivery method, so use the agreement’s instructions rather than copying the federal sample.

  1. Identify the contract and authority. State the project, contract or subcontract number, relevant clause, drawing or specification, and any amendment that supplies the obligation.
  2. Describe the failure with facts. Give dates, locations, schedule activities, rejected work, missed submissions, staffing or production evidence, and the specific contractual requirement. Avoid conclusions that the record cannot support.
  3. State the required cure. Explain the action needed, the standard for completion, and whether correction must begin and continue with diligence.
  4. Calculate the deadline. Use the contract’s definition of receipt or effective notice. Count calendar or business days as the contract requires, and account for holidays and any extension mechanism.
  5. Use the required delivery channel. Send to every designated recipient at the listed address or electronic portal. Preserve confirmation, tracking, read receipts, and the exact notice sent.
  6. Reserve contractual rights accurately. Identify possible next steps—such as termination, completion by others, setoff, or bond action—only to the extent the contract permits them.
  7. Reassess before acting. Review responses, updated schedules, inspection records, approved changes, and claimed excusable delays before declaring the cure unsuccessful.

A notice should be specific enough for the recipient to understand what must be corrected. A vague accusation, an incorrect clause citation, or service on the wrong recipient can undermine an otherwise valid default position.

Federal fixed-price construction remedies

Under FAR 52.249-10, the Government may, by written notice, terminate the contractor’s right to proceed with all work or with a separable delayed part when the contractor fails to prosecute with diligence sufficient for timely completion or fails to complete within the contractual time, including extensions. The clause is specific to fixed-price construction; it should not be presented as the rule for every federal contract or private project.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

After a termination of the right to proceed, the clause permits the Government to take over and complete the work. It may use necessary materials, appliances, and plant located at the site. The contractor and its sureties may be liable for damage resulting from failure to complete on time, whether or not the right to proceed is terminated. The clause also preserves other legal and contractual rights and remedies.

“The rights and remedies of the Government in this clause are in addition to any other rights and remedies provided by law or under this contract.”

FAR 52.249-10, Default (Fixed-Price Construction)

Whether the Government may invoke each remedy, and how costs are calculated, depends on the clause, the termination procedure, the project record, and applicable law.

Excusable delay can change a default termination

A missed milestone is not automatically a contractor default. The contract may allow extensions for causes beyond the contractor’s control, but the precise definition, notice requirement, causation test, and documentation vary. Weather, differing site conditions, owner-caused delay, changes, labor disruptions, and other events must be evaluated under the actual clause rather than labeled conclusively as “force majeure.”

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

FAR 49.401 states that when the contractor establishes it was not in default or that the failure was excusable, a default termination is treated as a termination for convenience. The applicable clause’s notice and schedule-extension rules still matter. Preserve contemporaneous schedules, daily reports, submittals, change directives, correspondence, weather data, and mitigation records showing cause, impact, and the steps taken to recover.

Owner correction rights under AIA A201-2017

AIA’s article on A201-2017 describes a correction mechanism, not a universal construction-law deadline. If the contractor fails to carry out the work as required by the contract documents and fails to begin and continue correcting the default within 10 days after receiving the owner’s notice, the owner may correct the work under the form’s procedure.

This right is distinct from terminating the contractor. The article summarizes the form’s owner-correction language; it does not replace the executed A201, supplementary conditions, payment provisions, or other termination clauses. Confirm the edition, amendments, notice recipients, and any cost-allocation or withholding provisions before directing correction by others.

Subcontract termination under AIA A401-2017

AIA’s A401-2017 article addresses a different relationship and remedy. For specified repeated failures or neglect by a subcontractor, the contractor may give notice. If the subcontractor does not, within 10 days after receipt, commence and continue correction with diligence and promptness, the contractor may terminate the subcontract and complete the work by another method.

That 10-day opportunity is tied to the form-specific circumstances described in the article. It is not a universal subcontract rule and is not interchangeable with the owner-correction mechanism in A201. Review the full executed subcontract, incorporated prime-contract obligations, supplementary conditions, bond terms, and dispute provisions.

Private and state projects: a practical decision framework

For a nonfederal project, work through the following sequence before sending a default notice:

  1. Locate the default trigger. Find the clause addressing delay, failure to prosecute, defective work, abandonment, payment, safety, insurance, or another alleged breach.
  2. Check prerequisites. Some contracts require a notice of noncompliance, notice of claim, meeting, engineer’s determination, opportunity to inspect, or notice to a surety before termination.
  3. Verify the cure clock. Determine whether the period runs from sending, receipt, documented delivery, or another defined event, and whether it is measured in calendar or business days.
  4. Check extensions and defenses. Compare approved change orders, pending time-extension requests, owner-caused delay, suspension, differing conditions, payment disputes, and other events that could affect responsibility.
  5. Coordinate the remedy. Confirm whether the contract allows correction by the owner, termination, takeover, completion by a replacement contractor, withholding, setoff, or bond demand—and in what order.
  6. Preserve a defensible record. Keep the baseline and updated schedules, progress photos, inspection reports, meeting minutes, payroll or production evidence, correspondence, delivery confirmations, and cost records.

State and local public contracts may incorporate statutory procedures or agency forms. A private owner’s rights cannot be assumed from a federal clause merely because the project is publicly funded or uses a familiar standard form.

When the contractor is progressing but behind

FAR guidance recognizes failure to make progress that endangers performance as a potential default ground under the applicable clause. Delay alone does not establish that standard. Compare actual production with the approved schedule, identify the controlling activities, account for approved extensions and changes, and test whether recovery is realistically possible.

A cure notice should identify the threatened contractual result and the measurable recovery required. If the contractor proposes a revised schedule, evaluate logic, resources, procurement lead times, sequencing, and evidence of implementation rather than accepting or rejecting it solely on optimism.

Common mistakes that weaken a default action

  • Assuming every construction contract has a 10-day cure period.
  • Applying federal FAR procedures to a private agreement without a contractual basis.
  • Using a notice address or delivery method different from the signed notice clause.
  • Describing a general “delay” without identifying the contractual obligation and schedule impact.
  • Ignoring approved extensions, owner-caused events, changes, or excusable-delay language.
  • Declaring termination before the stated cure period expires or before confirming receipt.
  • Failing to notify a required surety or preserve takeover and completion evidence.
  • Assuming an AIA article’s summary is the complete executed contract.

Because default and termination can expose an owner, contractor, subcontractor, or surety to substantial cost and dispute risk, have counsel review the clause, notice, evidence, and proposed remedy before action.

Frequently asked questions

How long is a construction default notice period?

There is no single period. Certain federal failures require at least 10 days, or longer as necessary, after a written cure notice; AIA A201-2017 and A401-2017 guidance describes 10-day opportunities in distinct settings. Your executed contract and governing law control.

Does every default require a cure notice?

No. FAR 49.402-3 distinguishes different failure types, and the applicable construction clause has its own wording. A private contract may also make notice a prerequisite for some breaches but not others.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

What should a notice contain?

Identify the contract obligation, factual failure, required correction, deadline, delivery method, and possible contractual consequences. Federal cure notices should specify the failure and be sent with proof of delivery; private projects require compliance with their own notice clause.

Can a contractor cure after receiving notice?

Where the clause provides a cure opportunity, the contractor must take the specified corrective action within the stated period and often must begin and continue with diligence. The owner or contracting officer should assess actual correction and schedule recovery, not merely a promise.

What happens after a federal construction default?

FAR 52.249-10 can permit termination of the right to proceed, Government completion, use of necessary site materials and equipment, and recovery of resulting damage, subject to the clause and procedures. Contractor and surety exposure depends on the facts and applicable law.

What if the delay was excusable?

Under FAR 49.401, proof that the contractor was not in default or that the failure was excusable causes the default termination to be treated as a convenience termination. The contract’s notice, causation, extension, and documentation requirements remain important.
