China Vanadium Titano-Magnetite Mining said on 26 October 2026 that its indirect wholly owned subsidiary Aba Mining had mutually terminated the construction contract with Zhejiang Zhongxiang. Aba Mining appointed Zhejiang Tianzeng under a replacement contract worth approximately RMB26 million for the outstanding work at the Maoling-Yanglongshan Mine upgrade and capacity-expansion project. Zhongxiang will assist with the handover.
The change responds to inflationary pressure on materials, labour, subcontracting and logistics. It is intended to keep construction moving, but the company has not announced a revised completion date or quantified any direct financial effect from changing contractors.

Why did China Vanadium Titano-Magnetite Mining terminate the Zhongxiang contract?
The company said the decision followed negotiations over rising costs and contract terms in Zhejiang Zhongxiang’s operating environment. Inflation and supply-chain disruption had increased the cost of procuring materials and labour, hiring subcontractors and transporting supplies needed to complete the original scope.
Rather than continue under terms that no longer reflected those conditions, Aba Mining and Zhongxiang agreed to an orderly mutual termination. The announcement describes a negotiated commercial decision, not a unilateral cancellation. Zhongxiang is expected to support the transfer of the work so the project can continue with as little disruption as possible.

Cost pressure affected more than materials
The explanation covers the full delivery chain: construction inputs, workforce costs, subcontracting, logistics and related completion expenses. That matters because a contractor can face margin pressure even when the headline price of steel, concrete or equipment changes only modestly; several cost categories can rise together and make the remaining scope uneconomic under the original terms.
Who replaced Zhejiang Zhongxiang, and how do the two contracts compare?
Zhejiang Tianzeng is the replacement contractor. Its approximately RMB26 million agreement covers the work still outstanding, whereas the RMB34.0 million Zhongxiang agreement covered the original project scope. The two amounts therefore cannot be treated as a direct like-for-like price comparison.
| Arrangement | Contractor | Value | Scope and timing |
|---|---|---|---|
| Original contract | Zhejiang Zhongxiang | RMB34.0 million | Mining-site upgrade and capacity-expansion works; signed 30 September 2025 with a maximum completion period of 15 months |
| Replacement contract | Zhejiang Tianzeng | Approximately RMB26 million | Remaining outstanding work under the upgrade project; appointed on 26 October 2026 |
The lower replacement figure does not establish that the overall project became cheaper. Some of the original contract may already have been performed, and the disclosure does not provide cumulative payments, variations, termination costs or the final expected project cost.

Will the contractor change delay the Maoling-Yanglongshan mine expansion?
A change of contractor creates a schedule risk, but the 26 October announcement does not give a revised completion date or say that a delay has occurred. The handover arrangement is designed to preserve continuity, and the replacement contract allows the outstanding work to proceed with a new contractor.
The upgrade already affects production planning. Mining operations were temporarily suspended to facilitate construction, reducing production and sales of high-grade iron concentrate. The interim filing said completion was expected within approximately 15 months from the last quarter of 2025, subject to construction progress, regulatory processes and site conditions. That expectation should not be read as a new commitment after the contractor change; the company has not published an updated timetable.
If the handover, procurement or regulatory steps take longer than planned, the suspension could last longer before upgraded operations resume. The company has not quantified the financial impact attributable specifically to the switch from Zhongxiang to Tianzeng.

Why is the upgrade important to the company’s production?
China Vanadium Titano-Magnetite Mining’s 2025 earnings materials described a potential annual iron-concentrate capacity increase of approximately 30% to 40% once the upgraded plant reaches full commercial optimisation. That is an objective rather than a guaranteed near-term output increase: it remains subject to construction completion, operating performance and other site conditions.
The distinction between capacity and actual production is important. A completed plant may still need commissioning, ramp-up and operational optimisation before it reaches the stated potential. Until those stages are achieved, the temporary suspension continues to weigh on high-grade concentrate volumes and sales.
What do the 2026 financial figures show about the timing risk?
For the six months ended 30 June 2026, the group reported approximately RMB191.6 million in revenue and a net loss of approximately RMB9.3 million. Those figures provide context for why the construction timetable matters, but they do not isolate the effect of the contractor termination or prove that the switch caused the loss.

Any extension of the production interruption could postpone the return of upgraded capacity and continue the period in which the mine is operating without the output expected from the expansion. Conversely, a smooth handover and timely completion could limit that exposure; the current disclosure does not provide enough information to assign a probability or monetary value to either outcome.

Future announcements should clarify whether the replacement arrangement is translating into physical progress and when production can restart. The most useful items to watch are:
- Progress against the remaining construction scope and any revised completion milestone.
- Completion of equipment installation, commissioning and the transition to commercial operation.
- Regulatory approvals or site conditions that could affect the schedule.
- The date on which high-grade iron-concentrate production and sales resume.
- Any disclosure of revised project costs, termination payments, contractor claims or a material financial impact.
- Actual output after ramp-up compared with the potential 30% to 40% annual capacity increase described in the company’s earnings materials.
Until those details are published, the clearest reading is that Aba Mining has changed delivery partners for the unfinished work to address cost pressure, while the project’s ultimate completion date and financial outcome remain unresolved.

Frequently Asked Questions
Does the announcement allege that Zhejiang Zhongxiang breached its contract?
No. The disclosed explanation is a mutual termination reached after negotiations over pricing and contract terms, and it does not report a breach finding, penalty or litigation against Zhongxiang.
Can investors treat RMB26 million as the final construction cost?
No. The amount is for the outstanding work under the replacement arrangement. Determining the project’s total cost would require information on work already paid for, approved variations and any handover or termination expenses, which were not disclosed.
What does a contractor handover typically involve on a mine upgrade?
It can include transferring drawings, site records, equipment information, permits, materials and the status of subcontractors. The company confirmed Zhongxiang would assist, but it did not publish a detailed handover checklist.
What evidence would confirm that the expansion is delivering its intended benefit?
A later filing showing construction completion, commissioning, commercial optimisation and renewed high-grade concentrate output would provide that evidence. Production figures after ramp-up would be more informative than the contract award alone.
