Industrial tenants should negotiate the lease and its work letter as one construction-and-occupancy contract. Before signing, document the premises’ delivered condition, every landlord and tenant work item, the tenant-improvement allowance and reimbursement process, contractor and permit responsibilities, schedule protections, change-order rules, and what happens to improvements at lease end. None of those terms is universal: the result depends on the property, intended use, jurisdiction, project scope, and negotiated language.
Why the lease and work letter must be read together
A work letter is usually an incorporated lease attachment that turns broad promises into a practical construction roadmap. The American Bar Association describes it as “the portion of a lease, often an incorporated attachment, that designates the parties’ respective obligations to construct the improvements necessary for the tenant’s initial occupancy (the leasehold improvements).” The article, by Judy A. Goff and G. Trippe Hawthorne, explains that the document should address the improvements to be built, payment obligations, time to prepare plans and construct, changes, completion, and defects.

The lease supplies the legal and economic framework; the work letter supplies the operating detail. A conflict between them can create uncertainty over whether a wall, loading modification, electrical upgrade, office area, fire-protection change, or specialized utility is included. Check which document controls if terms differ, and attach a final scope, plans, specifications, and responsibility matrix to the signed lease.

Do not rely on labels such as “as-is,” “shell,” “warm shell,” “turnkey,” or “built to suit” without a written description. Those labels can carry different meanings from one transaction to another. The lease package should identify the physical and legal condition the landlord must deliver on the delivery date.

Describe landlord work item by item
List each landlord obligation rather than referring generally to “base-building work.” Depending on the deal, the list may include structural changes, roof or slab work, utility capacity, electrical service, HVAC, fire protection, plumbing, lighting, doors, docks, paving, life-safety systems, or an office component. The relevant question is not whether an item is commonly treated as base building; it is whether this lease assigns it to the landlord, defines its performance standard, and states when it must be complete.
Describe tenant work with the same precision
Identify every item the tenant must design, permit, purchase, install, inspect, test, and maintain. Industrial buildouts often combine ordinary finishes with process-specific systems, equipment foundations, ventilation, compressed air, power distribution, racking protection, security, or specialized data and controls. If an item is excluded from the allowance or requires separate landlord approval, say so in the work letter and in the cost schedule.
Attach a measurable scope
- Use drawings, specifications, equipment schedules, and finish schedules with revision dates.
- State the standards for materials, workmanship, testing, commissioning, and code compliance.
- Identify assumptions about existing conditions, utility capacity, clear heights, floor loading, and access.
- Define the condition that constitutes substantial completion and the documents required for final completion.
Who performs the work: landlord or tenant?
The ABA materials describe both landlord-performed and tenant-performed work-letter structures. Neither is automatically better. The choice changes control, risk, cash flow, and schedule exposure.

| Negotiated issue | Landlord-performed arrangement | Tenant-performed arrangement |
|---|---|---|
| Design and contractor control | The landlord generally manages the construction scope and contractor under the agreed work letter. | The tenant generally selects and contracts with the general contractor, subject to stated landlord review or consent rights. |
| Scope certainty | Delivery depends on a detailed landlord scope, completion standard, and defect process. | Delivery depends on the tenant’s plans, specifications, approvals, and construction management. |
| Cost-overrun exposure | The lease should state which landlord costs are included and how changes or overruns are allocated. | The tenant typically bears costs outside the allowance or approved budget unless the parties agree otherwise. |
| Allowance funding | The allowance may be applied through the landlord’s construction spending or reimbursed against qualifying costs. | The tenant may fund invoices and draw against the allowance through itemized requests and supporting documents. |
| Schedule responsibility | The work letter should address the landlord’s completion date, delay consequences, and the tenant’s inspection rights. | The tenant controls more of the schedule but must account for contractor performance, permits, inspections, and landlord approvals. |
| Changes | Tenant-requested changes should have a written pricing and time-impact procedure. | The tenant can manage design changes directly, but landlord consent and payment rules still need to be defined. |
Use the table as a negotiation map, not as a statement of market custom. The signed documents must assign each responsibility expressly.
How a tenant-improvement allowance really works
An allowance is not a free construction budget. It is a contractual payment mechanism with a cap, eligible-cost definition, procedure, deadline, and risk allocation. The ABA discussion notes that allowances may be funded as work progresses and may require itemized draw requests and lien waivers. An SEC-filed industrial lease shows that a negotiated lease can also impose a use-by deadline and conditions for disbursement; that filing is an example of drafting, not an industry standard.

Define eligible costs
State whether the allowance covers only physical construction or also defined soft costs. Possible categories include architectural and engineering fees, permit fees, testing, project management, furniture, moving, equipment, security, technology, or financing charges. Do not assume that a cost is eligible because it appears on the construction invoice. The lease should say whether taxes, contractor overhead, design fees, inspections, and change-order charges count toward the cap.
Set the cap and overage rule
Write the allowance as a maximum dollar amount and identify who pays every dollar above it. Require a current budget showing committed costs, approved changes, contingency, and remaining allowance. If the tenant is responsible for overages, specify when it must fund them and whether the landlord can refuse work until payment is secured.
Do these 3 things before closing this tab:
1Scan for outdated or missing drivers - takes under a minute2Clear out junk files and repair common Windows errors3Fix the driver behind crashes, sound loss and screen glitchesSpecify the draw process
- Identify who submits each draw and to whom.
- List required invoices, sworn statements, lien waivers, inspection reports, permits, certificates, and progress certifications.
- Set review and payment deadlines so reimbursement does not become an open-ended landlord approval.
- State whether the landlord pays contractors directly, reimburses the tenant, or uses another agreed method.
- Address retainage, disputed invoices, and final payment after completion.
Address unused funds and deadlines
State whether unused allowance funds expire, can be applied to rent, or remain available for later approved work. Include the final date for submitting costs and the consequence of missing it. A deadline in one SEC-filed lease demonstrates that this issue can be material; it does not establish a universal deadline for other leases.
Connect the allowance to rent economics
The ABA explains that the cost of an allowance can be reflected in rent, and that allowances with interest are generally factored into rent in the arrangements it discusses. Treat that as a possible deal structure, not a rule. Compare the total lease economics: base rent, escalations, operating expenses, allowance, tenant-funded work, financing cost, and end-of-term removal obligations. A larger allowance may be offset by higher rent or stricter eligibility rules.
Construction control, approvals, and protection against liens
For tenant-performed work, the work letter should identify the general contractor, subcontractor standards, plan-review process, insurance, indemnities, permits, inspections, and lien protections. Specify whether the landlord may require a particular contractor, review plans within a fixed period, or reject work only for stated reasons.

Plans and landlord consent
Set the submission package and review timetable for design drawings, structural calculations, MEP plans, equipment loads, fire-protection changes, and exterior or roof penetrations. A consent clause should not allow indefinite delay. Require written comments and define what happens if the landlord does not respond within the agreed review period.
Permits and code compliance
Assign responsibility for applications, fees, inspections, certificates of occupancy, and correction of violations. The New Jersey state guide cautions that permits and other approvals can delay a buildout, particularly when the delay is outside the tenant’s control. That guidance is jurisdiction-specific; confirm requirements with the authority having jurisdiction for the actual property and intended use.
Insurance and lien releases
Specify required commercial general liability, workers’ compensation, builder’s risk, and other project coverage, along with additional-insured wording and certificate delivery. Require conditional and unconditional lien waivers at the stages needed to protect the property. Coordinate these requirements with the contractor’s agreement so the tenant can actually obtain them.
Protect the schedule and the rent commencement date
Construction timing affects rent, inventory moves, labor commitments, and customer operations. The lease should distinguish the lease commencement date, delivery date, rent commencement date, substantial completion, occupancy authorization, and any early-access period.
List conditions that must be met before occupancy
- Landlord work is complete to the agreed standard.
- Required permits, inspections, and occupancy approvals are issued.
- Utilities and life-safety systems serving the premises are operational.
- Tenant work needed for lawful occupancy is complete or subject to a written punch-list arrangement.
- Access, loading, parking, and security arrangements are available as promised.
Allocate delay risk expressly
Separate landlord-caused delay, tenant-caused delay, force majeure, permit delay, utility delay, and delay caused by a third-party authority. State which deadlines extend, whether rent is deferred, and who pays added costs such as storage, temporary space, remobilization, or contractor escalation. Do not assume a general force-majeure clause solves construction delays; the work letter should address them directly.

Use milestones and evidence
Include dates for design submission, landlord review, permit application, permit issuance, mobilization, substantial completion, inspections, punch-list completion, and final closeout. Require written notice when a milestone is missed and a recovery schedule showing corrective action. Tie any rent or allowance consequence to objective evidence rather than an informal estimate.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone.Changes, completion, and defects
Industrial projects evolve when equipment selections change, existing conditions differ from drawings, or authorities require revisions. A change clause should prevent an oral instruction from becoming an unpriced obligation.
Require written change orders
Each change order should state the scope, price, allowance impact, schedule impact, and responsible party. Establish who may approve it and whether emergency work can proceed before signatures. If the tenant controls the contractor, coordinate the lease procedure with the construction contract’s notice and pricing provisions.
Define substantial and final completion
Substantial completion should mean the premises can be used for the agreed purpose, subject to a defined punch list. Final completion should require correction of punch-list items, delivery of warranties, as-built drawings, operation manuals, inspection records, permits, and lien releases. Identify the inspection period and the process for disputed items.

What happens to improvements at lease end?
Ownership, removal, and restoration can materially change the cost of an industrial buildout. Decide these points before installing machinery, utility systems, mezzanines, specialized flooring, heavy electrical infrastructure, or other customized work.
Classify fixtures and alterations
List which improvements become part of the premises and which trade fixtures remain the tenant’s property. A fixture analysis can depend on the lease language, the way an item is attached, the parties’ intent, and applicable state law. Do not assume that an expensive item remains removable merely because the tenant purchased it.
Negotiate removal rights and obligations
Specify whether the tenant may remove trade fixtures, whether the landlord can require removal of named items, and the condition in which the premises must be returned. Address patching, slab repair, roof repair, electrical disconnects, environmental handling, and disposal. If the landlord waives removal for a particular item, record the waiver in the lease or an amendment rather than relying on a conversation.

Budget restoration from the beginning
Obtain a realistic removal and repair estimate for specialized improvements and revisit it if the scope changes. A low initial buildout cost can become expensive if the lease requires demolition, utility abandonment, or restoration at expiration. The industrial-focused guidance identifies removal and restoration as issues to negotiate, while the ABA notes that ownership and remedies can depend on the arrangement and state law.
A practical negotiation sequence for tenants
- Describe the business use. Document operations, equipment, employee count, storage, loading, utilities, hazardous materials, hours, and future expansion assumptions.
- Survey the premises. Confirm measurements, existing systems, capacity, code constraints, access, and conditions that could affect the budget.
- Prepare a responsibility matrix. Assign each scope item to landlord or tenant and identify approval, permit, payment, testing, and maintenance duties.
- Price the work. Use a trade-level budget with contingencies and separate allowance-eligible costs from tenant-funded costs.
- Choose the construction structure. Decide who controls the contractor, design, procurement, and schedule, then align the work letter with the construction contract.
- Write the allowance mechanics. Set the cap, eligible costs, draw documents, payment timing, deadline, unused-fund treatment, and overage responsibility.
- Lock the schedule. Add milestones, approval periods, permit assumptions, rent triggers, delay extensions, and remedies.
- Finalize closeout and exit terms. Define completion documents, warranties, ownership, removal, restoration, and inspection rights before signing.
- Have local counsel and technical professionals review. Confirm jurisdiction-specific code, permit, environmental, accessibility, insurance, and enforceability issues for the actual site.
Common failure points and how to prevent them
- “Turnkey” with no scope attachment: replace the label with drawings, specifications, and a responsibility schedule.
- Allowance treated as a cash credit: define eligible costs, evidence, draw timing, and the final submission date.
- Permit responsibility left ambiguous: assign applications, fees, inspections, and correction obligations by permit type.
- Verbal changes: require written change orders with price and schedule effects.
- Rent starts before lawful operation: tie commencement to agreed delivery and occupancy conditions.
- Specialized improvements installed without exit terms: classify ownership and negotiate removal or waiver before construction.
- Landlord review creates an open-ended delay: use defined submission requirements and response periods.
- Overruns discovered after commitment: maintain a live budget and require approval before spending beyond the allowance.
What this evidence cannot establish
There is no universal industrial allowance amount, delivery condition, permit timeline, remedy, or “market” work-letter form that applies to every transaction. The applicable result depends on the governing jurisdiction, property, intended use, lease language, project scope, and negotiated economics. A federal-program explanation of how a customer agency pays for improvements should not be generalized to private industrial tenants. Obtain advice tied to the actual property and transaction rather than relying on a generic allowance figure or office-lease example.
