A roofing contract should identify the contractor, describe the exact work and materials, state the schedule and total price, set payment milestones, explain warranties and changes, and include signatures on a complete document. Before signing, independently verify licensing and insurance, compare written estimates, and resolve every blank or vague allowance.
Rules for contractor licenses, deposits, permits, cancellation rights, and contract wording differ by state and locality. The Federal Trade Commission (FTC) summarizes the national baseline but warns that “Contract requirements vary by state.” Use this checklist to organize a safe agreement, then confirm local requirements with your state, county, or city authorities.

The essential parts of a roofing contract
A roofing agreement is more useful when it lets someone who was not at the sales meeting understand exactly what will happen, what it will cost, and who is responsible for each decision. The FTC’s consumer guidance says a written estimate should include a description of the work, materials, completion date, price, and contractor contact information. Put every promise about scope and labor or material costs in the signed contract, not only in a conversation or text message. See the FTC guidance at How To Avoid Scams After Weather Emergencies and Natural Disasters.

| Contract element | What to write down | What to verify |
|---|---|---|
| Contractor identity | Legal or business name, street address, phone number, email, and license number when required | License status with the appropriate state or county office; insurance directly with the insurer |
| Scope and materials | Each roof task, product, quantity or specification, included labor, and exclusions | That the written scope matches the estimate and your conversations |
| Dates | Estimated start date, completion date, and any weather or material-delay procedure | How schedule changes will be communicated |
| Price and payment | Total price, deposit, progress milestones, retainage or final-payment condition, taxes and fees | Deposit limits and payment rules in your jurisdiction |
| Warranty | Coverage, exclusions, term, claim contact, and whether labor is included | The actual warranty document, not just a sales promise |
| Changes | Written change-order process, authorization, price, and schedule effect | That no extra work starts without your written approval |
| Signatures and notices | Names, dates, signatures, attachments, cancellation notice if applicable, and no blank fields | That you receive a complete copy of every page and attachment |
1. Identify the contractor and the parties
Use the contractor’s legal name or registered business name, physical address, telephone number, email address, and the name and title of the person authorized to sign. Include your name, the property address, and a reliable mailing address if it differs from the job site. A license number belongs in the contract when your state or locality requires one.

Verify the license with the government office that issues it; do not rely solely on a number printed on a truck or proposal. Ask for proof of insurance and confirm the policy with the insurer. Ask what coverage applies to the project and whether subcontractors carry their own coverage. Keep copies of the license search and insurance certificate with the contract.
2. Describe the work and materials precisely
“Replace roof” is not a sufficient scope by itself. The document should state what is being removed, what is being installed, how the work will be performed, and what is not included. Attach the estimate, specifications, diagrams, manufacturer documents, and any allowances that the price depends on. Mark every attachment with the contract date or project address so pages cannot be swapped later.
Roofing tasks to address expressly
- Inspection and preparation: Identify the roof areas, slopes, penetrations, and any stated assumptions about the existing assembly.
- Tear-off: State whether existing shingles or other coverings will be removed, how many layers are included, and how exposed areas will be protected.
- Disposal and cleanup: Specify hauling, dumpster use, magnetic nail pickup, protection of landscaping and driveways, and final cleanup.
- Decking: Explain how damaged or noncompliant sheathing will be handled, the unit price or method for approval, and whether replacement is included in the base price.
- Underlayment and weather protection: Name the underlayment, leak barrier, temporary dry-in measures, and where each is installed.
- Flashing: State whether step flashing, headwall and sidewall flashing, valley metal, pipe boots, skylight flashing, chimney flashing, and counterflashing are new, reused, or excluded.
- Ventilation: Identify ridge, soffit, box, or other vents, quantities, intake requirements, and whether existing vents are removed or retained.
- Roof covering: Include manufacturer, product line, material, color, profile, and installation method. If a product is unavailable, require your written approval of an equal or different substitute.
- Accessories: Address drip edge, ice-and-water protection where applicable, starter courses, ridge caps, fasteners, sealants, and pipe collars.
- Permits and inspections: Say who will apply for permits, pay fees, schedule inspections, and provide completed inspection records. Confirm the local rule rather than assuming a permit is or is not needed.
These roofing-specific questions are practical ways to remove ambiguity; the national FTC material does not establish that every item is a universal legal contract requirement. Your local building department may impose additional code or permit conditions.
3. Set dates and explain delays
Write an estimated start date and a completion date, as the FTC recommends. A roofing schedule depends on weather, inspections, material availability, and discovery of concealed damage, so the contract should explain how a delay is documented and how you will be notified. Specify whether dates are calendar days or working days and identify any agreed blackout dates.

- One-Handed Loading - Keep one hand free with a 1/4 in. hex chuck that accepts 1 in. bit tips
Do not accept an open-ended promise such as “when we can fit you in.” If the contractor cannot give a firm date, require a written scheduling window and a process for confirming the mobilization date. The contract should also state who protects the building if work stops overnight or weather arrives after tear-off.
4. State the price and payment schedule
Show the total contract price in numbers and words, with a line-item explanation of labor, materials, disposal, permits, taxes, and other charges. Distinguish fixed prices from allowances or unit prices. An allowance is not a guaranteed final cost; write what happens when the actual selection or quantity differs.
List each payment amount or percentage and the event that triggers it, such as delivery, completion of a defined phase, or passing inspection. Negotiate a reasonable deposit. Some states limit contractor down payments, so check the rule that applies where the property is located. Do not pay the entire amount before work begins. The FTC advises waiting to make final payment until the work is complete and you are satisfied, and keeping invoices and receipts.

1Clear out junk files and repair common Windows errors2Scan for outdated or missing drivers - takes under a minute3Repair Windows errors before they cause bigger problemsUse a payment method that leaves a clear record. Be cautious about demands for cash or hard-to-reverse transfers. A receipt should identify the project, amount, date, and purpose. If the agreement includes financing, read the financing documents separately; the roof contract should still show the underlying price and scope.

5. Keep insurance decisions separate from the contractor’s contract
If an insurer is involved, obtain the coverage decision and approved amount directly from the insurer. Compare that information with the contractor’s scope, but do not let the contractor decide what your policy covers. The FTC advises homeowners not to sign an insurance check over to a contractor. You remain responsible for understanding deductibles, covered damage, exclusions, and any insurer-required documentation.
The contractor’s price should stand on its own. A contract should not say that the job costs an amount merely because that is the insurance payment, nor should it authorize the contractor to negotiate coverage on your behalf unless you have obtained appropriate professional advice and understand the authority being granted.
6. Put warranty promises in writing
Ask for the complete workmanship and material warranty documents before signing. The contract should identify the issuer, coverage, exclusions, duration, claim procedure, response obligations, and whether labor, tear-off, disposal, or consequential damage is included. State whether a manufacturer’s warranty requires registration, approved installation, or maintenance.
No universal roofing warranty duration is established by the national FTC material cited here. Treat a salesperson’s statement about “a lifetime warranty” or a number of years as incomplete until the actual terms define what lifetime means, what is excluded, and who performs corrective work. Record the process for reporting a leak and the contractor’s contact information after completion.

7. Control unforeseen work with written change orders
Hidden rot, damaged decking, code issues, or a requested product change can alter the price and schedule. The contract should require a written change order before additional work proceeds. Each change order should describe the new or deleted work, materials, labor, revised price, tax, schedule impact, and signatures or other written authorization from both parties.
Set a practical emergency rule for conditions that could cause immediate damage, such as temporary weather protection. The contractor may need to make the area watertight first, but the agreement should require prompt photographs, a description of the condition, and a written price for permanent work. Do not approve a vague “miscellaneous” charge.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone.8. Understand cancellation rights and sign only a complete document
The FTC recommends a written statement of a three-business-day cancellation right when an agreement is signed in your home or somewhere other than the seller’s permanent place of business. That rule does not automatically apply to every transaction. Confirm the current federal, state, and local requirements for the place and circumstances of signing, and follow the contract’s notice method exactly if you cancel.
Never sign a blank agreement, a proposal with empty price or scope fields, or a page that promises attachments you have not received. Draw a line through unused spaces or mark them “none” before signing. Initial material handwritten changes, date every signature, and obtain a fully signed copy, including terms on the reverse side and every exhibit.

9. Compare written estimates on the same axes
Get more than one written estimate. A low number may reflect omitted work, a smaller material allowance, or a different assumption about decking and flashing. Ask each contractor to answer the same questions so the bids are comparable.
| Comparison axis | Questions to ask each bidder |
|---|---|
| Work and materials | What is removed, installed, repaired, reused, or excluded? Which products and quantities are specified? |
| Price structure | What is fixed, what is an allowance, and what unit prices apply if conditions differ? |
| Payment timing | How much is due at signing, at each milestone, and at completion? What supports the final invoice? |
| Schedule | What are the estimated start and completion dates, and how are weather or inspection delays handled? |
| Credentials | What is the legal business name, license number if required, and current insurance information? |
| Warranty | Who covers workmanship and materials, for how long under the written terms, and how are claims submitted? |
| Changes | What written approval is required before extra work or substitutions? |
Check references and reputation using sources you can evaluate independently. Ask why substantially different bids vary rather than selecting the lowest automatically. The FTC’s 2022 home-repair handout also reinforces getting written estimates, checking licenses and insurance, signing a written contract, and avoiding cash or wire transfers: FTC Home Repair handout (PDF).
10. Stop for these warning signs
- Pressure to sign immediately or claims that a special price disappears today.
- A request for the full price before work starts.
- Demand for cash or a payment method that is difficult to reverse or document.
- Refusal to provide a written scope, complete contract, license information, or insurance proof.
- A blank contract, missing attachments, or permission to fill in terms later.
- A request to sign over an insurance check or let the contractor determine your coverage.
- A large unexplained difference from other written estimates.
Pause the transaction when any of these occurs. Verify credentials through government offices and insurers, obtain independent advice about local requirements, and do not allow urgency to replace documentation.

- Read the complete contract, estimate, specifications, warranty documents, and cancellation notice together.
- Match the property address, contractor identity, license information, total price, dates, and payment milestones to your notes.
- Resolve every allowance, exclusion, blank, abbreviation, and verbal promise; write accepted answers into the contract or an attachment.
- Confirm who obtains permits, protects the property, handles debris, schedules inspections, and supplies closeout documents.
- Check the written change-order process and the contact method for urgent weather protection or leaks.
- Sign and date only after all parties agree. Initial edits, receive a copy immediately, and store it with receipts, photos, insurance correspondence, and permit records.
12. Manage the project through final payment
Keep a dated file of invoices, receipts, approved change orders, photographs, inspection records, delivery tickets, and messages. Compare each invoice with the agreed milestone and approved changes. If the scope appears incomplete or defective, notify the contractor in writing with specific items and photographs and follow the contract’s notice procedure.
Before releasing the final payment, walk the property and check the agreed work: completed roof areas, flashing and penetrations, ventilation components, cleanup, protection of landscaping, and removal of debris. Obtain permit sign-offs, warranty documents, product information, and a final invoice showing a zero balance or the remaining amount. The FTC’s guidance supports withholding final payment until the work is done and you are satisfied; do not treat a contractor’s request for immediate payment as proof of completion.
State and local rules still control
This checklist is general U.S. consumer guidance, not legal advice for a particular state. Licensing, deposit caps, permit requirements, cancellation rules, lien notices, insurance requirements, and contract disclosures can vary by state, county, and city. Ask the relevant government office which rules apply to your property and transaction. If the project is unusually large, disputed, financed, or affected by an insurance claim, consider advice from a qualified local attorney or consumer-protection agency.
A well-written contract cannot eliminate every construction risk, but it gives you a clear record of the promised work, the price, the schedule, and the process for resolving differences. Do not sign until those answers are written and independently verifiable.
