What It Means When a Solar Project Reaches Construction—and What Developers and Investors Should Check

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

When a solar project reaches construction, contracted physical work has begun, usually after the engineering, procurement and construction (EPC) contractor receives a Notice to Proceed (NTP). The Australian Department of Climate Change, Energy, the Environment and Water describes an NTP as the EPC contractor’s “green light to start work.” It is a significant move beyond development, but it does not mean the plant is finished, generating commercial revenue, fully protected from cost overruns, or certain to reach operation.

Construction status is therefore a milestone to investigate, not a guarantee to accept at face value. The project’s financing documents, offtake contracts, EPC terms, remaining approvals, grid obligations and completion tests determine what the announcement really means.

What “reaching construction” means

A project reaches construction when the project company has authorized contracted construction activity and work is proceeding on the site or through binding procurement and installation packages. In many utility-scale projects, the formal trigger is an NTP issued to the EPC contractor. The notice may authorize the entire scope or only a defined package, so the words “construction start” must be read with the NTP’s terms.

The milestone commonly follows development work such as land control, permitting, interconnection planning, equipment contracting, revenue arrangements and financing decisions. However, there is no single legal definition that applies everywhere. The Australian government’s pathway for large-scale solar and wind projects is a high-level description of a typical sequence, not a universal rule. Jurisdiction, project contracts and ownership structure can change the order and scope of events.

What is physically happening

  • Site preparation, civil works, foundations, roads, fencing or electrical installation may be under way.
  • Modules, inverters, transformers and other equipment may be ordered, delivered or being installed, depending on the procurement schedule.
  • The EPC contractor is working against contractual milestones, budgets, testing requirements and completion obligations.
  • The project company is managing construction reporting, lender conditions, environmental commitments, grid interfaces and future commissioning.

An announcement can use “construction start” for a limited NTP, early works or a full notice covering the complete plant. Investors should ask which interpretation applies before treating the date as a comparable milestone.

Construction start is not completion or commercial operation

Construction, commissioning and commercial operation are separate events. Construction creates the physical asset; commissioning tests whether the completed asset can connect and perform; commercial operation begins when the project satisfies the definition in its contracts and is authorized to sell power under that framework.

Milestone What it generally indicates What it does not establish by itself
Financial investment decision The sponsor has approved proceeding, often based on its risk tolerance and expected returns. That every financing agreement is effective or that construction has begun.
Financial close Specified debt and equity documents have become effective after agreed conditions are met. That all future funding, contingency or completion requirements are satisfied.
Notice to Proceed The EPC contractor has authorization to perform the stated construction scope. That the scope is full, on schedule or fully funded through completion.
Construction start Contracted physical delivery is proceeding, sometimes under a staged or limited NTP. That the plant is complete, commissioned or earning operating revenue.
Substantial or mechanical completion Contract-defined construction and performance conditions have been met to a specified level. That every operating, tax, grid or commercial-operation condition is complete.
Commercial operation The project has met its contractual conditions to operate and sell electricity. That future output, prices or cash flows are risk-free.

Financial close and construction start may be announced together, but they remain different events. A project can have financing that is signed but subject to conditions, or an NTP that authorizes only early works while full debt funding is still conditional. The actual agreements control.

How financing and offtake fit around construction

The Australian pathway places project financing before construction in a common sequence. An offtake agreement can provide financial assurance that expected cash flows will repay debt, and it is often a prerequisite for project finance. Sponsors may also contribute equity or sell part of the project. In some structures, the financial investment decision occurs before project finance if the sponsor is willing to carry more risk.

Offtake determines revenue exposure

Investigate whether electricity is covered by a power purchase agreement (PPA), another contracted offtake arrangement or market sales. NREL’s 2025 Annual Technology Baseline identifies offtaker credit quality, contract length, firm versus market-linked pricing and curtailment exposure as financing considerations. A long-term PPA can reduce price and volume uncertainty, but it does not remove every risk: the buyer can have credit problems, the contract can contain curtailment provisions, and operating performance can still fall short.

Debt and equity are not interchangeable

“Financed” can refer to several different capital sources. Separate construction debt from permanent term debt; sponsor equity from third-party equity; and bridge loans from long-term funding. Check the conditions to draw, required reserves, repayment sources, guarantees, interest-rate terms and responsibility for overruns. A project may have a construction loan available while still needing to meet completion tests before it can convert that loan to term debt.

Completion can trigger later funding steps

Clearway’s securities filing illustrates one project-specific pattern: substantial completion coincided with additional tax-equity and cash-equity contributions, repayment of a bridge loan, funding of completion reserves and conversion of a construction loan into a term loan. Those steps are examples, not automatic consequences of reaching construction. The project’s financing agreements state which tests and dates trigger each contribution or conversion.

What the milestone means for a developer

For the developer, construction marks a shift from development risk to execution risk. The team must coordinate the EPC contractor, equipment suppliers, lenders, authorities, land obligations, environmental plans and grid counterparties while preserving the schedule and budget.

New risks become measurable

  • Cost: steel, labor, transport, interest during construction and change orders can exceed the approved budget.
  • Schedule: delayed equipment, weather, labor shortages, permitting conditions or grid work can push back completion and revenue.
  • Performance: the plant may fail output, availability, efficiency or reliability tests required by its contracts.
  • Counterparty: an EPC contractor, supplier, offtaker or lender may fail to perform or may require renegotiation.
  • Regulatory: approval conditions and environmental plans continue to apply during construction; authorities can monitor compliance.
  • Completion: the project may be physically advanced yet unable to draw final funds or begin operations until defined tests are passed.

NREL identifies cost overruns, schedule slippage and non-completion as development risks that can affect cash-flow risk and financing. Moving into construction does not eliminate those exposures; it makes them subject to construction reporting, contractual remedies and lender oversight.

Value may improve, but no universal premium exists

A project under construction is generally more advanced than a permitted concept because money, contracts and physical work have been committed. That can make it more financeable or attractive to a buyer. Yet value still depends on remaining obligations, progress against the baseline schedule, offtake quality, financing terms, counterparty strength and the developer’s continuing liabilities. The available sources do not establish a universal valuation premium for reaching construction.

What investors should verify before relying on a construction announcement

Use the announcement as a starting point and obtain the underlying documents. The following review separates the questions that determine actual risk.

1. Confirm the precise construction scope

  1. Obtain the NTP and identify its effective date, authorized work packages and conditions.
  2. Determine whether it is a limited NTP for early works or a full NTP for the plant.
  3. Compare the authorized scope with the stated capacity, target completion date and EPC contract.
  4. Check whether long-lead equipment has been ordered and whether delivery dates are binding.

2. Test revenue certainty

  • Identify the PPA or other offtake agreement, its term, pricing formula, volume obligations and termination rights.
  • Assess the buyer’s credit quality and any guarantees or security.
  • Determine how much output is contracted and how much is exposed to wholesale prices.
  • Review curtailment, congestion, imbalance and force-majeure provisions.

3. Map the capital structure

  • List construction debt, term debt, bridge facilities, sponsor equity, tax equity and other equity.
  • Read conditions precedent to each draw and the reserves required for interest, debt service, completion or replacement equipment.
  • Identify who funds a cost overrun and whether the EPC contractor has a capped obligation, liquidated damages or parent guarantee.
  • Check whether debt conversion or additional equity is tied to substantial completion, commercial operation or another test.

4. Examine ownership and residual obligations

Record the project-company owners, their percentage interests and each party’s committed capital. A developer that sells an interest may still owe completion support, cost-overrun funding, guarantees, indemnities or operating obligations. NREL includes ownership and creditworthiness among factors that influence project-financing risk, so the sponsor’s ability and willingness to support the project matter after the announcement.

5. Check approvals, interconnection and commissioning

Review every remaining permit condition, environmental-management requirement, land obligation and grid-connection milestone. The Australian pathway places commissioning after construction completion and describes it as testing the connection to the electricity system. A project can therefore be substantially built while still waiting for grid works, tests or approvals needed for commercial operation.

Case study: the 440 MWp Ilagan project

On April 30, 2026, TotalEnergies reported that it and Nextnorth had reached financial close and started construction of a 440 MWp solar project in Ilagan, Philippines. The company reported a 65% ownership share for TotalEnergies and 35% for Nextnorth. It expected the project to operate by the end of 2027.

Reported item Company-reported figure or statement How to interpret it
Capacity 440 MWp Nameplate peak capacity as reported; it is not an annual energy guarantee.
Ownership 65% TotalEnergies; 35% Nextnorth Reported equity split; review shareholder agreements for funding and control rights.
Offtake More than 50% of electricity under long-term offtake agreements The remainder was described as sold to the grid under a government auction award, leaving different revenue exposures.
Financing Approximately $300 million from three international banks Company-reported project financing; the announcement alone does not show every condition, reserve or draw schedule.
Expected operation By the end of 2027 A forecast, not evidence that commissioning or commercial operation has occurred.

These figures illustrate why construction announcements require context. The project combined financial close and construction start, but that pairing does not merge the milestones. Its contracted and auction-based revenues also create different exposure within the same project. The figures are company-reported facts and forecasts, not independent verification of performance.

Dimension Questions to ask Why it matters
Revenue What percentage is contracted, with whom, for how long and at what pricing basis? What curtailment and merchant exposure remain? Determines cash-flow visibility and sensitivity to prices and buyer credit.
Ownership Who controls the project company? Who funds overruns and supports guarantees? Shows sponsor exposure and the resources available when problems arise.
Capital What debt, equity and bridge facilities are committed? What conditions and reserves remain? Distinguishes available funding from money that is merely announced.
Construction protection Who bears delay, defect, performance and cost risks? What completion tests and remedies apply? Indicates whether an overrun stays with the project, sponsor or contractor.
Remaining path Which permits, grid works, commissioning tests and commercial-operation conditions are outstanding? Shows how far the project is from producing contracted revenue.

Common misreadings and how to avoid them

“Construction start means the project is fully funded.”

Not necessarily. Verify effective financing agreements, conditions precedent, draw availability, reserves and any limited NTP. A sponsor may have authorized early works while final funding remains conditional.

“Construction start means the project will finish on time and on budget.”

No. Construction introduces exposure to delay, cost escalation, equipment problems, contractor performance and non-completion. Contractual protections allocate some of that risk but do not make it disappear.

“A large capacity number equals a guaranteed amount of electricity.”

No. MWp is a peak-capacity measure. Actual energy depends on solar resource, design, availability, curtailment, grid access and operating performance.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

“Financial close and NTP are interchangeable.”

No. Financial close concerns specified capital documents; NTP concerns authorization to perform stated construction work. A project can announce both on one date while the agreements impose different conditions and obligations.

“The construction announcement proves commercial operation is near.”

It does not. Construction must be completed, the plant must pass commissioning and performance tests, and grid and contractual conditions must be met before commercial operation can be declared.

Bottom line for decision-makers

Reaching construction is meaningful evidence that a solar project has crossed from planning into physical delivery, usually through an EPC contractor’s NTP. Treat it as a change in risk profile, not as a completion certificate or revenue guarantee. The investment question is whether the project’s offtake, financing, ownership, construction protections and remaining approvals support completion on acceptable terms. Only the project’s executed contracts and current reports can answer that question for a particular asset.
