What a Branded Residence Management Agreement Should Include

A branded residence management agreement should do more than appoint a manager. It should define exactly which property and services are covered, how the manager is paid and supervised, which brand and operating standards apply, and what happens when ownership changes, performance falls short, or the relationship ends. Because a branded project often uses separate hotel-management, brand-licence, technical-services, marketing, and owners’ association documents, the agreement must also explain how those documents fit together.

The right terms depend on the project, the contracting parties, and local law. Use this framework to identify the provisions that need commercial negotiation and jurisdiction-specific legal advice before signing.

1. Map the parties and every related agreement

Begin with a document map. Identify the developer or property owner, the residential manager, the hotel operator, the brand licensor, the owners’ association, and any special-purpose entities that own different parts of the project. Then list every agreement that affects residential operations.

Documents commonly operating together

  • Residential management agreement for common areas and resident services.
  • Hotel-management agreement for hotel operations and shared facilities.
  • Brand-licence and marketing agreement governing trademarks, identity, and promotional use.
  • Technical-services agreement covering design review, procurement, opening support, or operating systems.
  • Owners’ association declaration, bylaws, and service-charge rules.
  • Separate hotel-services or rental-program agreement offered to residence owners.

An executed 2026 project filing for Mondrian Cancún illustrates this multi-agreement structure. It is a project-specific example, not a universal template. The residence agreement should attach or identify the related contracts, state which party owes each obligation, and establish a hierarchy for conflicts. It should also explain whether a change, breach, or termination of one agreement automatically affects another.

Define who is actually bound

Do not assume that each unit buyer signs the management agreement. The developer, a property-owning entity, or an owners’ association may be the contracting party, with later assignment or novation to the association. State when that transfer occurs, what owner approval is required, and which obligations bind individual owners through the declaration or purchase documents.

2. Describe the property, common areas, and service boundary

The agreement should contain a precise plan or schedule identifying the managed property. Separate residential towers, lobbies, parking, gardens, pools, fitness areas, spas, back-of-house spaces, retail areas, and hotel facilities. State whether the manager controls only residential common areas or also operates amenities shared with the hotel.

Services that should be listed

  • Front desk, concierge, reception, and resident communication channels.
  • Housekeeping, linen, waste removal, pest control, and cleaning frequencies.
  • Preventive and reactive maintenance for building systems and common areas.
  • Security, access control, incident response, and emergency procedures.
  • Landscaping, pool and gym operations, parking, deliveries, and contractor access.
  • Resident events, move-in coordination, package handling, and complaints.
  • Use of hotel restaurants, spas, room service, transport, or other shared facilities.
  • Rental-program administration, if the manager markets or operates short-term stays.

For every service, specify operating hours, response targets, staffing assumptions, and whether it is included in the management fee. Mark services that are optional, subject to availability, supplied under a separate hotel-services agreement, or billed directly to residents. A common-area management arrangement may need to be documented separately from hotel operations.

State exclusions explicitly

List what the manager does not provide. Examples include in-unit repairs, private utility accounts, owner renovation work, furnishing of private units, taxes, insurance arranged by the association, and services supplied directly by the hotel. An explicit exclusion prevents an owner from treating a general management obligation as an unlimited promise.

3. Set the manager’s authority and accountability

The agreement should authorize the manager to perform defined tasks while preserving owner or association control over significant decisions. Attach an authority matrix showing who may hire employees, select vendors, sign contracts, order supplies, approve capital work, communicate with regulators, and spend reserve funds.

Approval thresholds

Use dollar thresholds and emergency exceptions rather than a vague “reasonable discretion” standard. For example, the manager might approve ordinary operating purchases within an approved annual budget, while contracts above a stated amount, related-party arrangements, major repairs, litigation settlements, or changes to resident charges require board approval. Emergency spending should be allowed to protect life, safety, or property, followed by prompt notice and documentation.

Personnel and vendors

Identify key positions and minimum staffing assumptions where they matter to the brand promise. The manager should remain responsible for recruitment, supervision, training, payroll, and compliance unless the agreement allocates those duties elsewhere. Require competitive procurement or disclosure for material vendor contracts, especially when the manager or an affiliate receives a rebate, commission, or other benefit.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

One project agreement describes appointment of a manager subject to the agreement and annual budget and identifies key hotel positions. That is an example of drafting detail, not a prescribed staffing model for every residence.

4. Make brand and service standards measurable

“Operate to brand standards” is not enough on its own. Identify the standards incorporated into the agreement, the version or publication date, and where the parties can access them. Distinguish mandatory life-safety, legal, and trademark requirements from discretionary enhancements.

Inspection and reporting

  • Inspection frequency and the person entitled to inspect.
  • Reports required after inspections, including defects, severity, and corrective dates.
  • Resident-satisfaction, response-time, cleanliness, and maintenance measures where relevant.
  • Remediation plans, responsible parties, and verification that a defect is closed.
  • Consequences for repeated or material failure.

Control changes to standards

Brands may update standards during a long contract term. The agreement should require advance notice, identify any transition period, and explain who pays for resulting capital work or higher operating costs. Give the owners’ association a process to review a change that materially increases assessments or reduces an agreed service. The available project materials establish that brand standards are part of the operating relationship, but do not establish a universal residence service-level schedule or change-control clause; those details must be negotiated.

A useful standard of care can be stated directly. The Mondrian Cancún hotel-management agreement says: “Manager shall operate and manage the Hotel with all due skill, care, diligence, and attention as expected of an experienced operator and manager of hotels including hotels under the Brand.” This sentence is contract language for one project, not a universal residence standard.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

5. Detail fees, affiliate charges, and the budget cycle

Attach a complete fee schedule. Every charge should have a defined base, calculation period, invoice date, payment date, tax treatment, and audit trail.

Charges to address

  • Base management fee and the revenue, expense, or budget measure used to calculate it.
  • Incentive fee, including thresholds, exclusions, calculation examples, and payment timing.
  • Brand, marketing, reservation, technology, accounting, procurement, and shared-service fees.
  • Opening, transition, project-management, or technical-services charges.
  • Reimbursable payroll, travel, supplies, insurance, and third-party costs.
  • Affiliate fees, commissions, rebates, and mark-ups.
  • Taxes, indexation, currency conversion, and late-payment interest.

Prohibit duplicate recovery. If a technology charge is already included in the base fee, it should not also be charged as a reimbursable expense. Require disclosure and approval for related-party procurement and give the association access to supporting invoices.

Budget approval and disputed budgets

Set an annual calendar: manager submits a draft by a defined date, the association reviews it, and an approved budget takes effect on a stated date. Explain what happens if approval is delayed or the parties disagree. A temporary “prior-year budget plus permitted increases” rule can keep essential services operating while a dispute is resolved, but it should not give the manager unlimited spending authority.

6. Protect working capital and reserve funds

Separate day-to-day working capital from long-term replacement reserves. The agreement should state who holds each fund, whether accounts are segregated, permitted investments, signing authority, and the records required.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Reserve provisions to include

  • Contribution formula and timing.
  • Eligible items, such as furniture, fixtures, equipment, roofs, lifts, plant, and major building systems.
  • Approval limits for planned and emergency withdrawals.
  • Capital-plan and condition-assessment requirements.
  • Replenishment when a reserve falls below an agreed level.
  • Treatment of unused balances, outstanding commitments, and interest on termination.

Host Hotels & Resorts reported that its brand-managed hotel agreements typically use a base fee of 3.0% of gross hotel revenues or receipts, with a reported range of approximately 2.0% to 4.0%, and that FF&E replacement reserves generally range from 3% to 5% of hotel revenues. Those are company-reported hotel-contract figures from its 2023 annual report filed in 2024, not a branded-residence market average or recommended rate. Residence budgets should be based on the property’s costs, services, and governing documents.

7. Require useful reports and real audit rights

Specify the information the manager must provide and when. Monthly operating statements should show income, expenses, variances, payroll, vendor payments, resident receivables, reserve movements, incidents, complaints, and open maintenance work. Quarterly reporting can add forecasts, capital-project status, insurance claims, and compliance matters. Annual accounts should reconcile to bank statements and approved budgets.

Audit mechanics

Give the association or owner the right to inspect books, contracts, invoices, payroll records, reserve accounts, and relevant electronic data on reasonable notice. State the retention period, auditor access, confidentiality obligations, and who pays for an audit. If an overcharge exceeds a negotiated threshold, the manager should bear the audit cost and refund the overpayment with applicable interest.

Include data ownership and portability. Resident contact information, service histories, vendor records, passwords, financial records, and building plans must be returned in a usable format at handover, subject to privacy law.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

8. Set the term, renewal, sale, and handover rules

Define the effective date and the event that starts the operating term: opening, substantial completion, first unit conveyance, or another trigger. State renewal periods, notice deadlines, and any right to renegotiate fees or services at renewal.

Assignment and novation

Explain whether the agreement may be assigned on a sale of the development, a sale of the hotel, a unit sell-down, or a transfer to an owners’ association. Identify required consents and objective conditions for consent. A buyer or association should receive the agreement, schedules, amendments, records, vendor contracts, employee information, reserve balances, and passwords before taking over.

Transition plan

  1. Set a handover date and a joint transition team.
  2. Inventory funds, assets, keys, access credentials, equipment, warranties, permits, and contracts.
  3. Reconcile accounts and identify unpaid invoices, resident credits, deposits, and claims.
  4. Transfer records and data in an agreed format while protecting personal information.
  5. Notify residents, suppliers, employees, insurers, and regulators of the change.
  6. Confirm continuity of essential services and any replacement brand or signage.

Align the residential-management term with essential brand-licence and hotel-service arrangements, or state precisely what survives if one agreement ends first.

9. Define default, performance, and termination

List defaults and cure periods rather than relying on general contract language. Cover non-payment, material service failure, misuse of brand assets, failure to maintain licences or insurance, insolvency, unlawful conduct, confidentiality breaches, and repeated reporting failures.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Performance termination

If the parties negotiate a performance test, define the data source, measurement period, comparison group, notice, cure right, and remedy. Host Hotels & Resorts describes hotel agreements that can permit termination after consecutive-year operating and comparative performance tests, together with a manager cure right. This illustrates possible hotel-contract mechanics; it is not a standard residence test. A residence test should use measures the manager can influence and should exclude events such as extraordinary damage, owner-directed closures, or unapproved capital deficiencies.

Brand withdrawal and post-termination use

State what happens to trademarks, signage, uniforms, websites, marketing materials, reservation channels, and rental-program rights when the agreement ends. Trowers & Hamlins identifies possible brand withdrawal after termination of a hotel-management arrangement, expiry, or disputes. Graham & Associates discusses the possibility that licence termination does not automatically terminate the hotel-management agreement. The residence agreement should therefore contain an explicit separation and de-branding process, including resident notices and deadlines.

10. Address risk allocation and legal compliance

Project counsel should tailor the following clauses to the governing law and ownership structure:

  • Insurance types, limits, deductibles, additional insureds, and claims handling.
  • Indemnities and liability caps, including treatment of manager negligence and wilful misconduct.
  • Employment, health and safety, accessibility, environmental, licensing, and anti-corruption compliance.
  • Confidentiality, cybersecurity, resident privacy, and permitted data uses.
  • Business continuity, force majeure, disaster recovery, and emergency authority.
  • Records retention, governing law, venue, arbitration or court process, and interim relief.
  • Protection if the manager, hotel operator, brand licensor, or an affiliate becomes insolvent.

These provisions cannot be standardized across jurisdictions. They should be reviewed with counsel familiar with the property’s location, owners’ association law, hotel regulation, and data-protection requirements.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

11. Compare operating models before choosing the agreement

Decision What to compare Questions for the project team
Hotel-integrated or standalone residence management Shared facilities, staffing, systems, service consistency, and cost allocation Which services are genuinely shared, and how are usage and expenses measured?
One manager or separate hotel and residential managers Coordination, accountability, duplicated overhead, and conflict resolution Who has final authority when hotel and residence priorities differ?
Brand-operated services or licence-only model Brand control, flexibility, fees, inspections, and termination consequences Who can change standards, and who pays for compliance?
Term and renewal structure Owner control, financing impact, saleability, and transition risk Can the association exit or replace the manager without losing essential rights?
Fee and affiliate model Total cost, transparency, incentives, and related-party procurement Can every charge be traced to a defined service and approved budget?
Budget and reserve control Liquidity, capital planning, approvals, and unused funds at exit Who controls accounts and what prevents unplanned withdrawals?
Performance and exit rights Objective tests, cure periods, de-branding, and handover What evidence proves failure, and can residents receive uninterrupted service?

No structure is automatically superior. The best choice depends on the physical layout, shared amenities, brand obligations, association powers, financing, and local law.

12. A practical review checklist

Before approval, the owner or association should be able to answer “yes” to each applicable question:

  • Are all parties, managed areas, and related contracts identified?
  • Does a schedule distinguish included, optional, shared, and excluded services?
  • Are staffing, vendor authority, emergency powers, and approval thresholds clear?
  • Are brand standards dated, accessible, inspectable, and subject to cost-controlled change procedures?
  • Can an owner calculate every fee, reimbursement, affiliate charge, and incentive?
  • Are budgets, reserve contributions, bank controls, reporting, and audits operationally workable?
  • Are data, records, funds, contracts, and resident communications covered at handover?
  • Do assignment, sale, novation, renewal, default, performance, and termination clauses align with the other project agreements?
  • Does the post-termination plan address branding, signage, marketing, hotel access, and rental rights?
  • Has local counsel checked association, hospitality, employment, tax, insurance, privacy, and dispute provisions?
