Start with the governing law and the purpose of classification. A contract for a made-to-measure product, installation, maintenance, or construction can be treated as a sale of goods, a services agreement, a works contract, or a mixture of these. There is no worldwide test. Read the agreement as a whole, identify the supplier’s principal obligation, and determine whether the customer is mainly paying for an identifiable movable item, labour and expertise, or a completed building or civil-engineering result. The applicable statute, case law, procurement rules, and contract wording then decide the outcome.
The same transaction may receive different classifications for international sales law, domestic contract or consumer remedies, an EU jurisdiction rule, tax, or public procurement. The CISG Advisory Council warns that “Domestic legal systems differ as to the criteria and factors to be applied in order to characterize a contract as a sales contract.” (CISG Advisory Council Opinion No. 4.) Treat the framework below as a disciplined way to analyse the question, not as a universal scoring formula.

Why the classification matters
Classification determines which legal rules attach to the transaction. In a sale, the central issues are usually delivery, conformity with description and specifications, title, risk, rejection, and remedies for defective goods. A services contract focuses on the promised skill, care, method, and result. A works contract commonly concerns the creation, alteration, repair, or completion of a building or other fixed work, with rules that may address design responsibility, variations, completion, defects, delay, retention, and certification.
Those labels can change the parties’ rights. UK government guidance, for example, describes implied rights concerning description, quality, and fitness for goods, while services are subject to an implied requirement for reasonable care and skill. That is a UK illustration, not a rule for every country or every transaction (GOV.UK guidance). A procurement classification can also determine which procedure, notice, threshold, or contract form a public body must use.

Do not infer the answer from an invoice heading or a label such as “supply agreement” or “works contract.” The label is evidence of the parties’ drafting intent, but a court or authority normally examines the substance and the statutory purpose for which classification is required.
The classification method: a step-by-step analysis
1. Identify the governing law and the legal question
Find the governing-law and jurisdiction clauses, then identify the rule that someone is trying to apply. Check whether the parties are businesses or consumers, where they have their places of business, whether the project is public procurement, and whether the dispute concerns contract remedies, an international sale, jurisdiction, tax, or another subject. A court deciding which forum has jurisdiction may apply a different test from a court deciding implied quality terms. Do not assume that the law named in the contract controls every statutory issue; mandatory consumer and procurement rules can operate alongside it.
For an international business sale, determine whether the United Nations Convention on Contracts for the International Sale of Goods (CISG) applies or has been excluded. The CISG addresses international sales of goods, but it does not provide a universal definition for every domestic or public-law purpose.
Do these 3 things before closing this tab:
1Clear out junk files and repair common Windows errors2Fix the driver behind crashes, sound loss and screen glitches3Repair Windows errors before they cause bigger problems2. Read the entire agreement, not just its title
Collect the signed contract, specifications, drawings, schedules, purchase orders, change orders, method statements, and acceptance documents. Compare the operative clauses with the commercial description used in emails and quotations. The CISG Advisory Council treats the contract’s denomination and entire content as relevant factors, but neither a heading nor a marketing description is conclusive.
- What does the supplier expressly promise to deliver or achieve?
- Are separate prices stated for equipment, design, labour, installation, commissioning, and maintenance?
- Does acceptance occur on delivery, after testing, or only when a building or system is complete?
- Who bears responsibility for design, permits, site coordination, and obtaining a usable result?
- Do later variations show that the parties treated the item and the work as separable or as one integrated project?
3. Describe the promised result in practical terms
Ask what the customer is really buying. If the central promise is an identifiable item that can exist independently of the installation, the transaction has a strong goods element. If the customer is paying primarily for continuing labour, professional skill, supervision, or a process, it has a stronger services element. If the promised result is a completed building, structural alteration, road, plant, or other work incorporated into land, a works classification becomes more plausible under regimes that recognise that category.
Installation alone does not settle the issue. A seller may deliver a product and perform incidental fitting, or the contractor may undertake design, demolition, structural alteration, testing, and integration that make the completed site the real object of the bargain. Identify whether the product remains a distinct item after installation and whether the work materially changes or incorporates the building.

4. Trace materials and responsibility for conformity
List every major material and identify who supplies it, who owns it before incorporation, and who is responsible if it fails to meet the specification. Under CISG Article 3(1), a contract for goods to be manufactured is generally treated as a sale unless the buyer undertakes to supply a substantial part of the materials necessary for manufacture. The Canadian implementing statute reproduces that rule (CISG Article 3 text).
Buyer-supplied paint, fixtures, or a small set of components will not automatically turn a supply contract into a service. The question is whether the buyer supplied a substantial part of the necessary materials under the applicable law. Also record who warrants dimensions, performance, compliance, and quality. In a 2010 CJEU decision, C-381/08, the purchaser supplied no materials and the supplier remained responsible for quality and conformity; those facts supported treating the custom-manufactured goods contract as a sale for the EU jurisdiction rule at issue (C-381/08 judgment).
5. Separate goods from labour and other services
Many contracts contain both. Under CISG Article 3(2), the Convention does not apply when the preponderant part of the supplier’s obligations consists of labour or other services. The Advisory Council recommends an overall economic-value assessment that considers the agreement, price structure, and relative weight of the obligations. It rejects preset percentages. An essentiality analysis may be used when economic value cannot reasonably be measured or is inappropriate, but it is not a universal substitute for the applicable domestic test.
Build a contemporaneous schedule of the obligations and their commercial value, without pretending that the figures create a legal threshold. Include manufacturing, bought-in components, design, engineering, transport, site labour, software, commissioning, training, maintenance, and post-completion support. A high-value item with modest fitting may remain a sale; a lower-value item embedded in a large design-and-construction package may be incidental to works or services.
6. Analyse installation and incorporation into land
Installation can be incidental, technically substantial, or part of a building project. Consider:
The Tool Desk
Outbyte Driver Updater FREEFix the driver behind crashes, sound loss and screen glitchesFind Drivers →Outbyte PC Repair FREERepair Windows errors before they cause bigger problemsFix Now →- whether the item can be delivered and used without the supplier’s work;
- whether installation is routine and reversible or requires structural alteration, foundations, wiring, plumbing, or demolition;
- whether the supplier must coordinate several trades and deliver a functioning facility;
- whether title or risk transfers on delivery or only after completion and testing; and
- whether the work causes a material change to the building or merely places equipment in it.
The CJEU’s C-381/08 holding was tied to a particular EU jurisdiction regulation and its facts. It shows that custom manufacture and installation do not automatically defeat sale classification; it is not a universal domestic rule.

7. Apply the regime-specific test and document the conclusion
Write a short classification memorandum that states the governing law, statutory purpose, material facts, competing characterisations, and the reason one predominates. Attach the contract provisions and price breakdown on which the analysis relies. If a public authority is involved, map the conclusion to the procurement category and current guidance rather than relying on a private-law label.
How the main legal contexts differ
| Context | What is being classified | Important factors | Limit |
|---|---|---|---|
| International sale under the CISG | Whether the contract is predominantly a sale of goods | Buyer-supplied substantial materials under Article 3(1); labour and services under Article 3(2); agreement content, price structure, and relative economic weight | The CISG test does not control domestic consumer, tax, construction, or procurement classifications |
| Domestic private or consumer law | Which statutory implied terms and remedies attach | The jurisdiction’s definitions, mandatory consumer rules, the promised result, and the substance of mixed obligations | Criteria and remedies vary by country and sometimes by transaction type |
| EU jurisdiction question illustrated by C-381/08 | Whether a custom-manufactured and installed item fell within the sale-of-goods limb of the instrument then before the court | No buyer-supplied materials; supplier responsible for quality and conformity; the court’s interpretation of that regulation | An instrument-specific holding, not a general rule for every EU or domestic dispute |
| Public procurement | Whether the authority is procuring supplies, services, or works | Current procurement statute, tender documents, the principal object, and whether construction or incorporation into a larger project is involved | Procurement categories and thresholds are jurisdiction-specific and can change over time |
Mixed transactions: practical ways to weigh the competing elements
Use the price structure carefully
A single lump sum does not make a contract works-only, and separate line items do not guarantee separability. Where available, compare the value of manufactured goods, third-party equipment, design, site labour, project management, testing, and maintenance. Include required overheads and any credits or allowances. Explain assumptions and avoid converting a commercial estimate into a supposed legal percentage.
Look at the parties’ allocation of risk
Responsibility for engineering design, performance guarantees, site conditions, permits, sequencing, and integration often reveals the transaction’s centre of gravity. A seller that warrants an item’s conformity and delivers it against specifications looks more like a goods supplier. A contractor that assumes design coordination, ground risk, trade sequencing, and completion of an operational facility looks more like a works contractor. The wording is evidence, not a shortcut around the governing test.
Consider separability without inventing artificial contracts
Ask whether the goods and services can be rejected, priced, accepted, or remedied separately. Separate acceptance certificates and warranties may support distinct obligations. Conversely, a system that is useless until designed, installed, commissioned, and integrated may be a single combined undertaking even if the quotation lists every component.
Worked examples
Bespoke machinery built to the customer’s drawings
The customer specifies dimensions and performance, but the supplier buys the steel, manufactures the machine, and remains responsible for conformity. A custom specification alone does not turn the transaction into a service. Under CISG Article 3(1), manufacture for the buyer is generally within the sales concept unless the buyer supplies a substantial part of the necessary materials. Domestic law may still classify associated engineering or installation differently.
Boiler supplied and fitted in an existing building
If the supplier sells a standard boiler, connects it with routine labour, and gives a product warranty, the goods element may predominate. If the same price covers removal, structural alteration, new distribution systems, extensive design, commissioning, and a guaranteed building-performance result, the installation and works elements may be central. The contract’s acceptance test, responsibility for design, and treatment of the building are decisive facts.

Equipment within a major refurbishment
An item that would be a supply when bought alone can be incidental to a works contract when it is one component of a refurbishment or new-build project. The relevant procurement authority may classify the whole requirement by its principal object rather than by the most expensive individual component. Confirm the current statutory category before publishing a tender or selecting a procedure.
Buyer supplies a substantial part of the materials
Where the customer provides the principal raw materials and the contractor mainly fabricates or processes them, the CISG Article 3(1) sale analysis is weakened and a services or works characterisation may become more likely. Record exactly what was supplied and its importance to the finished item; “customer-supplied materials” is not enough by itself.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone.Public procurement: do not rely on obsolete categories
Older UK defence-procurement guidance distinguished supplies, services, and works and used examples in which isolated boiler procurement and installation could be treated as supply, while a boiler forming part of a building refurbishment could be treated as works. It also distinguished mere installation from work causing a material change to a building. The published page is expressly marked as no longer maintained and says it must not be applied to new procurements from 24 February 2025 (legacy DSPCR Chapter 6 guidance).
For a current UK procurement, use the Procurement Act 2023 framework and the applicable current regulations, notices, and authority guidance. Check the date and version of every category rule, and preserve the authority’s rationale in the procurement file. A private contract’s label cannot cure an incorrectly classified public requirement.
What changes after classification?
| Issue | Goods-oriented treatment | Services or works-oriented treatment |
|---|---|---|
| Performance | Conformity with description, sample, specification, quality, and fitness requirements where the applicable law implies them | Reasonable care and skill, compliance with design obligations, and achievement of the contracted service or construction result |
| Acceptance | Delivery, inspection, notice of non-conformity, rejection, repair, replacement, or price reduction may be central | Milestones, completion certificates, testing, snagging, defects periods, and taking-over procedures may be central |
| Risk and title | Rules may focus on when risk and ownership pass on delivery or acceptance | Rules may allocate site risk, design risk, ground conditions, temporary works, and risk of damage before completion |
| Remedies | Repair, replacement, rejection, damages, or price adjustment under the governing sale law | Re-performance, correction of defects, extension of time, withholding or retention, termination, and construction damages under the governing regime |
| Procurement consequences | Supply procedures and contract terms may apply | Different works or services procedures, notices, thresholds, and contractual controls may apply |
These are categories of issues, not a promise that a particular jurisdiction provides every remedy listed. Check mandatory legislation, limitation periods, notice requirements, and the agreed dispute process before acting.
Evidence and drafting checklist
- State the governing law and identify any mandatory statutory regime that remains applicable.
- Describe the principal deliverable in functional terms, not only as “supply,” “service,” or “works.”
- List goods, design, labour, installation, testing, commissioning, training, and maintenance as separate obligations where they are genuinely separate.
- Identify who supplies each material and who is responsible for conformity, design, permits, and integration.
- Use a transparent price schedule and explain whether figures are estimates, allowances, or fixed prices.
- Define delivery, installation, completion, testing, acceptance, title, and risk events consistently.
- State which warranties apply to products, workmanship, design, and the completed facility.
- Provide a variation mechanism that records whether a change adds goods, services, or construction work.
- For a public contract, cite the current procurement legislation and preserve the classification rationale in the tender file.
- Have local counsel review the conclusion where classification affects jurisdiction, consumer rights, procurement legality, tax, or a major remedy.
Common mistakes and how to correct them
Relying on the contract heading
Problem: The document says “works contract,” so the parties assume every rule for works applies. Correction: Analyse the obligations, materials, pricing, acceptance, and statutory purpose; then use the heading as one contextual fact.

Using a universal percentage test
Problem: A party claims that goods represent 60 percent of the price, so the contract must be a sale. Correction: The CISG Advisory Council advises an overall economic assessment without preset percentages, and another legal system may use different criteria.
Treating installation as decisive
Problem: Any on-site fitting is said to convert a sale into works, or any manufactured component is said to remain a sale. Correction: Examine whether installation is incidental, technically integrated, or materially changes the building, and apply the relevant jurisdiction’s rule.
Reusing outdated procurement guidance
Problem: A legacy public-procurement example is copied into a new tender. Correction: Verify the current statute and guidance. The UK DSPCR page linked above warns that it is not maintained for procurements from 24 February 2025.

When the answer remains uncertain
Some contracts genuinely sit on the boundary. If classification changes limitation periods, mandatory consumer protection, a procurement procedure, jurisdiction, or a substantial remedy, obtain advice in the governing jurisdiction before performance or tender publication. Give the adviser the complete agreement, specifications, price build-up, material-supply records, acceptance documents, and the exact statutory question. A short written opinion that identifies the competing tests and factual assumptions is more useful than a bare label.
The reliable conclusion is therefore conditional: classify the transaction for a specified legal purpose, under a specified law, by weighing its real obligations. A custom-made product can still be a sale; a large labour or service component can remove a contract from CISG sales treatment; and installation can range from incidental fitting to a full works project. None of those propositions replaces the governing statute and the facts of the particular agreement.
