How to Write a Construction Contract That Protects You and Your Client

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

A protective construction contract is a coordinated set of signed documents, not a short proposal with a price. It should identify the parties and project, define the complete scope and document precedence, establish price and payment rules, set the schedule, control changes, allocate insurance and warranty responsibilities, and provide a workable process for claims, termination, and closeout.

Use a standard form as a framework, then amend it for the actual project and governing law. A written agreement records the parties’ shared understanding and, as the American Institute of Architects (AIA) explains, should reduce the likelihood of a later dispute. Have construction counsel and an insurance professional review the final package before anyone signs.

Start with one coordinated contract package

Owners and contractors are best protected when every document that controls the work is identified, dated, and signed or incorporated by reference. A typical package may include the agreement, general and supplementary conditions, proposal, drawings, specifications, schedules, allowances, alternates, insurance and bond requirements, and later written change orders.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Do not let a bid, email, drawing revision, or subcontractor quote silently change the deal. List each contract document and state which one controls if two documents conflict. For example, the agreement might control over supplementary conditions, which control over general conditions, which control over specifications, which control over drawings. The exact order should match the project and be reviewed for consistency.

Use a master agreement for repeat work

If the same owner and contractor will perform several projects, a master agreement can hold recurring legal terms while a separate work order states the site, scope, price, schedule, and project-specific requirements. Confirm that each work order identifies which master-agreement version applies and whether any term is being changed. This structure avoids rewriting insurance, notice, and dispute provisions while keeping each job’s commercial terms clear.

Identify the parties, authority, and project precisely

The first section should make it impossible to confuse the contracting entities or the job being purchased. Use the legal names of the owner and contractor, entity types, principal addresses, and the names and titles of authorized representatives. If an owner is a company, identify the entity rather than only an individual employee. If a contractor is operating under a trade name, state the legal entity behind it.

  • State the effective date and, if different, the date work may begin.
  • Name the project and give the complete site address, parcel or lot identifier when useful, and access restrictions known at signing.
  • Describe the facility’s intended use, approximate size or capacity, and principal work. AIA A101–2017 instructions call for the official facility name or title, site location, and a brief description of use, size, capacity, or project scope.
  • Assign responsibility for permits, inspections, utility connections, surveys, temporary facilities, and site security.
  • Identify the owner’s representative, contractor’s representative, architect or construction manager, and the authority each person has to give instructions or approve work.

Require written evidence of authority when an agent, property manager, or public body representative signs. A signature line should show the signer’s name, title, entity, and date. If electronic signatures are permitted, specify the approved platform or method and when an electronically transmitted document is deemed received.

Define scope and contract documents before discussing price

Price disputes often begin as scope disputes. Attach or clearly identify the proposal, drawings, specifications, finish schedules, equipment schedules, allowances, alternates, owner-furnished items, temporary-work requirements, and exclusions. Give every drawing and specification a date or revision number. If the contractor priced a clarification or assumption, put it in the contract rather than leaving it in a bid email.

Write exclusions that a non-specialist can understand

An exclusion should say what is not included and, where practical, who will provide it. “Electrical by others” is weaker than “Owner will contract for utility-company fees and permanent service; contractor will provide temporary power within the site boundary.” Address design, engineering, testing, hazardous materials, unsuitable soil, concealed conditions, utility relocation, owner-supplied equipment, taxes, freight, and commissioning when they affect cost or time.

Set a document-precedence rule

State how conflicts are resolved and how a later clarification changes the documents. A workable clause identifies the controlling document by rank, requires the contractor to notify the owner or design professional of an apparent conflict, and prohibits the contractor from unilaterally choosing the interpretation that increases price. The rule should also explain whether a written interpretation becomes part of the contract and how it is distributed.

Choose a pricing model that matches design maturity

Select the commercial basis deliberately. The right model depends on how complete the design is, how measurable the quantities are, how much cost transparency the owner needs, and which party can manage escalation or quantity risk.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
Pricing model Best fit Owner’s principal protection Contractor’s principal risk Controls to include
Stipulated sum (fixed price) Scope and design are sufficiently complete to price the work Greater price certainty if the defined scope does not change Estimating, productivity, and quantity risk within the stated scope Detailed inclusions and exclusions, allowances, alternates, escalation treatment, and written change orders
Cost of the work plus fee with a guaranteed maximum price Design remains incomplete or the owner needs flexibility A ceiling, subject to expressly permitted adjustments Cost documentation, procurement management, and exposure for costs above the GMP that are not allowable adjustments Open-book records, audit rights, cost definitions, contingency ownership, allowances, savings treatment, and a GMP-adjustment process
Unit prices Quantities are uncertain but work can be measured by unit Payment tracks verified quantities Production and unit-cost risk Unit definitions, measurement rules, quantity thresholds, overruns, underruns, and authorization for out-of-range quantities
Master agreement plus work orders Repeat projects for the same parties Consistent legal terms with job-specific pricing Must price each work order against its stated scope and assumptions Incorporation language, precedence between master and work order, and a signed work order before mobilization

AIA A101–2017 is a cited stipulated-sum form, while AIA A102–2017 is designed for cost of the work plus a fee with a guaranteed maximum price. A form name does not decide whether its risk allocation is suitable; read every supplementary condition and amendment.

Write payment terms that can actually be administered

State the contract sum or pricing formula, currency, tax treatment, allowances, alternates, unit prices, and the process for adjusting each item. Then describe the payment cycle in operational terms. AIA payment instructions emphasize allowing time for the contractor’s application, certification, and owner payment; a calendar that gives the owner no review time is an invitation to missed deadlines.

Specify the monthly payment workflow

  1. Set the application date and the period covered. Identify the required form and whether a schedule of values must be approved before the first application.
  2. Require backup appropriate to the pricing model: updated schedule of values, stored-material invoices, delivery evidence, subcontractor applications, approved change orders, and current schedule information.
  3. Name the certifier and state what certification means. Certification should not waive the owner’s right to correct overpayment or defective work unless the contract expressly says so.
  4. State the number of days for review and payment, the method of delivery, and the address or account for payment.
  5. Describe retainage, including the percentage or formula, permitted reductions, release conditions, and any statutory limit that applies in the project’s jurisdiction.
  6. Require conditional or unconditional lien waivers only to the extent permitted by local law, and identify which waivers are due with progress and final payments.
  7. Set interest on late undisputed amounts if lawful, and explain how disputed portions are identified without withholding an entire application.

Define final payment separately

Final payment should depend on objective closeout items: completion of punch-list work, delivery of warranties and manuals, as-built or record information, final inspections, release of claims to the extent lawful, required lien waivers, and evidence that subcontractors and suppliers have been paid. State whether a small disputed amount may be withheld while undisputed amounts are paid.

Build a schedule with measurable milestones and delay rules

Include the notice to proceed, commencement date, substantial-completion date, final-completion date, interim milestones, owner-furnished information dates, and the process for updating the schedule. Define substantial completion by the project’s usable condition rather than by an arbitrary percentage. Identify who determines it and how a punch list is issued.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Allocate delay risks expressly. Address unusually adverse weather, force majeure, owner-caused delay, design or approval delay, utility delay, labor or material shortages, and contractor-caused delay. For each excusable event, require prompt notice, contemporaneous schedule evidence, mitigation, and a stated extension procedure. If liquidated damages are used, state the daily or other calculation and have counsel confirm that the amount is a lawful estimate of probable loss rather than an unenforceable penalty.

Every approved scope change should state its time impact or say that no time adjustment is allowed. A price-only change that disrupts critical-path work can still produce a later delay claim unless the contract addresses the issue.

Control change orders before changed work starts

A change-order clause should answer five questions: who can order a change, how notice is given, how price is calculated, how time is adjusted, and what happens if someone proceeds without authorization.

Use a written change workflow

  1. Identify the event. Describe the requested addition, deletion, substitution, design clarification, differing condition, or owner-directed acceleration. Reference the affected drawing, specification, or contract section.
  2. Give timely notice. Send notice to the contractually designated recipient and method. Include the date discovered, likely cost and schedule effect, and immediate mitigation steps.
  3. Submit pricing backup. Show labor, material, equipment, subcontractor quotations, overhead, profit, credits, and tax treatment. For time, provide a schedule narrative and affected activities.
  4. Obtain approval. The AIA-MBA Joint Committee states that the contractor submits the amount, the architect and owner agree to it, and a formal change order is issued before work commences. Follow that principle unless an emergency provision applies.
  5. Execute and distribute. Have authorized representatives sign, update the contract sum and completion date, mark affected drawings, and send the final document to the project record.

Address emergency work and unauthorized work

Define an emergency narrowly, such as work immediately necessary to protect life or prevent serious property damage. Require prompt notice and reasonable documentation even when prior pricing is impossible. State whether the contractor may proceed on a time-and-materials basis and who must approve daily records.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

For non-emergency work, say that proceeding without the required written authorization may be at the contractor’s cost and risk, while preserving payment rights for work the owner knowingly accepted where local law prevents a complete waiver. This is an area where jurisdiction-specific legal review is essential.

Set a claims and dispute process that preserves evidence

Define a claim as a demand for money, additional time, or other relief, and place responsibility for substantiation on the party asserting it. Identify the notice address, permitted electronic method, deadline, required content, and the person who makes the initial decision. A short notice period may be unenforceable in some jurisdictions, so counsel should check it before signing.

Require a claim to state the factual event, contract provision, amount or time sought, supporting records, and continuing-impact updates. Require the parties to continue undisputed work while a claim is evaluated, unless safety or law requires suspension.

Choose escalation in an order the project team can use: project-level discussion, written decision by the designated initial decision maker, mediation, and then arbitration or litigation. State governing law and venue, fee allocation, confidentiality if desired, and whether emergency court relief remains available. Do not assume that an arbitration clause or lien waiver eliminates statutory payment or lien rights.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Allocate insurance, bonds, and indemnity with precision

The insurance-and-bonds exhibit is a central risk-allocation document. AIA describes it as critical and recommends discussing it with legal and insurance counsel. List each required policy, coverage limit, deductible responsibility, policy period, claims-made or occurrence basis, and certificate deadline.

  • Commercial general liability and automobile liability, with limits appropriate to the work.
  • Workers’ compensation and employer’s liability as required by law.
  • Professional liability when design services are included.
  • Builder’s risk, including who insures temporary works, stored materials, existing structures, and deductibles.
  • Pollution, cyber, or other specialty coverage when the project creates those exposures.
  • Payment and performance bonds, including penal sums, surety notices, and claims procedures when bonds are required.

State whether the owner, lender, architect, or other parties must be additional insureds, and require the actual endorsement wording rather than relying only on a certificate. Explain responsibility for subcontractor insurance and flow-down requirements.

Indemnity language should identify the covered acts, the parties protected, defense obligations, exclusions for the indemnitee’s own negligence where required by law, and any statutory limitation. Broad indemnity wording can be void or restricted in some jurisdictions; insurance coverage does not automatically make an indemnity clause enforceable.

Define quality, inspections, warranties, and acceptance

State the workmanship and materials standard, applicable codes, manufacturer instructions, submittal requirements, testing responsibilities, and who pays for failed tests or rework. Give the owner and design professional reasonable inspection rights without making inspection an acceptance of defective work.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Separate substantial completion, punch list, and final completion

At substantial completion, identify the usable portions of the project, remaining punch-list items, occupancy or permit conditions, and the date warranty periods begin. The contract should say who prepares and verifies the punch list, how quickly corrections must be made, and whether incomplete minor items affect payment. AIA-MBA guidance links punch-list completion with final payment certification; adopt a similar sequence if it fits the project.

Write suspension and termination remedies before a crisis

Include a notice-and-cure process for default. List examples such as failure to supply labor, repeated defective work, abandonment, insolvency where enforceable, failure to maintain required insurance, or failure to pay subcontractors. State cure periods, emergency suspension rights, and whether the owner may supplement the contractor’s forces.

Termination for cause

Explain the steps for notice, cure, takeover, access to the site, use of materials and temporary facilities, assignment of subcontracts, and completion by a replacement contractor. State how the final account is calculated and what records must be delivered.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Termination for convenience

If the owner may terminate without contractor default, specify payment for properly completed work, approved stored materials, reasonable demobilization, and any agreed termination fee or calculation. AIA instructions specifically call for termination-fee or calculation provisions in relevant forms. Do not leave the amount to an undefined “equitable” adjustment.

Contractor suspension rights

Address nonpayment, unsafe conditions, owner-caused delay, and failure to provide required information. Require notice and an opportunity to cure where lawful, and explain remobilization costs and schedule relief after a proper suspension.

Set administration, records, and electronic-notice rules

Name the people who can issue instructions, approve submittals, certify payment, and sign changes. Define required submittals, meeting frequency, daily reports, schedule updates, safety reports, testing records, and document-retention periods. State the file format and delivery location for drawings, models, photographs, logs, and correspondence.

Electronic notices should identify the sender and recipient addresses, subject-line convention, effective time, and whether a read receipt or platform confirmation is required. AIA recommends setting electronic-notice protocols, including the recipient and read receipt where used. Do not rely on an informal text message for a notice that affects price, time, default, or termination unless the contract expressly permits it.

Require prompt reporting of concealed conditions, design conflicts, accidents, damage, and potential claims. Records should be kept contemporaneously; reconstructing labor, equipment, and schedule impact months later is far less persuasive than a dated daily report and marked-up plan.

Use a jurisdiction-specific legal review

Construction law is local. Licensing rules, prompt-payment deadlines, retainage limits, lien rights, bond-claim procedures, indemnity restrictions, notice periods, electronic-signature rules, and liquidated-damages standards vary by jurisdiction and sometimes by public versus private project. A clause copied from another state or country can be ineffective or expose the party who uses it to penalties.

Before signing, have qualified construction counsel review the agreement against the law governing the site. Ask an insurance professional to confirm that the required limits, endorsements, builder’s-risk structure, and indemnity obligations can actually be insured. If the project is public, check statutory procurement, bonding, prevailing-wage, payment, and dispute requirements before using a private-project form.

Pre-signature and closeout checklists

Common drafting failures and their fixes

“The proposal is the contract”

Failure: The proposal omits schedule, insurance, notice, warranty, and dispute terms. Fix: Use a coordinated agreement and list every incorporated document.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Scope is described only by a broad phrase

Failure: “Complete construction” leaves design gaps and owner assumptions unresolved. Fix: Attach drawings and specifications, write exclusions, assign owner-furnished items, and establish precedence.

Change work is approved verbally

Failure: The parties remember different instructions and prices. Fix: Require written notice, cost and schedule backup, authorized signatures, marked drawings, and distribution before work starts except for narrowly defined emergencies.

Payment dates are vague

Failure: “Paid when approved” creates an unbounded review period. Fix: State application, certification, payment, dispute, retainage, and waiver deadlines, subject to local prompt-payment law.

Insurance is reduced to a certificate

Failure: A certificate may not prove the required endorsements or coverage. Fix: Specify policies and endorsements, review them with an insurance professional, and require evidence before mobilization.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Termination is one sentence

Failure: The parties cannot agree on cure, takeover, stored materials, or demobilization costs. Fix: Set notice, cure, access, payment, fee, and document-handover procedures for each termination type.
