How to vet a main contractor: insurance, bonding, accounts and references

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Vet a main contractor by checking the exact contracting entity, competence, insurance, financial capacity, comparable references and proportionate security in that order. Obtain documentary evidence, verify it with the named organisations, compare the risk to your project, and record any conditions before signing. A trade association badge or prequalification listing can help organise evidence, but it is not a guarantee of solvency, workmanship or suitability.

This process is designed for UK homeowners, developers and other clients appointing a principal or main contractor. The right depth of checking depends on the project’s value, complexity, duration, procurement route and safety risk. Use the same checklist for every serious bidder so that a low price does not conceal weaker financial or contractual protection.

A proportionate vetting sequence

Complete the checks below before appointment, then repeat the financial and insurance checks before later phases of a long project. Keep copies of the evidence, the date checked, the person who checked it and any approval or mitigation.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
Stage Evidence to obtain What the check establishes
1. Contracting entity Legal name, company number, registered address, directors, VAT details and bank information That the party quoting, contracting, insuring and receiving payment is the same legal entity
2. Competence Relevant project history, training and CPD, professional memberships, project team and safety arrangements Skills, knowledge, experience and organisational capability for this work
3. Insurance Current certificates, policy numbers, limits, exclusions, excesses and expiry dates Whether the specified activities and potential losses are insured
4. Financial capacity Latest filed accounts, notes, debt and liquidity information, plus management accounts or a forecast where appropriate Whether the contractor can fund the work and survive payment delays or overruns
5. References At least two recent, comparable client contacts How the contractor actually delivered programme, cost, quality, safety and administration
6. Security Bond or guarantee wording, amount, term, issuer, trigger and claims process What remedy is available if the contractor fails to perform or pay

1. Identify the entity you are actually hiring

Start with the legal identity, not the trading name on a van or website. Record the exact company name, company number, registered address and directors. Match those details across the quotation, proposed contract, insurance certificates, bank details and accounts. A mismatch can mean you are dealing with a different group company, an individual proprietor or an entity that is not the one whose balance sheet you reviewed.

Run the public-register checks

  1. Search the Companies House register for the stated company number and confirm the legal name and registered office.
  2. Review filing dates, confirmation statements, directors and any recent changes. Note resignations, a new registered office, a change of control or a company that has recently been restored or incorporated.
  3. Check for previous business failures or insolvencies associated with the directors or trading group. Ask the contractor to explain any failed predecessor and what assets, staff or liabilities moved to the new entity.
  4. Confirm the VAT details supplied for the contract and make sure the payment account is in the contracting entity’s name. Escalate any request to pay an unrelated company.

Government supply-chain guidance recommends checking company registration, VAT details, directorships and previous business failures. Constructionline’s identity process similarly checks that the name on submitted accounts agrees with other information and, where appropriate, the Companies House register. These checks do not prove that a contractor will perform; they establish who owes you the contractual obligations.

Put the identity in the contract

Write the full legal name, company number and registered address into the contract and schedules. If a parent company, special-purpose vehicle or group company is involved, state which entity employs staff, holds insurance, receives payment and gives any guarantee. Do not accept a certificate or reference issued only to a similarly named affiliate.

2. Test competence and organisational capability

For a project involving a principal contractor, HSE says the contractor must be able to demonstrate the skills, knowledge and experience (SKE) and, where an organisation, the organisational capability to carry out the work. Ask for evidence that relates to your project rather than a generic company profile.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Evidence that is useful

  • Completed projects with similar size, complexity, construction type and procurement route.
  • The proposed project manager, site manager and commercial lead, including relevant training, continuing professional development and experience on comparable work.
  • Professional-body memberships or third-party assessments where relevant.
  • A clear health-and-safety management plan, including how the contractor will coordinate designers, subcontractors and site controls.
  • The intended subcontracting plan: which packages are self-performed, which are subcontracted and how competence, insurance and payment will be checked down the chain.

Scale the evidence to risk. A small domestic alteration does not need the same organisational submission as a complex, occupied-building or high-risk development. Conversely, a polished presentation cannot substitute for a project team with relevant experience and a credible plan for managing safety, quality, programme and interfaces.

Questions for the proposed team

  • Who will be on site each day, and what happens if that person leaves or is unavailable?
  • Which decisions remain with the main contractor and which are delegated to subcontractors?
  • How will design changes, temporary works, inspections, defects and handover information be controlled?
  • How are subcontractors selected, briefed, supervised and paid?

3. Check insurance certificates, not assurances

Request current certificates before appointment and verify every material field. The certificate should identify the insured legal entity, insurer, policy number, period of cover, limits, covered activities, exclusions and excesses. Check the expiry date against the anticipated start and completion dates, and require renewal evidence if the policy will expire during the works.

  • One-Handed Loading - Keep one hand free with a 1/4 in. hex chuck that accepts 1 in. bit tips
Cover When it is relevant Checks to make
Employers’ liability Where the contractor has employees or the cover is legally required for its workforce Named employer, policy period, limit and whether the workforce arrangement matches the work proposed
Public liability Contractors whose work could injure third parties or damage neighbouring or client property Covered construction activities, territorial scope, limit, excess and exclusions for hot works, excavation or other project hazards
Professional indemnity Consultants and contractors accepting design responsibility That the policy covers the actual design services, not merely construction, and remains in force for the required period
Additional design or specialist cover Where the contractor undertakes substantial design or specialist services Design discipline, retroactive date if stated, exclusions and any required run-off or continuation

Constructionline’s checklist calls for employers’ liability where a supplier has staff, public liability for contractors, professional indemnity for consultants and additional professional indemnity where a contractor undertakes design work. GOV.UK advises that insurance conditions should be proportionate to the contract; employers’ liability may be evidenced where it is legally required.

Verify with the insurer or broker

Use the contact details on the certificate, or independently verified details, to confirm that the policy is genuine and current. Ask whether the contractor is compliant with premium payments and whether any material change, claim or restriction affects the proposed work. Record the name and date of the person who confirmed it. A certificate alone does not tell you whether a claim will be accepted, so read endorsements and exclusions and make the contractor disclose any policy cancellation or material reduction.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Match limits to the risk

There is no universal insurance limit that suits every project. Consider the value of neighbouring property, the worst credible injury or damage, design exposure, site access, environmental hazards and the contractor’s role. State the required covers and limits in the tender and contract, but keep them proportionate: an unrealistic requirement can reduce competition without improving protection. Ask for evidence of renewal before an existing certificate expires.

4. Review accounts and current financial capacity

Filed accounts are historical, but they reveal the contractor’s legal entity, trading scale, debt and cash position. For a limited company, obtain the latest filed accounts and read the balance sheet, profit and loss account and notes rather than relying on turnover alone.

What to examine

  • Balance sheet: look at net assets, current assets, current liabilities and the level and maturity of borrowings.
  • Liquidity: consider cash, readily realisable assets, overdraft dependence and whether liabilities fall due before expected project receipts.
  • Profit and loss: review recent profitability, margins and any sharp movement in turnover or costs.
  • Notes: read disclosures about going-concern assumptions, guarantees, contingent liabilities, related-party balances, leasing and post-balance-sheet events.
  • Scale: compare turnover and available resources with the proposed contract value, payment profile and maximum exposure at any one time.

GOV.UK lists financial statements, turnover and professional-risk insurance as evidence of economic and financial standing. If the latest published statements are more than 12 months old, its guidance says evaluators should consider requesting more recent management accounts. For a new business, ask for recent full accounts where available, a cash-flow forecast and evidence of funding; Constructionline’s checklist also asks for forecast information for new businesses.

Ask focused follow-up questions

  • What committed work and retention balances will compete for cash during this project?
  • Are there material tax, creditor, litigation or director-loan liabilities not obvious from the headline figures?
  • How will the contractor fund materials, labour and subcontractor payments before your certificates are paid?
  • What happens if the programme is delayed or a variation is disputed?

Do not set a single turnover multiple or minimum cash figure without considering contract form, payment terms, retention, advance payments, bonds and the contractor’s other commitments. A contractor can be profitable yet illiquid, or hold cash temporarily while carrying substantial debt. If the answers remain unclear, use a staged appointment, additional security, direct payment controls or another contractor rather than assuming the risk away.

5. Verify references that resemble your project

Request at least two recent clients for projects similar in size, complexity and procurement route. Obtain permission to contact them directly and call rather than accepting only testimonials supplied by the contractor.

Questions to ask each referee

  • Was the project delivered to the agreed programme? If not, what caused the delay and how did the contractor respond?
  • How were variations priced, instructed and controlled? Were there unexpected exclusions or claims?
  • What defects appeared, how quickly were they corrected and was handover information complete?
  • Did the contractor manage subcontractors effectively and pay them on time?
  • How were health and safety, site housekeeping, neighbours and communication handled?
  • What was the final cost compared with the contract sum, and were final accounts settled without unusual dispute?
  • Would you appoint the same team again for a project of this type?

HSE identifies references from previous construction work as an example of evidence of competence. The most useful reference is specific: it identifies the contract value or scale, the contractor’s actual role, the named project team and the client’s experience of cost, quality, safety and administration. A reference for a small, straightforward job does not establish capability for a complex development.

6. Decide whether a bond or guarantee is proportionate

A performance bond or financial guarantee is a contingent remedy. It becomes relevant if the supplier fails to perform or pay, rather than improving day-to-day workmanship. GOV.UK explains that bonds are typically provided by independent third parties such as lenders, specialist surety providers or insurance companies and provide financial compensation in the event of supplier failure.

Security What it can do Points to define
Performance bond Provides compensation or a defined remedy after the contractual failure trigger Beneficiary, trigger, bonded amount, term, issuer, notice and claims process
Financial or payment guarantee Addresses specified payment or financial obligations Exactly which obligation is covered, evidence of default, amount and expiry
Parent-company guarantee Uses the financial strength of a credible parent where the contracting entity is weaker Parent’s identity and accounts, guarantee scope, duration, enforceability and trigger
Retention or staged payment Leaves a contractual sum at risk until defined milestones or defects are resolved Retention percentage, release dates, set-off rights and insolvency treatment

Before demanding a bond, assess the likelihood and consequence of failure, the contractor’s financial strength, the project’s size and the cost of the security. GOV.UK recommends considering a credible parent-company guarantee before more expensive alternatives where one is available. A guarantee from an empty or financially weak parent may add little protection.

Write the security into the contract

Do not accept a promise that a bond will be supplied later. Attach the agreed form or set out its required terms before signature. Identify the beneficiary, the precise default or insolvency trigger, the amount (fixed or reducing), the start and expiry dates, the issuer’s credit requirements, notice periods and documents needed to make a claim. Check who pays the premium and whether the security survives practical completion, final account or defects obligations.

7. Compare viable contractors on the same risk basis

Once a bidder has passed the minimum checks, compare like with like. Record the evidence rather than allowing a persuasive interview or low headline price to dominate.

  • Relevant comparable experience and the availability of the named project team.
  • Organisational capability, health-and-safety arrangements and the subcontracting plan.
  • Insurance scope, limits, exclusions and renewal arrangements.
  • Financial capacity relative to contract value, payment profile and other commitments.
  • Quality and relevance of the references, including final cost and defect history.
  • Programme assumptions, procurement route, lead times and responsibility for design information.
  • Proposed exclusions, provisional sums, variation rules and delay provisions.
  • Payment terms, retention, advance payments and the contractor’s willingness to provide proportionate security.

Use a written comparison sheet with a separate column for evidence, unresolved issue, mitigation and decision owner. If one contractor is cheaper because it excludes design, preliminaries, testing or statutory approvals, normalise the scope before comparing prices.

8. Treat prequalification schemes as evidence organisers

HSE identifies third-party assessment services, including SSIP members, as one way to demonstrate organisational capability. A service such as Constructionline can collect identity, accounts, insurance and work-category information, which may make an initial review faster.

Membership is not a guarantee of solvency, workmanship, current insurance or project fit. 9. Record the decision and unresolved risk

Your appointment file should allow another person to understand why this contractor was selected and what protections apply. Keep:

  • The verified legal identity and Companies House search date.
  • Competence evidence, proposed team and health-and-safety information.
  • Insurance certificates, verification contacts and renewal dates.
  • Accounts, management information or forecasts and your financial assessment.
  • Reference notes, names, dates and any adverse comments.
  • The final comparison, tender clarifications, exclusions and agreed assumptions.
  • Bond or guarantee wording, or the documented reason security was not proportionate.
  • A list of unresolved concerns, mitigation, owner, deadline and approval authority.

Where evidence is incomplete, make the appointment conditional on a dated deliverable, such as a renewed policy, executed guarantee or named replacement project manager. Do not mark a risk as closed merely because the contractor has promised to provide information after work starts.

10. Recheck before later phases

Economic and financial standing can change during a long contract. Before entering a later phase, a major package or a large release of funds, refresh the contractor’s accounts or management information, insurance certificates, directors and outstanding disputes. Confirm that required bonds or guarantees remain in force and that the contracting entity has not changed.

Set the recheck dates in the contract and project governance plan. Ongoing monitoring is especially important where the contractor relies on advance payments, carries substantial subcontractor commitments or has a long gap between phases. If the position deteriorates, use the contractual remedies and escalation route promptly rather than waiting for visible site failure.

Warning signs that require a documented response

  • The legal name or company number differs between the quote, contract, certificate, accounts or bank details.
  • An insurance certificate is expired, names an affiliate, omits the project activity or has unexplained exclusions.
  • Accounts are more than 12 months old and the contractor will not provide current management information for a large or long project.
  • The contractor cannot explain rapid changes in directors, registered office, ownership or a previous failed business.
  • References are anonymous, unrelated to the proposed work or unwilling to discuss final cost, defects or payment behaviour.
  • The contractor resists a proportionate bond, guarantee or retention without offering an alternative protection.
  • The tender depends on broad exclusions, undefined provisional sums or payment terms that leave you funding most of the work upfront.

None of these signs proves failure is inevitable. Each should produce a written explanation, additional evidence, a contractual mitigation or a decision not to appoint.

What this process can and cannot establish

A structured check can establish who the contractor is, what evidence supports its competence, whether the stated insurance and financial information are current, how comparable clients experienced delivery and what contractual security is available. It cannot guarantee a defect-free project or predict an individual company’s future with certainty. No authoritative universal success rate, failure rate or saving figure applies to contractor vetting; appropriate insurance limits, bond amounts, financial thresholds and reference depth depend on jurisdiction, project value, contract form and risk profile.
