You can often improve your chances of getting paid without filing a complaint, but only if you protect lien, bond and contract deadlines first. Identify the governing law, build a complete payment record, send a precise demand, use the contract’s dispute process and calendar every security remedy. Negotiation or mediation can then proceed without accidentally waiving the right to enforce a mechanic’s lien, payment bond, arbitration clause or court claim.
Start with the project’s legal map
Construction payment rights depend on more than the invoice. Before contacting the other side, identify the facts that determine which remedies and deadlines apply:
As an Amazon Associate I earn from qualifying purchases.
- Project location: Lien, bond, notice and prompt-payment rules are usually state-specific.
- Owner type: A private project may support a mechanic’s lien; a public project generally uses a payment bond instead of a lien against public property.
- Funding: A federally funded project may be subject to the Miller Act or related federal requirements.
- Contract tier: Determine whether you are the owner, prime contractor, subcontractor, sub-subcontractor or supplier. A claimant without a direct contract with the prime or owner often has an extra notice obligation.
- Contract terms: Locate governing-law, payment, retainage, change-order, claim-notice, lien-waiver, pay-if-paid or pay-when-paid, mediation and arbitration provisions.
- Work status: Record the last date labor, materials or equipment were furnished. Several lien and bond clocks run from that date.
Do not borrow a deadline from a neighboring state or from a different project type. The same unpaid invoice can have different notice requirements depending on the state, public or private ownership, contract tier and funding source.
Build a payment file that can survive scrutiny
A payment demand is more persuasive when the recipient can verify every dollar quickly. Create one indexed folder and a separate ledger. Preserve originals and keep metadata for photographs and electronic correspondence.

Documents to collect
- Signed contract, subcontracts, purchase orders and every amendment.
- Approved and pending change orders, directives, field orders and pricing backup.
- Pay applications, invoices, payment certificates and notices of withholding.
- Schedules, daily reports, time sheets, delivery tickets and equipment logs.
- Photographs, inspection reports, punch lists, acceptance records and test results.
- Certified payroll or prevailing-wage records when the project requires them.
- Prior conditional or unconditional lien waivers and releases.
- Emails, letters, meeting minutes and text messages concerning scope, delay, defects or payment.
- Any payment bond, bond information statement, public-owner notice and statutory form.
Separate the amounts instead of presenting one disputed total
Your ledger should show at least:
- Undisputed earned principal.
- Retainage withheld and the contractual or statutory release trigger.
- Approved change orders.
- Disputed extras or rejected claims, with the reason given.
- Credits, back-charges and setoffs claimed by the other side.
- Contractual or statutory interest, if available.
- Payments received and the invoice or pay application to which each payment was applied.
Also record the last furnishing date for each scope. A supplier may have a different last-delivery date from a subcontractor’s last labor date, and that difference can control a notice deadline.
Send a demand that creates a decision record
Use a written demand addressed to the contracting party and, where appropriate, the owner, surety or project administrator. Keep the tone factual and give a short response period that matches the contract or applicable law.
Include these items
- Identify the agreement: name the project, contract or purchase-order number, parties and your contract tier.
- Describe performance: state the scope, work periods, approved changes and completion or acceptance status.
- State the accounting: list invoice or pay-application numbers, principal, retainage, credits, disputed extras and the net amount currently due.
- Address the stated defense: quote or summarize any alleged defect, delay, back-charge, pay-if-paid defense or owner nonpayment.
- Set a payment date: request payment by a specific date and identify the account or method for remittance.
- Attach an index: identify the contract, approvals, delivery proof, acceptance records and ledger supporting the demand.
- Request particulars: ask the recipient to identify each deficiency, disputed line item, back-charge and document relied upon.
- Reserve rights: state that discussions do not waive lien, bond, statutory, contractual, interest or attorney-fee rights.
- Offer a short meeting: propose an executive-level meet-and-confer and, if needed, mediation.
Send the demand using the contract’s notice method and keep proof of delivery. A normal email may not satisfy a clause requiring certified mail, courier delivery, a project portal or service on a particular address.
Do these 3 things before closing this tab:
1Clear out junk files and repair common Windows errors2Fix the driver behind crashes, sound loss and screen glitches3Repair Windows errors before they cause bigger problemsCalendar every lien and bond deadline before negotiating
A demand letter or mediation request does not automatically extend a statutory deadline. Put each possible remedy on a calendar immediately, with an earlier internal reminder for obtaining counsel and preparing forms.
Examples that show why jurisdiction matters
| Project or rule | Deadline or requirement | Who it affects |
|---|---|---|
| Federal Miller Act, 40 U.S.C. §3133 | A claimant unpaid in full 90 days after the last labor or material for the claim may sue on the payment bond. A claimant without a contract with the prime must give the contractor written notice within 90 days, stating with substantial accuracy the amount claimed and the party for whom the work was done. | Covered federal construction payment-bond claimants |
| Federal contract threshold | FAR 28.102-1 explains that performance and payment bonds are required for federal construction contracts exceeding $150,000, subject to applicable exceptions or a waiver determination. | Federal construction contracts |
| North Carolina example, G.S. 44A-27 | A non-privity claimant must give written notice within 120 days after the last labor or materials. The notice must state with substantial accuracy the amount claimed and the person for whom the work was performed. | Certain North Carolina payment-bond claimants without direct privity |
| Florida public works, Fla. Stat. §255.05 | Certain non-privity claimants must serve a notice of intent to look to the bond within 45 days after beginning work and a notice of nonpayment no later than 90 days after final furnishing. The statute also addresses service and attorney fees. | Certain Florida public-project bond claimants |
These are examples, not a universal schedule. Confirm the current statute, project documents, required form, recipient and service method for your project. A missed preliminary notice, notice of intent, notice of nonpayment, lien-recording deadline, bond-suit limitation or contract claim-submission deadline can eliminate leverage even when the underlying invoice is valid.

Check whether a lien, bond claim or retainage notice is available
Mechanic’s lien on private property
State lien laws commonly allow unpaid subcontractors and suppliers to encumber an owner’s private property even without a direct owner contract, but eligibility, preliminary notices, recording deadlines, service rules and waiver language vary. Texas Property Code Chapter 53, for example, addresses subcontractor and supplier liens, retainage notices, lien releases and payment-bond waivers. A lien is leverage, not a guarantee of payment: it may be contested, bonded off or limited by prior notices and the property’s equity.
Payment bond on public or bonded work
Public property generally cannot be seized through a mechanic’s lien, so the payment bond is the security remedy. Obtain the correct bond, identify the surety and follow the statute’s notice and suit periods. Federal Miller Act claims require special attention to the 90-day notice framework and the one-year limitation for filing a civil action on the bond under the statute; have counsel verify the current text and how it applies to your tier and claim.

Retainage and release documents
Retainage may be governed by the contract, prompt-payment statute or public-contract rules. Treat every waiver as a legal instrument. An unconditional release can waive amounts you have not yet been paid, while a conditional release may depend on cleared funds and specified conditions. Never sign a broad waiver, settlement, final payment affidavit or lien release without matching it to the actual payment and preserving expressly excluded claims.
Follow the contract’s dispute sequence
Many construction agreements require a defined sequence before arbitration or court. Missing the sequence can produce a jurisdictional objection, delay or waiver argument.
- Send the contractually required notice of claim within the stated period.
- Submit the required cost, schedule and supporting documentation.
- Attend the meet-and-confer or executive escalation meeting.
- Obtain an architect, engineer, construction manager or dispute-board decision if the contract assigns that role.
- Attempt mediation if required or strategically useful.
- Demand arbitration or file the permitted court action only after the contractual prerequisites are complete.
Read the clause together with incorporated general conditions, project manuals and owner forms. A short notice period can apply to change-order, delay or payment claims even when the final invoice is not yet due.

Use negotiation without giving up security
Negotiation is usually the least expensive first escalation, but it works best when you distinguish facts from positions. Send a one-page executive summary, then offer a call with the people who can approve payment.
Useful negotiation topics
- Paying the undisputed principal immediately while reserving disputed extras.
- Releasing retainage against agreed punch-list completion or acceptance evidence.
- Staging payment dates tied to objective milestones.
- Escrowing a disputed amount while the parties resolve entitlement.
- Jointly reviewing quantities, delivery tickets and approved changes.
- Agreeing on a narrow release that identifies excluded claims and applies only to cleared funds.
Put any agreement in a signed amendment or settlement that states the payment schedule, security, release scope, confidentiality terms, default remedy and treatment of attorney fees. Keep lien and bond deadlines active until the agreed payment clears and the release is legally safe.
When mediation can resolve the dispute
Mediation uses a neutral third party to help the participants negotiate; the mediator does not impose a binding award. It is useful when the parties need to preserve a project relationship, exchange information privately or separate a solvable accounting issue from broader performance accusations.
Prepare a mediator’s package
- A concise chronology from contract award through nonpayment.
- A damages schedule separating undisputed, disputed and contingent amounts.
- The key contract clauses and notice history.
- Photographs, inspection or acceptance evidence and the principal correspondence.
- A confidential settlement range and non-monetary terms you can accept.
- A list of unresolved factual questions and the documents that could answer them.
Ask in advance whether the mediation is remote or in person, who must attend with settlement authority, how confidential submissions are handled and how fees are allocated. Construction Industry Arbitration Rules and Mediation Procedures published by the American Arbitration Association are one commonly used procedural reference when the contract selects them.
Do not treat mediation as a deadline extension. File or serve a protective lien, bond or contract notice when required, then tell the mediator which rights must remain preserved.

Compare arbitration, lien or bond enforcement and court litigation
| Option | Deadline preservation | Speed and cost | Security or payment leverage | Confidentiality and decision-maker | Appeal and enforcement |
|---|---|---|---|---|---|
| Demand and negotiation | Does not extend statutory or contractual deadlines; notices must still be made. | Usually the fastest and least expensive path. | Creates a documented opportunity to resolve the account but does not itself secure payment. | Private, with the parties controlling the discussion. | Enforceability depends on a signed agreement. |
| Mediation | Does not automatically suspend lien, bond or claim periods. | Usually faster and less costly than a hearing or trial. | Can produce a payment plan, escrow or release, but the mediator cannot impose one. | Confidential process with a neutral facilitator selected under the agreement or rules. | A signed settlement can be enforced as a contract; there is no award to appeal unless the agreement provides otherwise. |
| Contractual arbitration | Requires timely contract notice and compliance with any pre-arbitration steps. | Can be faster than court, but filing, arbitrator, hearing and expert costs can be substantial. | May allow interim measures if the rules or contract provide them; it does not replace a lien or bond automatically. | Usually private; the arbitrator is selected under the contract or applicable rules. | Judicial review is narrow compared with an ordinary appeal, but a confirmed award is generally enforceable. |
| Mechanic’s lien or payment-bond enforcement | Strict statutory notices, recording, service and suit limitations apply. | Preparation is front-loaded; contested enforcement can take months or longer. | Creates property or surety leverage when the statutory requirements are met. | Public records and court proceedings may reduce confidentiality; a judge decides the case. | Subject to ordinary court procedures and appeal rights; collectability depends on property equity, bond coverage and defenses. |
| Court litigation | Must satisfy the applicable statute of limitations and any contract claim procedure. | Often the slowest and most expensive option, especially with experts and counterclaims. | Can support discovery, judgment remedies and, where available, provisional relief. | Generally public; a judge or jury is the fact-finder. | Provides ordinary appeal rights, but collection still depends on the defendant’s assets and exemptions. |
Choose based on likely recovery, speed, cost, security, confidentiality, attorney-fee exposure, counterclaim risk and collectability—not simply on the amount of the invoice. A small claim against an insolvent party may not justify a long arbitration, while a lien or bond claim can make a negotiated payment more realistic.
Protect against common mistakes
Waiting for a promise to pay
Verbal assurances do not stop a notice or filing clock. Calendar the deadline and preserve the remedy unless a signed agreement clearly changes it and the law permits that change.
Using the wrong recipient or service method
Notice may need to go to the prime contractor, owner, surety, public entity or registered agent. Follow the statute and contract exactly, including delivery method and address.
Claiming a round number without backup
Separate earned work, retainage, approved changes, disputed extras, credits and interest. A transparent ledger makes it easier to pay undisputed amounts and narrows the dispute.
Signing an unconditional release too early
Match every release to cleared funds and expressly reserve excluded claims. Have counsel review broad language covering unknown, pending or future work.

Ignoring pay-if-paid language
Ask the other side to identify the exact clause and the jurisdiction’s treatment of it. Some laws limit the effect of such provisions or require specific wording; do not assume the clause ends the analysis.
Failing to investigate collectability
Before spending heavily, identify the owner’s payment status, the contractor’s assets, the bond amount and surety, recorded liens, bankruptcy risk and any competing claims. A favorable decision is not the same as a collectible payment.
Virginia’s pre-suit lien-release procedure
Virginia Code §43-71 illustrates a state-specific tactic that can affect negotiations. After five days’ notice to the lienor and before suit, an owner, general contractor or other interested party may seek court permission to pay money into court or file a bond to release the lien. If you receive such a notice, review the proposed security, deadline and lien amount promptly; releasing the property from the lien does not necessarily resolve the underlying payment claim.
A practical escalation plan
- Day one: identify project location, owner type, funding, contract tier, governing law and every dispute-resolution clause.
- Days one to three: calculate the last furnishing date and calendar all preliminary notices, notices of nonpayment, lien-recording periods, bond-suit limitations and contract claim deadlines.
- Days two to seven: assemble the indexed payment file and ledger; obtain the bond and surety information where applicable.
- Within the contract’s notice period: send a compliant claim or protective notice even if the parties are discussing settlement.
- After the record is complete: send the precise demand, request the opposing party’s itemized defenses and propose an executive meeting.
- If unresolved: mediate or follow the contract’s required process while maintaining every statutory remedy.
- Before signing or filing: have construction counsel review any waiver, unconditional release, settlement, lien, bond claim, arbitration demand or complaint.
The objective is not to threaten litigation prematurely. It is to make payment the easiest rational outcome while preserving the remedies that give your claim value. Once security rights and notice periods are protected, a documented demand, focused negotiation and well-prepared mediation can resolve many disputes without the cost and delay of a lawsuit.
